Article4.PAYMENTPROCEDURES.

CONTRACTOR shall submit Applications for Payment in accordance with Article 14 of the General Conditions. The CITY ENGINEER as provided in the General Conditions will process applicationsforpayment. 4.1 PROGRESS PAYMENTS: OWNER will make progress payments on the basis of the CONTRACTOR'S Applications for Payment as recommended by the CITY ENGINEER, on or about the firstday of each monthduringconstructionasprovidedbelow. Allprogresspayments will be onthebasisoftheprogressoftheWorkmeasuredbythe scheduleofvaluesprovidedfor inparagraph14.1oftheGeneralConditions. 4.1.1 Prior to 50 percent of Substantial Completion, progress payments will be in an amount equal to 90 percent of the Work completed, and 90 percent of materials and equipment not incorporated in the Work but delivered and suitably stored, less in each case the aggregate of payments previouslymade. The project retainage may be reduced to 5 percent of thecontract amountoncetheprojecthasreached50percentofSubstantialCompletion. 4.1.2 Upon Substantial Completion, OWNER will pay an amount sufficient to increase total payments to CONTRACTOR to 100% of the Contract Price, less such amounts as the CITY ENGINEER shall determine in accordance with paragraph 14.7 of the General Conditions and less such amounts as theCITYENGINEERshalldetermineforcompletionofpunchlistitems,if any. 4.2 Final Payment. Upon final completion and acceptance of the Work in accordance with paragraph 14.13oftheGeneralConditions,OWNERwillpaytheremainderoftheContractPrice asrecommendedbytheCITYENGINEERasprovidedinsaidparagraph14.13. Article5.INTEREST. All moneys not paid when due hereundershall bear interestatthemaximumrateallowedbylaw attheplaceoftheProject. Article6.CONTRACTOR'SREPRESENTATIONS. In order to induce OWNER to enter into this Agreement CONTRACTOR makes the following representations. 6.1 CONTRACTOR has familiarized himself with the nature and extent of the Contract Documents, Work locality, and with all local conditions and federal, state and local laws, ordinances, rules and regulations that in any manner may affect cost, progressorperformance oftheWork. 6.2 CONTRACTOR has studied carefully all reports of investigations and tests of subsurface and latent physical conditions at the siteorotherwiseaffectingcost,progressorperformanceof

the Work which were relied upon by the ENGINEER in the preparation of the Drawings and SpecificationsandwhichhavebeenidentifiedintheContractDocuments.

6.3 CONTRACTOR hasmadeorcausedtobemadeexaminations,investigationsandtestsand studies of such reports and related data in addition to those referred to in paragraph 6.2 as he deems necessary for the performance of the Work at the Contract Price, within the Contract Time and in accordancewiththeothertermsandconditionsoftheContractDocumentsandno additional examinations, investigations, tests, reports or similar data are or will be required by CONTRACTORforsuchpurposes. 6.4 CONTRACTOR has correlated the results of all such observations, examinations, investigations,tests,reportsanddatawiththetermsandconditionsoftheContractDocuments. 6.5 CONTRACTOR has given the CITY ENGINEER written notice of all conflicts, errors or discrepancies that he has discovered in the Contract Documents and the written resolution thereofbytheCITYENGINEERisacceptabletoCONTRACTOR. Article7.CONTRACTDOCUMENTS. The Contract Documents, which comprise the entire agreement between OWNER and CONTRACTOR, are attached to this Agreement, made a part hereof and consist of the following: 7.1ThisAgreement(pagesAGR1toAGR4,inclusive). 7.2ExhibitstothisAgreement. 7.3Performance,MaintenanceandPaymentBonds. 7.4NoticeofAwardandNoticetoProceed. 7.5GeneralConditions(pages1to25,inclusive). 7.6SupplementaryConditionsSC1toSC2 7.7Specificationsbearingthetitle[ProjectName]andconsistingofdivisionsand pagesaslistedintableofcontentsthereof. 7.8 Drawings, consistingof sheetsnumbered1through ,inclusive,bearing thetitle[InsertTitle]oraselsewheredescribedintheContractDocuments. 7.9Addendanumbersto,inclusive.

There are no Contract Documents other than those listed above in this Article 7. 8.1 Terms used in this Agreement, which are defined inArticle1oftheGeneralConditionsshall havethemeaningsindicatedintheGeneralConditions. 8.2 No assignment bya party hereto of any rights under orinterestsintheContractDocuments will be binding on another party hereto without the written consent of the party sought to be boundandspecificallybutwithoutlimitation,moneysthatmaybecomedueandmoneysthatare due may not be assigned without such consent (except to the extent that the effect of this restriction may be limited by law), and unless specifically stated to the contrary in any written consent to anassignmentnoassignmentwillreleaseordischargetheassignorfromanydutyor responsibilityundertheContractDocuments. 8.3 OWNER and CONTRACTOR each binds himself, his partners, successors, assigns and legal representatives to the other party hereto, his partners, successors, assigns and legal representatives to the other party hereto, his partners, successors, assigns and legal representatives to the other party hereto, his partners, successors, assigns and legal representatives in respect to all covenants, agreements, and obligations contained in the ContractDocuments.
