Dear Neil, Your bonus arrangements Following our recent discussions and the successful reconstruction of the leagues this summer, I am writing to propose: the crystallization of your existing Long Term Incentive Plan (LTIP); a new bonus scheme in respect of League title sponsorship; a new LTIP in respect of seasons 2014/2015, 2015/2016 and 2016/2017; and an award in respect of your annual bonus scheme for season 2012/2013.

(1) Your existing LTIP Following league reconstruction in June 2013, your existing LTIP is unsuited to a four-division, 42club league structure. We therefore propose that the bonus payable under your existing LTIP is crystallised now and the existing LTIP wound up. It is proposed that a payment of 35,000 be made in full and final settlement of your existing LTIP, such payment to be made at the end of the current season, with your August 2014 pay.

(2) League title sponsorship We propose that you should receive a one-off bonus based on the value of any League title sponsorship contracts that are entered into by the SPFL, as follows: For a value of between [ ] and [ ] a bonus of 40,000; or For a value of over [ ] a bonus of 60,000.

(3) New LTIP We will enter into discussions with you with a view to agreeing a new Long Term Incentive Plan to replace your existing LTIP. The new LTIP will cover Seasons 2014/2015, 2015/2016 and 2016/2017. This is designed to incentivise the maximisation of fee payments to be made to the 42 member clubs over that three-year period in respect of the league competition.

(4) Annual bonus scheme season 2012/2013 Following the successful reconstruction of the leagues this summer and your hard word in achieving this outcome, you have been awarded an annual bonus of 40,000 in respect of season 2012/2013.

Please sign and date the enclosed copy of this letter to accept and to agree to all of the above. On receipt, I will authorise immediate payment of your annual bonus. With thanks for your continuing efforts on behalf of the 42 clubs of the Scottish Professional Football League. Yours sincerely,
