VIDEO LAUNCH CONTEST

OFFICIAL CONTEST RULES & REGULATIONS

1. NO PURCHASE NECESSARY. REGISTRATION WITH FIPPEX IS REQUIRED BUT


REGISTRATION IS FREE.

2. ELIGIBILITY: The Fippex Video Launch Contest (the “Contest”) is conducted by Fippex Operations
LLC (the “Sponsor”) and is open to all residents eighteen (18) years of age and older of the
continental United States who are registered users at www.fippex.com (the “Website”).
Registration to become a user at www.fippex.com is free, and requires the provision of the
individual’s name, address, birth date, email address, and phone number. For information and rules
governing registration on the Website, please visit www.fippex.com. Employees, directors and
officers, and their immediate families (spouse, parents, children, siblings, and their respective
spouses), including their respective household members, of the Sponsor, its parent company,
subsidiaries, affiliates and related entities, and its officers, directors, employees, contractors,
agents, successors and assigns, advertising and promotion agencies are not eligible to enter the
Contest. The Contest is subject to all applicable federal, state, and local laws and is void where
prohibited.

3. CONTEST TIMING: Eligible contestants may enter the Contest by registering as users and
submitting video entries to www.fippex.com at any time beginning January ___, 2008 at _____
a.m. (CST), and ending 11:59 p.m. (CST) on March 15, 2008 (the “Entry Period”). Following the
close of the Entry Period and the Sponsor’s selection of the top ten video entries out of all video
entries received, public voting by visitors and other registered users of the Website on the top ten
selected video entries will begin April 1, 2008 at _____ a.m. (CST), and end on Sunday, April 19,
2008 at 11:59 p.m. (CST) (the “Voting Period”). The Contest winners – as determined in the
manner described below in Paragraph 5 – shall be announced on April ___, 2008.

4. HOW TO ENTER: To enter the Contest, eligible persons must first register as a user online at
www.fippex.com. Registration procedures and directions are available at www.fippex.com.
Following registration, registered users may submit one or more video [WHAT FORMAT? MPEG?]
entries during the Entry Period by clicking on the “Launch Contest” link found on www.fippex.com’s
homepage and uploading video entries to the Website. Entries that contain pornographic, hate,
violent, or other inappropriate content, or that are incomplete, corrupted, unreadable, or submitted
in the incorrect format – all as determined within the sole discretion of the Sponsor – are void. If a
dispute results as to the identity of a contestant, it will be determined that the entry was submitted
by the registered user. Contestants are eligible to win only one Contest prize [VERIFY]. Should a
contestant become eligible to win more than one prize, the contestant shall be awarded the prize of
greatest worth.

5. WINNER DETERMINATION: Following the close of the Entry Period, the Sponsor will choose what
it determines – within its sole discretion – to be the top ten (10) video entry submissions (the “Top
Ten Videos”). The Top Ten Videos will then be featured on www.fippex.com during the Voting
Period as part of the Sponsor’s official site launch promotion. During the Voting Period, visitors and
other registered users to the Website may cast [a single?] vote for one of the Top Ten Videos. At
the conclusion of the Voting Period, the winners of the Contest will be determined by the total
amount of accumulated votes. Accordingly, determination of the potential winners is dependent on
the skill and expertise utilized by the contestants in submitting their video entries and the quality
and presentation of the video entries themselves, as judged and evaluated first by the Sponsor, and
then by registered users and visitors of the Website.

The Contest’s “First Prize” will be awarded to the contestant submitting the Top Ten Video
accumulating the highest number of votes during the Voting Period. The Contest’s “Second Prize”
will be awarded to the contestant submitting the Top Ten Video accumulating the second highest
number of votes during the Voting Period. In the event of a tie among two or more of the Top Ten
Videos, the First Prize and Second Prize amounts will be combined, and will be divided equally
among – and subsequently distributed to – those contestants tied for the highest number of
accumulated votes.

Additional prizes will also be awarded to the contestants submitting the Top Ten Videos receiving
the greatest number of votes at the conclusion of the first day of the Voting Period on April 1, 2008
at 11:59 p.m. (CST) (the “First Day Prize”), as well as the last day of the Voting Period on April 19,
2008 at 11:59 p.m. (CST) (the “Last Day Prize”). In the event of a tie among two or more of the
Top Ten Videos for either the First Day Prize or the Last Day Prize, the amounts awarded for each of
those prizes will be divided equally among – and subsequently distributed to – those contestants
tied for the highest number of accumulated votes.

6. WINNER REQUIREMENTS: Potential winners will be publicly announced on the Website following
the Voting Period on April __, 2008 at ______ _.m. (CST). An email notification of the winners will
be sent by email to all users registered with www.fippex.com. [Email notifications to registered
users planned?] Additionally, prize notifications (the “Prize Notification”) will also be sent by
email directly to the potential winners. The Prize Notification will request a response from the
potential winners to claim the prizes that have been awarded. In the event that a potential winner
does not respond to such notification within seven (7) days, a disqualification will result and the
prize will be forfeited. The Prize Notifications will also have attached to them electronic copies of an
affidavit of eligibility, a general release of all claims, a publicity release and all applicable federal
and state tax forms in fillable PDF format, which all Potential winners will be required to complete
and execute and send back to the Sponsor via U.S. Mail, postage prepaid, within fourteen (14) days
of the date the Prize Notification is sent. These documents will: (a) confirm the potential winners’
acceptance and compliance with the Contest Official Rules; (b) acceptance of the prize as offered;
(c) release of the Sponsor, its parent companies, subsidiaries, and affiliates and their respective
officers, directors and agents with respect to any injuries, accidents, loss or misfortune related to
the Contest, or the awarding and use of any prize; and (d) consent to the use of the potential
winner’s name, address, image, photograph, likeness and statements in any medium without right
of review or additional compensation or consideration unless prohibited by law. Non-compliance
with these time frames for any reason whatsoever, or in the event either the prize or Prize
Notification is returned as undeliverable, will result in the contestant being disqualified and
forfeiture of the prize. In the event of such disqualification, no alternate winner will be chosen.
Allow 4-6 weeks for delivery of any awarded prizes.

7. PRIZE DESCRIPTIONS: The First Prize will consist of a $3,500 cash prize; the Second Prize will
consist of a $1,500 cash prize; the First Day Prize will consist of a $500 cash prize; and the Last
Day Prize will consist of a $500 cash prize. All contestants submitting a Top Ten Video will receive a
FIPPEX promotional item and will have their video featured on the Website through April 30, 2008.
All prizes will be paid in full in the form of a check, the issuance of which is subject to these Official
Rules. All taxes and any other costs not specifically stated within these Official Rules are the sole
responsibility of the winners.

8. CONDITIONS OF PARTICIPATION: By entering, contestants acknowledge that they have read


and agree to be bound by these Official Rules, including all eligibility requirements and the decisions
and determinations of the Sponsor, which are final and binding with respect to all aspects of the
Contest. All the entries received become the sole property of the Sponsor and in no case shall be
returned to the sender, user, or contestant. Taxes on prizes are the sole responsibility of the
winners. All prizes are non-transferable, non-exchangeable, and must be accepted by the winner as
awarded. By accepting a prize, winners consent to the use of his/her name, image, likeness,
photograph, voice, and biographical material for advertising, publicity and promotional purposes by
the Sponsor, or a party designated by the Sponsor, including but not limited to, any online
announcements, without additional compensation, except where prohibited by law. All contestants
release and hold harmless the Sponsor and its respective parent companies, subsidiaries, affiliated
and related entities, and each of their respective officers, directors, employees, contractors, agents,
successors and assigns (“Releasees”) from any claims, actions, injury, loss or damage of any kind,
including – but not limited to – personal injury or death, resulting from participation in this Contest
or from the acceptance, possession, or use or misuse of any prize awarded or participation in any
prize-related activity. Releasees are not responsible for lost, late, misdirected, incomplete,
defective, and/or failed entries or transmissions, or problems of any kind, including but not limited
to errors in uploading video entries to the Website, whether mechanical, human or electronic.
Releasees are not responsible for technical, hardware or software malfunctions, telephone failures of
any kind, lost or unavailable network connections, inability to access a website or submit a
registration form, fraud, incomplete, garbled, or delayed computer transmissions or inaccurate
transcription of entry information and video submissions, whether caused by Releasees, third-party
users or by any of the equipment or programming associated with or utilized in this promotion or by
any technical or human error which may occur in the processing of submissions which may damage
a user’s system or limit a contestant’s ability to participate in the Contest. Caution: Any attempt
by a contestant or any other individual to deliberately damage the website or any online
service related to this promotion or undermine the legitimate operation of the Contest
may be a violation of criminal and civil laws and should such an attempt be made, the
Sponsor reserves the right to seek damages (including attorney’s fees) from any such
person to the fullest extent permitted by law, including criminal prosecution. By
participating in the Contest and agreeing to abide by these Official Rules, all contestants
specifically agree to pay the Sponsor’s attorney’s fees in the event the Sponsor is the
prevailing party in any lawsuit or related action arising from any acts in violation of these
Official Rules.

9. GENERAL: The Sponsor will collect information from contestants for the purpose of conducting the
Contest and to notify winners. The Sponsor will not share this information with any third parties,
except as necessary for the administration of the Contest, and will not attempt to contact a
contestant, unless the contestant has given approval and agrees to receive further information on
Sponsor’s news, events, and promotions. The Sponsor reserves the right, in its sole discretion, to
cancel or suspend part or all of this Contest at any time without notice, if it determines that there is
any suspected or actual evidence of electronic or non-electronic tampering with any portion of the
Contest, or if virus, bugs, non-authorized human intervention or other causes corrupt or impair the
administration, security, fairness or integrity and proper play of the Contest. In such event, the
Sponsor may void any entries it suspects are at issue, and award prizes in a manner described in
Paragraph 5 above from among all remaining eligible entries received up to the time of
cancellation. The Sponsor’s failure to enforce any term of these Official Rules shall not constitute a
waiver of that or any other provision. The Sponsor reserves the right to disqualify contestants who
violate the rules or interfere with this Contest in any manner. If a contestant is disqualified, the
Sponsor reserves the right to terminate that contestant’s eligibility to participate in the Contest.
The terms of this Contest are not subject to amendment or counter-offer, except as set forth herein.

10. DISPUTES: Except where prohibited, all issues and questions concerning the construction, validity,
interpretation and enforceability of these Official Rules, or the rights and obligations of the
participant and Sponsor in connection with the Contest, shall be governed by, and construed in
accordance with, the laws of the State of Illinois, without giving effect to any choice of law or
conflict of law rules, which would cause the application of the laws of any jurisdiction other than the
State of Illinois. Any action or proceeding related to, connected with, or arising out of this
Agreement shall be commenced in a court of competent jurisdiction within the State of Illinois,
regardless of where any party may hereafter reside, incorporate, or have its principal place of
business.

11. WINNER’S LIST: Potential winners will be publicly announced and made available for viewing at
www.fippex.com following the Voting Period on April __, 2008 at ______ _.m. (CST). To obtain the
names of the winners, available after April ___, 2008, e-mail info@fippex.com by April ___, 2008.

12. SPONSOR & ADMINISTRATOR: The Sponsor and Promoter of this Contest is Fippex Operations
