SPECIAL POWER OF ATTORNEY

KNOW ALL MEN BY THESE PRESENTS: That I/We, __Ronald Vertudez King_________________________, of legal ages, single/married, a Filipino citizen with residence and postal address at _651 Somerset Drive SW Calgary AB Canada T2Y3V9_________, do hereby name, constitute and appoint _Ma. Dolores Rimando King________, of legal age, Filipino citizen, residing at 2375 Oro-A St. San Andres Bukid Manila Philippines_, to be my true and lawful Attorney-in-fact and in my name, place and stead, and for my own use and benefit to do the following acts and deeds: 1. To purchase from AMAIA LAND CORP. (Seller/Developer) a residential lot, with or without improvements thereon, specifically identified as Block ___ Lot ___ of the ___________________ Subdivision located at ________________________, presently covered by Transfer Certificate of Title (TCT)/Original Certificate of Title (OCT) No. ___________________, and presently registered in the name of the Seller/Developer, particularly described as follows: TCT No. ___________

(Hereinafter referred to as the Subject Property)

To apply for, negotiate and obtain loan/s and or credit facilities from ________________________ (the BANK) in the principal amount not exceeding PESOS: __________________________________ (Php)__________________ ONLY (the Loan) and to encumber, pledge or assign and convey by way of FIRST MORTGAGE / ASSIGNMENT unto the BANK, its successors and assigns any of our funds or properties (whether real or personal) in the Philippines, including without limitation, the Subject Property, subject to such terms and conditions and with interest rate as may be agreed with the BANK, as our said ATTORNEYIN-FACT may deem beneficial and convenient, with the authority to do the following: a) To sell, mortgage, pledge, lease or otherwise dispose the Subject Property, in whole or in part, to any person or entity, subject to the terms, conditions and restrictions of the Seller/Developer and/or the Bank. b) To sign, execute, deliver and/or receive all documents, contracts or agreements in connection with the Loan obtained from ____________________(the BANK), such as, but not limited to, Promissory note/s, Loan Agreement, Mortgage Loan Agreement, Deed of Real Estate Mortgage, Deed of Assignment and Letter of Guaranty; c) To encash and receive proceeds of the said Loan (including without limitation to authorize the release of the proceeds of the Loan to the Seller/ Developer) as well as legal notices or processes directed to me in the event of foreclosure or other satisfaction of the suit premised on the Deed of Real Estate Mortgage / Pledge / Mortgage Loan Agreement to be executed by my Attorney-in-fact in favor of the BANK as security for the aforesaid Loan. d) To claim from _____________________(the BANK) or its successors or assigns, upon full payment of the credit accommodations/ facilities for which my property stands as collateral, the Owners Duplicate Copy of title aforementioned and other collateral documents. e) To compromise, settle and agree on any matters, judicially or extra-judicially, in concerning the Loan extended to me/us by ___________________(the BANK) and/or the Seller/Developer and secured by the Subject Property; and f) To do and perform any and all acts necessary to accomplish the foregoing acts and deeds.

To do and perform any and all acts necessary and/or desirable to effect the purchase of the Subject Property, including, but not limited to the following acts: a) To negotiate and/or agree to the terms and conditions of the purchase and other matters relating thereto, and choose as well decide on the details/particulars of the Subject Property; b) To enter, execute, sign and deliver all contracts and agreements, including but not limited to the Reservation Agreement, Contract To Sell, Deed of Absolute Sale, and other documents, papers pertinent to the purchase of the Subject Property; c) To make payments relative to the purchase of the Subject Property;

d) To change, replace the Subject Property originally or previously chosen/reserved, if necessary under the circumstances; e) To withdraw from or cancel any and all agreements/contracts related to the purchase of the Subject Property, whether entered into by us or on our behalf, and receive refunds or any other amount (s) due to us, whether in the form of cash or check issued in our names or in the name of our ATTORNEY-IN-FACT; f) To receive originals or copies of the documents relative to the purchase of the Subject Property, such as, but not limited to Reservation Agreement, Contract to Sell and Deed of Absolute Sale, as well as any and all documents involving or affecting the Subject Property, such as, but not limited to title, tax declaration and receipts or clearances;

g) To receive any and all communications, notices, memos, letters and demands from the Seller/Developer addressed to us or to our ATTORNEY-IN-FACT in relation to the purchase of the Subject Property; h) To receive the key to the unit (if any) and sign the relevant documents acknowledging receipt of the Subject Property, in good and proper condition for the purpose of absolving the Seller/Developer, as the case may be, from any liability with respect to the Subject Property; To process applications for installation and connection of utilities in the Subject Property, such as, electrical utilities from Manila Electric Company (MERALCO), water, telephone, cable and other utilities from pertinent service providers with the authority to sign, execute, deliver and receive all documents and to do all acts necessary and in connection thereto, including the right to receive refunds from MERALCO and/or other service providers, if any; and To do all acts necessary for the accomplishment of the foregoing acts and authorities.

This special power of attorney is a special agency created to enable said attorney in fact to exercise the special powers and authorities herein granted, it is being understood and agreed that creation of this special agency is one of the requirements and essential consideration of the Seller/ Developer and/or BANK for the granting of the loan and/or credit facilities to me/us. The Special Power of Attorney shall not be revoked nor cancelled without the prior written consent of the Seller/Developer and/or BANK.

HEREBY GIVING AND GRANTING unto our said ATTORNEY-IN-FACT full powers and authority to do and perform all or any act requisite and/or necessary to carry into effect the foregoing authorities, as fully to all intents and purposes as we might or could lawfully do, if personally present and acting in person, and HEREBY RATIFYING AND CONFIRMING all that our said ATTORNEY-IN-FACT has done, may also do or cause to be done under and by virtue of these presents.
