4. RE&RESENTATIONS AND WARRANTIES

.aterials+ or has the a;thority to enter into this Agree1ent on behalf of the owner.
*. "icensor has not granted any rights or licenses to the "icensed .aterials that wo;ld conflict
with "icensor@s obligations ;nder this Agree1ent.
C. "icensor is f;lly aware of "icensee@s b;siness reK;ire1ents and intended ;ses for the
Software and the Software shall satisfy s;ch reK;ire1ents and is fit for s;ch intended ;ses.
%. "icensor will not enter into any agree1ent with any third party which wo;ld affect "icensee@s
rights ;nder this Agree1ent+ or bind "icensee to any third party+ witho;t "icensee@s prior written consent.
E. "icensee@s ;se of the "icensed .aterials as a;thori9ed by this Agree1ent will not infringe any
e:isting copyright+ trade secret+ patent or trade1arA rights of any third party.
5. TERMINATION

"icensor shall have the right to i11ediately ter1inate this "icense if "icensee fails to perfor1 any obligation reK;ired of "icensee ;nder this Agree1ent or if "icensee beco1es banAr;pt or insolvent. !his "icense Agree1ent taAes effect ;pon "icenseeHs ;se of the software and re1ains effective ;ntil ter1inated. "icensee 1ay ter1inate it at any ti1e by destroying all copies of the Software and %oc;1entation in its possession. t will also a;to1atically ter1inate if "icensee fails to co1ply with any ter1 or condition of this "icense Agree1ent.
6. RETURN OR DESTRUCTION OF SOFTWARE U&ON TERMINATION

Upon ter1ination of this "icense+ "icensee shall ret;rn to "icensor or destroy the original and all copies of the Software incl;ding partial copies and 1odifications. "icensor shall have a reasonable opport;nity to cond;ct an inspection of "icensee@s place of b;siness to ass;re co1pliance with this provision.

"icensor retains title to and ownership of the Software and all enhance1ents+ 1odifications and ;pdates of the Software.
00. MODIFICATION AND EN+ANCEMENTS

"icensee will 1aAe no efforts to reverse engineer the Software+ or 1aAe any 1odifications or enhance1ents witho;t "icensor@s e:press written consent. 12. T+E SOFTWARE
!he Software shall consist of the 1od;les or co1ponents+ shall perfor1 the f;nctions and shall co1ply with the proposals and specifications+ identified or set forth on Sched;le A+ anne:ed hereto. Each Software 1od;le or co1ponent+ specification and proposal incl;ded or referred to in Sched;le A is e:pressly incorporated by reference herein. 13. DOCUMENTATION
!he %oc;1entation shall consist of all operator and ;ser 1an;als+ training 1aterials+ g;ides+ listings+ specifications+ and other 1aterials for ;se in conB;nction with the Software+ as set forth in Sched;le *+ anne:ed hereto. "icensor shall deliver to "icensee+ as specified below+ 6$U.*E&7 co1plete copies of the %oc;1entation set forth in Sched;le *. "icensee shall have the right+ as part of the license granted herein+ to 1aAe as 1any additional copies of the %oc;1entation for its own ;se as it 1ay deter1ine. 14. SOURCE CODE

"icensor is reK;ired to deliver to "icensee+ 6$U.*E&7 copies of the co1plete So;rce Code contained on 1achine0readable 1edia and a co1plete listing of the So;rce Code and Co11entary. 15. /ithin 6$U.*E&7 days of the e:ec;tion of this Agree1ent by "icensor+ and ;pon no less than 6$U.*E&7 days@ prior notice to "icensee+ "icensor shall deliver to "icensee@s pre1ises+ located at 6A%%&ESS7 2the 8Site85+ the reK;ired n;1ber of copies of the Software together with the reK;ired n;1ber of copies of the %oc;1entation. Upon at least 6$U.*E&7 days@ notice to "icensor+ "icensee 1ay postpone the delivery of the Software Syste1 to a 1;t;ally agreed0;pon date no 1ore than 6$U.*E&7 days thereafter. "icensor shall bear all freight+ shipping and handling costs for s;ch delivery of the Software Syste1 and all risA of loss+ incl;ding any ins;rance costs. 17. SOFTWARE INSTALLATION AND ACCE&TANCE
Pro1ptly after delivery of the Software Syste1 to the Site+ "icensor shall install the Software on the )ardware. "icensor shall s;ccessf;lly cond;ct all of its own testing proced;res on the Software. !hereafter+ ;pon reasonable advance notice to and in the presence of representatives of "icensee+ "icensor shall cond;ct the acceptance testing proced;re specified in Sched;le E+ anne:ed hereto+ ;sing a sa1ple of data s;pplied by "icensee and converted and entered on the )ardware by "icensor at its sole cost. Upon s;ccessf;l co1pletion of every ele1ent of the acceptance testing proced;re set forth in Sched;le E+ "icensee shall e:ec;te a written notice of acceptance of the Software. n the event that the Software fails to pass any of "icensor@s testing proced;res or the acceptance test set forth in Sched;le E+ then "icensor shall have 6$U.*E&7 days in which to correct s;ch defect and ca;se the Software to s;ccessf;lly pass all s;ch tests+ failing which "icensee 1ay elect to cancel this Agree1ent and "icensor shall i11ediately ref;nd all s;1s previo;sly paid to it by "icensee here;nder. 18. NEW LOCATION "icensee 1ay+ at any ti1e+ witho;t prior notice to or consent of "icensor+ transfer the Software to any location other than the site of initial installation for ;se on any other central processing ;nit 28CPU85 which is owned or controlled by "icensee or by s;bsidiaries or other entities owned or controlled by "icensee. "icensee shall thereafter pro1ptly give "icensor notice of s;ch new location. 19. MULTI&LE USE O&TION
"icensee shall have the option to e:tend the license granted here;nder to incl;de ;se of the Software on 1ore than a single CPU which it 1ay e:ercise in its sole discretion at any ti1e by tendering to "icensor a pay1ent eK;al to 6C7 of the "icense ,ee specified above for the first additional site and a pay1ent eK;al to 6C7 of the "icense ,ee specified above for each additional CPU on which the Software shall be so ;sed+ together with a notice identifying s;ch CPU and its location. 20. TRAINING
!he "icense ,ee incl;des all costs for the training of "icensee@s e1ployees on the ;se and operation of the Software on the )ardware+ incl;ding instr;ction in any necessary conversion of "icensee@s data for s;ch ;se. P;rs;ant to a 1;t;ally agreed ;pon sched;le+ "icensor shall provide s;fficient e:perienced and K;alified personnel to cond;ct ;p to 6$U.*E&7 f;ll eight0ho;r days of s;ch training of gro;ps of ;p to 6$U.*E&7 e1ployees or other personnel of "icensee at a location or locations designated by "icensee.

SOFTWARE MAINTENANCE A. %;ring the warranty period+ "icensor shall pro1ptly notify "icensee of any defects or 1alf;nctions in the Software or %oc;1entation of which it learns fro1 any so;rce. "icensor shall pro1ptly correct any defects or 1alf;nctions in the Software or %oc;1entation discovered d;ring s;ch warranty period and provide "icensee with corrected copies of sa1e+ witho;t additional charge. "icensor@s obligation here;nder shall not affect any other liability which it 1ay have to "icensee. B. "icensor shall provide to "icensee+ witho;t additional charge+ copies of the Software Syste1 and %oc;1entation revised to reflect any enhance1ents to the Software Syste1 1ade by "icensor d;ring the warranty period. S;ch enhance1ents shall incl;de all 1odifications to the Software Syste1 which increase the speed+ efficiency or ease of operation of the Software Syste1+ or add additional capabilities to or otherwise i1prove the f;nctions of the Software Syste1.

ADDITIONAL SU&&ORT
%;ring the warranty period+ "icensor shall provide to "icensee+ witho;t additional charge+ all reasonably necessary telephone or written cons;ltation reK;ested by "icensee in connection with its ;se and operation of the Software Syste1 or any proble1s therewith. !elephone cons;ltation shall be reK;ested and provided only d;ring "icensor@s nor1al b;siness ho;rs and "icensee shall pay all long distance telephone charges in connection therewith.
23.
SOFTWARE MAINTENANCE CONTRACT AND RENEWAL O&TION
After e:piration of the warranty period referred to above+ "icensor shall provide 1aintenance+ additional s;pport and enhance1ents in connection with the Software Syste1+ p;rs;ant to the 6$U.*E&7 year2s5 Software .aintenance Contract e:ec;ted conc;rrently herewith+ a copy of which is anne:ed hereto. "icensor hereby grants to "icensee ;p to 6$U.*E&7 options to renew said contract+ each for a period of one year+ for a fee to be negotiated ann;ally by "icensee and "icensor+ b;t in no event e:ceeding the fee charged for the preceding year@s contract by 1ore than 6C7. 24. LICENSEE-S MODIFICATIONS
"icensee shall have the right+ in its own discretion+ to independently 1odify the Software Syste1 for its own p;rposes and ;se+ thro;gh the services of its own e1ployees or of independent contractors+ provided that sa1e agree not to disclose or distrib;te any part of the Software Syste1 to any other person or entity or otherwise violate "icensor@s proprietary rights therein. "icensee shall be the owner of any s;ch 1odifications. "icensor shall not incorporate any s;ch 1odifications into its software for distrib;tion to third parties ;nless it first agrees to pay "icensee a reasonable royalty+ p;rs;ant to 1;t;ally agreed ;pon ter1s. 25. "icensee agrees that any copies of the Software or %oc;1entation which it 1aAes p;rs;ant to this Agree1ent shall bear all copyright+ trade1arA and other proprietary notices incl;ded therein by "icensor and+ e:cept as e:pressly a;thori9ed herein+ "icensee shall not distrib;te sa1e to any third party witho;t "icensor@s prior written consent. $otwithstanding the preceding sentence+ "icensee 1ay add its own copyright or other proprietary notice to any copy of the Software or %oc;1entation which contains 1odifications to which "icensee has ownership rights p;rs;ant to this Agree1ent.

"icensor agrees to treat "icensee as its 1ost favored c;sto1er. "icensor represents that all of the prices+ warranties+ benefits and other ter1s being provided here;nder are eK;ivalent to or better than the ter1s being offered by "icensor to its c;rrent c;sto1ers. f+ d;ring the warranty period+ "icensor enters into an agree1ent with any other c;sto1er providing s;ch c;sto1er with 1ore favorable ter1s+ then this Agree1ent shall be dee1ed appropriately a1ended to provide s;ch ter1s to "icensee. "icensor shall pro1ptly provide "icensee with any ref;nd or credits thereby created. 29. ASSIGNMENT
"icensee 1ay assign this agree1ent to any s;bsidiary or affiliate ;nder its control+ or as part of the sale of that part of its b;siness which incl;des the )ardware or any s;bstantial portion of its data processing facilities+ or p;rs;ant to any 1erger+ consolidation or other reorgani9ation+ witho;t "icensor@s consent+ ;pon notice to "icensor. "icensor shall not assign this Agree1ent witho;t "icensee@s prior written consent+ which shall not be ;nreasonably withheld. "icensor shall defend and settle at its sole e:pense all s;its or proceedings arising o;t of the foregoing+ provided that "icensee gives "icensor pro1pt notice of any s;ch clai1 of which it learns. $o settle1ent which prevents "icensee fro1 contin;ing to ;se the Software Syste1 as provided herein shall be 1ade witho;t "icensee@s prior written consent. n all events+ "icensee shall have the right to participate in the defense of any s;ch s;it or proceeding thro;gh co;nsel of its own choosing.
70. ARBITRATION

f any legal action is necessary to enforce this "icense+ the prevailing party shall be entitled to reasonable attorney fees+ costs and e:penses in addition to any other relief to which it 1ay be entitled. 33. LIMITED LIABILIT'
Unless otherwise e:pressly stated herein+ "icensor shall not be liable to "icensee for any conseK;ential da1ages arising o;t of "icensor@s breach of this Agree1ent.

NOTICE
All notices reK;ired or per1itted to be given by one party to the other ;nder this Agree1ent shall be s;fficient if sent by certified 1ail+ ret;rn receipt reK;ested+ to the parties at the respective addresses set forth above or to s;ch other address as the party to receive the notice has designated by notice to the other party. 35.
