ADMINISTRATIVE SERVICES/OUTSOURCING AGREEMENT

THIS ADMINISTRATIVE SERVICES/OUTSOURCING AGREEMENT, dated as of March 29, 2011 (the "Agreement"), is made by and between FOUNDATIONAL BASICS, ("FOUNDATIONAL BASICS "), and GLD RESOURCES ("Company").

RECITALS Company desires for FOUNDATIONAL BASICS to provide and FOUNDATIONAL BASICS is willing to provide to Company certain administrative services and educational resources as described herein, in each case on the terms and conditions set forth herein. Company is in the business of assisting consumers on how to exercise consumer rights and dispute any commercial obligation. FOUNDATIONAL BASICS is in the business of providing administrative services, educational resources, web-based Customer Relationship Management tools (hereinafter CRM), back-end support, and websites including but not limited to forums, trouble ticket systems, and back offices with membership access rights,. AGREEMENT ACCORDINGLY, in consideration of the foregoing premises, the mutual covenants and agreements set forth herein, and other good and valuable consideration, the receipt and sufficiency of which is hereby acknowledged, the parties hereto agree as follows: 1. Provision of Services. Company may engage the services of FOUNDATIONAL BASICS with respect to, and upon the request of Company, FOUNDATIONAL BASICS will perform, the Administrative Services and provide certain educational resources described as Schedule 1 attached hereto, as well as other administrative services necessary or appropriate to enable Company to conduct its business. 2. No Limitations. There are no contractual limitations on FOUNDATIONAL BASICS's ability to perform any of the activities set forth in Schedule 1 on its own behalf, nor on Company's ability to utilize the staff and resources of FOUNDATIONAL BASICS for such activities, provided that Company pays FOUNDATIONAL BASICS for services as provided herein. Company shall be responsible for determining those services it requires FOUNDATIONAL BASICS to perform and for notifying FOUNDATIONAL BASICS of any special requirements with regard to such services. 3. Compensation for Services. Company shall reimburse FOUNDATIONAL BASICS for the costs and expenses incurred by FOUNDATIONAL BASICS in furnishing or obtaining any of the services provided for herein at rates mutually agreed upon by an officer of each party. Such compensation for the initial term to be as set forth on Schedule 2 attached hereto.

4. Payment Dates. Invoices for amounts due pursuant to paragraph 3 shall be rendered at least daily but not more often than weekly. Any amounts due shall be paid, or shall be satisfied by way of offset against any obligation of the parties to each other, within thirty (30) days after receipt of the invoice.

5. Term. This Agreement shall have an initial term of nine months from the date hereof, terminating on December 31, 2011. After the initial term it shall automatically renew on each anniversary date for a one (1) year renewal term until either party gives the other party at least three (3) months' prior written notice of its intent to terminate this Agreement at the end of a renewal term. 6. Termination of Employees and Consultants. FOUNDATIONAL BASICS shall have the right to hire and terminate the employment or engagement of its own employees and management consultants. 7. Notices. All notices, requests, consents and other communications hereunder shall be in writing and shall be deemed to have been duly given or delivered if delivered personally or mailed by registered or certified mail return receipt requested with first class postage prepaid as follows: If to FOUNDATIONAL BASICS: FOUNDATIONAL BASICS 31250 Sweetgum Pl Temecula, CA 92592

or such other address as any person may request by notice given. Notices sent as provided herein shall be deemed to have been delivered on the fifth business day following the date on which it is so mailed.

8. Governing Law. This agreement shall be governed by and construed under the laws of the State of California without regard to such state's provisions pertaining to choice of law.

9. Amendment. This Agreement, including the Exhibits hereto and all other agreements and documents executed in connection herewith, constitutes the entire agreement among the parties hereto with respect to the subject hereof and no amendment, alteration or modification of the Agreement shall be valid unless in each instance such amendment, alteration or modification is expressed in a written instrument duly executed by each party hereto. 10. No Third Party Beneficiaries. Each of the provisions of this Agreement is for the sole and exclusive benefit of the parties hereto, respectively, as their interests shall appear, and shall not be deemed to be for the benefit of any other person or entity or group of persons or entities. 11. Successors and Assigns. This Agreement shall bind and inure to the benefit of each party hereto, and to each party's successors, assigns, agents and representatives. 12. Counterparts. This Agreement may be executed in two or more counterparts, each of which shall be deemed to be an original, but all of which together shall constitute one and the same instrument. 13. Technology. FOUNDATIONAL BASICS shall provide membership website, web-based access to CRM, and client portal. Development and support will be provided by FOUNDATIONAL BASICS at no charge to Company. All technology will be the intellectual property of FOUNDATIONAL BASICS. a) Membership Website- Clients of company will be required to maintain membership to website for access to forums and educational information. Fees for membership as in SCHEDULE 2 will be paid to FOUNDATIONAL BASICS directly from client. b) CRM will be used by Company as the sole system to input data and submit new client information. c) Client Portal will be used by Clients to review and verify information in database. In addition, Client Portal will be used for self-service knowledge base and trouble ticket system. 14. Service Level. Requests or support by Company and/or Companys Clients with membership fees paid up to date of request will be reviewed and addressed with a solution within 48 hours.

SCHEDULE 1 FOUNDATIONAL BASICS / Company Duties: Company shall market and obtain leads that may seem fit for program. Company shall qualify lead by interview and determine clients interest in proceeding with program. Company shall enter input basic data into FOUNDATIONAL BASICS CRM as Lead. Company shall obtain copies of all statements of accounts of client and scan, then upload into FOUNDATIONAL BASICS CRM under record of lead. Company shall input additional notes and/or comments under Lead record. Company shall collect fees per Schedule 2 and deposit into FOUNDATIONAL BASICS allocated account. FOUNDATIONAL BASICS shall process and prepare documentation for client. Company shall arrange signing of documents with or without notary. Company shall scan and upload copies of signed and/or notarized documents into FOUNDATIONAL BASICS CRM. FOUNDATIONAL BASICS shall prepare additional documents as required and arrange sending of documents and preparing Certificate of Service. FOUNDATIONAL BASICS shall provide tracking information via CRM. FOUNDATIONAL BASICS shall provide notifications of dates of when mail was received and when follow up mail needs to be sent. FOUNDATIONAL BASICS shall prepare follow up mail and arrange with company any signings that are required. Steps 7-13 shall be repeated up to 3 additional times to enforce commercial remedy. FOUNDATIONAL BASICS & Company shall document any comments via CRM. FOUNDATIONAL BASICS shall provide responses to correspondence during the commercial remedy process. FOUNDATIONAL BASICS shall charge additional fees if support is needed beyond commercial remedy process on a case by case basis.

FEE Schedule

Membership Dues: Each Client of Company shall pay a $25 Company shall pay a fee equal to 3% of the disputed debt with a MINIMUM FEE OF $100 PER ACCOUNT AND A MAXIMUM OF $500 PER ACCOUNT.
