MEMORANDUM OF UNDERSTANDING

THIS Memorandum of understanding is made and entered into at ranchi on this the............th day of december 2013 ( two thousand thirteen) AD of the christian era

BETWEEN
M/s SAI INFRASTRUCTURE- a partnership firm having its office at ..................... (3)......................................................S/O...............................................by faith................. by occupation...............................residents of.....................p.s..............distt-................... in the state of Jharkhand referred to as DEVELOPER/BUILDER/FIRST PARTY ( which term or expression unless excluded by or repugnant to the subject or context shall mean and include their respective legal heirs ,successors, inheritors, representative, executors, administrators and asigns) of the ONE PART.

WHEREAS the first part -1 is the DEVELOPER/BUILDER of land measuring an area of.......................................of KHATA NO..............PLOT NO.................. mouza.................... situated in village...........................police station.............................within town and district of Ranchi in the state of Jharkhand . And whereas the . as a properitor of will be channel partner/medium of the deal of project between buyers ( clients/customers) and SAI INFRASTRUCTURE(delopers/sellers) on their own terms, conditions and risks of all kinds , . will not be responsible for any sort of differences/disputes between clients/customers (buyers) or seller(as devlopers ) .

on the terms agreed between owner/partners of SAI INFRASTRUCTURE & .. the commision/compensation of the deal is as below : a) SAI INFRASTRUCTURE hereby entitled/authorised .. as a exclusive channel partner to sell properties/flats etc in this project with exclusive marketing rights, which restricts the developer/builder or any other firm/company to sell/book any type of properties/flats in this particular project . b) SAI INFRASTRUCTURE hereby agrees to pay Rs.......5.00.......lakhs in cash/cheque at the time of developers agreement/convertion agreement which would be adjustable/refundable to meat for other sort of expenses. c) SAI INFRASTRUCTURE hereby authorizes . to accept/collect only the booking amount( whatever will be decided my mutual consent of developer and marketing partner) of properties/flats from clients/customers by cash/cheque in his account which would be transferred time to time to SAI INFRASTRUCTURE by . and rest of the amount will be paid to SAI INFRASTRUCTURE directly from the client through mutual communication by ... d) SAI INFRASTRUCTURE hereby agrees to allow . to built a site office, appoint a person/persons, organize meet, launch party at premises of this particular project for assistance is sales promotion . e) SAI INFRASTRUCTURE hereby agrees to discuss architectural plan with marketing/channel partners to make it more viable according to market . f) The commision slab between both parties would be : @4% of total amount of flat/property including rates of S.B.A, parking and amenities etc would be charged as a commision of the clients through .. whether they came through any sort of marketing,media, publicity, personnel links/relations etc. @3% of total amount of flat/property including rates of S.B.A , parking and amenities etc would be charged as a commision of the clients referred to .. through developer whether they came through any links of developer , This clause is mentioned here because developer of this particular project cannot book/allot any flat/property directly from any client . g) The payment slab of commision to . from SAI INFRASTRUCTURE would be : 25% of total commision - at the time of booking

50% of total commision- upon completion of 50% of total payment( including booking amount 25% of total commision - upon completion of 80% of total payment( including booking amount )

h) .. hereby agrees to advertise/marketing this project at its own cost like catalogues/brouchres, hoardings, print media, social media, newspaers etc, in which would be described/branded as exclusive channel partner . i) SAI INFRASTRUCTURE hereby agrees on the term expressing the fact that .. will not be responsible for returning/refund of any payment/amount to any of the clients/customers in any case of postpond or detention/demotion or delay or failure of project due to any sort of legal/illegal reasons or prospectus , SAI INFRASTRUCTURE will be liable to pay any sort of payment to clients , .. hereby agrees to refund the amount only taken as the commision till the date of any client/clients to whether client or SAI INFRASTRUCTURE . j) . hereby agrees to fulfill the expectations and make worth for trust made upon him by the developer by making its best efforts in all effects to sell properties/flats, marketing/branding , payment track of bookings, site visit arrangements, clients follow-up, home loan facilities to clients etc at its own cost. k) . hereis un-registered company till this agreement of., which is registered by its properitor at need/choice, upto then it is here clearly means that all the terms, conditions, rights, responsibilities, benefits etc here mentioned in this agreement by the/to the/for the name of .
