"License" means the non-transferable and non-e+clusi)e limited right granted to %ou by A$$%% to install and use the functionality of the S !T"A#E in accordance with the terms and conditions of this EULA& "ABBYY -artner" means a legal entity or indi)idual entre'reneur that 'ro)ides the S !T"A#E and the right to use the S !T"A#E based on a written agreement with A$$%% which grants to such legal entity or indi)idual entre'reneur the rights to the S !T"A#E which are necessary for such acti)ity& ".omp!ter" means an electronic de)ice with one or more 1=U (central 'rocessing unit) cores that acce'ts information in digital or similar form and mani'ulates it for a s'ecific result based on a se@uence of instructions& Additionally it may mean a )irtual machine& "/irt!al machine" means a )irtual (or otherwise emulated) hardware system& "'erial n!m#er" means uni@ue identifier of license or license grou' with similar 'arameters that is being gi)en to the end user& 1+ '!#0ect matter 6&6 SubAect to %our com'liance with the terms of this EULA, A$$%% grants %ou a License enabling %ou to install and use the functionality of the S !T"A#E, including all the images, 'hotos, animations, audio-)ideo com'onents, music, te+t and additional a''lications incor'orated into the S !T"A#E, as well as the accom'anying 'rinted materials and all of the S !T"A#E co'ies solely as set forth below& All conditions stated below a''ly both to the S !T"A#E as a whole and to all of its se'arate com'onents& 6&2 All rights not e+'ressly granted to %ou by the EULA are reser)ed by A$$%%& This EULA does not grant %ou any rights in connection with any trademar(s of A$$%%& 6&5 *f 'aragra'h 67&: a''lies and %ou are a natural 'erson, %ou may use the S !T"A#E worldwide& *f 'aragra'h 67&: a''lies and %ou are a legal entity the S !T"A#E may be obtained ('urchased) only in the country where the legal entity or its branch and re'resentati)e offices is registered, unless otherwise agreed in a se'arate written agreement between %ou and A$$%%& The em'loyees of the legal entity or of its branch and re'resentati)e offices may use the S !T"A#E worldwide, 'ro)ided the S !T"A#E has been obtained and installed in the country where the legal entity or its branch and re'resentati)e offices is registered& *f 'aragra'h 67&: doesnBt a''ly to %ou, %ou may use the S !T"A#E according to go)erning law as defined in article 67& 6&: Any use of the S !T"A#E and all com'onent 'arts outside of or in contra)ention of the terms and conditions of this EULA shall constitute a breach of A$$%%Bs and?or third 'artiesB intellectual 'ro'erty rights and shall gi)e cause for the re)ocation of all rights to use the S !T"A#E granted to %ou under this EULA& 1+ )he scope of the License 2&6 %ou ac(nowledge that the S !T"A#E is 'rotected from unauthoriCed co'ying and unlimited use and may include software 'rotection (eys 'ro)iding for such 'rotection (hereinafter, "License <eys") and %ou acce't the S !T"A#E subAect to all such 'rotections& License (eys may re@uire acti)ation and the number of a)ailable acti)ations may be limited& 2&2 %our )ersion of the S !T"A#E may be time-limited which means that the S !T"A#E may sto' functioning once the 'eriod of the license )alidity e+'ires& 2&5 %ou may install and use the S !T"A#E on as many com'uters and?or )irtual machines as the number of licenses %ou ac@uired& %ou may access at a gi)en time one installed co'y of the S !T"A#E using Terminal Ser)ices from only one com'uter unless otherwise sti'ulated in a se'arate written agreement with A$$%% or in any documentation accom'anying the S !T"A#E& Terminal Ser)ices for the

'ur'ose hereof allow a user to access a''lications and data on a remote com'uter o)er a networ(& 2&: *f the ty'e of license is "1oncurrent", %ou may install the S !T"A#E on any com'uter owned by %ou and simultaneously run the S !T"A#E on as many com'uters or )irtual machines as the number of "1oncurrent" licenses %ou ac@uired& %ou may access simultaneously installed co'ies of the S !T"A#E using Terminal Ser)ices from no more com'uters than the number of "1oncurrent" licenses %ou ac@uired unless otherwise indicated in a se'arate written agreement with A$$%% or in any documentation accom'anying the S !T"A#E& 2&4 %ou may recei)e the Software on more than one medium (multi'le-media S !T"A#E), including downloads o)er the *nternet& #egardless of the number of media %ou recei)e, %ou are only licensed to use the S !T"A#E in accordance with the sco'e of the S !T"A#E License& 2+ End-User ,ata#ases %ou may create %our own databases (custom languages and 'atterns, custom settings, custom tas(s and other) for the 'rograms included in the S !T"A#E if such a feature is 'ro)ided by this S !T"A#E& 3+ Limitations of !se :&6 All terms of use and limitations go)erning the use of the S !T"A#E are stated in this EULA, unless otherwise is sti'ulated in a se'arate written agreement with A$$%% or in other documentation accom'anying the S !T"A#E& :&2 %ou may not 'erform or ma(e it 'ossible for other 'ersons to 'erform any acti)ities included in the list belowD :&2&6 #e)erse engineer, disassemble or decom'ile the S !T"A#E or any 'art, e+ce't, and only to the e+tent, that such acti)ity is e+'ressly 'ermitted by a''licable law notwithstanding this limitation& *f a''licable law 'ermits such acti)ities, any information so disco)ered must not be disclosed to third 'arties with the e+ce'tion that such disclosure is re@uired by law and such information must be 'rom'tly disclosed to A$$%%& All such information shall be deemed to be confidential and 'ro'rietary information of A$$%%& :&2&2 0odify, ada't or translate the S !T"A#E, including ma(ing changes to the S !T"A#E and a''lications and databases contained in the S !T"A#E other than those 'ro)ided for by the S !T"A#E and described in the documentation& :&2&5 0a(e any changes to the S !T"A#E, including changes for the 'ur'ose of enabling the S !T"A#E to run on %our hardware, without the 'rior written consent of A$$%%, other than changes that can be made by the means included with the S !T"A#E and described in the accom'anying documentation& :&2&: 1orrect errors in the S !T"A#E without the 'rior written consent of A$$%%& :&2&4 #ent, lease, sublicense, assign or transfer any rights granted to %ou by this EULA and other rights related to the S !T"A#E to any other 'erson or authoriCe all or any 'ortion of the S !T"A#E to be co'ied onto another com'uters unless otherwise sti'ulated in a se'arate written agreement with A$$%%& :&2&7 0a(e it 'ossible for any 'erson not entitled to use the S !T"A#E and wor(ing in the same multi-user system as %ou or in the *nternet to use the S !T"A#E& :&2&; #emo)e, change or obscure any co'yright, trademar( or 'atent notices that a''ear on the S !T"A#E as deli)ered to %ou& :&5 %ou may not use the S !T"A#E to 'ro)ide 'aid or free recognition and con)ersion ser)ices and?or to 'ro)ide the results or access to the results ac@uired through the use of the S !T"A#E as a 'art of another ser)ice that has recognition or con)ersion as its com'onent, including inde+ing or archi)ing

documents, to any third 'arty unless %ou ha)e signed a se'arate written agreement with A$$%%& :&: %ou may not use the S !T"A#E in aggregate with any software that allows to e+clude interactions of user with the S !T"A#E user interface without additional agreement with A$$%%& :&4 Any redistribution of the S !T"A#E or any 'art of the S !T"A#E is 'rohibited& #edistribution includes, but is not limited to renting, leasing, or granting access to third 'arties to the S !T"A#E unless otherwise is sti'ulated in a se'arate written agreement with A$$%%& 4+ -re-release 'oft are 4&6 *f the S !T"A#E %ou ha)e recei)ed with this License is 're-commercial release or beta S !T"A#E ("=re-release Software"), then the Section 4 and ; shall a''ly& To the e+tent that any 'ro)ision in this Section is in conflict with any other term or condition in this EULA, this Section shall su'ersede such other term(s) and condition(s) with res'ect to the =re-release Software, but only to the e+tent necessary to resol)e the conflict& 4&2 %ou ac(nowledge that the S !T"A#E is a 're-release )ersion, does not re'resent final S !T"A#E from A$$%%, and may contain bugs, errors and other 'roblems that could cause system or other failures and data loss& 1onse@uently, the =re-release Software is 'ro)ided to %ou "as is", and A$$%% disclaims any warranty or liability obligations to %ou of any (ind& ",E#E L*A$*L*T% 1A// T $E EE1LU>E> ! # =#E-#ELEASE S !T"A#E, $UT *T 0A% $E L*0*TE>, A$$%%BS L*A$*L*T% A/> T,AT ! *TS SU==L*E#S S,ALL $E L*0*TE> T T,E SU0 ! !*!T% > LLA#S (U&S& F4.) */ T TAL& 4&5 %ou ac(nowledge that the =re-release Software may function for a 'eriod of time limited by the S !T"A#E but not e+ceeding 5 (three ) months from the first launch of the =re-release Software& U'on such a timeout date, the functionality of the =re-release Software will be disabled and the EULA shall be terminated, unless e+tended by A$$%% u'on %our obtaining of a license for the full )ersion of the S !T"A#E from A$$%%& 4&: %ou ac(nowledge that A$$%% has not 'romised or guaranteed to %ou that =rerelease Software will be announced or made a)ailable to anyone in the future, A$$%% has no e+'ress or im'lied obligation to %ou to announce or introduce the =re-release Software and that A$$%% may not introduce a software 'roduct similar to or com'atible with the =re-release Software& Accordingly, %ou ac(nowledge that any research or de)elo'ment that %ou 'erform regarding the =re-release Software or any software 'roduct associated with the =re-release Software is done entirely at %our own ris(& 4&4 >uring the term set forth in the clause 4&5, if re@uested by A$$%%, %ou may be re@uested to 'ro)ide feedbac( to A$$%% regarding testing and use of the =rerelease Software, including error or bug re'orts& 4&7 The non-disclosure terms stated in section ; shall remain in force until the day of the 'ublic commercial release of the S !T"A#E& !or the 'ur'oses of this EULA, the day of the 'ublic commercial release of the S !T"A#E shall be the day of the 'ublication of a 'ress release about the S !T"A#E on www&A$$%%&com or other A$$%% websites& 4&; U'on recei't of a later )ersion of the =re-release Software or a 'ublic commercial release of the S !T"A#E, whether as a stand-alone 'roduct or as 'art of a larger 'roduct, %ou agree to return or destroy all earlier =re-release Software recei)ed from A$$%%& 5+ )rial 'oft are

7&6 *f the S !T"A#E is labeled "TryG$uy," "Trial" or ">emo," then sections 7 shall a''ly until such time that %ou 'urchase a license for the full )ersion of the S !T"A#E& %ou ac(nowledge that the S !T"A#E has limited functionality and?or functions for a limited 'eriod of time& The S !T"A#E is licensed on an "as is" basis, solely as a demonstration model& *f the S !T"A#E is a timeout )ersion, its functionality will be disabled after a designated 'eriod of time following the installation, this 'eriod being s'ecified in the S !T"A#E& U'on such timeout date, the EULA hereunder shall be terminated, unless e+tended by A$$%% u'on %our 'urchase of a full license from A$$%%& 6+ 7on-,isclos!re )erms and .onditions ;&6 This section a''lies if the S !T"A#E is =re-#elease Software& ;&2 %ou ac(nowledge that the S !T"A#E, any accom'anying written, oral or electronic information di)ulged to %ou by A$$%% related to the S !T"A#E, any information about the @uality of the S !T"A#E or the @uality of the results ac@uired through the use of the S !T"A#E, and any information about bugs, errors and other 'roblems disco)ered by %ou in the S !T"A#E are confidential (hereinafter "1onfidential 0aterials")& ;&5 %ou agree to be bound by the following terms and conditionsD ;&5&6 %ou shall not disclose 1onfidential 0aterials& The term "disclose" means to lease, loan, rent, assign, transfer or 'ro)ide access, o)er a networ( or otherwise, to 1onfidential 0aterials re'roduced in any form, including oral communications, to any third 'arty& ;&5&2 %ou shall ta(e all reasonable ste's to 're)ent the disclosure of 1onfidential 0aterials and to (ee' it confidential& ;&5&5 %ou shall 'rom'tly inform A$$%% if %ou become aware of any disclosure of 1onfidential 0aterials& ;&5&: *f %ou are in breach of the terms and conditions set forth in articles ;&5&6 ;&5&5 abo)e& %ou shall com'ensate A$$%% for any loss resulting from such breach and, if it is acce'table by %our Aurisdiction, shall 'ay a 'enalty to A$$%% in the amount of ten thousand US dollars (USF 6.,...)& ;&: The confidentiality terms set forth in article ;&5 of this EULA shall remain in force until the day of the official release of the S !T"A#E& !or the 'ur'oses of this EULA, the day of the official release of the S !T"A#E shall be the day of the 'ublication of a 'ress release about the S !T"A#E on www&A$$%%&com& ;&4 *f %ou ha)e been 'ro)ided the Software 'ursuant to a se'arate written agreement, such as the 0utual /on->isclosure Agreement, %our use of the =rerelease Software is also go)erned by such agreement& To the e+tent that any term or condition of a se'arate written agreement, such as the 0utual /on>isclosure Agreement, are in conflict with any term or condition of this EULA, a se'arate written agreement shall su'ersede such other term(s) and condition(s) with res'ect to the S !T"A#E, but only to the e+tent necessary to resol)e the conflict& 8+ 7ot-for-Resale 'oft are -&6 *f the S !T"A#E is labeled "/ot for #esale" or "/!#," then, notwithstanding other sections of this EULA, %ou may only use such S !T"A#E for demonstration, )erification or testing 'ur'oses& 9+ Updates 3&6 *f the S !T"A#E is labeled as an u'date, %ou must own a license of a 'roduct identified by A$$%% as being eligible for this u'date in order to use the S !T"A#E&

3&2 The S !T"A#E labeled as an u'date re'laces and?or su''lements the 'roduct that formed the basis for %our eligibility for the u'date& 3&5 %ou may only use the resulting u'dated 'roduct in accordance with the terms of the EULA su''lied with this u'date, which 're)ails the EULA su''lied with the initial 'roduct that formed the basis for %our eligibility for the u'date& 3&: %ou ac(nowledge that any obligation A$$%% may ha)e to su''ort the )ersion of the S !T"A#E being u'dated shall end u'on the a)ailability of the u'date& 1:+ )echnical '!pport and ;aintenance 6.&6 A$$%% or A$$%% =artner may 'ro)ide %ou with technical su''ort, maintenance or 'rofessional ser)ices related to the S !T"A#E (hereinafter "Su''ort Ser)ices") subAect to conditions of the current A$$%% su''ort 'olicy& 6.&2 9eneral terms and conditions of A$$%% su''ort 'olicy are 'ublished on the A$$%% website at www&abbyy&com?su''ort& A$$%% reser)es the right to change the su''ort 'olicy any time without any 'rior notice& 6.&5 *n addition to the general terms and conditions A$$%% may ha)e s'ecific su''ort 'olicy in s'ecific regions which may be regulated by se'arate agreements& 6.&: Any su''lementary software code and any S !T"A#E com'onent 'ro)ided to %ou as 'art of Su''ort Ser)ices is to be considered as 'art of the S !T"A#E and subAect to the terms and conditions of this EULA& 6.&4 To be eligible for Su''ort Ser)ices, %ou may be re@uired to 'ro)ide A$$%% with information about the characteristics of %our hardware, Serial /umber of %our S !T"A#E as well as standard 'ersonal details including %our name, com'any name (if a''licable), address, 'hone number and e-mail address& A$$%% may use the abo)e-mentioned information in accordance with a''licable data 'rotection law for its business 'ur'oses, including, but not limited to, 'roduct su''ort and de)elo'ment, 'ro)ided that A$$%% does not utiliCe such information in any form that 'ersonally identifies %ou& 11+ Limited *arrant" 66&6 A$$%% re'resents, warrants and guarantees that it has the full right, 'ower, legal ca'acity, ability and authority to license and distribute the S !T"A#E, including all the images, 'hotos, animations, audio-)ideo com'onents, music, te+t and additional a''lications, incor'orated into the S !T"A#E, as well as the accom'anying 'rinted materials and all of the S !T"A#E co'ies& 66&2 A$$%% warrants that the media on which the S !T"A#E is furnished will be free from defects in materials and wor(manshi' under normal use for the minimal guarantee term determined by the legislation of the country in which %ou 'urchased the S !T"A#E starting from the date of 'urchase& *f the S !T"A#E was 'urchased in the countries defined in article 67&:, this 'eriod will constitute thirty (5.) days starting from the date of 'urchase& 66&5 The S !T"A#E, any u'grades and u'dates are being deli)ered to %ou "as is" and A$$%% ma(es no warranty of any (ind& A$$%% does not and cannot warrant the 'erformance or results %ou may obtain by using the S !T"A#E& 66&: E+ce't for any warranty, condition, re'resentation, or term to the e+tent to which the same cannot or may not be e+cluded or limited by law a''licable to %ou in %our Aurisdiction, A$$%% ma(es no warranties, conditions, re'resentations or terms (e+'ress or im'lied whether by statute, common law, custom, usage or otherwise) as to any matter, including without limitation non-infringement of third 'arty rights, merchantability, integration, satisfactory @uality, or fitness for any 'articular 'ur'ose, or that the S !T"A#E will carry no errors, meet %our re@uirements, or that the S !T"A#E will function 'ro'erly when used in

conAunction with any other software or hardware, and the entire ris( as to the @uality and 'erformance of the S !T"A#E lies with %ou& 66&4 A$$%% ma(es no warranties for any third 'arty software 'roducts which may be su''lied within the S !T"A#E& 11+ Limitation of Lia#ilit" 62&6 *n no e)ent will A$$%% be liable to %ou for any damages, business interru'tion, loss of data or information of any (ind, business or otherwise, claims or costs whatsoe)er, or any conse@uential, indirect, incidental damage, or any lost 'rofits or lost sa)ings resulting from and?or relating to the use of the S !T"A#E, or damages caused by 'ossible errors or mis'rints in the S !T"A#E, e)en if an A$$%% re'resentati)e has been ad)ised of the 'ossibility of such loss, damages, claims or costs, or for any claim by any third 'arty& The foregoing limitations and e+clusions a''ly to the e+tent 'ermitted by a''licable law in %our Aurisdiction& A$$%%Bs sole and aggregate liability under or in connection with this EULA shall be limited to the 'urchase 'rice originally 'aid for the S !T"A#E, if any& 12+ Limitation of Lia#ilit" for Users Residing in <erman" or A!stria *f %ou obtained %our co'y of the S !T"A#E in 9ermany or Austria, and %ou usually reside in such country, thenD 65&6 *n accordance with 9erman law, A$$%% warrants that the S !T"A#E 'ro)ides the functionalities set forth in its documentation (the "agreed u'on functionalities") for the limited warranty 'eriod following recei't of the S !T"A#E co'y when used on the recommended hardware configuration& As used in this article, "limited warranty 'eriod" means one (6) year if %ou are a business user or legal entity, and two (2) years if %ou are not a business user& /on-substantial )ariation from the agreed u'on functionalities shall not be considered and does not establish any warranty rights& This limited warranty does not a''ly to the S !T"A#E 'ro)ided to %ou free of charge, for e+am'le, u'dates, 're-release )ersions, "Trial" )ersions, 'roduct sam'les, "/ot for resale" ("/!#") co'ies of the S !T"A#E, or the S !T"A#E that has been altered by %ou, to the e+tent such alterations caused a defect& To ma(e a warranty claim, during the limited warranty 'eriod %ou must return, at our e+'ense, the S !T"A#E and 'roof of 'urchase to the location where %ou obtained it& *f the functionalities of the S !T"A#E )ary substantially from the agreed u'on functionalities, A$$%% is entitled (by way of re-'erformance and at its own discretion) to re'air or re'lace the S !T"A#E& *f this fails, %ou are entitled to a reduction of the 'urchase 'rice (reduction) or to cancel the 'urchase agreement (rescission)& !or further warranty information, 'lease contact A$$%%Bs 1ustomer Su''ort >e'artment in 9ermanyD A$$%% Euro'e 9mb,, Elsenheimerstrasse :3, -.7-; 0unich, tel&D H:3 (.)-3 46 66 43., fa+D H:3 (.)-3 46 66 4343& 65&2 SubAect to the 'ro)isions in article 65&5, A$$%%Bs statutory liability for damages shall be limited as followsD (i) A$$%% shall be liable only u' to the amount of damages as ty'ically foreseeable at the time of entering into the 'urchase agreement in res'ect of damages caused by a slightly negligent breach of a material contractual obligation and (ii) A$$%% shall not be liable for damages caused by a slightly negligent breach of a non-material contractual obligation& 65&5 The limitation of liability set forth in 65&2 shall not a''ly to any mandatory statutory liability, in 'articular, to liability under the 9erman =roduct Liability Act, liability for assuming a s'ecific guarantee or liability for cul'ably caused 'ersonal inAuries& 65&: %ou are re@uired to ta(e all reasonable measures to a)oid and reduce damages, in 'articular to ma(e bac(u' co'ies of the S !T"A#E and %our com'uter data subAect to the 'ro)isions of this EULA& 13+ Limitations for '(F)*ARE o#tained in the U'A

6-&6 All title and intellectual 'ro'erty rights in and to the content that is not contained in the S !T"A#E, but may be accessible through the use of the S !T"A#E, are the 'ro'erty of the res'ecti)e content owners and may be 'rotected by a''licable co'yright or other intellectual 'ro'erty laws and international treaties& This EULA does not grant %ou any rights to such intellectual 'ro'erty& 6-&2 The S !T"A#E contains )aluable trade secrets and confidential information belonging to A$$%% and third 'arties and is 'rotected by co'yright laws, including, without limitation, by United States 1o'yright Law, laws of #ussian !ederation, international treaty 'ro)isions, and the a''licable laws of the country in which it is being used or obtained& 6-&5 A$$%% may 'ro)ide %ou with any 'rinted materials, including the UserBs 9uide& 6-&: %ou agree to 'ro)ide A$$%% with some of %our 'ersonal details in the course of o'eration and registration of the S !T"A#E& %ou agree that %our 'ersonal details may be collected, 'rocessed, and used by A$$%% in com'liance with a''licable law 'ro)ided that the confidentiality of the data is maintained& Any 'ersonal details %ou 'ro)ide to A$$%% will be stored and used strictly by A$$%% and its affiliates and will not be disclosed to any third 'arty, e+ce't as may be re@uired by a''licable law& 6-&4 %ou agree that the S !T"A#E may ha)e 'eriodical *nternet connection with A$$%% ser)er to chec( the status of the S !T"A#E or download additional content, information or com'onents& /o 'ersonal information about %ou or %our 1om'uter will be transferred during such connections& 6-&7 A$$%% may send %ou e-mails containing 'roduct and com'any news, information about s'ecial offers, ad)ices on 'roduct usage and other 'roduct and com'any-related information 'ro)ided %ou s'ecifically agreed to recei)e such information from A$$%%& %ou ha)e the 'ossibility to remo)e %our address from A$$%% mailing list at any time& 6-&; *f any claims or lawsuits are brought against %ou in connection with %our illegal use of the S !T"A#E, %ou shall inform A$$%% about them in three (5) days from the moment %ou learned of them& %ou shall carry out all the necessary actions to 'ro)ide A$$%% with the 'ossibility of ta(ing 'art in the hearings of said claims or lawsuits in court, and to 'ro)ide the information necessary for settlement of the corres'onding claims or lawsuits, not later than in se)en (;) days from the moment of rece'tion of in@uiry from A$$%%& 6-&- #emuneration under this EULA is the 'rice of the License established by A$$%% or an A$$%% =artner and 'ayable in accordance with the 'ayment 'rocedures established by them, or may be included in )alue of e@ui'ment or hardware obtained by you or is 'art of the consideration 'ayable by %ou for the full )ersion of the S !T"A#E& *f you are a natural 'erson, this EULA may be gratuitous& 6-&3 *f any 'art of this EULA is found )oid and unenforceable, it will not affect the )alidity of the balance of the EULA, which shall remain )alid and enforceable according to its terms&
