TERMS AND CONDITIONS OF ENTRY TO SCOOT: K-POP STAR HUNT3 COMPETITION

By entering the "SCOOT: K-Pop Star Hunt3 " skill-based competition (the Competition), you acknowledge that you have read and understood these terms and conditions of entry (the Terms) and agree to be bound by them. By entering the Competition, you also confirm that you do not breach any law in your country of permanent residence regarding the legality of entering the Competition. FICCJM Asia Limited (the Promoter) will not be responsible for any entrant entering the Competition unlawfully or otherwise in breach of local law. You are advised to check or seek advice on your local law before entering the Competition. Information on how to enter and prizes form part of the Terms. The Promoter reserves the right, in its sole and absolute discretion, to: a. amend or vary any of the Terms at any time without prior notice and by entering the Competition you agree to any such amended Terms; and b. terminate or disqualify any entrants entry for the Competition or reclaim any of thePrizes at any time if it is the opinion of the Promoter that there has been a breach of any of the Terms by such entrant (whether discovered during or after the end of the Competition).

Entry to the Competition 5. Entry to the Competition is open to anyone: a. permanently residing in any one of thefollowing countries: Hong Kong Special Administrative Region,Taiwan, Singapore, Malaysia and Thailand ( Countries); b. holding a valid passport with 6 (six) months validity from the date of entry; c. aged between15 years to 29years on the date of entry provided that if the entrant is aged under 18 years, the parent or legal guardian of such entrant shall enter the Competition on such entrants behalf.

Notwithstanding the above, if your entry in the Competition is prohibited or restricted by law or otherwise in your country of permanent residence, it shall be completely void. You may enter the Competition for yourself only once. No purchase orfee is necessary to enter the Competition. Employees and their immediate families of the Promoter and any related companies, sponsors and/or advertising agencies may not enter the Competition.

The Competition Phase One 9. The online submission phase of the Competition is open from 1 August, 2013 to 23.59:59 hours on 13 September, 2013(Hong Kong time) (the Submission Period). The SubmissionPeriod is subject to change at the absolute discretion of the Promoter. To participate, an entrant is required to (i) upload a photograph of himself/herself to www.kpopstarhunt.com (the Website), (ii) upload a video of himself/herself performing his/her best individual song-and-dance routine(s) (Video)to the Website and (iii) provide the information requested on the Website during the Submission Period. Any entry submitted after the close of the SubmissionPeriod shall be void. After the close of the Submission Period, judges appointed by the Promoterwill select, in their absolute discretion, the top 100 entrants from each of the Countries based on the Videos (Top 500). If an entrant from the Top 500 has submitted a video which features more than one

individual performing, the Promoter will request the entrant to nominate one individual only to proceed to the Audition. Failure to comply with Promoters request will result in the entrant being disqualified from the Competition. The Competition Phase Two 13. Each of the Top 500 will be eligible to participate in a live audition in their country of permanent residence from 19 September 2013 to 13 October 2013 or on such date and at such time and place as may be notified by the Promoter (the Audition). Each of the Top 500 must attend the relevant Audition on the date, at the time and place as notified by the Promoter, failing which such entrant will be disqualified from the Competition. The Promoter reserves its right to select the next best alternative entrants from those other than the Top 500 to replace any of the Top 500 who have withdrawn from the Competition or have been disqualified for any reason. At the Audition, judges appointed by the Promoter will interview each of the Top 500. Each of the Top 500 must perform a live individual song-and-dance routine before such judges. From the Top 500, the judges will select, in their absolute discretion, the top two (2) entrants from each of the Countries (the Top 10).

The Competition Phase Three 18. Each of the Top 10 will be eligible to participate in vocal and dancing training sessions to be held in Seoul, South Korea from 21 October 2013 to 10 November 2013 or on such dates as may be notified by the Promoter (the Seoul Training). To participate in the Seoul Training, each of the Top 10 must agree to any further terms and conditions as provided by each of CJ E& M Corporation and FNC, failing which such entrant will be disqualified from the Competition. The Promoter reserves its right to select the next best alternative entrants from those other than the Top 10 to replace any of the Top 10 who have withdrawn from the Competition or have been disqualified for any reason. From the Top 10, judges appointed by the Promoter will select in their absolute discretion, the best four individuals of the Top 10 (the Top 4). The Top 4 will be entitled to participate in the final live showdown held in Singapore on 5 January 2013 or on such date as may be notified by the Promoter. From the Top 4, the judges will select, in their absolute discretion, the best individual in the final live showdown (the Winner).

Notification and announcement of Top 500 and Top 10 22. The Promoter will notify the Top 500 separately by email sometime in September 2013 or October 2013. Each of the Top 500 will be required to acknowledge receipt of the email within five (5) working days of its date of receipt.If any of the Top 500 fails to provide such acknowledgement, their eligibility to participate in the relevant Audition will be forfeited. The Promoter will notify the Top 10 separately by email on or about 16 October 2013. Each of the Top 10 will be required to acknowledge receipt of the email within five (5) working days of itsdate of receipt. If any of the Top 10 fails to provide such acknowledgement, their eligibility to participate in the relevant Audition will be forfeited. TheTop 10 mayalso be announced on the Website on or about 16 October2013.

Prizes 24. The Winner may, at the absolute discretion of the Promoter, be offered: a. a recording contract with CJ E&M Corporation and FNC; b. intensive K-pop training in Seoul, Korea on or about 21 October 2013 to 10 November 2013 or at such date at the Promoters discretion;

c.

a collaboration song with an FNC artist, to be selected at the Promoter and/or FNCs discretion; and

d. asolo debut in Korea and/or theircountry of permanent residence and a chance to perform on 2014 Global M!Countdown show. (collectively, the Prizes) 25. 26. The Prizes may be subject to variation at the sole discretion of the Promoter, and any change will be final and binding upon every entrant in the Competition. The Prizes for the Competition will be given to the Winners as set out in the Terms. The Winner must accept their Prizes in that form. Prizes are non-negotiable, non-transferable, nonrefundable and not exchangeable for cash credit or kind, either in part or in full except at the sole and absolute discretion of the Promoter. The Prizes cannot be sold or bartered. There is no refund for any partially used Prizes. The Promoter reserves the right in its sole and absolute discretion to deal with any unclaimed Prizes in any manner. The Promoter shall not be liable in any way for any failure or breach by any party in connection with the Competition and/or Prizes and accepts no responsibility for any loss suffered by an entrant arising from the Competition or Prizes. In all cases the Promoter will not be held liable if any of the Prizes do not reach the winner for reasons beyond the Promoters control. The Prize(s) are subject to: a. b. 31. any rules and regulations pertaining to the claiming of prizes in the country where each Winner is a resident; and the terms and conditions of any third party supplier of the Prizes.

The winners may be liable for any expenses not specified on the description of the Prizes.

Judges Decisions 32. The judges decisions as to any matter relating to the Competition, including but not limited to any entry eligibility, the winning entries and the Winner, will be final and binding. No correspondence will be entered into about the Competition or the judges decisions.

Publicity 33. The Top 500 may, at no cost to the Promoter, be requested to participate in public relations events tied to any campaign of which the Competition forms a part, to generate press coverage of the Competition and/or that campaign. This may include, but not be limited to, quotes given for inclusion in press releases and press conferences and interviews. By participating in the Competition, the entrants: a. agree to the use of their name and/or likeness, without compensation, by the Promoter and/or any party authorized by the Promoter; and b. grant the Promoter and any party authorized by the Promoter an irrevocable, worldwide, perpetual, royalty-free right and licence to use any material submitted as a part of their entry into the Competition (the Works) in any manner, for any purpose the Promoter may see fit, in all forms of media now known or hereafter invented; acknowledge that the Promoter may make edited versions of the Video and make it available on the Website and/or on its television channels, and that the events surrounding the Audition may be filmed and such footage used in programs about or relating to the Audition; to the fullest extent permitted by law, waive any moral rights or similar rights they may have in the Works or any part thereof throughout the world; and

undertake not to object to any use of the Works by the Promoter or any party authorized by the Promoter.

Indemnity 35. Entrants shall indemnify the Promoter, its agents, employees, representatives, associates, affiliates, parent and subsidiary companies against any and all claims, losses, costs, damages, liability and/or expenses arising out of the entrants breach of any of the Terms. Each entrant, by entering the Competition, expressly releases the Promoter from any claim, action or demand arising out of or in connection with the Competition or their Prizes, if any. In particular, each entrant acknowledges that elements of the Prizes may be provided by third parties over whom the Promoter has no control, and acknowledges that the Promoter has no responsibility or liability for any costs, losses or damages resulting from any factors beyond the reasonable control of the Promoter. The Promoter shall not assume any responsibility for incorrect or inaccurate capture of entrants' information. This will include but is not limited to technical malfunctions, human or technical error, seeding or printing errors, lost/delayed/garbled data or transmissions, omission, interruption, deletion, defect or failures of: any telephone or computer line or network, computer equipment, software or any combination thereof. If, for any reason, the Competition is not capable of running as planned, including but not limited to the reasons of infection by computer virus, bugs, tampering, unauthorized intervention, fraud, technical failures or any other causes beyond the control of the Promoter which corrupts or affects the administration security, fairness, integrity or proper conduct of the Competition, the Promoter reserves the right to disqualify any individual who tampers with the entry process, and to cancel, terminate, modify or suspend the Competition.

General 39. Any provision of the Terms that is prohibited or unenforceable in any jurisdiction is ineffective as to that jurisdiction to the extent of that prohibition or unenforceability. That does not affect the validity or enforceability of that provision in any other jurisdiction nor invalidate the remaining provisions of the Terms. The law applicable to the Terms is the law of the Hong Kong Special Administrative Region (the HKSAR) and the courts of the HKSAR will have exclusive jurisdiction in case of any dispute arising out of or in relation to the Competition.
