DEED OF ADDENDUM TO COMPROMISE AGREEMENT (Filed in Court Under Order XXIII Rule 3 of the Civil Procedure Act, Chapter 33 of the Laws of Tanzania) THIS AGREEMENT is made this.. day of February, 2013. Between, MR. GODFREY MSUYAA, a natural person, adult, Tanzanian, of P.O. BOX Arusha, Tanzania (hereinafter called the applicant where the context so admits shall include his successors in title, nominees, administrators, beneficiaries and assignees) of the one hand;

And Between, Mr. ESSA a natural person, adult, Tanzanian national, of P.O. Box Arusha, Tanzania (hereinafter called the Respondent where the context so admits shall include his successors in title, nominees, administrators, beneficiaries and assignees) of the other hand; And Between, M/S ECLOFF a registered company under Company Act, cap..RE 2002, of P.O. Box Arusha, Tanzania (hereinafter called the Respondent where the context so admits shall include his successors in title, nominees, administrators, beneficiaries and assignees) of the other hand;

IN WITNESSETH the parties agree as hereunder 1. That, pursuant to the compromise agreement between the parties signed on the . day of February, 2013 were by under paragraph. it was agreed that the respondent will pay Tanzanian shillings .. (Tshs) to the through Ecloffs bank account number . kept with .. BANK, as consideration for the Loan credit advanced by the same M/S Ecloff. WHILE in fact to the other side M/S Ecloff has to return the instrument which were retained as security for the said Loan, (Land Title Deed), Plot noBlock No..belongs toto Applicant, instead of MR. ESSA,

because further sometimes the Respondent had been advanced by the Applicant with some amount of equal consideration of the said land plot verified above (Sub-Mortgage), hereby the agreement attached to form part of this Adendum. 2. That Tanzanian shillings three million only (Tsh. 3,000,000/=) cash and Tanzanian shillings two million only (Tsh. 2,000,000/=) in cheque was paid to the petitioner at the time of signing the Compromise Agreement. 3. That under paragraph 14 (b) Compromise Agreement it was agreed that the balance in the sum of Tanzanian shillings fifteen million only (Tsh. 15,000,000/=) will be paid in three installment at the end of each month to wit July, August, and September 2012.

4. That pursuant to what has been sated in paragraph 3 above this addendum witness that Respondent pays the Petitioner Tanzanian shillings fifteen million only (Tsh. 15,000,000/=) only in cash as payment of the balance on the Purchase Price of all shares in the companies as agreed and signing of this agreement by the petitioner shall be conclusive of proof of receiving the amount in full. 5. That the said monies in paragraph 4 above is paid to the Petitioner through her Advocate Ally Abdallah Mhyellah in cash. 6. That petitioners Advocate to wit Ally Abdallah Mhyellah will surrender to the respondent all three cheques given to him at the time of signing the compromise agreement. 7. The other terms and conditions of the compromise Agreement executed on the 27th day of June, 2012 remains the same.
