GULFSTREAM DISTRICT WOMEN'S GOLF ASSOCIATION CONSTITUTION AND BY-LAWS 2006 REVISED OCTOBER 2009
THE CONSTITUTION ARTICLE I NAME This Association, a non-profit organization, shall be called the Gulfstream District Womens Golf Association.

ARTICLE II
OBJECT The object of the organization is to promote fellowship and participation of quality golf at various golf courses on the Southeast Coast of Florida.

ARTICLE III MEMBERSHIP Section 1 Club Requirement A club desiring membership in the Gulfstream District Womens Golf Association must submit a letter to the Associations President stating that Gulfstream may play their golf course at least once every two years. A member club is any club located in Dade, Broward or Palm Beach Counties meeting the above requirement. Section 2 Individual Requirements Active membership in this organization shall be individual and open to any woman who is a member in good standing of a member club or of the womens organization of said club. She must be 18 years of age and a resident of the State of Florida. She must have an established USGA index meeting criterion as designated by the Gulfstream Board of Directors and submit an application to her club delegate, which will be presented to the Board of Directors for approval. An honorary membership shall be given to all Past Presidents. An honorary membership may be given to other individuals who have given exceptional service to the organization with a majority vote of the Board of Directors. All honorary members must pay the current dues in order to compete for prizes in competition. The acceptance of membership in this Association shall bind each member to abide by all conditions of the Constitution and By-Laws of this Association and to accept and enforce all decisions of the Board of Directors made within its jurisdiction. Membership is limited to 150 members. ARTICLE IV OFFICERS The officers of this Association shall consist of President, Vice-President, Corresponding Secretary, Recording Secretary, Treasurer and Tournament Chairperson. The Tournament Chairperson shall be an appointed position. . ARTICLE V GOVERNMENT Section 1 The control and management of this Association and its affairs shall be entrusted to the Executive Board. The Executive Board shall consist of the President, Vice-President, Recording Secretary, Corresponding Secretary, Treasurer, immediate past President and Tournament Chairperson. Section 2 The Board of Directors shall consist of the Executive Board and the Delegates from each member club. Section 3 Four members of the Executive Board shall constitute a quorum at any meeting. The President may call a Board Meeting at any time. Section 4 A Delegate is a member of this Association who is selected by members of her home club to act as liaison between that club and the Board of Directors. This position entitles her to an automatic position on the Board of Directors and possible officership or chairpersonship for the ensuing year. A member club shall have one delegate for up to nine members from that club and two delegates if there are ten or more members. Section 5 The Board of Directors of this Association shall be elected annually and shall hold office until their respective successors are elected; tenure of office shall not exceed three years. Section 6 Should any officer, other than the President, or any Committee Chairperson be unable to finish her term of office, the Board of Directors shall appoint another member of the Board to complete her term of office. ARTICLE VI MEETINGS Section 1 Two meetings of this Association will be held each year one in the spring (Opening Meeting) and one in the fall (Closing Meeting). Section 2 There shall be at least two regular meetings of the Board of Directors one before the Opening Association Meeting and one before the Closing Association Meeting. Section 3

A special meeting of the Association may be called at any time by the President, or the Board of Directors, or at the written request to the President of at least one-fourth of the delegates of the Association. The Corresponding Secretary shall notify all delegates of such meetings. Section 4 The Constitution may be amended at any regular meeting by two-thirds vote of all members present, provided that written notice of each proposed amendment shall have been mailed to each delegate at least thirty days prior to the meeting. BY-LAWS ARTICLE I DUTIES OF OFFICERS Section 1 - President She shall preside at all meetings of this association and of the Board of Directors. She shall appoint the Nominating Committee in March. She shall appoint a responsible member to audit the Treasurers books at the end of the year. She shall act as member ex-officio of all standing or temporary committees. It shall be her responsibility to schedule the tournaments for Gulfstream for the ensuing year. She may contact the clubs of her choice to obtain permission to play their golf course, subject to the Board of Directors approval. Section 2 Vice President She shall, in the absence or disability of the President, perform the duties of the President. She shall prepare the Yearbook . Section 3 Corresponding Secretary She shall take charge of all correspondence of the Association, and issue all calls for meetings. She shall keep a complete roster of all members. She shall be responsible for sending cards or donations as directed by the Board. Section 4 Recording Secretary She shall keep records of all meetings of the Association, and of the Board of Directors, and furnish a copy of it to the President. She shall keep up-to-date records of all standing motions and amendments. Section 5 Treasurer She shall be responsible for all money belonging to this Association and shall disburse it under the direction of the Board of Directors. She shall deposit all monies to an account of the Association in a bank selected by her, subject to the approval of the Board of Directors. She shall make a full report of all receipts and disbursements at each regular meeting. She shall receive all applications for membership and present them to the Board of Directors for approval. She shall present an annual report at the end of the fiscal year. She shall collect and be responsible for the disbursement of the Hole-In-One fund. She will notify delegates by e-mail and copy tournament chair for collection of fines for late check-in, late cancellations and no shows. Section 6 Tournament Chairperson She shall co-ordinate with the President the tournaments to be played, subject to approval by the Board of Directors. She shall be responsible for pairings and handicaps for each tournament. She shall provide at least two members of her committee to be present and conduct each tournament of the Association. The Tournament committee shall have power to prescribe rules and regulations pertaining to all tournaments, subject to the approval of the Board of Directors. Section 7 Immediate Past-President She shall serve on the Board of Directors as an advisor. She shall also be the Parliamentarian and Historian. All members of the Board of Directors retiring from office shall within thirty days deliver all money, papers, accounts, records and other property belonging to the Association to their successors in office. They shall compile an annual written report of their years activities and present a copy to their successor and the President.

ARTICLE II DUTIES OF STANDING COMMITTEE Section 1 Rules and Grievances Chairperson She and her committee shall review all disputes concerning rules and grievances and function closely with the Tournament Committee. If a member of this Association does not abide by our rules and regulations or causes any embarrassment to this Association, it will be addressed by the rules and grievance committee Section 2 Prize Chairperson She shall be responsible for purchasing special prizes to be awarded to the winners of the Major Tournaments and gifts for the President and Tournament Chairperson. Section 3 Publicity The chairperson shall be responsible for furnishing prompt and correct information to the Press and other media of publicity regarding all affairs or events which might be of interest to the public or helpful to the Association in their respective area. Section 4 Telephone North & South They shall contact delegates from the clubs by telephone when necessary and directed by the President. Section 5 Membership Chairperson She shall be responsible for securing new club memberships as well as new golf members and verifying their indexes. ARTICLE III NOMINATIONS AND ELECTIONS In July, the President will appoint a Nominating Committee consisting of five members in good standing representing different clubs. They in turn will present a slate of officers and chairpersons of the Standing Committees to the Executive Board for their approval. The recommended slate will be sent to the delegates of each member club to be posted 10 days before the closing meeting. The recommended slate will be presented at the closing meeting for the election and installation. Nominations may be made from the floor. Members of the Nominating Committee may not run for elected offices. ARTICLE IV DUES The Board of Directors shall establish the yearly dues for all members each year for the ensuing year. The initiation fee shall also be determined at that time. The annual dues are payable by the Opening Meeting of the Board of Directors.

ARTICLE V AMENDMENTS These By-Laws may be amended at any regular meeting of this Association by a two-thirds vote of approval of those present. ARTICLE VI STANDING RULES Section 1 Duties of Delegates The delegate or her designated representative must supply the lineup or signup for each play day not later than one full week prior to the play date. Each clubs delegate to the Association shall be responsible for all arrangements at their club when tournaments are held there: luncheon arrangements, cart arrangements, starting facilities, notification of special rules, and posting of these rules on the entry board, or matters requiring their special attention. It is also their responsibility to assist the Tournament Chairperson and her committee that day.

She shall furnish the Tournament Chairperson with current indexes for each member of her club the First of each month, indicating for which tournaments these indexes are to be used. As delegate, she is expected to attend all meetings of the Association and Board of Directors. It is also the responsibility of the delegate to keep track of how many play days the members have played each year. Members must play six times during the season to be eligible for automatic membership renewal in this Association (returning member status) for the ensuing year. If you play a two-day tournament it will count for that number of plays. If a member is signed up for a play day that is rained out, that will also count towards the number of plays. Any member not playing the required six (6) times will have to reapply as a new member, be placed at the bottom of the waiting list and be subject to the additional $5 that new members pay. If there are extenuating circumstances the member may submit a letter to the Executive Board for an exception to this rule. Section 2 Tournament All competition shall be played in accordance with U.S.G.A. Rules of Golf and local rules as provided by the course at which the tournament is being played. Preferred lies will be played. Ball may be moved one club length in your own fairway. Ball must be marked before it is lifted and may be placed only once. You may not move it again after taking your hand off the ball. Tournaments for Gulfstream are to be held on the second and fourth Fridays of each month (when possible) during the official Season. The official season is from the fourth Friday in April to the fourth Friday in October whenever possible. The following Major Tournaments are to be played each year: Founders Day 18 Hole Low Net of Field Presidents Cup 18 Hole Low Gross of Field Two Day Championship Tournament Low Gross Two Day Handicap Tournament Low Net All major tournaments will have a sudden death playoff in the event of a tie for overall trophy winner starting on the first hole. All other ties will be decided by a match of cards according to USGA recommendations. For a player who is 10 minutes or more late on the tee, there will be a penalty imposed on the day of the infraction in accordance with USGA Rules of Golf. Any player changing foursomes without permission from the Tournament Chairperson will be disqualified.

Any member who drops out of the Association for more than one year may reapply as a new member. Scorecards and foursomes coming in more than 20 minutes after the foursome in front will be disqualified. Time of completion of play must be posted on the scorecard upon completion of the final hole. Proper golf attire must be worn at all times. A member shall be responsible for reporting her cancellation to the Tournament Chairperson at least 48 hours in advance. Failure to do so will result in a $25 charge of the day unless there are extenuating circumstances. In the event of no shows (also $25 penalty fee) and late cancellations, a committee will handle each case on an individual basis. Player is required to submit a letter of explanation to the Vice-President for consideration to waive the fee. The Board of Directors shall determine the penalty each year. Failure to pay any monies owed will result in suspension from future play until this obligation has been met. All players must arrive and sign in 30 minutes before start time. Players late for check in will be assessed a $5 charge. Section 3 Prizes Net and Gross Prizes will be awarded in each class when applicable. Special prizes for the four Major Tournaments will be awarded at the Closing Meeting and Luncheon.

Hole-in-One Club Participation of every member is mandatory. If a hole-in-one is attained, the member shall receive from the fund an amount equal to $2.00 per person of the current membership. The fund shall be replenished each time a hole-in-one is made: payable $2.00 per member. Section 4 Indexes Local club indexes in accordance with the USGA will be used. Indexes will be used from the first of the month through the first of the following month. Playing indexes shall not exceed 25.0. Any member going over an index of 25.0 will be suspended from tournament participation until she meets the requirement. These rules may be changed at any meeting of the Board of Directors or at any general meeting.

Section 5-Additional Tournament Rules Adopted Xed out golf balls and half gloves are permitted. Stones and rocks in bunkers are movable obstructions. Please note that there is a one stroke penalty if your ball moves. It also must be replaced before your next stroke. Slow Play: If there is a hole open in front of your foursome, it is incumbent upon you to invite the foursome following to go through. Failure to do so will result in disqualification. Cell Phones: If a cell phone rings or the beeper beeps while on the course, that player may be disqualified. Outgoing calls may be made only in an emergency.

ARTICLE VII DISSOLUTION In the event it becomes necessary to dissolve Gulfstream District Womens Golf Association, the dissolution shall be by 2/3 vote of members present at a general meeting of the association. Any funds remaining in the treasury shall be directed to a recognized charitable organization that promotes golf scholarships for women or Junior Golf.
