Terms and conditions and #enera) duties2 (a) (b) The Mana#er sha)) be inchar#e of the showroom and a)) other emp)oyees / staff sha)) report to him% The Mana#er sha)) be accountab)e for a)) the stoc7 comin# into, stored at and #oin# out of the showroom and sha)) maintain proper records as per the company's standard po)icies and sha)) produce the said records as and when demanded by the board of directors / auditors of the company% $e sha)) ta7e proper care and fo))ow the standard safety methods of the company for pre5ention of any dama#e to the stoc7s of The company% The Mana#er sha)) ensure apart from the company's stoc7s, on)y stoc7 of franchisees authori>ed by the board of directors by way of a board reso)ution, sha)) enter the showroom and be a))owed to be traded at the showroom% 0f it is found that the mana#er has a))owed any stoc7s to be traded in the showroom without a proper board reso)ution, he sha)) be )iab)e to account for the sa)es and pay to the company, the profits earned on the said stoc7s% $owe5er the company is not )iab)e for any )osses incurred on such sa)e% ,urther the company reser5es the ri#ht to confiscate any unso)d stoc7s which are intended to be traded without a proper board reso)ution% The Mana#er sha)) periodica))y 5erify the stoc7s put on disp)ay / stored in the showroom by the franchisees and ensure that on)y the #oods described in the board reso)ution are bein# traded% 0f the mana#er notices any discrepancy, he sha)) inform the board of directors immediate)y and imp)ement their instructions% #eneral $uties: Administerin# the day=to=day operations of the Company and performin# administrati5e functions necessary in the mana#ement of the showroom, inc)udin# the co))ection of re5enues, the payment of the CompanyDs e(penses, debts and ob)i#ations and the maintenance of appropriate computer ser5ices to perform such administrati5e functions /nforce discip)ine amon# the staff and ensure that the day to day operations are smooth)y conducted% ,urnish reports and information as may be re-uired by the board of directors from time to time% The Mana#er sha)) ensure no i))e#a) acti5ities are carried out at the showroom and brin# to the notice of the board of directors any such acti5ities noticed by him% The Mana#er sha)) ad5ice the company about any chan#es that mi#ht brin# in economy / efficiency / impro5ed mar#ins, etc%

Termination of Contract / .esi#nation of /mp)oyee% (a) The company has the ri#ht to terminate this contract by #i5in# a notice of 1 month to the Mana#er or by payin# the Mana#er an amount e-ua) to 1 month #ross sa)ary, in )ieu of the notice period% (b) 0f there are any breach of conditions in any part of this a#reement, The company can terminate the contract without #i5in# any notice period or sa)ary in )ieu of notice period, i%e%, with immediate effect% (c) The mana#er can resi#n from his emp)oyment by #i5in# 1 month notice or by payin# an amount e-ua) to 1 month #ross sa)ary% The mana#ers resi#nation is deemed to be accepted on)y after the company pro5ides the mana#er a re)ie5in# )etter% Ti)) that time he has to pro5ide the ser5ices as re-uired by the board of directors irrespecti5e of the fact that he has paid / a#reed to pay the amount in )ieu of notice period%
