AGREEMENT TO SELL This Agreement to Sell (hereinafter referred to as this Agreement) is executed at New Delhi on the ___________ day

of ________ 2013 BETWEEN

M/s ____________________________, a Private Limited Company, duly incorporated under the Companies Act, 1956, having its Registered Office at _____________________________, through its Authorised Signatory Mr______________ ,duly authorised vide Resolution passed in the meeting of the Board of Directors held on _________________, (hereinafter referred to as First Party, which

expression shall, unless it be repugnant to the context or meaning thereof, be deemed to mean and include its successors-in-interest, administrators, executors, nominees and permitted assigns) of the first part;

AND _____________________________________________________________________________ (hereinafter collectively referred to as the Second Party which expression shall, unless it be repugnant to the meaning and context thereof, be deemed to mean and include its/his/her heirs, executors, administrators, legal representatives, successors, nominees and permitted assigns) of the second part. The First Party and the Second Party are hereinafter individually referred to as such or Party and collectively as Parties, as the case may be. RECITALS:

WHEREAS the First Party is the absolute owner/bhumidar and in possession of Agricultural land measuring _________Bighas, bearing Mustatil No. ___________, Killa Nos. _____________, situated in the Revenue Estate of Village ____________________ New Delhi, (hereinafter referred to as 'THE SAID LAND').

AND WHEREAS the First Party has full right and absolute authority to sell, dispose off and transfer the said land.

AND WHEREAS the First Party for its bonafide needs and requirements has agreed to sell and the Second Party have agreed to purchase the Agricultural land measuring ______ Bighas, bearing Mustatil No. _______, Killa Nos. _____________________, situated in the Revenue Estate of Village

____________________________, New Delhi, with all rights of ownership, possession, privileges, easements and appurtenances attached thereto, for a total sale consideration of Rs.

____________________

AND NOW THEREFORE, THIS AGREEMENT HEREBY RECORDS THE UNDERSTANDING OF AND AGREEMENT BETWEEN THE PARTIES AND WITNESSETH AS UNDER:

1.

That Out of the Total sale Consideration, the Second Party has paid to the First Party an amount of Rs. __________________________ (hereinafter referred to as 'the Advance Consideration) in the following manner:

the receipt of which is hereby acknowledged by the First Party.

2.

It is agreed that the balance amount of Rs. __________ (Rupees ________________) payable towards Total Consideration shall be paid by the Second Party to the First Party________or at the time of sale deed registration of the said land.

3.

Further, any payments / outgoings / levies payable in respect of / towards farmland usage, regularisation charges, compounding fee, wastage for making roads, development charges etc., or towards permissions/NOC/consent required from various competent authorities in accordance with the applicable laws shall be borne and paid by the Second Party. The First Party represents, warrants, assures & covenants that the First Party have paid all the taxes, cess, dues etc. to

various authorities concerned till the date of execution of this Agreement to Sell and shall continue to pay till the date of registration of the sale deed.

4.

In the event the Second Party requests the First Party to assist / deal with the competent authorities for obtaining approvals, permissions / NOC in respect of the said Plot then the First Party shall assist the Second Party provided that the Second Party shall bear all cost/ charges in respect of the same as may be incurred in this regard.

5.

Subject to payment of the Total Consideration and other charges / payments as per the terms and timelines stated herein the First Party shall execute / get executed / arrange for execution of the sale deed for the Plot in favour of the Second Party / its nominee upon payment of balance consideration. Upon execution of the sale deed Second Party shall be entitled to all rights, titles, interest, and claim in the plot sold and shall enjoy rights of ownership to such plot of land.

6.

All costs and expenses towards stamp duty and registration fee in respect of the sale deed for the land / plot shall be borne and paid by the Second Party.

7.

Upon execution of the sale deed for the said Plot in favour of the Second Party/its nominee, the Second Party / its nominee shall be entitled to get the land / plot sold mutated/transferred in its own name in the records of competent authorities and as well as the meter, connections, facilities related to such plot / land.

8.

This Agreement shall be governed in accordance with the laws of India and the Courts in New Delhi alone shall have absolute jurisdiction in respect of the same.
