BY-LAWS OF THE NIA-MARIIS COOPERATIVE KNOW ALL MEN BY THESE PRESENTS: We, the undersigned, citizens and residents

of the Philippines, representing a majority of the members of the (NIA-MA II! "ooperati#e$, Minante %, "auayan "ity, Isabela a primary, multi-purpose cooperative, hereinafter referred to as the "ooperati#e, do hereby adopt the follo&ing code of by- la&s' ARTICLE 1 OBJECTIVES and PURPOSES Sec !"n 1# O$%ec !&e' and P()*"'e' #(he objecti#es and purposes of this cooperati#e are) %' (o encourage thrift and granting of loans to members for education and pro#idential purposes' *' (o pro#ide the members &ith e+ual opportunities to ser#e and be ser#ed efficiently and effecti#ely, -' (o strengthen the spirit of cooperation and unity through acti#e participation, continuous patronage and assumption of responsibility by e#ery member in both business and non-business affairs of the cooperati#e, .' (o #alue e#ery indi#idual member as a significant part of the cooperati#e and ma/imize his0her capacity for the ad#ancement through self-help and mutual help, 1' (o pro#ide continuous education and training of members for deeper in#ol#ement and greater producti#ity, 2' (o distribute the benefits on the basis of contribution, participation, and patronage, 3' (o underta4e other acti#ities for the effecti#e and efficient implementation of the pro#isions of the "ooperati#e "ode' 3' (o underta4e canteen operations &ithin NIA-MA II!' ARTICLE + MEMBERSHIP Sec !"n 1# ,UALIFICATION FOR MEMBERSHIP' (he membership of this cooperati#e shall be open to all MA5A( I67 IN(75 A(78 I I5A(I9N !:!(7M (NIA-MA II!$ employees ' Sec !"n 2# TYPE OF MEMBERS' A' Re-(.a) Me/$e) - one &ho has met the re+uirements prescribed in Article *, section 3. ;e is entitled to one #ote and be elected to office subject to the provision of section 12 Article 3 of these By-Laws. Regular membership may also be grante to an Associate member who meets the minimum re!uirements of regular membership" continues to patroni#e the cooperative for two $2% consecutive years" an signifies his&her intention to remain a member shall be consi ere a regular member. Sec !"n 0# APPLICATION AND RE-APPLICATI N FOR MEMBERSHIP# (he <oard of 8irectors shall act upon application for membership after the follo&ing re+uisites are satisfied) A' (he applicant possesses the +ualifications for membership' <' ;e has satisfactorily completed the Pre-Membership 7ducation !eminar (PM7!$ conducted by the 7ducation "ommittee (78"9M$, e!cept "or one #$o re-applies "or less t$an one year "rom t$e %ate o" #it$%ra#al o" mem&ers$ip. "' ;e has paid the follo&ing fees) %' Membership fee=============Php '())).)) *' At least he has an initial share capital of Php %>>'>> (members are re+uired to deposit the full #alue of the minimum number of share capital subscribed (Php 1>>'>>$' ;e has submitted duly accomplished application forms, membership and subscription agreement,

and other documents such as I8 pictures, stoc4 certificate, authorization for salary deduction and other re+uirements$' -' (he amount to be charged for membership can be changed through a board resolution' !uch resolution must be appro#ed by the majority of the members of the <oard in one of their regular board meetings' Implementation of the ne& amount to be charged for membership fee shall ta4e effect one (%$ month after the resolution &as appro#ed' (he ne& amount shall remain in effect for one full year (starting from the date of its implementation$ and cannot be changed by another board resolution &ithin said period' (he ne& amount to be charged for membership fee must not be more than %>>? increase from the pre#ious amount being charged' (he ne& amount must not e/ceed the #alue of PhP %,>>>'>> (one thousand Philippine pesos$' ;o&e#er, no member shall o&n or hold more than ten per cent *')+, of share capital of the cooperati#e' Sec !"n -. 1( !e' "2 a Me/$e) %' *' -' .' 1' 2' Pay the installment on capital stoc4 subscription as it falls due and participate in the capital build-up of the cooperati#e, Patronize regularly its business, Participate in its parliamentary affairs, Attend the membership meetings, regular or special, 9bey the rules and regulations pro#ided by R.A. ./2), this by-la&s, the decisions of the general assembly and the board of directors, and policies and decisions that may be promulgated by the "ooperati#e 8e#elopment Authority, and Promote the aims and purposes of the cooperati#e, the success of its business, the &elfare of its members and the cooperati#e mo#ement as a &hole'

Sec !"n /# R!-3 ' "2 a Me/$e) 4 7#ery member &ho is entitled to #ote has the follo&ing rights, %' Participate in the deliberation during membership meetings, *' 6ote on all matters brought before such meetings, -' !ee4 any election, subject to the pro#isions of !ection %*, Article - of these <y-@a&s, .' A#ail himself of the ser#ices of the cooperati#e &ithout any discrimination &hatsoe#er upon compliance &ith the conditions and re+uirements thereof, and 1' Inspect and e/amine the boo4s of accounts, the minutesA boo4s, the share register, and other records of the cooperati#e during office hours and to e/ercise other rights and pri#ileges of membership' A member is entitled to #ote &hen he) a# Is a regular member , $# ;as paid the re+uired membership fee and must pay the re+uired full #alue of the minimum number of share capital subscribed, c# Is not delin+uent in the payment of his capital contribution and accounts, d# ;as not #iolated any pro#ision of these by-la&s, rules and regulations, circulars0memoranda and other issuances of the "8A, membership and subscription agreements and other instruments re+uired of him to e/ecute as pro#ided in these by-la&s or as prescribed by the <oard of 8irectors, e# ;as attended and completed the prescribed cooperati#e seminars, 2# Patronizes regularly the business of the cooperati#e and participates in its parliamentary affairs, and -# "omplies &ith all obligations, duties, and underta4ings of membership' Sec !"n 0# L!a$!.! 5 "2 Me/$e)' B (he liability of a member is limited' No member shall be liable for any indebtedness of the cooperati#e beyond his subscribed shares' Sec !"n 1# Te)/!na !"n "2 Me/$e)'3!* B Membership in the cooperati#e may be terminated either by &ithdra&al or e/pulsion, or no longer an employee of NIA-MA II!' Sec !"n 2# W! 3d)a6a. B Any member desiring to terminate his membership by &ithdra&al must gi#e si/ty (2>$ days &ritten notice to the <oard of 8irectors' ;o&e#er, no member shall be allo&ed to &ithdra& or terminate his membership during any period in &hich he has any pending obligation &ith the cooperati#e' Sec !"n .# E7*(.'!"n B A member may be terminated by a #ote of the majority of all the members of the board for any of the follo&ing causes)

%' When a member has not patronized the ser#ices of the cooperati#e for at least one year, *' When a member has continuously failed to comply &ith his obligations for at least one year , -' When a member has acted in #iolation of the by-la&s and the rules of the cooperati#e, and .' When a member has committed any act or omission injurious or prejudicial to the interest or the &elfare of the cooperati#e' (he decision of the <oard shall be in &riting and shall be communicated in person or by registered mail to the member' (he decision shall be appealable &ithin -> days from receipt thereof' Sec !"n ')# A**)a!'a. and Pa5/en "2 Me/$e)8' In e)e' U*"n Te)/!na !"n "2 Me/$e)'3!* Cpon the termination of the membership of a member, the <oard of 8irectors shall determine the boo4 #alue of the memberAs share capital, not to e/ceed the par #alue, as established at the year-end audited financial statement nearest to the date of termination and shall fi/ the amount thereof in money to be paid subject to the a#ailability of funds' Within one year after such termination, or at the option of an e/pelled or &ithdra&ing member or the heir or his legal representati#e, he may in lieu of cash, the re#ol#ing fund certificate or other e#idence of indebtedness, Pro#ided, ho&e#er, that payment of said e+uality in cash shall not be made if on account of such payment the #alue of the cooperati#eAs assets &ould be less than the aggregate amount of its debts and liabilities e/clusi#e of capital stoc4s subscribe, or &ill diminish the reser#es re+uired under e/isting la&s' ARTICLE 0 AD3INI4TRATI N Sec !"n 1# Me/$e)'3!* C"n )". 4 !ubject to the pro#isions of R#A. ./2), and regulations issued thereunder, final authority in the management and administration of the affairs of the cooperati#e is #ested in the general assembly' Sec !"n +# T3e 9ene)a. A''e/$.5 - (he general assembly of the cooperati#e shall be composed of members entitled to #ote duly assembled and constituting a +uorum, as stipulate% in 4ec . o" t$is Article. Sec !"n 0# P"6e)' and L!/! a !"n' "2 3e 9ene)a. A''e/$.5 - T$e 5eneral assem&ly s$all &e t$e $i5$est policy-ma6in5 &o%y o" t$e cooperative an% s$all e!ercise suc$ po#ers as are state% in RA ./2). (he general assembly s$all $ave t$e "ollo#in5 e!clusive po&ers #$ic$ cannot &e %ele5ate%7 %' (o elect and remo#e directors, officers and committee members for a cause, *' (o hear and pass upon the reports of the <oard of 8irectors, 9fficers and committees, -' (o ta4e final decisions regarding any drastic change in financial policies, subject to legal restrictions, .' (o ratify the amendment0s in the articles of cooperation and0or by- la&s, 1' (o e/ercise final authority on all matters #itally affecting the cooperati#e, 2' (o appro#e de#elopmental plans of the cooperati#e, and D' (o e/ercise all po&ers e/pressly pro#ided by la& and the by-la&s' Sec !"n :# Ann(a. 9ene)a. A''e/$.5 B (he annual general assembly shall be held e#ery *>th of March at the principal office of the cooperati#e or at any place &ithin its area of operation and at such time as the <oard of 8irectors may designate' Sec !"n ;# S*ec!a. 9ene)a. A''e/$.5 B A special general assembly may be called at any time by a majority #ote of the <oard of 8irectors to consider urgent matters re+uiring immediate membership decision' A special general assembly shall be called by the <oard of 8irectors &ithin thirty (->$ days from receipt of &ritten re+uest from) %' At least ten per centum (%>?$ of the total number of members entitled to #ote, *' (he Audit "ommittee, or

-' (he Eederation or Cnion of &hich the cooperati#e is a member' Sec !"n <# N" !ce "2 9ene)a. A''e/$.5 B Written notices of all meetings shall be ser#ed by the !ecretary, at least t&o (*$ &ee4s prior to the general assembly' (he notice for an annual general assembly shall be accompanied by the agenda, minutes of the meeting of last general assembly, consolidated report of the <oard of 8irectors and "ommittees complete &ith financial statement, proposed amendments to the Articles of "ooperation and <y-@a&s if any, and other papers needed by the members to arri#e at sound and intelligent decisions during the general assembly' Notice of any special general assembly shall state the purpose for &hich it is to be held and no business other than the stated purpose or those related thereto shall be considered in the meeting' Sec !"n =# F!'ca. Yea) B (he fiscal year of this cooperati#e shall commence on the ist day of Fanuary and end on the last day of 8ecember' Sec !"n ># A-enda 4 As deemed as practicable, the order of business at each annual meeting shall be) %' oll call, *' Proof of due notice, -' <usiness arising from the minutes of the last general meeting, .' Presentation of the consolidated report of officers, board of directors and committees including audited statements of financial condition and operation, 1' Cnfinished business, 2' 7lection of directors and committee members, D' Ne& business, and 3' Adjournment Sec !"n ?# ,(")(/ a 3e Me/$e)'3!* A''e/$.5 B At the annual or special general assembly, *1 ? of the total number of members entitled to #ote shall constitute a +uorum' Sec !"n 1@# Manne) "2 V" !n%' egular member is entitled to #ote' ;o&e#er, no member of the cooperati#e shall be entitled to more than one #ote' Also, no pro/y #oting shall be allo&ed' *' 7lection and remo#al of directors, officers and committee members should be by secret balloting' Action on all other matters shall be in any manner that &ill truly and correctly reflect the decision of the assembly' Sec !"n 11# B"a)d "2 1!)ec ")' and N(/$e) B (he business of the cooperati#e shall be administered by <oard of 8irectors of se#en (D$ members' Sec !"n 1+# ,(a.!2!ca !"n', and 1!'A(a.!2!ca !"n' "2 1!)ec ")' - All members entitled to #ote, and ha#e the time and &illingness to ser#e are +ualified to be #oted as directors, e/cept under any of the follo&ing dis+ualification circumstances) %' ;olding any electi#e position in the go#ernment, e/cept a party list representative &ein5 an o""icer o" a cooperative $e or s$e represents8 *' ;a#ing conflicting interest &ith the business of the cooperati#e, -' ;a#ing been absent for three (-$ consecuti#e board meetings &ithout justifiable cause, .' <eing full-time employees of the cooperati#e, 1' ;a#ing been con#icted of any crime in#ol#ing moral turpitude, gross misconduct in the performance of their duties or found culpable in any administrati#e case in#ol#ing such offenses' 2' Eacing, as respondents or defendants, an administrati#e proceeding or ci#il0criminal suits in#ol#ing financial and0or property accountability' D' ;a#ing been dis+ualified pursuant to dis+ualifications prescribed by la&' Sec !"n 10# E.ec !"n "2 1!)ec ")' and Te)/ "2 O22!ce

%' (he members of the <oard of 8irectors shall be elected by secret ballot by the members at the annual general assembly' *' (hey shall hold an office for a term of t&o (*$ years unless earlier remo#ed for cause, or ha#e resigned or become incapacitated due to illness or death, and until their successors ha#e been elected, +ualified and ha#e discharged the duties of office' -' No director shall ser#e for more than three (-$ consecuti#e terms' Sec !"n 1:# 1!)ec ")'8 Mee !n-, E.ec !"n "2 O22!ce)' and Te)/ "2 O22!ce %' A meeting of the <oard of 8irectors shall be held &ithin ten (%>$ days after each annual general assembly to elect by secret ballot among themsel#es a "hairman and a 6ice-"hairman duly super#ised by the "hairman of 7lection "ommittee' T$e sai% electe% o""icers s$all $ol% o""ice "or a term o" one *', year or until t$e election( 9uali"ication an% assumption into o""ice o" t$eir successors. *' (he (reasurer and !ecretary must not come from the <oard' (he <oard of 8irectors may fill either or both of said positions by appointment "or one *', year. -' No t&o (*$ or more persons &ith relationships up to the third ci#il degree of consanguinity or affinity shall ser#e as electi#e or appointi#e officers in the same <oard' .' (hereafter, the <oard of 8irectors shall meet at least once a mont$. 5. Directors cannot atten% or vote &y pro!y at &oar% meetin5s. 2' !pecial meetings of the <oard may be called by the "hairman or in his absence, by the 6ice-"hairman, or by a majority of the directors' (he call for a special meeting shall be addressed and deli#ered by the !ecretary stating the date, time and place of such meeting and the matters to be acted upon' Notice of the regular and special meetings of the <oard of 8irectors unless dispensed &ith shall be ser#ed by the !ecretary in &riting to each director at least fi#e (1$ days before such meeting' Sec !"n 1;# ,(")(/ "2 1!)ec ")'8 Mee !n(he <oard of 8irectorsA +uorum shall be at least four (.$ directors present in the meeting' A majority #ote of the +uorum duly assembled in a meeting shall be a #alid cooperati#e act' Sec !"n 1<# Vacanc!e' %' When a #acancy in the <oard occurs by reason of death, incapacity, or resignation, the remaining members of the <oard constituting the +uorum shall fill the #acancy by appointment gi#ing priority to the candidate during the last general assembly &ho garnered the highest number of #otes ne/t to the last elected director' *' If the remaining members of the <oard do not constitute a +uorum, the #acancy shall be filled by the general assembly in a regular or special meeting called for the purpose' (he successor named in either of the t&o instances, shall ser#e for the une/pired portion of the term' 6acancies in the electi#e committee shall be filled by the remaining members constituting a +uorum, or if no +uorum the <oard may cause an election to fill the #acancies or appoint persons to fill the same' Sec !"n 1=# Re/"&a. "2 1!)ec ")', O22!ce)' and C"//! ee Me/$e)' - Any elected director or committee member may be remo#ed from office by a #ote of t&o-thirds (*0-$ of the members entitled to #ote present and constituting a +uorum at the annual or general assembly called for the purpose after ha#ing been gi#en the opportunity to be heard at the said assembly' Any officer elected or appointed by the <oard of 8irectors or committee members may be remo#ed from office for cause by a majority #ote of the entire membership of the <oard or "ommittee as the case maybe' Sec !"n 1># P"6e)'B1( !e' "2 3e B"a)d 4 (he <oard of 8irectors, as a body, shall e/ercise general super#ision and control of the affairs of the cooperati#e' It shall prescribe policies consistent &ith la&, these by-la&s and the resolutions of the general assembly for the management of its business and the guidance of its members, officers and employees' T$e &oar% o" %irectors s$all &e responsi&le "or t$e strate5ic plannin5( %irection-settin5 an% policy-"ormulation activities o" t$e cooperative.

Sec !"n 1?# E.ec !"n C"//! ee B (he 7lection "ommittee shall be composed of three members elected during the annual general assembly' :$ere no mem&ers s$all $ave &een electe% an% 9uali"ie%( or in t$e event o" vacancy( t$e ;oar% o" Directors s$all appoint its mem&ers' Within ten (%>$ days after their election, they shall elect their "hairman, 6ice-"hairman and !ecretary' No member of the committee shall ser#e in the <oard or in any other electi#e committees' (he members of the committee shall hold office for one year or until their successors shall ha#e been elected and +ualified' (he committee shall promulgate rules and regulations in the conduct of election, pass upon the +ualification of candidates, super#ise the conduct of election, can#ass and certify in &riting the returns before the presiding officer proclaim the &inning candidates and shall decide on any election protest' 7lection protest filed against the members of the 7lection "ommittee shall be decided by the <oard of 8irectors' (he decision of the 7lection "ommittee or the <oard of 8irectors may be appealed to the Conciliation an% 3e%iation Committee. 4$oul% suc$ conciliation or me%iation procee%in5s "ail( t$e matter s$all &e settle% t$rou5$ voluntary ar&itration. Provi%e%( $o#ever( t$at &e"ore any party can vali%ly "ile a complaint #it$ t$e Aut$ority "or voluntary ar&itration. It must "irst secure a certi"ication "rom t$e conciliation an% me%iation committee an% "rom t$e cooperative union or "e%eration to #$ic$ it &elon5s t$at %espite all e""orts to settle t$e issues( t$e same $as "aile%. Sec !"n +@# A(d! C"//! ee - An Audit "ommittee composed of three members shall be elected during the annual general assembly' :$ere no mem&ers s$all $ave &een electe% an% 9uali"ie%( or in t$e event o" vacancy( t$e ;oar% o" Directors s$all appoint its mem&ers. Within ten (%>$ days after their election0appointment, the members of the committee shall elect from among themsel#es a "hairman, 6ice-"hairman and a !ecretary' In no case shall a member of the committee ser#e as a member of the <oard of 8irectors and #ice#ersa' (he members of the committee shall hold office for one year or until their successors shall ha#e been elected and +ualified' T$e au%it committee s$all &e %irectly accounta&le an% responsi&le to t$e 5eneral assem&ly. It s$all $ave t$e po#er an% %uty to continuously monitor t$e a%e9uacy an% e""ectiveness o" t$e cooperative<s mana5ement control system an% au%it t$e per"ormance o" t$e cooperative an% its various responsi&ility centers. Sec !"n# +1 C)ed! and C"..ec !"n C"//! ee - (he "redit an% Collection "ommittee shall be composed of three members appointe% &y t$e ;oar% o" Directors' Within ten (%>$ days after the appointment, the members of the committee shall elect from among themsel#es a "hairman, 6ice-"hairman and a !ecretary' In no case shall a member of the committee ser#e as a member of the <oard of 8irectors and #ice-#ersa' (he members of the committee shall hold office for one year or until their successors shall ha#e been appointe% and +ualified' (he committee shall be responsible for the credit management of the cooperati#e' In the performance of its functions, it shall process, e#aluate and act upon loan applications and &ithdra&al of deposits, e/cept &hen the applicant is a member of the committee, in &hich case, the application shall be acted upon by the <oard of 8irectors' Sec !"n 22# Ed(ca !"n and T)a!n!n- C"//! ee B (he 7ducation and (raining "ommittee shall be composed of members as may be determined by the <oard and appointed by the same for a term of one year, &ithout prejudice to their reappointment' (he 6ice-"hairman of the <oard shall ser#e as e/-officio chairman of the committee' (he committee shall be responsible in planning and implementing promotional and educational acti#ities of the cooperati#e' Sec !"n 23. Med!a !"n and C"nc!.!a !"n C"//! ee B Any dispute arising bet&een or among members of the <oard of 8irectors, "ommittee 9fficers, Management !taff and !taff and indi#idual members shall be referred to the Mediation and "onciliation "ommittee subject to the rules and procedures to be promulgated by the <98' (he "onciliation "ommittee shall ha#e the follo&ing po&ers and functions) a' (o formulate the conciliation-mediation program and ensure that it is properly implemented,

b' Monitor "onciliation-Mediation operations (7ntry of ne& cases , status of pending cases, performance of the "onciliatorsMediators$,

!ubmit semi-annual reports to the "8A, &ithin %1 days after the end of e#ery semester' Accept and file e#aluation reports, !ubmit recommendations for impro#ements to the <98, and, ecommend to the <98 any member of the cooperati#e for conciliation-mediation trainings as cooperati#e conciliatormediator'

C"/*"'! !"n') (he committee shall be composed of three (-$ members appointed by the <oard of 8irectors' (he committee shall elect among themsel#es a "hairman, 6ice"hairman and !ecretary' ,(a.!2!ca !"n') Any member in good standing is +ualified to be become members of the committee, pro#ided, he0she is not an officer of the cooperati#e' Te)/ "2 Se)&!ce) Members of the committee may ser#e for a term of t&o (*$ years' In case of #acancy, the <oard may appoint a +ualified member to fill in the #acant position' (he <98 shall appoint from the management staff through the 5eneral Manager a "onciliator-Mediator "oordinator, &hose term and functions are prescribed in this rule' @i4e&ise, a pool of conciliator-mediator shall be established to aid the conciliationmediation proceedings and for such other functions pro#ided by la&' In case conciliation-mediation fails in the le#el of the cooperati#e the same may be brought to the Eederation or Cnion &herein the cooperati#e is affiliated or in the Municipal "ooperati#e 8e#elopment "ouncil &herein the cooperati#e operates' 4ection 2-# Et$ics Committee =T$e Et$ics Committee s$all &e compose% o" suc$ num&er as may &e %etermine% &y t$e ;oar% an% appointe% &y it "or a term o" t#o *2, years( #it$out pre>u%ice to t$eir reappointment. T$e Committee s$all &e responsi&le in ensurin5 t$at all o""icers( sta""( an% mem&ers o" t$e cooperative act #it$ utmost pro"essionalism( inte5rity( morality an% nationalism. O 3e) C"//! ee' B 9ther committees maybe formed and0or created and their po&ers0functions defined by the <oard as the business and operations of cooperati#e may re+uire' (he said committees shall assist the <oard of 8irectors in the implementation of the cooperati#e de#elopment program' ,(a.!2!ca !"n' and 1!'A(a.!2!ca !"n' 2") C"//! ee Me/$e)' B (he +ualifications and dis+ualifications pro#ided for the <oard of 8irectors shall also be applied to the members of the Audit "ommittee and the 7lection "ommittee' O22!ce)' and 3e!) 1( !e' ""icers o" t$e Cooperatives s$all inclu%e t$e mem&ers o" t$e &oar% o" %irectors( mem&ers o" t$e %i""erent committees create% &y t$e 5eneral assem&ly( 5eneral mana5er( secretary( treasurer an% accountant. CHAIRMAN - (he "hairman shall) %' Preside o#er all meetings of the cooperati#e and of the <oard of 8irectors, *' Perform any and all acts and duties usually performed by a presiding officer, -' !ign all share certificates, re#ol#ing fund certificates, contracts and such other papers of the cooperati#e &hich the <oard may authorize or direct him to sign, and .' Perform such other duties as the <oard of 8irectors may prescribe' ;o&e#er, in case of death, resignation or remo#al of the "hairman, the <oard of 8irectors may decide to elect his successor' VICE CHAIRMAN B In the absence or disability of the "hairman, the 6ice-"hairman shall perform the duties of the "hairman or until such time a ne& chairman has been elected and +ualified' TREASURER 4 (he (reasurer shall ha#e the follo&ing duties) %' (a4e custody of all monies, securities and papers of the cooperati#e, *' Geep complete records of its cash transactions for the establishment of proof of his cash position at any gi#en time and date'
