1. We reserve the right to refuse or deactivate any website ad at any time. We will not accept ads both in printed and website that promote illegal activity, such as pornography, libel or material that infringes on any intellectual property right. All ads must be submitted electronically (e-mail) or thru a cd/usb. All changes as to the ads must be submitted in writing and sent thru e-mail explaining the changes or how it should appear. Changes of the ads/logo for the printed materials should be submitted four (4) weeks before the issuance of the event issue. We reserve the right to edit ads when necessary and will make every reasonable effort to obtain first your approval for changes. Cancellation of the advertising agreement by the Advertiser must be received in writing twenty (20) days before the Advertisement. Advertisers who have their Advertisement cancelled will receive a 100% refund if the cancellation is within the period provided, or pro-rated refund if cancellation occurs after the provided period. The Publisher may terminate the Agreement immediately by giving written notice of termination to the Advertiser if the Advertiser fails to pay any amount on the agreed due date. A grace period of fifteen (15) days after the due date is allowable provided a prenotice is given to us by the Advertiser. This signed agreement must be accompanied by full payment or 50% pre-payment for the entire Advertisement and the remaining balance shall be paid on the agreed date by the parties. We accept cash or check or deposit it directly to our bank account. Each party shall indemnify the other against any claims arising from any breach of the agreement by either party. Where one party is unable to carry out its obligations under this agreement due to circumstances beyond its control or which it could not have prevented, those obligations are suspended whilst those circumstances continue, provided the other party is notified and the first party uses its best endeavours to overcome the circumstances preventing its obligations from being carried out. The terms and conditions of this agreement shall not be disclosed to any third parties without the prior consent of both parties. This Agreement will come into force on the Effective Date and will end on the expiry date, unless and until terminated by either one of the parties. This Agreement shall in all respects be interpreted and construed in accordance with and governed by the laws of the Philippines.
