REGUSINTERNETTERMSOFSERVICE

ThesearethetermsandconditionsofusefortheRegusInternetService(the"Service").
(TermsorAgreement).
1.Agreement
1.1PleasereadallofthetermsofthisAgreementcarefullybeforeactivatingtheService.
1.2Byusingand/oractivatingtheServicetheClientagreestobeboundbythisAgreement,useof
theServiceconstitutesacceptanceoftheTermscurrentatthatpointintime.
1.3RegusmaymodifyorterminatetheTermsandanyaccompanyingpolicies,foranyreason,and
withoutnotice,includingtherighttoterminatewithorwithoutnotice,withoutliabilitytotheClient,
anyuseroranythirdparty.PleasereviewtheseTermsofServicefromtimetotimetobeapprisedof
anychanges
1.4RegusreservestherighttoterminatetheClientsuseoftheService,foranyreason,andwithout
notice.Uponanysuchtermination,anyandallrightsgrantedbyRegustotheClientshallterminate.
2.ProvidingServices
2.1TheClientisresponsibleforprovidingallhardwareandotherequipmentrequiredtoaccessand
tousetheService.TheClientisresponsibleforensuringthecompatibilityofitsequipmentwiththe
Service.
2.2TheServiceisavailabletotheClientonlywhentheClientsequipmentiswithintherangeofthe
RegusWirelessLANsystemorwhenconnectedviaaLANcable.
2.3AllServicesareprovidedonanasisbasis.Regusdoesnotwarrantanylevelofavailabilityof
theServiceorthattheServiceisfaultfreeorfitforanyparticularpurpose,orthatthesystemis
secure.TheClientassumesallresponsibilityandriskforuseoftheService.
2.4ReguswillalwaystrytomaketheServiceavailable,butitmaybeinterrupted,limitedorcurtailed
duetomaintenanceandrepairwork,transmissionorequipmentlimitations/failures,collocation
failuresorduetoanemergency.Regusisnotresponsiblefordata,messagesorpagesthattheClient
mayloseorthatbecomemisdirectedbecauseofinterruptionsorperformanceissueswiththe
Service.
2.5Regusreservestherighttoimmediately,andwithoutnotice,suspendtheClientsaccesstothe
ServiceifitsuspectsthattheClientisnotcomplyingwiththeTermsandFairUsagePolicyorforany
otherreasoniftheClientsuseoftheServicemayadverselyaffectRegussystems.
2.6NetworkspeedisnoindicationofthespeedatwhichtheClientsdevicesendsorreceivesdata.
Actualnetworkspeedwillvarybasedonunitconfiguration,compressionandnetworkcongestion.
TheaccuracyandtimelinessofdatasentorreceivedisnotguaranteedandtheClientacceptsthat
delaysoromissionsmayoccur.
2.7Regusdoesnotwarrantthatanyparticularvirtualprivatenetworkwillbecompatiblewiththe
Service.
2.8ReguswillnotsupplyanysoftwaretotheClientinconnectionwiththeService.IftheClientuses
softwarepackages,applicationsorconfigurationsthentheClientsaccepttheriskofanyfailureof
theServiceresultingfromtheuseofsuchsoftwarepackages,applicationsorconfigurations.
3.UseoftheServiceandFairUsagePolicy
3.1TheServiceismadeavailableprovided:
(a)theClientdoesnotusetheServiceforanythingunlawful,immoralorimproper;
(b)theClientdoesnotusetheServiceinanoffensiveorintrusivemannerinwhateverform.Such
usageincludesposting,transmitting,uploading,downloadingorotherwisefacilitatinganycontent
thatisunlawful,fraudulent,defamatory,threatening,anuisance,obscene,hateful,abusive,harmful
(includingbutnotlimitedtoviruses,corruptedfiles,oranyothersimilarsoftwareorprograms),a
breachofprivacyorwhichinRegusopinionisotherwiseobjectionable;
(c)theClientdoesnotactnorknowinglypermitotherstoactinsuchawaythattheoperationofthe
ServiceorRegussystemswillbejeopardisedorimpaired;
(d)theClientdoesnotusetheServicetoaccessorusecontentinawaythatinfringestherightsof
others;
(e)theServiceisusedinaccordancewithanythirdpartypoliciesforacceptableuseoranyrelevant
internetstandards(whereapplicable);
(f)theClientdoesnotusetheServicetosendoruploadunsolicitedemails,exceptifpermittedto
sendmarketingcommunicationsinaccordancewiththePrivacyandElectronicCommunications
Regulations2003;
(g)theClientdoesnotknowinglyornegligentlycreate,transmit,store,publishoruploadany
electronicmaterial(including,withoutlimit,filesthatcontainviruses,corruptedfiles,trojansorany
othersimilarsoftwareorprogram)whichisknownorlikelytocause,interrupt,damage,destroyor
limitthefunctionalityofanycomputersoftware,hardwareortelecommunicationsequipment
ownedbyusoranyotherInternetuserorperson;
(h)theClientdoesnotusetheServicetocarryoutactivitiesthatinvadeanother'sprivacy,cause
annoyance,inconvenienceorneedlessanxietytoanypersonoractivitiesthatareinbreachofany
otherthirdparty'srights,includingdownloading,installationordistributionofpiratedsoftwareor
otherinappropriatelylicensedsoftware,deletionofanyauthorattributions,legalnoticesor
proprietarydesignationsorlabelsinanyfilethatisuploaded,falsificationoftheoriginorsourceof
anysoftwareorothermaterial;
(i)theClientdoesnotdo,orallowtobedone,anythingthatmaydisruptorinterferewiththeRegus
networkorServiceorcauseahostorthenetworktocrash;
(j)theClientdoesnotmakeexcessiveuseof,orplaceunusualburdenson,thenetwork,forexample
bysendingorreceivinglargevolumesofemailorexcessivelylargeemailattachmentsorby
distributing,downloadingorsharingexcessivelylargeamountsofdata;
(k)theClientcomplieswiththetermsoftheFairUsagePolicyandmakesurethatanyothersusing
theServicethroughtheClientsaccountcomplywiththeFairUsagePolicytoo.
3.2TheClientagreesnottoresellanyaspectoftheService,whetherforprofitorotherwise.The
ClientacceptsthattheentitlementtousetheServiceisfortheClientsuseonlyandthattheClient
shallnotbeentitledtotransferitsentitlementtousetheServicetoanythirdparty.
3.3TheClientagreesnottoconnectanynetworkdevice(WiFiaccesspoint,firewall,router,
gateway,hub,switchorthelike)totheRegusnetworkwithoutwrittenapprovalfromtheRegusIT
Director;
3.4TheClientagreestotakewhateverstepsitconsidersnecessarytobackupandprotectanydata
ontheitsITsystems,includingtakingadditionalmeasuresoverandaboveanymeasuresincluded
withtheServicetoprotectitsITsystemsfromviruses,trojans,malwareandotherthreatstothe
Clientsproperty.
3.5RegusreservestherighttorestricttheClientsconnectionspeed,orterminatetheClients
session,ifthelevelofuseoftheServiceisdeemedbyusasexcessiveandthereforetodetrimental
tootherusers.
3.6Regusreservestherighttoblockspecificportsforinboundandoutboundtrafficincludingbut
notlimitedto:H323,Napster_8888,Nbdatagram,Nbname,RealPlayergrp,TCP135,TCP139,TCP
1433,TCP1434andUDP1434.
3.7TheClientagreesnottouseanyhighdefinitionvideoconferencingdevicesonRegusData
NetworkwithoutwrittenapprovalfromtheRegusITDirector.IfapprovalisgainedthentheClient
willberequiredtotakesufficientReservedBandwidthtosupportthesolution.
3.8TheRegusMailrelayserverislimitedto128recipientsandamaximumof10MBpermessage.It
cannotbeusedasasmarthost.
4.Contentdisclaimer
4.1Regusdoesnotcontrol,norisitinanywayliablefor,dataorcontentthattheClientaccessesor
receivesviatheService.TheInternetcontainsuneditedmaterials,someofwhicharesexually
explicitormaybeoffensivetotheClient.Regushasnocontroloverandacceptsnoresponsibilityfor
suchmaterials.
4.2RegusisnotapublisherofthirdpartycontentthatcanbeaccessedthroughtheService,andis
notresponsibleforanyopinions,advice,statements,Servicesorotherinformationprovidedbythird
partiesandaccessiblethroughtheService.TheClientisresponsibleforevaluatingsuchcontent.
4.3ItistheClientsresponsibilitytoevaluatethevalueandintegrityofgoodsandservicesofferedby
thirdpartiesaccessibleviatheServices.Reguswillnotbeapartytonorinanywayberesponsible
foranytransactionconcerningthirdpartygoodsandservices.TheClientisresponsibleforpayingall
feesandchargesfromthirdpartyvendorswhosesites,productsorservicesitaccesses,buysoruses
viatheService.
4.4Regusdoesnotguaranteetheaccuracy,completenessorusefulnessofinformationthatis
obtainedthroughtheService.
4.5IftheClientchoosestousetheServicetoaccesswebsitesorcontentprovidedbythirdpartiesor
purchaseproductsfromthirdparties,thentheClientspersonalinformationmaybeavailabletothe
thirdpartyprovider.ThewaythirdpartieshandleandusetheClientspersonalinformationrelated
totheuseoftheirservicesisgovernedbytheirpoliciesandRegushasnoresponsibilityfortheir
policies,orthirdparties'compliancewiththem.
5.ChargesandTermination
5.1Servicecharges.Servicechargesaresetoutwithinthestandardratecardandmaychangefrom
timetotimewithoutpriornotice.
5.2Peruserbasis.RegusgrantsaccesstotheServiceonaperpersonbasis.Intheeventoftheany
increaseofthenumberofpeopleusingtheservice,theClientagreestopaytheRegusfeesforeach
useraccessingtheService,eitherdirectlyorindirectly,assetoutinthestandardratecard.
5.3Datausagefees.Unlessotherwiseprovidedfor,datausageissubjecttoapayperusecharge.
TheClientagreestopayforallsuchusageincurredviatheClientsaccountwhetherauthorisedor
not.
5.4Subscriptions.RegusITservicesubscriptionshaveaminimumcontracttermindicatedatthe
timeofpurchase.TheClientagreestopaythesubscriptionfeefortheentireterm.Subscriptionfees
arepayableinmonthlyinadvance.
5.5Termination.Servicesubscriptionsmaybecancelledwith30dayswrittennoticepriortotheend
ofthecontractterm.Earlycancellationisnotpermitted.Subscriptionsthatarenotcancelledwill
automaticallyrenewonsimilarterms.
5.6Customerinstalledtelecommunicationslines.TheClientmaynotbypasstheuseofRegus
telecommunicationslinesbyinstallingitsowndirecttelecommunicationslines.Regusmay,atis
discretion,granttheClientauthorisationtoinstalldirecttelecommunicationslinesuponwritten
request.SuchpermissionwillonlybegrantedonthebasisthattheClientagreestomakeamonthly
paymentofaninfrastructurefeeassetoutinthestandardratecard.
6.Liability
6.1RegusshallonlybeliabletotheClientassetoutinthisAgreementandhasnootherdutyor
liabilitytotheClient.
6.2TheClientagreesthat,exceptfordeathandpersonalinjuryarisingfromthenegligenceofRegus,
Regusshallnotbeliableincontract,tort,negligence,statutorydutyorotherwiseforanylossor
damagewhatsoeverarisingfromorinconnectionwiththeServiceandTerms,includingdamagefor
lossofbusiness,lossofprofitsorrevenue,businessinterruption,lossofbusinessinformation,lossof
theuseoftheService,lossofgoods,lossofcontracts,lossorcorruptionorinformationordataor
anyotherpecuniaryloss(evenwhereRegushasbeenadvisedofthepossibilityofsuchlossor
damage).
6.3Regusshallnotbeliableforanydeficiencyinperformancecausedinwholeorinpartbyanyact
oromissionofanunderlyingcarrierorServiceprovider,dealer,equipmentorfacilityfailure,
networkproblems,lackofcoverageornetworkcapacity,actsofGod,strikes,fire,war,terrorism,
riot,emergency,governmentactionsoranyothercausebeyondthecontrolofRegus.
6.4TheClientshallindemnifyRegusagainstalllosses,liabilities,costs(includinglegalcosts)and
expensesthatRegusmayincurasaresultofanythirdpartyclaimsagainstitarisingfrom,orin
connectionwith,theClientsmisuseoftheServiceorbreachoftheAgreement.
6.5Anypropertyowned,operatedorotherwisecontrolledbytheClientmayonlybestoredatRegus
premises(includinginthetelecommunicationsroomofanypremises)withthepriorwritten
approvalofRegusandshallbestoredattheClientsrisk.Regusacceptsnoliabilityforsuch
equipmentandshallnotbeliableforanylossesordamageto(orresultingfrom)suchequipment.
7.TheClientsdata
7.1TheClientauthorisesustouseanddiscloseinformationaboutit(includingbutnotlimitedto
applicabledeviceidentifierssuchasMACaddresses)anditsuseoftheServiceincluding,including
butnotlimitedto,howtheClientconductsitsaccountforthepurposesofoperatingtheClients
accountandprovidingtheClientwiththeService,forcreditcontrolpurposes;forfraudandcrime
detectionandpreventionandtheinvestigationandpreventionofciviloffences;orasrequiredfor
reasonsofnationalsecurityorunderlawtoRegusassociatedcompanies,partnersoragents,any
telecommunicationscompany,debtcollectionagencyandfraudpreventionagencyorgovernmental
agencyandotherusersoftheseagencieswhomayusethisinformationforthesamepurposeasus.
TheRegusPrivacyPolicydescribeshowRegustreatspersonalinformationwhentheClientuses
Regusproductsandservices.
7.2Fromtimetotime,Regusmay(withoutnoticetotheClient)review,recordorchecktheClients
useoftheServicewhererequiredtodosotomakesuretheClientiscomplyingwithanylawsor
regulations,orwhereorderedtodosobyanycourtorotherbodyorauthoritywiththepowerto
requiresuchmonitoring,orforitsowninternalpurposestomakesuretheClientiscomplyingwith
thetermsofthisAgreement.
8.Miscellaneous
8.1RegusmayassigntheClientscontractoranypartoftheserviceitprovidestotheClientonthe
sametermstoanythirdparty.TheClientmaynotassignthiscontractorthebenefitoftheService
Regusprovides.
8.2AnyfailureordelaybyRegusinexercisingorenforcinganyrightsorbenefitsgrantedbythis
Agreementwillnotbedeemedtobeawaiverofanysuchrightorbenefit;norwillitpreventRegus
fromexercisingorenforcinganysuchrightorbenefitoranyotherrightorbenefitonanyother
occasion.
8.3EachprovisionoftheseTermsistobeconstruedasaseparateprovisionapplyingandsurviving
evenifoneormoreoftheotherprovisionsoftheparticularclauseisheldinapplicableor
unreasonable.
8.4Applicablelaw:Thesetermsareinterpretedandenforcedinaccordancewiththelawofthe
placewheretherelevantCentreislocatedwheretheserviceisprovided.RegusandtheClientboth
accepttheexclusivejurisdictionofthecourtsofsuchjurisdiction.Ifanyprovisionoftheseterms
andconditionsisheldvoidorunenforceableundertheapplicablelaw,theotherprovisionsshall
remaininforce.InthecaseofJapanallagreementswillbeinterpretedandenforcedbytheTokyo
DistrictCourt,andinthecaseofFrance,anydisputeregardingthisagreementwillbesettledbythe
relevantcourtsoftheParisjurisdiction.
8.5TheseTermssetouttheentireagreementbetweentheClientandRegusrelatingtothesupplyof
theServicetotheClient(includingallintendedrightsandobligations)andsupersedesanyandall
previousagreementsandunderstandingsbetweentheClientanduswithrespectthisspecific
Service.
8.6Allcopyright,trademarksandallotherintellectualpropertyrightsintheServiceandall
associatedmaterialincludingbutnotlimitedtowebregistration,splashandlandingpagesshall
remainvestedinRegus.
