This MoU constitutes an ex2ression of the 2arties; mutual intention to #or1 together,
#ithin the constraints im2osed on the 2arties "y statutory and other regulatory

transaction in good faith, u2on mutually agreea"le terms:

Brand Name, Logo and Operations
US Admissions #ill "e the "rand name that #ill "e used to "rand, 2romote and
2erate for all 2ur2oses to the students, Uni4ersities in 9ndia, Uni4ersities in U. and
any designated staff or official or 2arties in4ol4ed in counseling, communicating #ith the
uni4ersities and shall not re2resent, "rand or 2romote any other name that conflicts the
"usiness:

Roles and Responsibilities of US Admissions
a! US Admissions shall re2resent all the U. Uni4ersities for student recruitment
acti4ities from the city of 3angalore, in the state of 8arnata1a, 9ndia:

"! U. Admissions shall 2ro4ide counseling sessions to ac<uaint 2otential international
students 2re5identified as U. A+M9..9). recruits for all undergraduate and
graduate 2rograms for all or any uni4ersities to assure the "est 2ossi"le match
"et#een the students and the Uni4ersities: This includes 2rescreening a22licants to
ensure that they meet minimum re<uirements set each and e4ery Uni4ersity:
c! U. Admissions shall assist students #ith the Uni4ersity a22lication 2rocess and
ad4ise students of admission decisions in a timely manner:
d! U. Admissions shall ad4ise students of su22lemental documentation necessary for
admission consideration, e: g: official scores on T(=>, &0(, and transcri2ts
e4aluation as a22lica"le:
e! U. Admissions shall #or1 #ith the Uni4ersity?s ffice of 9nternational .tudent
.er4ices and the &raduate .chool to ad4ise and assist students in 2re2aring for
student 4isa of the United .tates, including 920s:
Article 6
Non-ompete to US Universities
a! 9t is agreed u2on that there #ill not "e any efforts to a22roach any uni4ersities in U.:
(ither directly or indirectly, using the same or different @A) )um"ers for agency
2ermissions:
"! U. Admissions is the )>A "rand name that the U. Uni4ersities #ould acce2t
including the contracts, legal documents and any other material or emails sent out to
U. uni4ersities or communicated "ac1 to U. Admissions
c! 9t is agreed that #e are truthful to oursel4es, to s#ear u2on that the information #ill
"e communicated clearly to the students and to the agents in a timely manner and
no information is concealed that #ill sho# a "enefit to U. Admissions
d! U. Admissions in U. #ill )T "e res2onsi"le for any intentional or accidental
damage caused to the uni4ersities in 9ndia or U. "y any indi4idual o2erating out of
the entity or from the country of origin: 9n this case 9)+9A:
e! The U. 2erations of U. Admissions #ill ha4e the right to ta1e a"solute control of
the entire o2erations, that may seem to 4iolate the U. Uni4ersity rules or if found
that the com2liant standards are not follo#ed:

a! Uni4ersity a22lication fee$ 9f there is an a22lication fee to "e 2aid, U. Admissions
collects that fee from the student and de2osits directly #ith the uni4ersity in the form
of Money rder, /hec1 or through /redit /ard 2aid to the uni4ersity:
"! )o A22lication =ee$ 9t?s at our discretion to decide #hether or not to collect the
a22lication fee from the student:
c! @rocessing =ee$ The 2rocessing fee #ill "e decided "y U. Admissions "ased on
se4eral factors
d! /ourier =ee$ 'e charge a standard 0s: 1000B5 to#ards the courier fee from all the
students irres2ecti4e of the a22lication

res2onsi"ility of U. Admissions to courier or hand deli4er the 9520 to the student
residing in any 2art of 9ndia:
"! U. Admissions can charge the ex2enses incurred for the courier and any ser4ices
2ro4ided "y U. Admissions to the students in ma1ing all the efforts to deli4er the 95
20: U. Admissions #ill 2ro4ide the necessary trac1ing and in4oice information to
any of the 2arties #hen needed or deemed necessary:

Ot%er $erms and onditions
a! 3oth 2arties shall indemnify and hold each other harmless for any lia"ility or claim
arising out of or due to acti4ities conducted "y the other 2arty:

c! All students enrolling through U. Admissions are su"Gect to the same rules,
regulations, academic standards, and forms of disci2line stated in the Uni4ersity?s
student catalogs, student hand"oo1s, and any hand"oo1s or 2u"lication issued "y
the de2artment su2er4ising the degree 2rogram:
d! The Uni4ersity holds sole Gurisdiction o4er its admission re<uirements and 2olicies
and the determination of acce2ta"le students:
e! 9f either 2arty 4iolates any of the terms of the Agreement, the other 2arty shall ser4e

strongly recommends that all a22lication materials, including those credentials

adGudication of any dis2utes arising under this Agreement shall "e filed exclusi4ely

consent and agree to such Gurisdiction and 4enue and #ai4e any o"Gections hereto:

"e 2lanned in conGunction #ith the Uni4ersity?s .trategic @artnershi2 de2artment:
The recruitment tri2s #ill "e im2lemented in accordance #ith the Uni4ersity
guidelines and must "e 2re5a22ro4ed to tra4el, 2ending a4aila"le funding for such
international tra4el: The recruitment tours #ill start from August5201- and
after#ards:
"! U. Admissions #ill ha4e a designated re2resentati4e to tour entire 9ndia on a
recruitment tri2:

a! U. Admissions has to follo# the rules mandated "y U./9. (United .tates
/itiHenshi2 and 9mmigration .er4ices!, +E. (+e2artment of Eomeland .ecurity!,
=ederal, Uni4ersity and +e2artment guidelines and "e /om2liant in 2rocess
"! Any documents su"mitted "y the student or agent, need to ha4e a
emailBfaxBdocument signed "y the agent or student that the su"mitted documents
are original and U. Admissions does not hold res2onsi"le for if the uni4ersity
determines that the su"mitted documents are fraudulent

uni4ersities, e4ery semester to coordinate #ith the 9nternational .tudent .er4ices
and &raduate .chool office and interact #ith the res2ecti4e /hairs of the
de2artments to e4aluate and esta"lish mutually "eneficial "usiness relationshi2 and
to further strengthen the understanding and the latest changes and u2dates to the
de2artmental re<uirements:

de4elo2ments and any changes to "e made to further increase the enrollments of

confidential 2ro2erty of U. Admissions: 9t should not "e 2resented or circulated to
any com2eting 4endors for the Uni4ersity #ithout the #ritten consent of the

mandated information is ex2ected out of U. Admissions in 3angalore,
