Company Introduction

Rosoft is an IT Consultancy specializing in Business Process Re-engineering and Automation. We work
with our clients to analyze and map out their business processes, and understand exactly how their
company generates revenues. We than help our clients identify redundant or inefficient processes, which
would benefit from redesign or automation. Finally, we either find or build automated systems and
processes tailored to the need of each individual client.

Since modern business invariably involves the Web, Rosoft also specializes in providing a wide range of
top-quality E-Business Services to our clients. These services range from building a simple website to the
development of long-term e-business strategies and the implementation of full e-marketing systems and
e-commerce engines.

Rosofts existing client base is focused in India, with a growing presence in the United States and United
Kingdom.

1. Project Overview and Background

Transart Logistic Solutions is a distributor of Admiral Sportswear in Mumbai. They import readymade
garments and sportswear and distribute it across various retail outlets.

Currently, Admiral Sportwear India is not having any website to showcase its products. To overcome this
problem, Rosoft is proposing to develop a dynamic business website.
1.1 Scope of the Project
1.2.1 In-Scope
To achieve the above requirement, Rosoft is proposing to develop a dynamic website for Admiral
Sportswear to increase their import and export business. The development approach will be as
follows:

Creative User Interface and Visual Designing.
Creation of Links and Sub-links.
Functionalities Development.
CMS backend including Product Catalog with admin dashboard.
AMC of website maintenance included (for the first year). Changes to the existing content
only. This does not include design/layout related changes and functional changes.

Admiral Sportswear Executive can get in touch.

4. Assumptions
Admiral Sportswear Pvt. Ltd. will release any and all required information (content, images and
signoffs) on time for effectively executing the development of the required web pages in a timely
manner.
Rosoft has the right to alter the technologies and platforms as they deem fit in order to better
execute and carry out the development of the web pages required.
Rosoft cannot modify the details of Admiral Sportswear Pvt. Ltd. unless specified otherwise, with
due permissions in place.
Rosoft shall provide Admiral Sportswear Pvt. Ltd. with details to their new ftp server, email server
and domain.

5. Cost and Schedule Constraints

The deliverables for Admiral Sportswear Pvt. Ltd. are priced at Rs. 2,30,000 /- (plus service taxes as
applicable)

7. Admiral Sportswear Pvt. Ltd. Acceptance

I accept the document in its entirety, and understand the terms and conditions laid out herein. I approve
the scope of work as illustrated in this document and hereby contract Rosoft Limited to deliver the
product as described herein and I agree to fulfill all of my obligations under this document.


I understand that this document is a confidential document and will not release this document to any
third party whatsoever, and further accept full responsibility maintaining the confidentiality of this
document.

Annexure A
Terms of Service Agreement

Rosoft Limited (the Service Provider), is in the business of development, supply and operation of products
and services relating to software, web applications, mobile app development, ERP systems, Data Solutions,
and websites with state of the art skill sets and cutting edge development technologies and Admiral
Sportswear Pvt. Ltd. (the Company), is a corporation organized and existing under the laws of Maharashtra.

WHEREAS, this agreement contains the Service Providers terms of engagement;
NOW, THEREFORE, in consideration of the mutual covenants and agreements herein contained, the parties
hereto, intending, to be legally bound, agree as follows:

1. SERVICES PROVIDED
Service Provider is prepared to provide the following professional services to Company:
a) Development and Deployment of a dynamic website in accordance with the agreed scope of
work signed by the company.
b) Warranty maintenance for the software for the period of 1 year from the date of invoice to
the client.
c) At the time of expiry of warranty period, Rosoft Limited can continue providing the software
maintenance support under an annual maintenance contract to be signed by the company
separately in addition to this agreement.

2. FEES AND OTHER CHARGES
a) The total fees for rendering the above mentioned professional services to the company will
be charged at Rs. 2,30,000
b) The company will be required to make an advance payment of Rs. 1,50,000 for confirming
the service order.
c) Service tax of 12.36% will be applicable over and above the professional service fees of Rs.
2,30,000
d) In case of an increase in the scope of functionality outside the scope of work proposal,
additional fees will be charged calculated on the workload and per man day basis.

3. BILLING ARRANGEMENTS
Company shall pay the Bills within 5 days of the date of invoice.

4. NON-PAYMENT
If Company does not pay a bill sent by Service Provider or complies with a request for payment in
advance within 5 days after the invoice is sent or the request is made, Service Provider may
immediately stop acting for Company.

5. TIMELINE
The timeline for completion of the web portal would be 60 working days assuming there is no
information delay from the Companys end. In case of major delay the Service Provider could claim
additional expenses upon mutually agreed terms.


6. REQUEST FOR FEE DETAILS & REMAINING WORK ESTIMATE

Service Provider will provide upon request the itemized details of the work, fees and costs incurred
so far and an estimate of the work, fees and costs payable to complete the matter.

7. TERMINATION BY ADMIRAL SPORTSWEAR PVT. LTD.
Company may terminate this agreement by giving Service Provider a written notice at any time and
will be liable for all work fees incurred up to that time. If Company does not provide such a notice, it
will be obliged to pay all fees for work done and for other charges incurred with interest rate of 12%
per annum unless amount cleared.

8. TERMINATION BY ROSOFT LIMITED
Service Provider may terminate this agreement and stop acting for Company if:
a) Company does not comply with this Agreement;
b) Non payment of fees by the company.

IN WITNESS WHEREOF, each party to this agreement has caused it to be executed at Admiral Sportswear
Pvt. Ltd., Mumbai on the date indicated above.
