ThisMasterSupplierServicesAgreement(theAgreement)isbetween[insertMicrosoftcontracting

SECTION1 Definitions
(a) Affiliate(s)meansanylegalentitythatowns,isownedby,oriscommonlyownedwithaparty.
Ownmeanshavingmorethan50%ownershiportherighttodirectthemanagementofthe
entity;
(b) Claim(s)meansallthirdpartyclaims,actions,demands,proceedings,damages,costsand
liabilitiesofanykind;
(c) DeliverablesmeansallIPorotherworkproductdevelopedbySupplier(oraSubcontractorof
Supplier)forMicrosoftunderaSOWoraspartoftheServices;
(d) ExcludedLicensemeansanysoftwarelicenserequiring,asaconditionofuse,modification
and/ordistributionthatthesoftwareorothersoftwarecombinedand/ordistributedwithitbe
(a)disclosedordistributedinsourcecodeform;(b)licensedforthepurposeofmaking
derivativeworks;or(c)redistributableatnocharge;
(e) IntellectualPropertyorIPmeansallintellectualpropertyrightsthroughouttheworld,
whetherexistingunderstatuteoratcommonlaworequity,noworhereafterinforceor
recognized,including:
(1) Copyrights,tradesecrets,trademarksandservicemarks,patents,inventions,designs,
logosandtradedress,moralrights,maskworks,publicityrights,andprivacyrights;
and
(2) AnyapplicationorrighttoapplyforanyoftherightsreferredtoinSection1(e)(1),and
allrenewals,extensionsandrestorations;
(f) MicrosoftMaterialsmeansanytangibleorintangiblematerials(includinghardware,software,
sourcecode,documentation,methodologies,knowhow,processes,techniques,ideas,
concepts,technologies,anddata)whichareprovidedbyoronbehalfofMicrosofttoSupplierto
performtheServices.MicrosoftMaterialsincludeanymodificationsto,orderivativeworksof,
theforegoingmaterials,theTrademarksandanydataenteredintoanySupplierdatabaseas
partoftheServices.MicrosoftMaterialsdonotinclude:
(1) AnyMicrosoftproductsobtainedbySupplieroutsideofthisAgreement;or
(2) Anysourcecodeasdescribed,defined,orlistedinanyLicenseFormsbetweenthe
parties.LicenseFormisdefinedintheSupplierSourceCodeLicenseForm,ifany,
betweentheparties.
(g) Policiesmeanspolicies,proceduresandguidelinesdescribedinthisAgreementormade
availabletoSupplierbyMicrosoft;
(h) ServicesmeanstheservicesspecifiedinaSOWorotherwiseperformedbySupplierunderthis
Agreement;

(i) SOW(s)meansanyofthefollowingwhichdescribeServicesand/orDeliverablesorderedunder
thisAgreement:
(1) Microsoftpurchaseorder(s);
(2) Electronicstatement(s)ofworktransmittedbyMicrosoft;or
(3) Writtenagreement(s)signedbyauthorizedrepresentativesofbothpartiesexpressly
referencingthisAgreement;
(j) Subcontractor(s)meanseitherathirdpartytowhomSupplierdelegatesoneormoreofits
obligationsunderthisAgreementoraSupplierAffiliatethatisnotcontractingdirectlywith
Microsoft;
(k) SupplierIPmeans:
(1) Supplierspreexistingorindependentlydevelopedproprietarytools,processesorIP;
and
(2) AnymodificationstoorderivativeworksoftheforegoingthatSuppliercreatesasapart
oftheServices,totheextentsuchmodificationsorderivativeworkshaveno
functionalityseparatefromSupplierIP;
(l) Trademarksmeansthespecifictrademarks,servicemarksandlogosidentifiedandprovidedby
MicrosoftunderaSOW.
SECTION2 ProvisionofServices:scopeandrequirements
(a) ScopeofServicestobedescribedinSOW.ThepartieswilldescribetheServicesinoneormore
SOWs.ThisAgreementappliestoeachSOW.AnyMicrosoftAffiliatemayenterintoaSOWwith
SupplierorSupplierAffiliateexistingatthetimeoftheEffectiveDateforServicesunderthe
termsofthisAgreement,andinsuchevent,anynecessarylocallegalrequirementswillbe
documentedseparatelyinwriting,asmaybeagreedtobytheparties.Thepartiesmayagreeto
changeaSOW.Supplierwill,atitsownexpense:
(1) Obtainandmaintainanyapprovals,licenses,filingsorregistrationsnecessaryto
performtheServices;and
(2) Complywithallapplicablelaws(includingexportlawsandregulations).
(b) AffirmativeActionClauseforMicrosoftSuppliersonCoveredSubcontractsfortheUnited
Statesgovernment.
(1) ContractorsandsuppliersdoingbusinesswithMicrosoftonacoveredcontractinthe
UnitedStateswillcomplywithallFederal,State,andlocallaborandemploymentlaws.
(2) Thiscontractorandsubcontractorshallabidebytherequirementsof41CFR60
1.4(a),60300.5(a)and60741.5(a)andincorporatestherequirementsofthese
regulationsifapplicable.Theseregulationsprohibitdiscriminationagainstqualified
individualsbasedontheirstatusasprotectedveteransorindividualswithdisabilities,
andprohibitdiscriminationagainstallindividualsbasedontheirrace,color,religion,
sex,ornationalorigin.Moreover,theseregulationsrequirethatcoveredprime
contractorsandsubcontractorstakeaffirmativeactiontoemployandadvancein
employmentindividualswithoutregardtorace,color,religion,sex,nationalorigin,
protectedveteranstatusordisability.

(c) AcceptanceofDeliverables.MicrosoftwillevaluateeachDeliverableandwillacceptorrejectit
within15businessdaysafterreceipt,orasotherwiseagreed.IfMicrosoftdoesnotacceptor
rejectaDeliverablewithinthisperiod,theDeliverablewillbedeemedacceptedunless
otherwiseagreed.Supplierwillhave10businessdaystofixanyDeliverableafterreceiving
noticefromMicrosoft.IfSupplierdoesnotfixtheDeliverable,Microsoftmayeitherrejectthe
DeliverablewithoutfurtherobligationorworkwithSuppliertoresolvetheissue.
(d) SuppliertocomplywithMicrosoftpoliciesandprocedures.Supplierwillcomplywith
MicrosoftsPolicies.
(1) SupplierGuidelinesandSupplierCodeofConduct.Supplierwillcomplywiththemost
currentSupplierGuidelines(SG)andtheSupplierCodeofConduct.Themostcurrent
versionsoftheSGandSupplierCodeofConductareavailableat
http://www.microsoft.com/mscorp/procurement/process/contracting.asp.
(2) UsingMicrosoftTrademarks.SuppliermayonlyusetheTrademarks,ifany,forthe
ServicesandDeliverables.Supplierwillcomplywiththeguidelinesat
http://www.microsoft.com/trademarks/.
(3) SecurityPolicies.SupplierwillcomplywithallphysicalandinformationsecurityPolicies
madeavailabletoSupplierbyMicrosoft.
(4) OtherPoliciesandprocedures.SupplierwillcomplywithallotherPolicies,proceduresor
applicabletrainingrequirementsprovidedbyMicrosoftduringtheTerm.
(5) ImpactofPoliciesonSupplier.MicrosoftmaychangethePolicies.Allchangeswillbe
effective30daysafterMicrosoftmakessuchchangesavailabletoSupplier,unless
otherwiseagreedinwriting.IfSupplierdeterminesthatnewPoliciesorchangesto
Policieswillcauseamaterialimpacttothedeliveryschedule,Feesorothercostsforthe
Services,SupplierwillpromptlynotifyMicrosoft.UponMicrosoftsreceiptofSuppliers
notice,thepartieswilldiscusshowtomitigatetheimpacttoenableSuppliertocomply.
(e) SupplierspersonnelandSubcontracting.
(1) Selection,trainingandremoval.Supplierwillrecruit,select,andtrainitspersonnel
accordingtotherequirementsoftheapplicableSOW.IfrequiredbyMicrosoft,Supplier
willensurethatSupplierpersonnelreceivespecifictrainingonthesecuritydevelopment
lifecycleifSupplierdevelopsortestsMicrosoftsoftwareorotherwiseaccessesMicrosoft
sourcecode.AtMicrosoftsrequest,Supplierwillpromptlyremoveorreplaceany
individualperformingServices.
(2) Supplierisresponsibleforallwages,fringebenefits,payrolltaxes,insurance,work
schedules,andworkconditionswithrespecttoitsemployees,contractorsorother
resourcesperformingServicesunderthisAgreement.
(3) PriortotheassignmentofaSupplieremployeetoprovideServicespursuanttothis
Agreement,Supplierwillverifythatitsemployeewillbecompliantwiththespecific
immigrationrulesandlawsinthejurisdictioninwhichhe/shewillbeprovidingServices.
(4) LimitsonuseofSubcontractors.SupplierwillnotsubcontractanyServicestoanythird
partywithoutMicrosoftspriorwrittenconsent.IfMicrosoftapprovestheuseofa
Subcontractor,orifSupplierusesaSubcontractorwithoutthepriorwrittenpermission
ofMicrosoft,Supplierwill:

(i) RemainobligatedunderthisAgreementfortheperformanceoftheServices;
(ii) RequireeachSubcontractortoagreeinwritingtothetermsofthisAgreement
fortheworkperformedbytheSubcontractor;
(iii) RequireeachSubcontractortoagreeinwritingthatMicrosoftisanintended
thirdpartybeneficiaryofitsagreementwithSupplier;
(iv) PayallamountsduetoSubcontractor.MicrosoftmaypaytheSubcontractorand
offsetthoseamountsagainstamountsowedtoSupplierifSupplierfailstopaya
Subcontractoranyamountsdueandowing;and
(v) RequireeachSubcontractortoverifythatitsemployeewillbecompliantwith
thespecificimmigrationrulesandlawsinthejurisdictioninwhichtheemployee
willbeprovidingServices.
(f) Suppliertoprovideequipmentandtechnology.UnlessotherwiseagreedinaSOW,Supplierwill
providetheappropriateequipment,software,andotheritemsrequiredtoperformtheServices
atitsownexpense.Supplierwillensurethatitsequipment,software,andsystemsare
compatiblewithMicrosoftsequipment,software,andsystemsasnecessarytoperformthe
Services.
SECTION3 OwnershipanduseofthepartiesrespectiveIP
(a) OwnershipofpreexistingIP.EachpartywillownandretainallrightstoitspreexistingIPand
anyIPdevelopedoutsideoftheServicesperformedunderthisAgreement.
(b) SuppliersuseofMicrosoftMaterials.
(1) LicensetouseMicrosoftMaterials.
(i) MicrosoftgrantsSupplieranonexclusive,revocablelicensetocopy,useand
distributeanyMicrosoftMaterialsprovidedtoittotheextentnecessaryto
performtheServices.Microsoftoritssuppliersretainallotherinterestin
MicrosoftMaterialsandrelatedIP.Supplierhasnorighttosublicensetheright
touseMicrosoftMaterials,exceptasnecessarytoanyapprovedSubcontractor.
(ii) IftheMicrosoftMaterialscomewithaseparatelicense,thetermsofthat
licensewillalsoapply.ThoseotherMicrosoftlicenseterms,includingany
applicablesourcecodeLicenseForm,controlinthecaseofanyconflictwiththis
Agreement.
(iii) Supplierwilltakeallreasonableprecautionstoprotectandensureagainstloss
ordamage,theft,ordisappearanceoftheMicrosoftMaterials.
(2) TerminationoflicenseandreturnofMicrosoftMaterials.Microsoftmayrevokethe
licensetoMicrosoftMaterialsatanytimeforanyreasonablebusinessreason.The
licensewillterminateautomaticallyontheearlieroftheexpirationorterminationof:
(i) ThisAgreement;or
(ii) TheapplicableSOW.
SupplierwillpromptlyreturnanyMicrosoftMaterialsonrequestorterminationof
Supplierslicense.
(3) Additionalprovisions.WithrespecttoSuppliersuseofMicrosoftMaterials:

(i) Supplierwillnotmodify,reverseengineer,decompile,ordisassembleMicrosoft
MaterialsexceptasallowedbyMicrosofttoperformServices;
(ii) Supplierwillleaveinplace,andnotalterorobscure,allproprietarynoticesand
licensescontainedinMicrosoftMaterials;
(iii) Microsoftisnotobligatedtoprovidetechnicalsupport,maintenanceorupdates
forMicrosoftMaterials;
(iv) AllMicrosoftMaterialsareprovidedasiswithoutwarrantyofanykind;and
(v) Supplierassumestheriskofloss,damage,unauthorizedaccessoruse,ortheft
ordisappearanceofMicrosoftMaterialsinSuppliers(orSubcontractors)care,
custodyorcontrol.
(c) SuppliersuseofnonMicrosoftIP.SupplierwillobtainMicrosoftsexpresswrittenconsent
beforeusinganySupplierIPorthirdpartyIPinamannerthatwould:
(1) CauseittobeincludedinanyDeliverables;
(2) AlteroraffectMicrosoftsownershipinterestsinanyDeliverables;or
(3) BerequiredfortheDeliverablestobeused,modifiedordistributedbyMicrosoft.
(d) IfMicrosoftpermitsSuppliertouseanySupplierIPorSupplierIPisincorporatedintoany
DeliverablewithoutMicrosoftspermission,thenSupplierwillcontinuetoowntheSupplierIP.
SuppliergrantsMicrosoftaworldwide,nonexclusive,perpetual,irrevocable,royaltyfree,fully
paiduprightandlicense,underallcurrentandfutureIP,to:
(1) Make,use,reproduce,format,modify,andcreatederivativeworksoftheapplicable
SupplierIP;
(2) Publiclyperformordisplay,import,broadcast,transmit,distribute,license,offertosell
andsell,rent,leaseorlendcopiesoftheapplicableSupplierIPandderivativeworks
thereof;
(3) CombinetheSupplierIPand/orderivativeworksthereofwithanysoftware,firmware,
hardwareand/orservices;and
(4) Sublicensetothirdpartiestheforegoingrights,includingtherighttosublicenseto
furtherthirdparties.
IfSupplierintendstouseanythirdpartyIPinamannerdescribedabove,thenSupplierwillalso
obtainallnecessaryrightsinthethirdpartyIPtomakethegrantofrightsprovidedinSections
3(d)(1)to3(d)(4)above.
(e) OwnershipofDeliverables.
(1) OwnershipofIPRightsinDeliverables.AllDeliverablesareworkmadeforhirefor
Microsoftunderapplicablecopyrightlawsubjectto:
(i) SuppliersretentionofitsrightsinanySupplierIPasprovidedinthisSection3
(OwnershipanduseofpartiesrespectiveIP);and
(ii) AnythirdpartysretentionofitsrightsinanyIPlicensedtoMicrosoftunderthat
Section3(c)(SuppliersuseofnonMicrosoftIP).

TotheextentanyDeliverablesdonotqualifyasaworkmadeforhire,Supplierassigns
allright,titleandinterestinandtotheDeliverables,includingallIPrights,toMicrosoft.
Supplierwaives,andagreesnottoassert,anymoralrightsthatmayexistinthe
Deliverables.
(2) Suppliersassistance.SupplierwillpromptlydisclosetoMicrosoft,inwriting,any
inventions,worksofauthorship,improvements,developmentsordiscoveriesconceived,
authored,madeorreducedtopracticebySupplieroritsSubcontractors,eithersolelyor
incollaborationwithothers,inconnectionwithperformingtheServices.AtMicrosofts
requestandexpense,Supplierwillsigndocumentsandtakeanyotheractionreasonably
necessarytoevidence,perfect,orprotectMicrosoftsrightsintheDeliverables.Supplier
willcooperatewithMicrosoftinthefilingandprosecutionofanycopyright,trademark
orpatentapplicationsthatMicrosoftmaychoosetofileontheDeliverablesor
inventionsanddesignsrelatingtotheDeliverables.Supplierirrevocablyappoints
MicrosoftasSuppliersattorneyinfact(whichappointmentiscoupledwithaninterest)
tosignthosedocumentsonSuppliersbehalf.Supplierwillnotchallenge,opposeor
interferewithanyMicrosoftapplicationsrelatingtotheDeliverablesorfileany
applicationsonitsownbehalf.
SECTION4 Suppliercompensation
(a) MicrosoftspaymentofFees.
(1) MicrosoftwillpaySupplierfeessetforthineachSOW(Fees).ASupplierratecard,if
oneisattachedtothisAgreement,willservetoprovideceilingratesforMicrosoft.
SupplierwillberesponsibleforallexpensesitincursunlessotherwiseagreedinaSOW.
SupplierwillnotmarkupanyexpensesMicrosoftagreestopayunlessotherwiseagreed
inaSOW.SupplierhasnorightofoffsetagainstamountsMicrosoftowes.
(2) UnlessotherwiseagreedinaSOW,afterMicrosoftacceptstheServicesandreceivesa
properandundisputedinvoice,itwillpaytheFeesandapprovedexpenses:
(i) Net10dayslessa2%discountontheinvoicedamount;or
(ii) Net60dayswithnodiscount.
(3) MicrosoftwillmakeallpaymentstoSupplieraccordingtoMicrosoft'sthencurrent
paymentPolicies.TheseincludepaymentviaACHelectronicpaymenttoSuppliers
financialinstitutionperinstructionsinMicrosoftsACHelectronicpaymentform.
(b) MSInvoicerequirements.SupplierwillinvoiceMicrosoftforallFeesandapprovedexpenses
viatheMSInvoiceonlinetoolaccordingtotherequirementsathttp://invoice.microsoft.com
andtheSG.SupplierwillnotchargeMicrosoftforresearching,reportingonorcorrectingany
errorsrelatingtoitsinvoices.SupplierwillnotdateitsinvoicesearlierthanthedateSupplieris
entitledtobepaidundertheapplicableSOW.IfadateisnotspecifiedinaSOW,Suppliermay
issueitsinvoicesmonthlyinarrears.
(c) DisputedAmounts.Microsoftmaydisputetheamountofanyinvoice(each,aDisputed
Amount)byprovidingoralorwrittennotice.PartialpaymentisnoticefromMicrosoftofa
DisputedAmount.MicrosoftwillmakecommerciallyreasonableeffortstonotifySupplierin
writingofanyDisputedAmountwithin60daysofreceivingtheapplicableinvoice.Neitherthe
failuretoprovidenoticenorpaymentofaninvoiceisawaiverofanyclaimorright.Microsoft
willhave60daysfromthedateadisputeisresolvedtopaySupplier.

(d) Lateinvoices.Microsofthasnoobligationtopayanyinvoicereceived120daysormoreafter
thedateSupplierwasrequiredtoinvoiceMicrosoftunderthisAgreementoranyapplicable
SOW.Thisdoesnotapplyto:
(1) DisputedAmounts;
(2) Rejectedinvoiceswhicharesubjecttocorrection;
(3) Invoices,whicharedelayedduetotheactionsorinactionsofMicrosoft;or
(4) Delaystowhichthepartieshaveagreedinwriting.
(e) Taxes.
(1) TheamountstobepaidbyMicrosofttoSupplierdonotincludeanytaxes.Microsoftis
notliableforanytaxesthatSupplierislegallyobligatedtopay,including,butnotlimited
tonetincomeorgrossreceiptstaxes,franchisetaxes,andpropertytaxes.Microsoftwill
paySupplieranysales,useorvalueaddedtaxesitowesduetothisAgreementand
whichthelawrequiresSuppliertocollectfromMicrosoft.IfMicrosoftprovidesSupplier
avalidexemptioncertificate,Supplierwillnotcollectthetaxescoveredbysuch
certificate.SupplierwillindemnifyandholdMicrosoftharmlessfromanyclaims,costs
(includingreasonableattorneysfees)andliabilitiesthatrelatetoSupplierstaxes.
(2) IfthelawrequiresMicrosofttowithholdtaxesfrompaymentstoSupplier,Microsoft
maywithholdthosetaxesandpaythemtotheappropriatetaxingauthority.Microsoft
willdelivertoSupplieranofficialreceiptforsuchtaxes.Microsoftwillusereasonable
effortstominimizeanytaxeswithheldtotheextentallowedbylaw.
(3) DespiteanyotherprovisioninthisAgreement,thissectionwillgovernthetreatmentof
alltaxesrelatingtothisAgreement.
SECTION5 Termandtermination
(a) Term.ThisAgreementcommencesontheEffectiveDateandwillcontinueforthetermsetforth
onthefirstpageofthisAgreement(theTerm)unlessitis:
(1) Terminatedearlieraccordingtoitsterms;or
(2) Extendedbyawrittenandsignedamendment.
(b) Terminationforconvenience.Withoutprejudicetoanyotherremedies:
MicrosoftmayterminatethisAgreement,anyLicenseFormsubjecttothisAgreement,orany
SOW,atanytimewithoutcausebygiving30dayswrittennotice.IfMicrosoftterminatesfor
convenience,itsonlyobligationistopayfor:
(i) ServicesorDeliverablesitacceptsbeforetheeffectivedateoftermination;or
(ii) Servicesperformed,whereMicrosoftretainsthebenefitaftertheeffectivedate
oftermination.
(c) Terminationforcause.
(1) Mutualright.EitherpartymayterminatethisAgreement,anyLicenseFormsubjectto
thisAgreement,oranySOWontheotherpartysmaterialbreachofthisAgreementora
SOW.Thenonbreachingpartymustgive30calendardayswrittennoticeandthe
opportunitytocureitsbreach.EitherpartymayimmediatelyterminatethisAgreement

onwrittennoticeofabreachofSection6(Confidentiality,privacyanddataprotection,
andPublicity)ofthisAgreement.
(2) Microsoftsright.MicrosoftmayterminatethisAgreement,anyLicenseFormsubjectto
thisAgreement,oranySOWeffectiveimmediatelyuponwrittennoticeifSupplier
breachesSections2(c)(AcceptanceofDeliverables)through2(f)(Suppliertoprovide
equipmentandtechnology),3(OwnershipanduseofthepartiesrespectiveIP),7
(Representationsandwarranties),10(Insurance)or12(d)(Assignment)orifSupplier
sellsasubstantialpartofSuppliersassetstoathirdparty.Additionally,Microsoftmay
terminatethisAgreement,effectiveimmediatelyuponwrittennotice,ifSupplieris
foundtobenoncompliantinitsuseofMicrosoftsoftware.
(d) Effectoftermination.EachpartywillreturntheConfidentialInformationandpropertyofthe
otherwithin10calendardaysoftheeffectivedateofterminationofthisAgreementoranySOW
unlessotherwiseinstructed.SupplierwilldelivertoMicrosoftanyaffectedDeliverablesin
progressandalldataandmaterialsrelatedtothem.SupplierwillassistMicrosoftwithapost
terminationtransitionatMicrosoftsrequest.Suppliersassistancewillnotexceed60calendar
days.MicrosoftwillpaySupplierforitsassistanceataratenogreaterthanthatsetforthinany
SOWforcomparableservices.
(e) Survival.TheprovisionsofthisAgreementwhich,bytheirterms,requireperformanceafterthe
terminationorexpirationofthisAgreement,orhaveapplicationtoeventsthatmayoccurafter
theterminationorexpirationofthisAgreement,willsurvivetheterminationorexpirationof
thisAgreement.Allindemnityobligationsandanyapplicableindemnificationprocedureswillbe
deemedtosurvivetheterminationorexpirationofthisAgreement.
SECTION6 Confidentiality,privacyanddataprotection,andPublicity
(a) Confidentiality.
(1) ExistingNDA.TheinformationsharedunderthisAgreementisconfidentialinformation
subjecttothenondisclosureagreement(NDA)betweenthepartiesdated
__________.Section6(a)(2)belowwillapplyifinformationrelatedtoServicesunder
thisAgreementwassharedpriortoexecutionoftheNDA,thereisnoexistingNDA,orif
suchexistingNDAisterminatedorotherwiseceasestobeineffect.
(2) ConfidentialInformation.AtalltimesduringtheTerm,andforfiveyearsthereafter,
Supplierwillholdinstrictestconfidence,andwillnotuseordisclosetoanythirdparty,
anyMicrosoftConfidentialInformation.ThetermMicrosoftConfidentialInformation
meansallnonpublicinformationthatMicrosoftdesignates,eitherinwritingororally,as
beingconfidential,orwhich,underthecircumstancesofdisclosureoughttobetreated
asconfidential.MicrosoftConfidentialInformationincludesinformationrelatingto:
(i) ReleasedorunreleasedMicrosoftsoftwareorhardwareproducts;
(ii) Microsoftsourcecode;
(iii) MarketingorpromotionofanyMicrosoftproduct;
(iv) BusinesspoliciesorpracticesofMicrosoft;
(v) CustomersorsuppliersofMicrosoft;
(vi) InformationreceivedfromothersthatMicrosoftisobligatedtotreatas
confidential;

(vii) TheexistenceandtermsofthisAgreement;and
(viii) InformationprovidedbyMicrosoftunderthisAgreementorobtainedorcreated
bySupplierinthecourseofprovidingtheServices,including:
InformationcontainedinanyreportsprovidedtoMicrosoft;
Anyelectronicorwrittencorrespondencebetweentheparties;
Microsoftcustomerlists,customerinformationandPersonal
Information,regardlessofthesource;and
Transactional,salesandmarketinginformationrelatedtotheServices.
IfSupplierhasanyquestionsastowhatcomprisesMicrosoftConfidentialInformation,
SupplierwillconsultwithMicrosoft.MicrosoftConfidentialInformationdoesnotinclude
informationthatwasknowntoSupplierpriortoMicrosoft'sdisclosuretoSupplier,or
informationthatbecomespubliclyavailablethroughnofaultofSupplier.
(3) Securityprocedures.Supplierwillemploysecurityprocedurestopreventdisclosureof
MicrosoftConfidentialInformation(includingPersonalInformation)tounauthorized
thirdparties.Supplierssecurityproceduresmustincluderiskassessmentandcontrols
for:
(i) Systemaccess;
(ii) Systemandapplicationdevelopmentandmaintenance;
(iii) Changemanagement;
(iv) Assetclassificationandcontrol;
(v) Incidentresponse,physicalandenvironmentalsecurity;
(vi) Disasterrecovery/businesscontinuity;and
(vii) Employeetraining.
(b) Privacyanddataprotection.
(1) PersonalInformationmeansanyinformationprovidedbyMicrosoftorcollectedby
SupplierinconnectionwiththisAgreement:
(i) Thatidentifiesorcanbeusedtoidentify,contact,orlocatethepersontowhom
suchinformationpertains;or
(ii) Fromwhichidentificationorcontactinformationofanindividualpersoncanbe
derived.PersonalInformationincludes,butisnotlimitedto:name,address,
phonenumber,faxnumber,emailaddress,socialsecuritynumberorother
governmentissuedidentifier,andcreditcardinformation.Additionally,ifany
otherinformation(e.g.,apersonalprofile,uniqueidentifier,biometric
information,and/orIPaddress)isassociatedorcombinedwithPersonal
Information,thensuchinformationisalsoPersonalInformation.
(2) IfSuppliercollectsoraccessesanyPersonalInformationaspartofperformingthe
Services,Supplieragreestocomplywithallapplicablerequirementscontainedat
http://www.microsoft.com/about/companyinformation/procurement/toolkit/default.m
spxorasotherwiseprovidedbyMicrosoft.

(c) Publicity.SupplierwillnotissueanypressreleasesorotherpublicitythatrelatetoSuppliers
relationshipwithMicrosoftorthisAgreement,withoutpriorwrittenapprovalfromthe
MicrosoftrepresentativeexecutingthisAgreement.
SECTION7 Representationsandwarranties
Supplierrepresentsandwarrants:
(a) SupplierhasfullrightsandauthoritytoenterintoandperformaccordingtothisAgreement;
(b) SuppliersperformancewillnotviolateanyagreementorobligationbetweenSupplierandany
thirdparty;
(c) TheDeliverablesandanySupplierIPorthirdpartyIPprovidedtoMicrosoftunderthis
Agreement:
(1) Arenotgoverned,inwholeorinpart,byanExcludedLicense;and
(2) WillnotbesubjecttolicensetermsthatseektorequireanyMicrosoftproduct,service,
ordocumentationincorporatingorderivedfromtheDeliverablesoranySupplierIPor
thirdpartyIPlicensedtoMicrosofthereunder,oranyMicrosoftIP,tobelicensedor
sharedwithanythirdparty;
(d) TheServiceswillbeperformedprofessionallyandbeofhighgrade,natureandquality;
(e) TheServices,theDeliverablesandanySupplierIPorthirdpartyIPprovidedtoMicrosoftunder
thisAgreementwillnot:
(1) TothebestofSuppliersknowledge,infringeanypatent,copyright,trademark,trade
secretorotherproprietaryrightofanythirdparty;or
(2) ContainanyvirusesorothermaliciouscodethatwilldegradeorinfectanyDeliverables,
product,service,oranyothersoftwareorMicrosoftsnetworkorsystems;
(f) AnyMicrosoftsoftwareinSupplierspossessionisproperlylicensedforuse.
(g) Supplierwillnotparticipateinbribesorkickbacksofanykindwhileperformingunderthis
Agreement.Supplierwillcomplywithallapplicableanticorruptionandantimoneylaundering
laws,includingtheU.S.ForeignCorruptPracticesAct,ifapplicable.
EXCEPTASSETFORTHINTHISSECTION7(REPRESENTATIONSANDWARRANTIES),THESERVICESAND
THEDELIVERABLESAREPROVIDEDASIS.TOTHEMAXIMUMEXTENTPERMITTEDBYLAW,SUPPLIER
DISCLAIMSANYANDALLOTHERWARRANTIES,WHETHEREXPRESSORIMPLIED,INCLUDING,BUTNOT
LIMITEDTO,ANYIMPLIEDWARRANTIESOFMERCHANTABILITY,ORFITNESSFORAPARTICULAR
PURPOSE,WHETHERARISINGBYACOURSEOFDEALING,USAGEORTRADEPRACTICEORCOURSEOF
PERFORMANCE.
SECTION8 Indemnificationandotherremedies
(a) IndemnificationbySupplier.Supplierwilldefend,indemnify,andholdMicrosoft,itsAffiliates,
andtheirrespectivesuccessors,directors,officers,employeesandagents(eachaMicrosoft
IndemnifiedParty)harmlessfromandagainstallClaimstotheextentthatsuchClaimsariseout
oforrelateto:
(1) AnybreachofanyrepresentationorwarrantycontainedinSection7(a)or7(b)by
SupplieroritsSubcontractors;

(2) ThenegligentorwillfulactsoromissionsofSupplieroritsSubcontractorsresultingin
anybodilyinjuryordeathtoanypersonorloss,disappearanceordamagetotangibleor
intangibleproperty;
(3) Suppliers(oritsSubcontractors)infringement,misuseormisappropriationofanythird
partyIPrights;
(4) BreachofanyobligationsunderSection6(Confidentiality,privacyanddataprotection,and
Publicity);
(5) Suppliers(oritsSubcontractors)failuretocomplywithapplicablelaws,rulesor
regulations;or
(6) AnyactioninstitutedbySupplierpersonnelagainstMicrosoftforwages,fringebenefits,
othercompensation,orsimilarclaimsunderapplicablelaw,andanyclaimschallenging
theSuppliersrighttodismissitspersonnel.
However,SupplierwillhavenoliabilityunderthisSection8(a)(IndemnificationbySupplier)to
thecomparativeextentthatClaimsresultfrom:
(i) ThenegligentorwillfulactsofaMicrosoftIndemnifiedParty;or
(ii) SupplierscompliancewiththeexpressinstructionsofMicrosoft.
(b) IndemnificationbyMicrosoft.Microsoftwilldefend,indemnify,andholdSupplier,itsAffiliates,
andtheirrespectivesuccessors,directors,officers,employees,andagents(eachaSupplier
IndemnifiedParty)harmlessfromandagainstallClaimstotheextentthattheClaimsariseout
oforrelateto:
(1) ThenegligentorwillfulactsoromissionsofMicrosoftresultinginanybodilyinjuryor
deathtoanypersonorloss,disappearanceordamagetotangibleorintangible
property;or
(2) Microsoftsfailuretocomplywithapplicablelaws,rulesorregulations.
However,MicrosoftwillhavenoliabilityunderthisSection8(b)(IndemnificationbyMicrosoft)
tothecomparativeextentthatClaimsresultfromthenegligentorwillfulactsofaSupplier
IndemnifiedParty.
(c) Indemnificationprocedures.Theindemnifiedpartywill:
(1) ProvidetheindemnifyingpartywithreasonablypromptnoticeofClaims;
(2) Permittheindemnifyingpartythroughmutuallyacceptablecounseltoanswerand
defendClaims;and
(3) Providetheindemnifyingpartywithreasonableinformationandassistancetohelpthe
indemnifyingpartydefendClaimsattheindemnifyingpartysexpense.
Anyindemnifiedpartywillhavetherighttoemployseparatecounselandparticipateinthe
defenseofanyClaimatitsownexpense.
(d) AcknowledgmentoffaultandsettlingClaims.Neitherpartywillstipulate,admit,or
acknowledgeanyfaultorliabilityonthepartoftheotherwithoutpriorwrittenconsent.The
indemnifyingpartywillnotsettleanyClaimorpublicizeanysettlementwithouttheother
partyspriorwrittenconsent.

(e) Industrialinsuranceimmunity.Excepttotheextentprohibitedbylawandsolelywithrespectto
bodilyinjuryordeathClaims,Supplierexpresslywaivesimmunityunderindustrialinsurance
lawssuchasTitle51oftheRevisedCodeoftheStateofWashington,U.S.
(f) Otherremedies.InadditiontoallotherremediesavailabletoMicrosoftatlaworequityor
underthisAgreement,Microsoftwillhavethefollowingremedies:
(1) InjunctionsagainstuseofDeliverables.IfuseoftheDeliverablesascontemplatedbythis
Agreementisenjoinedorthreatenedtobeenjoined,Supplier,atitsexpense,willnotify
Microsoftandimmediately:
(i) ProcureforMicrosofttherighttocontinueduseoftheDeliverablesaccordingto
thisAgreement;or
(ii) ReplaceormodifytheDeliverablessothattheyarenoninfringingandmeetthe
requirementsofthisAgreementtoMicrosoftssatisfaction.
IfSupplierdoesnotcomplywithSections8(f)(1)(i)or8(f)(1)(ii),theninadditiontoany
damagesorexpensesreimbursedunderthisSection8(Indemnificationandother
remedies),MicrosoftwillhavetherighttoterminatethisAgreement,inwholeorinpart,
andanySOW.Upontermination,SupplierwillrefundallamountspaidbyMicrosoftfor
infringingDeliverablesandwillpayallreasonablecoststotransitiontheServicestoa
newsupplier.
(2) MisuseofMicrosoftproperty.IfSuppliermisappropriatesorfailstoreturnMicrosoft
MaterialsoranyotherMicrosoftpropertyaccordingtothisAgreement,Supplierwillpay
MicrosofttheestimatedretailpriceforsuchMicrosoftMaterialsorproperty.
SECTION9 Limitationsofliability
(a) SUBJECTTOSECTION9(b)BELOW,NEITHERPARTYWILLBELIABLETOTHEOTHERFORANY
CONSEQUENTIAL,SPECIAL,EXEMPLARY,ORPUNITIVEDAMAGES(INCLUDINGDAMAGESFOR
LOSSOFDATA,REVENUE,AND/ORPROFITS),WHETHERFORESEEABLEORUNFORESEEABLE,
ARISINGOUTOFTHISAGREEMENTREGARDLESSOFWHETHERTHELIABILITYISBASEDON
BREACHOFCONTRACT,TORT,STRICTLIABILITY,BREACHOFWARRANTIESOROTHERWISE,AND
EVENIFTHEPARTYHASBEENADVISEDOFTHEPOSSIBILITYOFTHOSEDAMAGES.
ADDITIONALLY,NEITHERPARTYSTOTALAGGREGATELIABILITYTOTHEOTHERPARTYWILL
EXCEEDTHEGREATEROF:
(1) $2MILLIONUSDORTHEEQUIVALENTINLOCALCURRENCY;OR
(2) THEACTUALFEESPAIDBYMICROSOFTINTHE12MONTHPERIODPRIORTOTHEDATE
THECLAIMAROSE.
(b) THELIMITATIONSONLIABILITYSETFORTHINSECTION9(a)DONOTAPPLYTOLIABILITYARISING
FROM:
(1) APARTYSDUTYTOINDEMNIFYTHEOTHERFORTHIRDPARTYCLAIMSUNDERTHIS
AGREEMENT;
(2) ABREACHOFAPARTYSCONFIDENTIALITY,PRIVACY,DATAPROTECTIONANDPUBLICITY
OBLIGATIONSUNDERTHISAGREEMENT;
(3) ANYINFRINGEMENT,MISUSEORMISAPPROPRIATIONOFANYINTELLECTUALPROPERTY
RIGHTS;OR

(4) FRAUD.
SECTION10 Insurance
(a) General.Supplierwillmaintainsufficientinsurancecoveragetomeetobligationscreatedbythis
Agreementandbylaw.Suppliersinsurancemustincludethefollowingcoverage(orthe
equivalentlimitsinapplicablelocalcurrency)totheextenttheAgreementcreatesrisks
generallycoveredbytheseinsurancepolicies:
(1) CommercialGeneralLiability(occurrenceform)includingcontractualandproduct
liabilitywithlimitsofatleast$2,000,000USDperoccurrence;
(2) Automobileliabilitywithlimitsofatleast$2,000,000USDperoccurrence;
(3) Workerscompensationthatsatisfiesallstatutorylimits;and
(4) Employersliabilitywithlimitsofatleast$500,000USDperoccurrence.
SupplierwillnameMicrosoft,itssubsidiaries,andtheirrespectivedirectors,officersand
employeesasadditionalinsuredsintheCommercialGeneralLiabilitypolicy,totheextentof
contractualliabilityassumedbySupplierinSection8(Indemnificationandotherremedies)of
thisAgreement.SuppliermustobtainMicrosoftspriorwrittenapprovalforanydeductibleor
retentionin$100,000USDperoccurrenceoraccident.
(b) Professionalliability/errors&omissionsliability.Supplierwillpurchaseandmaintain
professionalliability/errorsandomissionsinsuranceiftheServicesitperformscreateexposures
generallycoveredbysuchapolicy.Thepolicywill:
(1) Havelimitsofatleast$2,000,000USDeachclaim,ortheequivalentlimitsinapplicable
localcurrency;
(2) Coverinfringementofthirdpartyproprietaryrights(including,forexample,copyright,
andtrademark)ifsuchcoverageisreasonablycommerciallyavailable;and
(3) Havearetroactivecoveragedatenolaterthantheeffectivedateoftheapplicable
SOW.
Supplierwillmaintaineitheractivepolicycoverageoranextendedreportingperiodproviding
coverageforclaimsfirstmadeandreportedtotheinsurancecompanywithin12monthsafter
terminationorexpirationofthisAgreementorfulfillmentofaSOW.
(c) ProofofCoverage.Uponrequest,SupplierwillprovideMicrosoftwithproofoftheinsurance
coveragerequiredbythissection.IfMicrosoftreasonablydeterminesthatSupplierscoverageis
lessthanthatrequiredtomeetitsobligations,Supplierwillpromptlybuyadditionalcoverage
andnotifyMicrosoftinwriting.
SECTION11 Reports,records,auditsandinspections
(a) Reports.AnyreportsSupplierprovidestoMicrosoftmustbeaccurate,completeandtimely.
Supplierwillcorrectanyerrororomissioninanyreportwithinfivedaysafterbecomingaware
oftheerrororomission.
(b) Records.DuringtheTermandforfouryearsthereafter,Supplierwillkeepallusualandproper
recordsandbooksofaccountandallqualityandperformancereportsrelatedtotheServicesor

theDeliverables(SupplierRecords).Supplierwillmaintainanydocumentationrequiredby
MicrosoftinconnectionwiththeUnitedStatesSarbanesOxleyActof2002.Supplierwillnotdo
oromittodoanythingthatcouldprejudiceMicrosoftscompliancewiththatAct.
(c) Audits,inspections,andrefunds.
(1) DuringtheperioddescribedinSection11(b)(Records),MicrosoftmayauditSupplier
Recordsand/orinspectSupplierfacilitiestoverifySuppliersstatementsandcompliance
withthisAgreement,includingbutnotlimitedtoanyprivacyorsecurityrequirements,
andotherMicrosoftsoftwarelicensingrequirements.Auditsandinspectionswillbe
conductedbyMicrosoftoranindependentcertifiedpublicaccountantorconsultant
selectedbyMicrosoft.MicrosoftwillprovidereasonablenoticetoSupplierpriortothe
startoftheauditorinspectionandwillusebesteffortstoavoiddisruptingSuppliers
operations,includingconsolidatingauditswherepractical.Supplierwillprovide
reasonableaccesstotherelevantSupplierRecords,Microsoftcontractsandfacilities.
TheauditorswillhavetheabilitytocopySupplierRecordsforauditevidence.
(2) IftheauditorsdeterminethatSupplierwasoverpaidbyMicrosoft,Supplierwillbe
requiredtoreimburseMicrosoftforanysuchoverpayment.Microsoftwillbearthe
expenseofitsselectedauditorsorinspectionteam.However,iftheauditshows
SupplieroverchargedMicrosoftby5%ormoreduringtheperiodofsuchaudit,thenin
additiontoreimbursingMicrosoftfortheovercharge,SupplierwillpayMicrosoftforall
reasonablecostsandexpenseincurredconductingtheauditandpayinterestat0.5%
permonthontheovercharge.
SECTION12 Miscellaneous
(a) Relationship.Thepartiesareindependentcontractors.ThisAgreementdoesnotcreatean
exclusiverelationshipbetweentheparties.SuppliersemployeesandSubcontractorsarenot
Microsoftemployees.SupplierwillprovideMicrosoftwithsatisfactoryproofofindependent
contractorstatusuponrequest.
(b) Governinglaw;jurisdiction.ThelawsoftheStateofWashingtongovernthisAgreement.If
federaljurisdictionexists,thepartiesconsenttoexclusivejurisdictionandvenueinthefederal
courtsinKingCounty,Washington.Ifnot,thepartiesconsenttoexclusivejurisdictionandvenue
intheSuperiorCourtofKingCounty,Washington.IfeitherMicrosoftorSupplieremploys
attorneystoenforceanyrightsarisingoutoforrelatingtothisAgreement,theprevailingparty
willbeentitledtorecoveritsreasonableattorneysfees,costs,andotherexpenses,including
thecostsandfeesincurredonappealorinabankruptcyorsimilaraction.
(c) Nowaiver.Apartysdelayorfailuretoexerciseanyrightorremedywillnotresultinawaiver
ofthatoranyotherrightorremedy.
(d) Assignment.Supplierwillnotsell,assign,transfer,pledgeorencumberthisAgreementorany
right,ordelegateanydutyorobligationunderthisAgreement,byassignmentoroperationof
law,withoutMicrosoftspriorwrittenconsent.Microsoftwillnotunreasonablywithholdsuch
consent.SupplierwillbedeemedtohaveassignedthisAgreementifSupplierengagesina
changeofcontroltransaction.MicrosoftmayassignthisAgreementtoanyofitsAffiliates.This
Agreementwillinuretothebenefitofandbindallpermittedsuccessors,assigns,receiversand
trusteesofeachparty.
(e) Forcemajeure.Neitherpartywillbeliableforfailuretoperformanyobligationunderthis
Agreementtotheextentsuchfailureiscausedbyaforcemajeureevent(includingactsofGod,

naturaldisasters,war,civildisturbance,actionbygovernmentalentity,strikeandothercauses
beyondthepartysreasonablecontrol).Thepartyaffectedbytheforcemajeureeventwill
providenoticetotheotherpartywithinacommerciallyreasonabletimeandwilluseitsbest
effortstoresumeperformance.Obligationsnotperformedduetoaforcemajeureeventwillbe
performedassoonasreasonablypossiblewhentheforcemajeureeventconcludes.
(f) Severability.Ifanycourtofcompetentjurisdictiondeterminesthatanyprovisionofthis
Agreementisillegal,invalidorunenforceable,theremainingprovisionswillremaininfullforce
andeffect.
(g) Entireagreement,precedenceandamendment.ThisAgreementsupersedesallpriorand
contemporaneouscommunications,whetherwrittenororal,regardingthesubjectmatter
coveredinthisAgreement.Anyprecedingmasteragreement,listedinanexhibittothis
Agreement,ifany,previouslyexecutedbetweentheparties(eachaPriorAgreement)is
terminated,exceptthatanySOWsunderthePriorAgreementthathavenotexpiredorbeen
terminatedwillsurviveaccordingtothetermsofthePriorAgreementasifthePriorAgreement
werestillineffect,providedthattheSOWscannotbeextendedbeyondthecurrenttermasof
theEffectiveDateofthisAgreement.Intheeventofaconflictbetweenanypartsofthis
Agreementnotresolvedexpresslybyitsterms,thefollowingorderofprecedencewillapply:
(1) ThisAgreement(includinganyMicrosoftpoliciesandproceduresreferencedherein);
(2) AsignedSOW,excepttotheextentthatthisAgreementortheSOWexpresslyprovides
thataparticularsectionoftheSOWtakesprecedenceoveraparticularsectionofthis
Agreement;and
(3) Microsoftpurchaseordertermsandconditions.
ThisAgreementmaybemodifiedonlybyawrittenagreementsignedbydulyauthorized
representativesofbothparties.However,Microsoftmayunilaterallymodifythepoliciesand
proceduresidentifiedinSection2(d)(SuppliertocomplywithMicrosoftpoliciesand
procedures).ThisAgreementdoesnotreplaceanyseparatewrittenlicenseagreementbetween
MicrosoftandSupplier,andanyconflictswithlicensingofMicrosoftMaterialswillberesolvedas
providedinSection3(b)(1)(ii).
(h) Notices.Noticesmaybeprovidedeitherbyelectronicorphysicalmail.Theperson(s)identified
onthefirstpageofthisAgreementwillreceivenoticesonbehalfoftheirrespectivecompany.
Eachpartymaychangethepersonstowhomnoticeswillbesentbygivingnoticetotheother.
(i) Counterparts.ThepartiesmayexecutethisAgreementinanynumberofcounterparts.Each
counterpartwillbedeemedanoriginalandallcounterpartswillconstituteoneagreement
bindingonbothparties.Facsimileandelectronicsignatureswillbeconsideredbindingforall
purposes.
(j) Construction.NeitherpartyhasenteredthisAgreementinrelianceonanypromise,
representation,orwarrantynotcontainedherein.ThisAgreementwillbeconstruedaccording
tothefairintentofthelanguageasawhole,andnotfororagainsteitherparty.
