MUSIC SYNCHRONIZATION LICENSE

For and in consideration of Producers agreement to pay a license fee in the sum of
$________ and other good and valuable consideration to the undersigned publisher
(KevinWorks Publishing (A!AP" #Publisher#"$ Publisher hereby grants to the producer$
Fred Film Works$ %nc&$ and its successors$ assigns$ and licenses (herein referred to as
#Producer#"$ the none'clusive$ irrevocable right$ license$ privilege and authority to(

(a" )ecord the musical composition identified belo* (including the music and+or
lyrics thereof in any arrangement$ orchestration or language"$ but only in the
synchroni,ation or timed relation *ith the motion picture identified belo*-

(b" .ake any number of copies of said recordings-

(c" ell$ license$ distribute$ subdistribute$ e'port$ and import said recordings and+or
copies from and into any country or territory throughout the universe- and

(d" Perform said musical composition throughout the universe but only in
synchroni,ation or timed relation *ith the motion picture identified belo*$ upon and
sub/ect to the terms and conditions set forth belo*(

5& 1he present *orking title of the motion picture *ith *hich said recording *ill be used
is Freds 2ightmare& As used herein$ the term #motion picture# refers to said motion
picture and all versions thereof no* or hereafter in e'istence$ *hether in 6nglish or
foreign language$ television$ or any other form$ (but not including remakes or se7uels"$
and trailers$ promotional films$ television and radio spots$ clips and e'cerpts of said
motion picture or any version thereof&

8& 1he territory covered by this license is the universe&

9& 1he music publishing company designated for the musical composition *ill be
KevinWorks Publishing (A!AP"& KevinWorks Publishing *ill o*n 0334 of all
*orld*ide music publishing rights for the core as described herein& Producer agrees to
specify Kevin !omposer (A!AP" as 0334 *riter and KevinWorks Publishing
(A!AP" as 0334 publisher for all music composed by Kevin !omposer on performing
rights cue sheets& Producer agrees to prepare accurate performing rights cue sheets and
file *ith A!AP and provide a copy to !omposer no later than 83 days after the sound
mi' of the film&

:& 1his license shall remain in full force and effect for the duration of all copyrights in
said musical composition$ including any rene*als and e'tensions *ithout Producer
having to pay any additional consideration thereof&

;& 1he recording rights granted in (a" above may be e'ercised by any and all means$
methods$ and systems of recording sound in synchroni,ation or timed relation *ith
motion pictures$ *hether no* kno*n or hereafter devised&

<& Publisher *arrants that it has the right to grant this license$ that it o*ns and controls
one hundred percent (0334" of the right$ title and interest in and to said musical
composition and that the use of said musical composition hereunder *ill not violate the
rights of any third party& Publisher shall indemnify costs$ losses$ damages and e'penses
(including reasonable attorneys fees" arising out of any breach or failure of any
*arranties or covenants made by Publisher herein&

=& ub/ect only to the rights herein above granted to Producer$ all rights of every kind
and nature in said musical compositions are reserved to said Publisher$ together *ith all
rights of use thereof& >o*ever$ in no event shall Producer have less rights than a member
of the public *ould have in the absence of this license&

?& 2o failure by Producer to perform any of its obligations hereunder shall constitute a
breach of this license$ unless Publisher has given Producer *ritten notice of such non@
performance and producer fails to cure such non@performance *ithin thirty (83" days of
its receipt of such notice&

03& Publishers rights and remedies in the event of a breach of this license shall be
limited to Publishers right$ if any$ to recover damages in an action at la*&

00& Producer agrees to give credit to the composer$ full card in the main titles to read(

05& Producer agrees not to manufacture or distribute sound recordings (including
soundtrack albums$ promotional !Bs$ and any and all methods of sound recording"
separately from actual positive prints of the motion picture and directly integrated media
(such as digital recordings to be used in theaters as part of a theaters digital sound
reproduction system"&

08& 1his license shall be governed by and sub/ect to the la*s of the tate of !alifornia
applicable to agreements made and to be *holly performed therein&

09& 1his license is binding upon and shall inure to the benefit of the respective successors
and+or assigns of the parties hereto&

0:& 1his represents the entire agreement bet*een Producer and Publisher *ith regard to
said musical composition&
