MEMORANDUM OF AGREEMENT

KNOW ALL MEN BY THESE PRESENTS:



This Memorandum of Agreement executed between and among:

The Rotary Clubs of MARIKINA, represented by FCP Mario Hernando
dela Paz; MARIKINA CENTRAL, represented by FCP Nicandro B. Marcelo;
MARIKINA EAST, represented by FCP Ray Ferdinand M. Jaraza; MARIKINA
HEIGHTS, represented by FCP Socrates F. Abella, Jr.; MARIKINA HILLTOP,
represented by FCP Carlos S. Manansala; MARIKINA NORTH, represented by
FCP Rodel Zafra; MARIKINA SOUTH, represented by FCP Dominador
Hernandez; MARIKINA UPTOWN, represented by FCP Eusebio L. Baldoz;
MARIKINA VALLEY, represented by CP Judy Malaya; MARIKINA WEST,
represented by FCP Nicanor S. Baterina; METRO MARIKINA, represented by
FCP Fernando Cresente C. Hernandez; RIVER CITY MARIKINA, represented
by FCP Rolando C. Ocampo; RODRIGUEZ, represented by FCP Jose Nathaniel
C. Castro; SAN MATEO, represented by FCP Concepcion V. Erlano; SAN
MATEO HIGHLANDS, represented by FCP Erwin Temprosa; and, MARIKINA
VALLEY, represented by CP JUDY MALAYA, all organized under the rules
and regulations of Rotary International and collectively known as Zone 4 Clubs
of Rotary International District 3800;

WHEREAS, PDG ARSENIO Ting TANCO, as owner thereof, has
allowed the use of a parcel of land, hereafter (property), for use as tree nursery
for plant materials to be used in the continuing reforestation projects of Zone 4
Clubs of Rotary International District 3800;

WHEREAS, there is need to raise funds for the care and maintenance of
plant material while waiting for the implementation of reforestation projects;

WHEREAS, there is a Global Grant for the creation of a Materials
Recovery Facility and Composting Project under GG 1419488 which will be
implemented by the Zone 4 Clubs of Rotary International District 3800;

WHEREAS, the Materials Recovery Facility will be located in a property
designated by Barangay Tumana and its product will include compost material
which will be useful for the tree nursery;

WHEREAS, both projects will be a multi-club, multi-year activity by
Zone 4 Clubs District 3800 and their partners;

WHEREAS, the Zone 4 Clubs of Rotary International cooperate and
coordinate for zone projects and with each other through their Club Presidents
for the current year and the succeeding years;

NOW, THEREFORE, the parties herein agree as follows:

ZONE 4 PROJECT CHAIRMAN AND OFFICERS

1. Zone 4 project officers.The Chairman and his officers for the project for
the current Rotary Year 2013-2014 are the following:

The term of the Zone 4 project officers is Rotary Year 2013-2014.
If no new set of officers are elected, the current set of officers shall serve
in a carry over capacity until a new set of officers are appointed by the
current Zone 4 club presidents.

The incumbent Zone 4 club presidents may appoint new project
officers within sixty (60) days from the beginning of the Rotary Year.

2. Authority for tree nursery project.The Zone 4 project chairman is
hereby given authority to represent the Zone 4 presidents and is
authorized to sign, execute and deliver any document, paper or funds
necessary to implement the terms of the tree nursery project. He is
likewise authorized to open a bank account, receive and disburse funds
in connection with this tree nursery project.

3. Authority for materials recovery facility and composting project.The
Zone 4 project chairman is hereby given authority to represent the Zone
4 presidents and is authorized to sign, execute and deliver any
document, paper or funds necessary to implement the terms of the
materials recovery facility and composting project. He is likewise
authorized to open a bank account, receive and disburse funds in
connection with the materials recovery facility and composting project.


TREE NURSERY PROJECT


4. Fund use.There will be funds donated to start the project in the
amount of ONE HUNDRED THOUSAND (PHP100,000.00) PESOS. The
fund shall be exclusively used for materials, salaries, and other
operating expenses in connection with the maintenance and operation of
the tree nursery.

5. Project site.The project will be implemented on a property which use is
given to the project for a period of five (5) years.

6. Additional contribution.Should it become necessary, the Zone 4 Clubs
of Rotary International District 3800, through its Zone 4 Rotary
Presidents for the current Rotary Year, can call for additional
contribution in a motion approved by a majority of its members.

7. Turnover.The use of the fund shall be accounted for by the Zone 4
Project Chairman and turned over to the new Zone 4 Rotary Presidents
within sixty (60) days from the end of the Rotary Year.




MATERIALS RECOVERY FACILITY AND COMPOSTING PROJECT

8. Fund use.The Global Grant funds shall be used to purchase the
machinery to be used in materials recovery and composting. Additional
funds from the Marikina City government will be used for the
construction of the building which will house the machinery.

9. Project site.The project will be located in a piece of property
designated by Barangay Tumana.

10. Turnover.The use of the fund shall be accounted for by the Zone 4
Project Chairman and turned over to the new Zone 4 Rotary Presidents
within sixty (60) days from the end of the Rotary Year.

IN WITNESS WHEREOF, we Zone 4 Presidents for Rotary Year 2013-
2014 have signed this Memorandum of Agreement on ________________ at
Marikina City.
