CONFIDENTIALITY & NON-CIRCUMVENTION AGREEMENT PRINCIPAL AND BROKER

THIS CONFIDENTIALITY and NON-CIRCUMVENTION AGREEMENT (Agreement) is made and agreed to by


Unicorn E!a!" (Broker), and Lease )
regarding the property(s)/business known as JMD orporate sweet M! "oad !urgaon (#o$$e#ti%e$y,
&roperty/business), whi#h sha$$ be more spe#i'i#a$$y de'ined on#e this Agreement is e(e#uted by Lessor)
*t is to be signed by the parties hereto prior to the re$ease o' property and ownership in'ormation) +he property
and ownership in'ormation is intended so$e$y 'or the $imited use by the parties hereto in #onsidering whether to
pursue an o''er to a#,uire an interest in #ertain in%estment opportunities des#ribed abo%e)
+he ob$igation o' #on'identia$ity undertaken pursuant to this Agreement sha$$ sur%i%e the terms o' any pur#hase
agreement or any other agreement the Broker-s ha%e or may, in the 'uture ha%e, with the property
owner (hereina'ter .wner) or the Lessor)
BROKER has #ertain spe#i'i# know$edge and re$ationships regarding the possib$e a%ai$abi$ity o' an asset that may
'a$$ within the buying parameters o' the Lessor) Lessor hereby a#know$edges that said asset is not a#ti%e$y on the
market at this time and, as su#h, Broker wou$d be irreparab$y harmed i' the Lessor bree#hed this
#on'identia$ity or #ir#um%ented, in any way, Brokers ro$e in this potentia$ transa#tion)
LESSOR HAS RE#UESTED #ertain in'ormation #on#erning &roperty (hereina'ter *n'ormation) 'rom Broker 'or
the purpose o' e%a$uating a possib$e a#,uisition/renting o' the &roperty) .wner has instru#ted Broker to
de$i%er *n'ormation, mu#h o' whi#h is high$y #on'identia$, on$y to those potentia$ Lessors who sign this Agreement)
Any 'inan#ia$ or the books o' the business sha$$ be pro%ided during the Due Di$igen#e &eriod on$y)
+he parties agree, in #onsideration o' the #o%enants and agreements #ontained herein, as 'o$$ows/
0) Lessor wi$$ not dis#$ose, permit the dis#$osure o', nor re$ease, disseminate or trans'er any in'ormation obtained
hereunder (*n'ormation) to any other person or entity, e(#ept to those o' its agents, representati%es and
emp$oyees who need to know the *n'ormation, and who are in'ormed by Lessor o' the #on'identia$ nature o' the
*n'ormation, and agree to be bound by the terms o' this Agreement)
1) A$$ in'ormation sha$$ be used 'or the so$e purpose o' e%a$uating the potentia$ a#,uisition o'
the
&roperty/Business,and it sha$$ not at any time, or in any manner, be used 'or any other purpose)
2) Lessor agrees that it wi$$ make no #opies o' the *n'ormation, and that the *n'ormation wi$$ be kept #on'identia$
and wi$$ not be disseminated in written or ora$ 'orm to any third party without Broker-s or .wner-s prior
written #onsent, whi#h may be granted or denied at their so$e dis#retion 'o$$owing Lessor-s dis#$osure to Broker o'
the name o' the proposed re#ipient.
3) Lessor sha$$ not #onta#t dire#t$y any persons #on#erning the &roperty, other than Broker, without Broker-s
written permission) 4u#h persons in#$ude, without $imitation, .wner-s emp$oyees, supp$iers and tenants)
5) 6urther, Lessor and its agents, representati%es and emp$oyees wi$$ not %o$unteer, or dis#$ose in any way, to any
person or entity, in#$uding tenants or prospe#ti%e tenants o' the &roperty or any #ompeting properties/
that the *n'ormation has been made a%ai$ab$e,
any notes or summaries o' the *n'ormation,
the 'a#t that the &roperty may be 'or sa$e,
that dis#ussions or negotiations are taking p$a#e or wi$$ take p$a#e, or
any o' the terms or #onditions or other 'a#ts #on#erning a possib$e a#,uisition o' the &roperty)
7) *' Lessor is a #orporation, partnership, $imited $iabi$ity #ompany or other non8natura$ $ega$ entity, the
person(s) signing this Agreement on its beha$' wi$$ take a$$ appropriate pre#autions to $imit the dissemination o' the
*n'ormation as des#ribed abo%e) +his Agreement sha$$ be binding upon their respe#ti%e su##essors, assigns, heirs
and $ega$ representati%es, in#$uding, without $imitation, any #orporation or other business entity with whi#h
the Lessor may merge or #onso$idate or to whi#h they may trans'er substantia$$y a$$ o' its assets or enter into an
a#,uisition or reorgani9ation transa#tion)
:) Lessor a#know$edges that its agents, representati%es and emp$oyees sha$$ be bound by this Agreement, and
any brea#h thereby sha$$ be deemed a brea#h by Lessor)
;) Lessor a#know$edges that in this potentia$ transa#tion, Broker is the pro#uring #ause and that
Lessor sha$$ not enter into any agreement with the 4e$$er un$ess and unti$ the Broker-s tota$ 'ee o'
minimum one month rent o' the gross rent pri#e payab$e in #ash at #$osing

E) +his Agreement app$ies to a$$ *n'ormation re#ei%ed 'rom Broker, now or in the 'uture, whi#h is not
readi$y a%ai$ab$e to the genera$ pub$i#) Lessor understands that a$$ in'ormation sha$$ be deemed #on'identia$,
%a$uab$e and proprietary su#h that its unauthori9ed dis#$osure, e%en without intent to harm, #ou$d #ause
substantia$ and irreparab$e harm to .wner and Broker)
0>) *n the e%ent o' any brea#h or threatened brea#h o' this Agreement, Broker and .wner sha$$ ha%e the right and
remedy to institute pro#eedings to obtain immediate inFun#ti%e re$ie', sin#e su#h brea#h or threatened brea#h may
#ause irreparab$e damage to .wner and Broker, 'or whi#h monetary damages wou$d not pro%ide an
ade,uate remedy) @othing in this agreement sha$$ be #onstrued to $imit other remedies a%ai$ab$e to Broker and
.wner, and the brea#hing party sha$$ be $iab$e 'or a$$ #osts o' en'or#ement o' the terms o' this Agreement,
in#$uding, without $imitation, #ourt #osts and reasonab$e attorney-s 'ees)
00) Lessor a#know$edges that it is a prin#ipa$ and not an agent on beha$' o' any other party in #onFun#tion with the
pur#hase o' the &roperty (e(#ept Ad%isors working on beha$' o' their pension 'und #$ients)) Lessor
a#know$edges that it is not working with any other broker or agent other than the Broker named be$ow
in #onne#tion with the property/Business)
01) @either Broker nor .wner makes any representations or warranty, e(press or imp$ied, as to the a##ura#y or
#omp$eteness o' any *n'ormation pro%ided by them) Lessor assumes 'u$$ and #omp$ete responsibi$ity 'or
re#on'irmation and %eri'i#ation o' a$$ *n'ormation re#ei%ed and e(press$y wai%es a$$ rights o' re#ourse
against .wner and Broker with respe#t to the same, and agrees to ho$d Broker and .wner harm$ess 'rom any
and a$$ #$aims arising out o' de$i%ery o' the *n'ormation to Lessor)
02) +he &erson(s) signing on beha$' o' Lessor represent that they ha%e the authority to bind the parties 'or whom
they sign)
03) +his Agreement sha$$ be go%erned and #onstrued in a##ordan#e with the $aws o' the 4tate o' !eorgia, with
%enue e(#$usi%e$y in the state #ourt in Doug$as ounty)
05) Lessor, Foint$y and se%era$$y, indemni'ies Broker and .wner against any #ommission #$aims by any broker
other than A'tab "ea$ =state !roup) Lessor 'urther a#know$edges that Broker wi$$ not pay a #ommission to
anyone who is, a#ts as, or has an interest o' any kind or nature whatsoe%er, whether #ontingent or %ested, dire#t
or indire#t, ora$ or written, in the Lessor, and 'urther a#know$edges that in this #ontemp$ated transa#tion, the
Broker is a#ting as the agent o' the .wner and, in the e%ent o' a sa$e o' the &roperty, sha$$ be paid a #ommission
based on a prior agreement between the .wner and the Broker)
