This agreement is hereby made on __11/11/09_______(date) between Marymount Manhattan College (the
College) and Jeff Karger__________Independent Contractor (the Performer(s)/Service). The following
is mutually agreed upon between the two parties:

The College hereby agrees to engage the Performer(s)/Service and the Performer(s)/Service hereby agrees to
perform/service the engagement hereinafter provided upon all the terms and conditions herein set forth:

1. Place of Performance/Service: Nugent Lounge

2. Day and Date of Performance/Service: Thursday, February 4, 2010


Arrival Time: 4:00pm or as needed for set-up
Sound Check Time: 4:30pm or earlier
Performance Time: 5:00pm-7:00pm

3. Performer(s)/Service Fee: $ 500.00 . No Deposits or Advance Payments are made prior to the
completion of performance/service. Payment is made by the College check. Approximately fourteen
business days are needed to process payment upon receipt of a signed contract.

4. Price of Tickets: $ N/A

5. Type of Entertainment/Service: Reggae music for two hours in the lounge (acoustic)

6. The College agrees to provide: Space for musicians; outlet

7. The Performer(s)/Service agrees to: play acoustic reggae music; bring necessary equipment

8. The College reserves the right to either cancel the engagement or to renegotiate the fee with an
appropriate reduction if substitutes appear for any or all the principals constituting the
Performer(s)/Service or if some, but not all, of the principals constituting the Performer(s)/Service
appear.

9. The Performer(s)/Service shall conform to the laws and regulations of the College, the City of New
York, and the State of New York, and this agreement shall be governed by the laws of the State of
New York. The Performer(s)/Service declares that the Performer(s)/Service is engaged in an
independent business and has complied with all federal, state and local laws regarding business
permits and licenses of any kind that may be required to carry out the said business and the tasks to be
performed under this agreement. The Performer(s)/Service shall provide such information and shall
execute and deliver such additional forms and agreements as shall be necessary to comply with
regulations and procedures of the College.

10. The Performer(s)/Service declares that the Performer(s)/Service is engaged in the same or similar
activities for other clients and that the College is not the Performer(s)/Service sole and only client or
customer.

11. Should the engagement be canceled or postponed for any reason at the College’s discretion, this
agreement shall be terminated automatically, subject to renegotiation between the parties. The
College shall not be liable for any fee or damages in the event of such termination.

12. Should the agreement above specified be canceled or postponed by the Performer(s)/Service for any
reason other than an Act-of-God, the Performer(s)/Service agree to reimburse the College its bona-fide
out-of-pocket expenses immediately upon presentation to the College of a certified statement of such
expenses.

13. The Performer(s)/Service is an independent contractor and not the College’s employee. The College
will not withhold taxes from payments made to the Performer(s)/Service and will not provide fringe
benefits to the Performer(s)/Service. Unless otherwise agreed to in writing, the Performer(s)/Service
is not an agent of the College and is not authorized to act for or on behalf of the College.

14. Except insofar as disclosed in the space provided below, if the Performer/Service is an individual, the
Performer represent that he/she is not otherwise the college employee or related to a College
employee; and if a firm (e.g., corporation, partnership), the Performer/Service represents that no
principal of the firm is related to a College employee and no College employee has a direct or indirect
interest in the firm.

15. The Performer(s)/Service retains the sole and exclusive rights to control or direct the manner or means
by which the work described herein is performed. The College retains only the right to control the
ends to insure its conformity with that specified herein.

16. This agreement is not binding on the College until accepted in writing by the College.

17. No workers’ compensation insurance shall be obtained by the College concerning the Performer(s)
Service or the Performer(s)/Service employees. The Performer(s)/Service shall comply with the
worker’s compensation laws with respect to Independent Contractor and Independent Contractor’s
employees.

18. Concurrently with their execution of this Agreement, the Performer(s)/Service shall supply all
equipment, tools, materials and supplies to accomplish the designated tasks, the Performer(s)/Service
shall provide to the College a description of the nature of their Performance/Service, and a list of all
equipment or other items to be used in the performance/service, and the Performer(s)/Service shall not
bring any other equipment or other items, other than personal effects, onto the College’s property.
