2+ $SE AND APPARAT$S. L2((22 sha"" use and occu%y the
Leased .remises as the site of te"ecommunications faci"ities
and e@ui%ment and may insta""! o%erate! maintain! add to!
re%air! re%"ace and remo)e said faci"ities and the e@ui%ment
inc"udin# the necessary u%#radin# thereof at such "ocations in
the Leased .remises as the L2((22 may determine+ L2((35
re%resents and warrants that the Leased .remises may
"awfu""y be used for such %ur%ose and sha"" a""ow L2((22 or
any of L2((22Fs a0"iates! subsidiaries! %artners! a#ents!
re%resentati)es and8or third %arty contractors to co-"ocate or
to insta""! either tem%orari"y or %ermanent"y! anytime durin#
the entire term of the "ease! and without additiona" renta"
costs (a) additiona" antennas/ (b) cab"es within the Leased
.remises to interconnect the te"ecommunications faci"ities and
e@ui%ment/ (c) %ower8feeder "ine/ (d) dry ce""! #enerator sets
of su0cient ca%acity and8or other a"ternati)e bacJ-u% %ower
source to assure continuous %ower su%%"y to the antenna/ and
(e) other re@uisite te"ecommunications faci"ities and
e@ui%ment! the same bein# essentia" re@uirements of and for
the L2((22Fs business+
L2((35 a#rees that a"" the faci"ities and e@ui%ment
insta""ed8%"aced and8or caused to be insta""ed8%"aced by
L2((22 in the Leased .remises sha"" at a"" times remain the
exc"usi)e %ro%erty of the L2((22 and8or its subsidiaries!
%artners! a#ents or re%resentati)es and the L2((22 sha""
ha)e the ri#ht to remo)e it at any time+
D+ CARE AND MANTENANCE OF THE LEASED PREMSES.
L2((22 sha""! at its own ex%ense and at a"" times! maintain the
Leased .remises in #ood and tenantab"e condition, and sha""
surrender the %ossession of same at the ex%iration or the
termination of this Contract! in the same condition u%on
L2((22Fs occu%ancy! norma" wear and tear exce%ted+ L2((22
sha"" be res%onsib"e for the remo)a" of a"" te"ecommunications
e@ui%ment and accessories it has insta""ed8%"aced in the
Leased .remises and c"earin# thereof u%on ex%iration or
termination of this Contract+
The L2((22 sha""! at its so"e ex%ense! maintain the Leased
.remises c"ean and in sanitary and tenantab"e condition+ The
L2((22 sha"" not brin# into and store in the Leased .remises
anythin# of hi#h"y Kammab"e or ex%"osi)e nature! or any
a%%aratus! machinery! or e@ui%ment which may cause
obnoxious odors! tremors or noise! or which may ex%ose the
Leased .remises and8or the *ui"din# to 9re or increase the 9re
ha&ard and8or insurance rate of the *ui"din#! %ro)ided!
howe)er! that the L2((22 may brin# in a %ortab"e #enerator
set (#enset) or other a"ternati)e bacJ-u% %ower source!
to#ether with the necessary fue" to run the same! at a %"ace to

be a#reed with the L2((35 in cases of %ower fai"ure! which
#enset or other a"ternati)e bacJ-u% %ower source sha"" be
immediate"y remo)ed u%on resum%tion of %ower+ The L2((35
further a""ows the L2((22! as %art of this "ease! to connect
and8or use the *ui"din#Fs #enset or uninterru%ted %ower
source+
4+ ACCESS AND MANTENANCE OF E#$PMENT NSTALLED+
The L2((35 re%resents warrants and co)enants that the L2((22
sha"" ha)e ade@uate and uninterru%ted access to the Leased
.remises as %art of the L2((35Fs ob"i#ation under this Contract+
The L2((35 sha"" a""ow on"y authori&ed em%"oyees8a#ents of the
L2((22 access to and from the Leased .remises twenty-four (24)
hours a day! se)en (<) days a weeJ durin# the entire term of this
Contract! which inc"udes the site where the te"ecommunications
faci"ities and e@ui%ment are insta""ed! to %erform re%air!
maintenance! and8 or insta""ation8u%#radin# worJs+ The L2((22
undertaJes that its em%"oyees8a#ents sha"" abide by the ru"es
and re#u"ations as we"" as the security and safety measures of
the L2((35 whi"e within the Leased .remises of the *ui"din#+
?+ $TLTES. '"" a%%"ications and connections for necessary
uti"ity ser)ices needed by the L2((22 on the Leased .remises
sha"" be made in the name of the L2((22 and8or sub-"essee or
co-"ocators+ L2((22 and8or its authori&ed re%resentati)e sha""
be "iab"e for uti"ity char#es it has incurred for the use of the
Leased .remises as they become due! inc"udin# but not
"imited to e"ectricity and #enset %ower char#es+
The L2((22 sha"" %ay for its actua" consum%tion of e"ectricity
and other %ub"ic ser)ices or uti"ities consumed in the Leased
.remises+ $or this %ur%ose! the L2((22 sha""! at its ex%ense!
insta"" in the desi#nated area by the L2((35 a se%arate meter
for monitorin# its e"ectrica" consum%tion or other uti"ity
char#es+ The L2((35 sha"" a""ow the necessary 9xtures!
e@ui%ment and accessories for the su%%"y of uti"ity ser)ices to
the Leased %remises+
Bf the L2((22 is not ab"e to a%%"y for or %rocess its own uti"ity
ser)ices connection under its name the necessary uti"ity
ser)ices sha"" be obtained from the common e"ectrica" and8or
other a%%"icab"e uti"ity connection insta""ations and8or the use
of a #enset+ Bn such a case! the L2((35 sha"" a%%ortion the
char#es for e"ectricity and other uti"ity ser)ices actua""y
consumed by the L2((22 in the Leased .remises durin# any
#i)en month and bi"" the same to the L2((22 e)ery 9fth (?

day of the month! which sha"" be %aid by the L2((22 within
se)en (<) ca"endar days from its recei%t and )a"idation of the
statement of account therefor+

7owe)er! the L2((35 sha"" not char#e the L2((22 any fee for
the use of his8her faci"ities necessary for the uti"ity
ser)ices8connections+
;+ ENTRY AND NSPECTON. L2((22 sha"" %ermit the L2((35
or the L2((35Fs du"y authori&ed a#ents and re%resentati)es to
enter the Leased .remises and ins%ect the same at reasonab"e
hours of a business day and u%on %rior written notice! for the
%ur%ose of determinin# L2((22Fs com%"iance of its ob"i#ations
hereunder+
<+ ABATEMENT OR RED$CTON OF RENT+ (hou"d L2((22 or
its authori&ed sub"essee! due to war! ci)i" commotion! 9re!
earth@uaJe! Kood! act of Lod! or any other cause beyond its
contro"! inc"udin# but not "imited to ex%ro%riation by the
Lo)ernment! be %re)ented from the enCoyment of the Leased
.remises for the %ur%ose intended! or be ob"i#ed to #i)e u%
%ossession thereof! the ob"i#ation of the L2((22 to %ay the
month"y renta" sha"" cease durin# the time that the Leased
.remises is not occu%ied by L2((22 or its authori&ed
sub"essee+ (hou"d the occurrence of any of the fore#oin#
e)ents render the Lease .remises untenantab"e so as to
eMecti)e"y %re)ent the L2((22 or its authori&ed sub"essee
from further occu%yin# the same! the L2((22 may terminate
this Contract with immediate eMect without any %ena"ty+
>+ AD!ANCE RENT. L2((22 sha"" de%osit with the L2((35 the
sum e@ui)a"ent to Three ( D ) months rent as ad)ance rent
a%%"icab"e u%on commencement of the Lease to be a%%"ied to
the 9rst few months of the term of the Lease+
:+ !EN$E OF S$T AND ATTORNEY-S FEES. Bn case of suit
arisin# from this Contract! the )enue of the action sha"" be the
%ro%er courts of Ca"oocan City on"y! to the exc"usion of a""
other courts+ Bf any "e#a" action! arbitration! suit or other
%roceedin# is brou#ht by the L2((22 for the enforcement of
this Contract or because of an a""e#ed dis%ute! breach or
defau"t in connection with any of the %ro)isions of this
Contract! the L2((22 sha"" be entit"ed to reco)er an amount
e@ui)a"ent to twenty 9)e %ercent (2?E) of the amount
c"aimed as and for attorneyFs fees and "iti#ation ex%enses
incurred in such action! suit or %roceedin#! in addition to any
other re"ief to which it may be entit"ed+
10+ NOTCES+ 'ny notice which either %arty may! or is
re@uired to #i)e! sha"" be made by mai"! %osta#e
%re%aid! and8or by %ersona" de"i)ery to the fo""owin#
addresses/ or at such other %"aces as may be desi#nated in
writin# from time to time by the %arties+

11+ RENEWAL OF LEASE. The L2((22 sha"" ha)e the
o%tion to renew the term of this Contract for an additiona"
%eriod of ten (10) years and the o%tion sha"" be exercised by
written notice #i)en by the L2((22 to the L2((35 not "ater
than sixty (;0) days %rior to the ex%iration term of the current
"ease+
12+ OPTON TO P$RCHASE. (hou"d the L2((35 %"an to
mort#a#e! se"" or otherwise dis%ose of its ri#hts! tit"e and
interests in and to the Leased .remises! the L2((35 sha"" 9rst
oMer said ri#hts! tit"e and interests to the L2((22 or its
desi#nee at fair marJet )a"ue as determined by a com%etent
third %arty a%%raiser accredited by the (ecurities and
2xchan#e Commission and chosen by both %arties+ Bn the
e)ent the L2((22 or the L2((22Fs desi#nee fai"s to acce%t the
oMer within thirty (D0) days from recei%t of the written oMer
thereof from the L2((35! the L2((35 may then maJe a
simi"ar oMer to bona 9de third %arties at a %rice and under
such terms and conditions not more fa)orab"e than those
oMered to the L2((22 or the L2((22Fs desi#nee+
The L2((35 hereby warrants that it sha"" inc"ude a sti%u"ation
in any deed of sa"e! mort#a#e or any dis%osition in)o")in# said
Leased .remises that the buyer! mort#a#ee or transferee
sha""! at a"" times durin# the eMecti)ity of this Contract!
res%ect a"" the ri#hts of the L2((22 or its authori&ed sub"essee
under this Contract! otherwise such deed of sa"e! mort#a#e! or
dis%osition sha"" be nu"" and )oid ab initio+ Bf for one reason or
another any ri#hts of the L2((22 under this Contract is
)io"ated by the L2((35 or its successor-in-interest! the
L2((35 and its successor-in-interest sha"" be Coint"y and
se)era""y "iab"e for a"" dama#es and8or ex%enses suMered or
incurred by the L2((22! without %reCudice to any other "e#a"
ri#hts and remedies that the L2((22 may ha)e under this
Contract or any a%%"icab"e "aw+
1D+ PRE"TERMNATON OF LEASE. The L2((22 may!
without any %ena"ty! %re-terminate this Contract with
immediate eMect! u%on %rior written notice to the L2((35

refuse to #rant the necessary %ermits or "icenses or
c"earances for the construction and o%eration of the
L2((22Fs and8or its %artnerFs te"ecommunications
faci"ities and e@ui%ment or if the Lo)ernment shou"d! in
any other manner! %re)ent the L2((22 from successfu""y
and %ro9tab"y carryin# on L2((22Fs and8or its %artnerFs
business+
ObP Bn the e)ent of 9re! earth@uaJe! Koods! any natura"
ca"amity ! fortuitous e)ents or any act of Lod! that
wou"d render the condition of the roofto% and 8 or
com%romise the structura" inte#rity of the *ui"din# and
it can no "on#er su%%ort the te"ecommunications
faci"ities and e@ui%ment within the Leased .remises/
OcP Bn the e)ent that the "ine-of-si#ht of the insta""ed
te"ecommunications faci"ities and e@ui%ment on the
Leased .remises is b"ocJed on account of modi9cations
made by the L2((35! then this Lease sha"" be deemed
ipso facto terminated/ or if the "ine-of-si#ht is b"ocJed on
account of the construction and8or com%"etion of
construction of adCoinin# %ro%erties! which were non-
existent at the time this Contract was entered into+
OdP Bf the L2((35 )io"ates any of the terms and conditions
of this Contract as we"" as other ri#hts of the L2((22
#ranted by "aw and the L2((35 fai"s to remedy the
same to the satisfaction of the L2((22 within a %eriod of
ten (10) ca"endar days from notice of defau"t+ The
L2((35 sha"" then immediate"y return a"" unused renta"s
to the L2((22! without %reCudice to the ri#ht of the
L2((22 to c"aim such other dama#es incurred by the
L2((22 and to the exercise of any or a"" ri#hts arisin#
from this Contract or those #ranted by "aw+
OeP $or such other reasons other than those stated abo)e/
the L2((22 sha""! howe)er! #i)e the L2((35 at "east
thirty days (D0) %rior written notice thereof+

$or the a)oidance of doubt! in a"" instances of %re-termination!
the L2((35 sha"" refund to the L2((22 a"" unused renta"s
within thirty (D0) ca"endar days from eMecti)e date of %re-
termination of this Contract+
14+ PROHBTED .FTS. L2((35 sha"" not %ay! oMer or
authori&e %ayment of monies or anythin# of )a"ue to any
%erson89rm actin# on beha"f of the L2((22 for the %ur%ose of
inducin# decisions for this Lease+

1?+ LESSOR-S WARRANTY. *y enterin# into this Contract!
the L2((35 re%resents and warrants that he8she has #ood and
su0cient tit"e and interest o)er the Leased .remises and that
he8she has fu"" authority to enter into and execute this
Contract and %ro)ide the L2((22 and8or its subsidiaries!
%artners! a#ents! re%resentati)es and its authori&ed sub"essee
fu"" and %eacefu" %ossession of the Leased .remises durin# the
entire term of this Contract and any renewa"s or extensions
thereof+ The L2((35 sha"" indemnify the L2((22 from any and
a"" "osses! dama#es or "iabi"ities that the L2((22 may suMer in
the e)ent that this Contract cannot be enforced due to a
defect in the tit"e of the L2((35 or any ad)erse c"aim thereon
or if the L2((35 fai"s to %ro)ide fu"" and %eacefu" %ossession
of the Leased .remises to L2((22 and its authori&ed
sub"essee+
1;+ LESSEE-S WARRANTY. H%on the ex%iration or ear"y
termination of this Contract! a"" %ermanent im%ro)ements!
inc"udin# the e@ui%ment room and any "iJe structure of stron#
materia"s! which cannot be remo)ed without defacin# the
Leased .remises or the im%ro)ements abo)e mentioned sha""
become the %ro%erty of the L2((35 and sha"" not be remo)ed!
exce%t for the te"ecommunication faci"ities! e@ui%ment! and
accessories which sha"" remain the %ro%erty of the L2((22
and8or its subsidiaries! %artners! a#ents! re%resentati)es! and
sha"" be remo)ed by the L2((22 at its ex%ense+ '"" dama#es
or costs incurred in the remo)a" of the te"ecommunication
faci"ities! e@ui%ment! and accessories sha"" be for the account
of the L2((22+ 6ithin thirty (D0) ca"endar days from the
ex%iration or ear"y termination of this '#reement! the L2((35
sha"" return the L2((22Fs unused ad)ance renta"! shou"d there
be any+
1<+ A$THORTY+ The %arties hereto re%resent and warrant
that they ha)e fu"" %ower and authority to enter into and
%erform their ob"i#ations under this Contract+ The %arties
further warrant that a"" necessary actions! consents! and
a%%ro)a"s for the execution of this Contract ha)e been taJen
and8or obtained+ This Contract sha"" constitute the "e#a"! )a"id
and bindin# ob"i#ations of the %arties to be enforceab"e in
accordance with its terms and conditions+

1>+ SE!ERABLTY. The dec"aration by any com%etent
#o)ernment a#ency or court that any %ro)ision of this
Contract is nu""! )oid or unenforceab"e sha"" not aMect the
other %ro)isions of this Contract which are ca%ab"e of
se)erance and which wi"" continue unaMected+ The %arties
a#ree that any %ro)ision so dec"ared nu""! )oid or
unenforceab"e sha"" be re%"aced with )a"id or enforceab"e
%ro)isions as c"ose"y a"i#ned with the ori#ina" intent of the
%arties as %ossib"e+
1:+ S$CCESSORS AND ASS.NS. This Lease sha"" be
bindin# and ha)e fu"" force and eMect not on"y on the %arties
but a"so u%on their res%ecti)e heirs! successors!
administrators and assi#ns+
20+ ASS.NMENT OF R.HTS AND S$BLEASE. L2((35
acJnow"ed#es and a#rees that L2((22 has the ri#ht to
sub"ease the who"e or %art of the Leased .remises! or transfer!
con)ey! assi#n or encumber its ri#hts under this Contract! to
any of its subsidiaries! a0"iates or %artners without need to
secure the %rior written consent of the L2((35! and under
such terms and conditions and for such considerations as
L2((22 may deem necessary or con)enient+
21. NTERFERENCE+ L2((35 sha"" not interfere with! or
Jnowin#"y %ermit others to interfere with! the insta""ation of
any of the te"ecommunication faci"ities and e@ui%ment on the
Leased .remises+ (hou"d the L2((35 become aware of any
interference! the L2((35 sha"" %rom%t"y notify the L2((22+
22+ LEASE TO OTHER TELECOMM$NCATON OPERATORS. Bn
the e)ent that the L2((35 a""ows other te"ecommunication
o%erators to insta"" or "ease any %ortion of the *ui"din# for
their te"ecommunications faci"ities! the L2((35 hereby
warrants/ (a) that in order to safe#uard L2((22Fs concern on
the technica" as%ects of its te"ecommunication faci"ities! the
L2((35 sha"" furnish the L2((22 with the a%%ro)ed %"ans of
the other te"ecommunication o%erators! (b) that the L2((35
sha"" obtain the %rior written consent of the L2((22! and (c)
that the L2((35 sha"" not a""ow other te"ecommunication
o%erators to insta"" their te"ecommunication faci"ities on the
L2((22Fs faci"ities (e+#+ cab"e "adders)+
2D+REAL ESTATE TA/ES AND OTHER TA/ES. '"" rea" estate
taxes and other taxes re"atin# to this Contract sha"" be for the
account of the L2((35 and %rom%t %ayment thereof sha"" be
the res%onsibi"ity of the L2((35+
24+ RE.STRATON. L2((35 sha"" extend its fu""est coo%eration
to enab"e L2((22 to execute! si#n and8or %re%are any and a""
other documents! a#reements and instruments and do a""

other thin#s which may be necessary to enab"e L2((22! at its
o%tion! to eMect the re#istration of this "ease in the 30ce of
the 5e#ister of =eeds for the City of Ca"oocan at L2((22Fs
ex%ense+
2?+ EMNENT DOMAN+ Bf the "eased %remises or any %art
thereof sha"" be taJen by eminent domain! thereby
substantia""y aMectin# LesseeQs ri#ht to use the %remises! the
L2'(2 sha"" terminate on the date when the L2((22 )acates
the %remises or when its te"ecommunication e@ui%ment and
faci"ities become ino%erati)e! whiche)er comes 9rst+

Conse@uent"y! the rent sha"" be a%%ortioned as of the
termination date and any rent a"ready %aid for any %eriod
beyond that date sha"" be refunded to the L2((22+
2;+ENTRE A.REEMENT. The fore#oin# terms and conditions
sha"" constitute the entire a#reement between the %arties and
may be modi9ed on"y in writin# by both %arties+
