CONFIDENTIAL SBTTLEMENT AGREEMENT
This Conf'rdential Settlement Agreement ("Agreement") is made and elltered into this
lSth day of Novenrber 2013 (the "Execuiion Date") by arrd between American Omni Trading
Co., LLC, a Delaware limited liability colnpany with its prirrcipal place of business at 15354
Park Row, Houston, TX 77084 ("Ourni"). and Toyo Tire & Rubber Co., Ltd. with its principal
place of busincss at l-17-18 Edobori, Nishi-ku, Osaka 550-8661, Japan ("Toyo Tire"), Toyo Tire
Holdings of Anrericas lnc. with its principal place of business at 5665 Plaza Drive, Suite 200,
Cypress, CA 90630 ("Toyo Holdings"), Toyo Tire U.S.A, Corp. witli its principal place of
business at 5665 Plaza Dlive, Suite 300, Cypress, CA 90630 ("Toyo U,S.A."), Nitto'ftre U.S.A.

not limited to U,S. Design Patent Nos, D487,424 (*'424 Patent"), D626,9t3 ("'913 Pater.rt")

("'2l4 Patent") (collectively the "Asserted Patents");
WHEREAS, Omni, its parents, divisions, subsicliaries, affliates, succsssors, and/or
assigns, and/or clirectors, offrcers, ancl ernployees of any of them (collectively, the "Omni
Eltities") are now or have in tl-re past been in the business of, among other things,
manufacturing, selling for importation into the Unitecl States, importing into the United States,
andror selling after importation into the United States tires and/or prodtrcts containing same,
some of which Toyo alleges infiinges the Asserted Pirtents, including Wanli S-1089, Thundeter

WHERIAS, Omni does not adlit that it or any of its pareuts, divisions, subsidiaries,
affiliates, successors, and assigns has ever irrfringecl upon any intellectual properry of Toyo,
inclLrding the Assened Patents;makes no assertion with respect to the validity of the patents; and
is only entering this Agreement to avoid litigation costs;
WHERBAS, Toyo and Onlni (collectively, the "Parties") desire to resolve all dsputes
relating to the Accused Tires and Toyo's Asserted Patents;
NOW, THEREFORE, in consideration of the nrutual covenants and obligations
contained herein, and subject to the temls and conditions set forth below, the Parties, lntending to
be legally bound by same, hereby agree as follows:

l.l. Ornn represents and warrants that it is involved with the manufachtring,
irnportation into and sale after importation into the United States of the Accused Tires.
1.2. Upon the execution of this Agreemerrt, Omni represents and warrants that it
aftaches the true and accurate Affidavit of Tom Brackin, its Presdent, hereto as Exhibit 2, which
provides, inter alia, the total dollar arrount of its sales of the Accused Tires in the United States
fbr the 6-year period prior to the initial hling of the ITC Action on August 14,2013.
1.3. Ornni represents and warrants that, as of the Execution Date, it has the level of
inventory of the Accused Tires in the United States as described in Exhibit I attached hereto.
1.4. Omni represents and wamants thnt the infontration contained in the Affidavit of
'lom
Brackin (attached hereto as Exhibit 2), regarding the lnrpot'tation and Sale of'the Accused
Tires is true and conect as of the Execution Date.

1.5" Except for tires in its inventory as of the Execution Date, Omni represents and
warrants that no further Accused Tires, or' uly of the tires listed in the attached Exhibit 4, shzrll be
inrported by it, or on its behalt, into the United States after the Execution Date.
1.6. Ornni represents and warrents that no further Accusecl Tires, or any of the tires
lisred in the attached Exhibit 4, shall be sold by it or on its behalf after December 31,2013.
Eletrveen the Execution Date and December3l,20l3, Ornni may sell orotherwise dispose of any
Accused Tires or any of the tires listed in the attached Exhibit 4 that are in its inventory as of the
Execution Date or have a bill of lading date on or before August 14,20lr3.
1.7. Ornni represents and waffants that (i) thc manufaclure of Corcours A/T tires
Lrsing the molds referenced in Article 2,4 ended on or prior to September 17,7013, and (ii) no
more tires will be made with those molds ulltil such molds have been modified pursuant to
Article 2.4.
L8. Nothing in this Agreement shall be construed to prevent Omni from
rnanufacturing, importing and/or selling tires other than the Accused Tires or tliose other tires
listed on Exhibit 4.
1.9. Omni, on behalf of itself, and any of the Omni Entities, represents and warants
that it will not directly or indirectly aid, assist or participate in any action contesting the validity
and/or enforceability of any of Toyo's intellecrual property listecl on Exhibit 3, except as
required to cornply with any discovery request or subpoena, or as needed in defense of any
infringenrent claim asserted against any o1'the Omni Entities.
Ll0. Ornni represents that it has not fled any application fbr or other-wise sought any
f'orrn of intellectLral property protection wth any governrent agency in the United States or
anywhere in the world, based on any desgn found as part of either the Accused Tires or the tires
listed in Exhibit 4.
l.l l. Omni covenants that it will not fle any application for or otherwise seek any
fbrrn of intellectual properly protection with any government agency in the United States or
anywhere in the world, based on any design found as part of either the Accused lires or tlie tires
listed in Exhibit 4, except that Ornni may seek intellectual property protection for the design that

1.12, Ourni covenants that it will comply with any subpoena issued in connection witli
any other lcgal action that involves the importation and sale of inf'inging tires wherein Ornni
was involved in the sale and/or irnport of the Accused Tires or Exhibit 4 Tires that are the sutrject
of the action.
1,13, Onrni represents and wanants that the person executing this Agrecment on ils
lehalf has full authority, competence and power to bind it and the Ornni Entities to this
Agreernent and all of the tenns hereof.
I . I4. Toyo represents and warrants that the person executitig this Agrecrnent on its
c'half has lull authoriq,, cornpeteuce and powel to bind it and its afTliates to this Agreement and
all of the terms hereof.
2. Disposition of Inventory and Equipment.
2.1. As of Decenber 31,2013, Omni shall have sold orothenvise disposed of (a) all
the Accused Tires that are ir.r its inventory as of the Execution Date anclhave a bill of lading date
on or prior to August 14,2013, and (b) all the tires listed on Extribit 4 that ale in its inventoly as
o I the Execution Date and have a bill of lading date on or prior to August 14,2013.
2.2. Ornni rnay export any inventory of tlie Accused Tires (and any tire in inventory
which is tisted in Exhibit 4), including retumed products, out of the United States no later than
December 3 I, 2013.
2.3. Orni shall provicle Toyo with an affdavit describing the clisposrtion of its
irrventory pursuflnt to Articles 2. I ancl 2.2 no later than January 10, 2014.
2.4. As promptly as l'easonably agreed to by the Parties (but in no event later than
t80 days after the Execution Datc), Omni shall cause nrodifications to be made to the molds for
the Concours A,/T so that the nlodihed urolds will reflect the pattenr shown on Exhibit 5. Except
I'or he molcls for the Concouls A/T tire, Onrni represents aucl wanants tlrat none of the Omni
Entities owlls any other molds or has provide<l any molds to manufacturers or provided the
blueprints of any molds to manufacturers in order that molc{s be btrilt, wirere such otber rnolds
are or have been Lrsed in the creation of the Accused Tires and/or any tire listed in Exhibit 4.
Orni merely purchased the Wanli S-1089 anclThunderer R/T 405 without having any influence
or ownership over their design or tnanuthcture.

2.5. Omni agrees that Toyo has and will have the right to review the proposecl
nrodification of the nrolds, as described in Article 2.4.
2.6. Onlni shall provide Toyo with an aftidavit of such modit'ication on completion,
but no later than 185 days after the Execution Date.
3. Disposition of Claims
3.1. Omni, on behalf of itself and all other Omni Entities, subject to the rrventoty
clisrosition period provided in Articles 2.1 and 2.2, agrees to pern'lanently cease and desist ft'om:
(l) the manufacture, sitle, offer for sale, distribution, and/or importation of the Accused Tires;
and (2) the manufachrre, sale, off'er for sale, distribution, and/or importation of any tire listed in
xhibit 4.
3.2. Ornni agrees that, upon its breach of any provisiou of Articles 1.5, 1.6, 2.4, or
3.1, Toyo shatl be entitled to imrnediate relief and to recover fi'otn Ornrti: (l) a20% royalry on
Sales (as cletned below) of the Accusecl Tires and/or tire(s) listed in Exhibit 4, prior to thc
Execution Date; (2) a 20o/o royalty on Sales ot'the Accused Tires and/or tire(s) listed in Exhibit 4
lrom the Execution Date to
juclgment or othet final rlisposition of Olnni's breach; (3) immediate
injunctive relief enjoining the manufacture, sale, offer for sale, distributiott, and/ot inrportatiorr
ol the Accused Tires and./or tire(s) listed in Exhibit 4; and (4) attomey fees expended by Toyo in
enlorcingtlrisagreernent. Further,intheeventofOmni'sbreachofArticlesl.5,

Omni agrees to stipulate to entry of a
judgrnent and an order to award the above dnmages atrd
injunctive relief in the United States District Court for the CentLal Dstrict of Califonria. As used
herein, "Sales" means the total compensation and/or value recognizecl by Otnni frotn the sale
nndi or exchange of the Aocused Tires less freight charges, sales, use or other sirnilar taxes, and
lcss credit for any refrnds, rebates, advertising, volume or other marketing allowances, relurns
ancl breal<age attributable to thc sale and/or cxchange of thc Accused
"fires.
3.3, Onrni, on behalf of itself and the Omni Entitics, hereby releases, waives, and
clischarges Toyo, its parents, divisions, subsidiaries, affiliates, successors, attd/or assigns, ancl/or
clirectors, olficers, an<Vor employees of any of tlteln (collectively, tlte "Toyo Entities") fiorn any
and all claims, rights, demands, losses, or causes of action, in law or in equiry, ol any nature
whatsoevel, known or unknown, suspected or unsuspected, fixed or contingent, against Toyo or
any of the Toyo Entities, accruing on or before the clate of this Agreemetrt, including, but not

lirnited to, any and all clnims, rights, demands, losses, or causes of action based upon, in
consequence of, arising out of, or relating to, either directly or indirectly, in whole or in part, the
ITC Action, or any subjects or clairns that were or could have been asserted in the ITC Action
befbre the ITC or alty otl'rer tribuna[.
3.4. Subject to the provisions in Article 3.2, Toyo, on belralf of it and the Toyo
Entities, hereby releases, waives, and dischargcs Omni and the Omni Entities from any ancl all
claims, rights, demancls, losses, or cluses of action, in law or in equity, of any natul'e whatsoevel,
kuown or unknown, srLspected or unsrlspected, fixed or coutingent, against Ornni or the Onlni
Entities, accruing on or before the date of this Agreement, including, but not limited to, any and
all claims, rights, demands, losses, orcauses of action baseclupon, in consequence of arising out
of, or relating to, either directly or indirectly, in whole or n part, the ITC Action, or any subjects
or claims that rvere or could have been asserted in the ITC Action, before the ITC or any other
tribunal.
3.5. ln exchange for Omni's performance of its obligations under this Agreement,
Toyo, on behalf of itsell'and all the clther Toyo Parties, hereby releases, waives, and discharges
any of Omni's custonlers who arc not named Respondents in the ITC Action and either (l) have
acquired the Accused Tires or the other tires listed on Exhibit 4 directly frour Onrni or any of the
Ornni Entities otl or before December 31,2013 oL (2) have acquired the Accusccl Tires ol the
other tires listed on Exhibit 4 indirectly (frorn an entity which is not Onrni or any of the Omni
Entities) at any time, from any and all claims, riglrts, demattcls, losses, or causes of action, in law
or in equiry, ol any natufe whatsoever, known or unknolvu, suspected o[ unsuspected, fxed or
contingent, arising fronr or relating to such party's direct oL' indirect purchase of the Accused

3.6. Toyo shall file a lVIotion to Tet'minate Omni on lhe Basis oj'Settlentent, within
lve (5) business days of the Execution Date. Omni understancls aud acknor.vledges that Toyo
intenrls to continue with the ITC Action, Af,ter the Execution Date, and until suclt lirne as tlte
Motion is granted, Toyo will cooperate with Ornni to suspend all activities in the ITC Action as
between Toyo and Ornni,
3.7. The releases given by the Parties under this Agreernent shall not alply to, nor be
cleemed to, release any riglits or duties arising ttnder this Agreement.

3.8, The Parties will agree upon language to be used in any ptess release or other
nnouncen'lent describing the resolution of the ITC Action, as between the Parties.
3.9. tt is further understood aud agreed by the Parties that all riglits under section
1542 of ttre Calitbrnia Civil Code, and any sirnilar law of any state or territory of the United
States, are hereby waived as to claims which the releasing par-ties do not know or suspect to exist
at the time they execute this release. This section reads as follorvs:
A general release does notextend to the clainrs which thc creditordoes not
know or suspect to exist in his tvor at the tilne of executing the release,
which if known by hirn must have materially affected his settlement with
the debtor.
3.t0. The Parties understand nnd acknowledge that the promiscs stated in this
Agreernent are a full, fnal, and cornplete settlement of all claims of auy kincl, whether known or
lrnknown, actual or potential, which either Party now has or at any titne ptor to the Agreetlretlt
may have had for any acts, ornssions, or other conduct of any kind arising out of or reladng to
the clairns assefted in the ITC Action.
3,1l. The Parties wanant, represent, and agree that eacll of them eKecutes this
Agreement with the full knowledge of any and all rights that it nray have rvitlr respcct to the
controvcrsies and allegations hetcin.
3.12. The Parties acknowledge that they have been reprcscntcd by counsel at all times
or have declined to retain counset, and that ro representation of fact or opinion has been tnade to
ttrem by any other party which in any rnarlner has induced any of tbe parties to agree to this
Agreement. Fuhennore, the Parties acknowledge that they have reviewed, approved, and
executed this Agreement in consultation with counsel and ftrrther represent that they have read
and unclerstand this Agreenrent and intend to be bound by each provision contained here in,
3.13. Unless the context otherwise requires, the use of the singular shall include the
plural and the use of any gendel shall iriclude the others and vice versa, All referertces ttl
amourlts of cun'ency shall be deemed to refer to United States dollars.

3.15. This Agrecment may not be waived, repealed, modited, altered, oramendcd, in
wholc or in part, except by a written inshumcnt exccutcd by authorizcd rcprcscntatives of both
Parties. Waiver by any Party of any brcach of any provsion of this Agrecment shall not
constitutc a waiver of any other brcach of that or any other provision of this Agrecment.
3,16. This Agreemcnt shall be binding upon and inure to thc bcnefit of the Parties
named and dcfined herein. Thc Parties acknowledge and rcprcsent that nonc of the claims
reteased hsrein has been assigned or otherwise translcned to a third party prior to thc Execrtion
Date. Omni tgrees that it shall bc decrled a brcach of ths Agrccmcnt f'or any other Omni Party
to cngagc in action or conduct that, if performcd by Ornni, would conslihrtc a brcach or violaton
of this Agrcemcnt.
3.17 . This Agrecment, and thc Exhibits attached hereto, constitutes the entirc
Agreemcnt bctwecn thc Pafiies with respect to thc subjcct rnattcr hereof, including, but not
lirnitcd to, any and all claims or contentions rclating to the ITC Action or thc Accused Tires,

3.18. This Agreemenl may be executed in one or more counterparts, each of which
shall be deerned an original, lut all of'which together shall constihrte but one and the same
nrstrument.
3.19. If any plovision of this Agreernent is deemed invalid or unsnforceable by a collrt
of competent
jurisdiction, the reinainder of this Agreement and the application of such plovisions
to other persons or cilcumstances shall not be affccted thereby and shall be enforced to the full
extentofthelaw. Acourtolcompetentjurisdictionislrerebyauthorizedtorewriteorothenvise
timit any unent-orceable provision to the extent recluired to make such a provisit-rn enforoeable.
3.20. This Agreenrent has been and shall be construed to have been drafted by all of'
the Parties, so that the mle o1' construing ambiguities against the drafter shall have no lorce
ancl/or effct.
3.21. The terms and contents of this Agreenrent, and the contents of tl:e negotiations
urd discussion resulting in thrs Agreement, shall be maintained as conFrdential by the Palties and
their agents, representatives, and attomeys, and shall not be dsclosed to any third parties other
than their own personnel, prof'essional advisors, and cousultants, except to the extent required by
t'ederal or statc law, by court order or subpoena provided that the disclosing Party provides the
orher Party with prompt written notice of sucli demand (prior to any scheduled disclosure) to

Party's own expense, or as otherwise provided herein,
3.22. This Agreement shall bc consffued under tlre laws of the State of Califomia,
excluding its conflict of law provisions. THE PARTIES AGREE THAT ANY AND AI-l-
ACTIONS, SUITS, OR OTHER LEGAL PROCEEDINGS ARISING UNDER THIS
AGREEMENT MAY BE BROUCHT AGAINST THE OTHER OR ITS EI\'IPLOYEES OR
AGENTS ONLY IN THE U.S. COURT FOR TFIE CENTRAL DTSTRICT OF CALIFORNIA

We represent Toyo Tire and Rubber Co., Ltd. in intellectual property
matters, including before the United States Iternational Trade Commission and
Federal Courts. Toyo Tire and Rubber Co. Ltd. is the legal owner of U.S. design
patents D675,150 ("the'150 Patent") and D487,424("the'424Paten|"). Copies of
these patents are attached for your reference.
It has come to Toyo's attention that Sentury tire is selling Landsail LS588
UHP and Delinte Dub tires in the United States. It is our belief that the design of
the Landsail LS588 UHP tire (known also as Landsail Trailblazer CLV6) is
substantially similar to the design protected by the '150 Patent and therefore may
be infringing that patent. Toyo is currently selling its Nitto Motivo tires in the
United States, which embody the design protected by the '150 Patent. We provide
a chart providing a side-by-side comparison of the Landsail LS588 UHP tire and
the '150 Patent below.

Toyo vigorously defends its intellectual property rights to protect the considerable
invesfinents it makes to develop unique and proprietary tire designs that are well received in the
markelace for their aesthetic appearance and quality. Nobody may make or sell tires that
incorporate Toyo's proprietary designs without Toyo's permission.
Toyo would like to quickly and amicably resolve these issues. To start, Toyo requests
that you immediately discontinue selling, and offering for sale, the Landsail LS588 UHP and
Delinte Dub tires, and any other tires with simila tread patterns, and provide the quantities of
those tires you have sold to date and revenues from those sales. Toyo also requests that you
identifo the manufacturer of those tires and the entity from whom you obtained those tires.

patents D675,150

lt has come to Toyo's attention that Sentury tire is selling Landsail LS588
IJFIP and Delinte Dub tires in the United States. [t is our belief that the design of
the Landsail LS588 UHP tire (known also as Landsail Trailblazer CLV6) is
substantially sirnilar to the design protected by the '150 Patent and therel"ore may
be inliinging that patent,

Toyo vigorously defends its intellectual property rights to protect the considerable
investments it makes to develop unique and proprietary tire designs that are well received in the
marketplace for their aesthetic appearance and quality. Nobody may make or sell tites that
incorporate Toyo's proprietary designs without Toyo's permission.
Toyo would like to quickly and amicably resolve these issues. To start, Toyo requests
that you immediately discontinue selling, and ofTering for sale, the Landsail LS588 UHP and
Delinte Dub tires, and any other tires with similar tread patterns, and provide the quantities of
those tires you have sold to date and revenues from those sales. Toyo also requests that you
identify the manufacturer of those tires and the entity from whom you obtained those tires.
