EMPLOYMENT AGREEMENT

(.)uties of Mem"er ' The Mem"er is em%&oyed "y the !rgani$ation to render %rofessiona&
services on "eha&f of the !rgani$ation as an Registered Nurse.
*.Site of +or,' The Mem"er #i&& "e send de%ends on the &ocation of his-her %atient.
..Sa&ar y ' The !rgani$ation sha&& %ay to the Mem"er as com%ensation for Mem"ers.
/.Te r m s o f Ag r eemen t ' The effective date of this Agreement sha&& "e )ATE. 0rovided
Mem"er com%etes a .12day introductory %eriod, this Agreement sha&& remain effective and
continue in force
and effect for a %eriod of one 3(4 year from the effective date un&ess terminated as
hereinafter %rovided. It sha&& automatica&&y "e rene#ed on an annua& "asis un&ess either
%arty gives #ritten notice of nonrene#a& or termination to the other %arty no &ess than si5ty
3614 days %rior to one year from the effective date of this Agreement.
7.8enefits' After com%&etion of the 912day introductory %eriod, Mem"er sha&& "e e&igi"&e for
the fo&&o#ing'
a.The !rgani$ation sha&& %rovide hea&th insurance for Mem"er. The hea&th insurance
%rovided for herein sha&& "e under the %&an ado%ted "y the !rgani$ation for a&& mem"ers of
the !rgani$ation and may "e su":ect to change from time to time "y the !rgani$ation.
".The !rgani$ation #i&& %ay the mem"ers 0hi&hea&th contri"utions.
6.0atient ;ees' The !rgani$ation sha&& have e5c&usive authority to determine the fees, or a
%rocedure for esta"&ishing the fees, to "e charged %atients of the !rgani$ation, even though
such %atients may "e treated "y the Mem"er in the course of em%&oyment "y the
!rgani$ation. A&& sums %aid "y any %atient of the !rgani$ation in the #ay of fees, sa&ary, or
other#ise for medica& services rendered "y the Mem"er sha&& "e and remains the %ro%erty of
the !rgani$ation and sha&& "e inc&uded in the !rgani$ation<s name in such chec,ing account
or accounts as the !rgani$ation may from time to time designate. The !rgani$ation sha&&
co&&ect a&& fees for services rendered "y Mem"er. Mem"er sha&& com%&y #ith a&& %rocedures
re=uired for "i&&ing %ur%oses. *1> of the fee #i&& go to the !rgani$ation the remaining ?1>
#i&& "e given to the mem"er #ho rendered services to the %atient.
@.0atient' The !rgani$ation sha&& have the authority to determine #ho #i&& "e acce%ted as
%atients of the !rgani$ation. The !rgani$ation sha&& have the authority to designate, or to
esta"&ish a %rocedure for designating, #hich %rofessiona& mem"er of the !rgani$ation #i&&
hand&e each such %atient. The !rgani$ation #i&& "e the record o#ner of a&& %atient medica&
records.
?.0rofess i ona& 0o&ic i es and 0roced u res'
a. The !rgani$ation sha&& have the authority to esta"&ish from time to time the %rofessiona&
%o&icies and %rocedures to "e fo&&o#ed "y the Mem"er in hand&ing each individua& %atient
of the !rgani$ation.
".Mem"er sha&& receive a co%y of the Aonstitution and 8y2&a#s to ,no# the organi$ation #e&&
9.Te r m inat i on of Ag r ee m ent'
a.This Agreement may "e terminated "y either %arty at any time during the .12day
introductory %eriod.
".The Mem"er or the !rgani$ation may vo&untari&y e&ect to terminate this Agreement u%on
advance #ritten notice de&ivered to the !rgani$ation no &ess than si5ty 3614 days "efore the
effective date of the termination.
c.The !rgani$ation may terminate this Agreement at any time #ithout %rior notice if the
Mem"er, in the so&e discretion of the !rgani$ation, "ecomes unfit to %ro%er&y %ractice as a
nurse on "eha&f of the !rgani$ation, or if the Mem"er "ecomes &ega&&y dis=ua&ified to render
%rofession.
d. B%on termination of this Agreement as herein a"ove %rovided, the !rgani$ation #i&&
remain record o#ner of a&& %atient medica& records and #i&& maintain a&& records. The
Mem"er sha&& have access to those records #hen necessary to continue %atient care .
e. B%on termination, Mem"er sha&& "e re=uired to su"mit any remaining "i&&s for service
%erformed "y the Mem"er to !rgani$ation for "i&&ing and co&&ection. Mem"er sha&& have no
e=uita"&e interest in any fees received "y the !rgani$ation after termination on "eha&f of
services %erformed "y the Mem"er.
(1.Nondisc & osure' Mem"er recogni$es that Em%&oyer has certain "usiness %ractices,
contracts, "usiness contacts, %atient &ists and other matters #hich are s%ecia&, uni=ue assets
of Em%&oyer<s "usiness and are considered trade secrets. Mem"er agrees not to disc&ose
such information or any %art thereof to any %erson, firm, or cor%oration, organi$ation, or
other entity for any reason or %ur%ose other than in the usua& and customary course of
%erforming Mem"ers duties %rescri"ed herein.

and sha&& inure to the "enefit of and "e "inding u%on the %arties and their heirs, %ersona&
re%resentatives, successors, and assigns.
