The foregoing service engagement considers the following assumptions:

1. %n addition we will bill you out,of,pocket e9penses 2#P(s* that will be incurred during the
engagement. These will include cost of long distance travel hotel accommodation to be incurred
in the performance of our services local transportation materials and supplies computer time
reproduction of draft and final reports and other incidental e9penses incurred in relation to this
engagement.
Steps written in the Scope of Work are suggested but are subect to agreement of management before
we actually perform them!
We will also make ourselves available to handle ta9 corporate and other accounting matters that you may
refer to us. We shall also be willing to provide you with your re!uired technical assistance in pursuing
and5or negotiating any ma6or transaction or special business pro6ect of interest to you both here and
abroad. We may also perform research i.e. feasibility studies and render opinion as you may re!uest.
@owever the foregoing cases and other accounting matters that is not covered by the scope of work shall
all be classified as &pecial Pro6ects and will be covered by a separate agreement as regards professional
fees and other costs
#ime Frame
The engagement period is for one 2'* year e9tendible to another period sub6ect to mutual agreement
between the Company and T#P $usiness and %T &olutions %nc. %t will commence upon signing of the
service engagement contract unless otherwise specified in the contract.
Responsibilities an. 0imitations
+ll procedures as enumerated in the &cope of Work of this engagement proposal shall be rendered in
good faith by competent5highly skilled professionals and in accordance with the engagement parameters
specified herein.
The Company shall be responsible for making available upon re!uest all records and information
necessary to undertake the agreed services. +ccordingly the Company will also appoint a key person to
whom we can direct management,related in!uiries and other concerns during the engagement.
To the e9tent permitted by law T#P $usiness and %T &olutions %nc. e9cludes all warranties conditions or
terms other than those e9pressly set out in the terms and conditions herein provided including but not
limited to all warranties conditions or terms implied in fact or by law. This shall not pre6udice any non,
e9cludable statutory condition warranty guarantee right remedy or other benefit ac!uired by the
Company.

This engagement shall be terminated effectively on a thirty 23/* daysB advance written notice after the full
payment of all monetary obligations. %t is hereby understood that the monthly retainer fee is sub6ect to
periodic review and ad6ustment upon mutual agreement.
