Dear Sir,
In response to your inquiry, we have the pleasure to submit the following
quotation:
Scope of supply
One (1) ship set of Rolls-Royce propulsion equipment. The ship set consisting of
two Rolls-Royce azimuth thrusters US 205 FP for stern mounting in the vessel,
intermediate shaftings and remote control system. The thrusters are built for weldin type mounting and for direct diesel drives with rated power 1840 kW/ unit at
1600 rpm.
For the details see the attached Supply Specification.
Delivery time, ex factory Rauma Finland
Within fourth quarter of 2010
At the moment our shortest delivery time is 8 months from a technically and
commercially confirmed order.
The final delivery time is subject to prior contract awards.

Price clause
The price is based on delivery within the fourth quarter of 2010.
For later delivery, price will increase 0.3% per month. If the market price of a
specific direct material increases more than this, Rolls-Royce reserves the right to
increase the Contract price to cover the increased cost. If Rolls-Royce claims
such compensation for extraordinary direct material price increase, Rolls-Royce
will provide documentation to support the claim.
Terms of payment
30 %
70 %

with order, 30 days net against invoice

against irrevocable documentary credit to be opened in favor of RollsRoyce Oy Ab. The documentary credit shall be advised in a
acceptable form to the seller through sellers bank, NORDEA BANK
FINLAND PLC Helsinki, FINLAND, SWIFT : NDEAFIHH, not later
than 60 days before the delivery.

Warranty
12 months from the delivery of the ship, however max. 18 months from
delivery of the equipment, ex factory, according to our Orgalime S2000 terms.
Other terms
According to Orgalime S 2000 with following amendments:
The following amendment shall apply to article 27:
If Rolls-Royce and the Buyer agree that Rolls-Royce shall conduct
service/repair work for which Rolls-Royce is not liable according to this
contract, Orgalime " Conditions for the provisions of technical personnel
abroad October 1995 with amendments shall apply for such work.
The following amendment shall apply to article 30:
Other costs incurred when rectifying deficiencies, such as but not
restricted to docking, rigging, and so forth, will be borne in their entirety by
the buyer.
Art. 38 first paragraph shall be read as follows:
The Supplier shall not be liable for any damage to property, personal
injury or death caused by the Product after it has been delivered and whilst
it is in the possession of the Buyer or his successor(s). Nor shall the
Supplier be liable for any damage to products manufactured by the Buyer,
or to products of which the Buyers products form a part.
If the Supplier incurs liability towards any third party for such damage to
property, personal injury or death as described in the preceding paragraph,
the Buyer shall indemnify, defend and hold the Supplier harmless.

Art. 13 The liquidated damages shall be limited as follow:

The liquidated damages shall not exceed 5% in total of the purchase
price.
Validity
This quotation is valid until February 28, 2010.
Contract approval reservation
Final contract is subject to approval by the Rolls-Royce Marine Contract
Committee.
