TRUST DEED OF MANCHI PUSTAKAM

This deed of declaration of Public Charitable Trust executed at Secunderabad, this day of
29th, April, 2004 by

1. Sri Adusumilli Ravindra Babu, S/o Late Sri A. Perumallu, Trustee, Age 37 years

2. Sri Kosaraju Suresh, S/o Sri K. Sri Ramachandra Rao, Trustee, Age 44 years
Presently residing at: Flat No. 202, Seshadri Towers

Hereinafter called the Settlers and /or the Trustees.

The proposed Trustees have been closely associated with the work of publishing and
promoting books and promoting book reading and hobby book selling and running small
libraries are interested in coming together to promote a Public Trust with the aforesaid work,
and for this purpose they have contributed an amount of Rs. 1,000/- (Rupees One thousand
only) each towards the corpus of the Trust.

Now therefore, this deed of declaration of Public Charitable Trust witnesses as follows:

1. Trust:

The Public Charitable Trust will be known as Manchi Pustakam and shall be non profit, non
political and secular in character and shall work towards promotion of books and book
reading.

2. Registered Office:

The registered office shall be situated at H. No. 12-3-452, Street No.1, Tarnaka,
Secunderabad – 500 017, A P or such other place as may be decided by the Trustees from
time to time.

3. Objectives:

The objectives of the Trust shall be:

a. To promote book reading habbit among the general public


b. To promote book publication and sales and production of audio visual material

4. Activities:

a. Undertake translation, design, layout and printing of books and audio visual
material
b. Organise book sales by way of book shops, exhibitions
c. Encourage book reading by organising and promoting small community based
libraries
d. Buy and sell books, so as to reach them to wider public
e. Promote hobby book selling by Book Activists
f. Promote seminars, workshops, writers, illustrators, designers and the like towards
the above objectives
g. Any other activities from time to time, which shall be necessary for the attainment
of the objectives.

Rules and Regulations:

1. Name of the Trust:

The name of the Trust shall be Manchi Pustakam.

2. Address of the Trust:

The address of the Trust shall be 12-13-452, St. No. 1, Tarnaka, Secunderabad 500
017, A P, or such other place as may be decided by the Trustees from time to time.

3. Trustees:

The Board of Trustees shall consist of minimum of 2 members and maximum of 5


members as Trustees. The first Board of Trustees shall consist of the following:

i. Sri A. Ravindra Babu


ii. Sri K. Suresh

4. Term of Office:

The existing Board, in its regular meetings, will nominate new Trustees. Vacancy
arises by way of resignation by the trustees.

5. The Board of trustees shall meet once a year and as often as necessary at the
Registered Office of the Trust or at such places as they may decide from time to time.

6. The Trustees shall be entitled to such remuneration as is commensurate with their


qualification and service actually rendered by them as is justifiable considering the
facts and circumstances of the case.

7. The Trust may form appropriate bodies/ committees for consultations and
suggestions.

8. Powers and duties of the Board of Trustees:

The Board shall have the following powers:


a. To manage the work of the Trust and to formulate policies, rules and bye-laws
for the effective management of the Trust and amend the same from time to
time to meet all exigencies through procedures laid down in the initially
formulated bye-laws.
b. To recommend, sanction, grant or give donations to other institutions with
similar objectives.
c. To receive/ accept donations in any form, to raise funds by advertisements, in
publications organised by the Trust, by organising cultural shows, by
accepting fee, by service charges, by contribution and by subscriptions.
d. To purchase or take on lease lands, buildings and other constructions and to
sell, mortgage, dispose of or otherwise deal with all or any of the same as the
Board of Trustees may think fit and proper.
e. To grant loans or borrow sum or sums of money as they may think fit and
proper, to control and manage the assets of the Trust and to execute, become
party to sign, acknowledge, perfect and register all deeds, agreements,
contracts, amounts, receipts and other documents and writings and to give
effectual discharge on behalf of and against the Trust.
f. To appoint from time to time, staff, professional, technical, non-technical and
other, with such powers and duties and upon such terms as to duration of
office, remuneration or otherwise and at any time to suspend, dismiss,
terminate, or discharge any or such of them as the Board of Trustees shall
think proper or necessary.
g. To open and close accounts in the name of the Trust in any scheduled bank,
post office and to operate on such accounts and otherwise deal with the same.
h. To insure and keep insured, if deemed expedient, all or any of the buildings
and other assets of the Trust.
i. To invest surplus funds, if any, of the Trust in securities approved by the law
relating to Trusts and as per the proviso of sec.11(5) of the Income-tax Act
1961.
j. To formulate procedures and methods including service rules for the
functioning of the Trust.
9. Operation of Bank Accounts:

Trust will open savings account(s) with any nationalised or reputed private banks
operated jointly by two of the trustees nominated by resolution in the Board meeting.
A. Ravindra Babu and K. Suresh will presently operate the Bank account(s).

10. Maintenance of Books of Accounts:

Regular books of accounts of the Trust shall be maintained incorporating all the
revenue and expenditure and such books shall be closed once every 31st March. The

same shall be audited by a Chartered Accountant appointed every year and the
necessary returns shall be filed with the authorities.

11. Amendment of the Trust Deed:

The Trust Deed may be amended by a resolution passed by a simple majority of the
Trustees present and voting in a meeting of the Board of Trustees called for the
purpose. However, any addition, alteration or deletion of the existing objectives of
the Trust shall be made only with the prior approval of the Director/Commissioner of
Income Tax concerned.

12. Funds:

a. All the incomes, movable, immovable properties of the Trust shall be solely
utilised and applied towards the promotion of its objectives mentioned above
and no profit thereof shall be paid or transferred directly or indirectly by way
of profits or in any manner whatsoever to the present or past trustees of the
Trust or to any person claiming through any one or more of the present or the
past trustees. No trustee of the Trust shall have any personal claim on any
movable or immovable properties of the Trust or make any profit whatsoever,
by virtue of this trusteeship.
b. In the event of the dissolution of the Trust the properties and funds remaining
shall be transferred and paid to some other institution having similar aims and
objectives and also registered u/s.12A of the Income-tax Act.

13. Non-profit nature of the Trust:

a. The Trustees herein declared shall not undertake any activity of profit for the
benefit of its members.
b. However, any profits derived from its activities shall be utilised for
achievement of the objectives of the Trust.

14. Irrevocable nature of the Trust:

This Deed of declaration of Trust and the Trust herein declared is irrevocable.
