UCST License Agreement

GENERAL

TRANSFER OF RIGHTS IN SOFTWARE

The Universal Configuration Software Tool UCST,

used to configure FOX 515 and FOX512 comprise a
set of configuration and monitoring applications.
UCST is developed on behalf of ABB Switzerland
Ltd. and runs on PCs with Windows Operating
Systems. UCST is using a proprietary
communication protocol.

UCST LICENSE AGREEMENT

Customer may transfer rights in the Software to a

third party (e.g. as part of the transfer of an
installation from contractor to end user) of all his
agreement of the third party to be bound by the
terms of this License.
Upon such a transfer, Customer agrees that his
rights in the Software are terminated and that
they will either destroy their copies and
adaptations or deliver them to the third party.
SUB-LICENSING

DEFINITIONS
Software:

UCST software tool.

Customer:

A system integrator, OEM customer

or end user.

FOX515:

FOX515, FOX512 and FOX-U,

FOX-U/M.

Customer is not allowed to sub-license the

Software or distribute copies or adaptations of
the Software to 3rd parties neither in physical
media, nor by electronic media nor any other
media without the prior written consent of ABB
Switzerland Ltd.
TERMINATION

SUBJECT
This License Agreement is a part of ABB
Switzerland Ltd. general business conditions. An
award of a contract or an order from a Customer for
FOX 515 equipment implies that the Customer
enters and agrees upon the conditions of this
License Agreement.
In return for payment of the applicable fee, the
Customer is automatically granted a non-exclusive
user license in the Software until terminated, subject
to the following:
RIGHT TO USE
Customer may use the Software together with
FOX515 products on one of the specified
Windows operating systems on a hardware
platform such as workstation, desktop-PC,
laptop, notebook or netbook recommended by
ABB Switzerland Ltd.

ABB Switzerland Ltd. will have the right to

terminate this Software License for a Customers
failure to comply with the License terms.
UPDATES AND UPGRADES
This License Agreement does not include any
rights to receive updates nor upgrades.
EXPORT CLAUSE
Customer agrees not to export or re-export the
Software nor any copy nor adaptation of the
Software without the prior written consent of ABB
Switzerland Ltd.
SOFTWARE WARRANTY

Customer must not reverse engineer, nor

reverse assemble nor decompile the Software.

ABB Switzerland Ltd. warrants that the Software

product will execute its programming instructions
when properly installed on the computer and
properly used. ABB Switzerland Ltd. does not
warrant that the operation of the Software will be
neither un-interruptible, nor continuous, nor error
free.

COPIES

LIMITATION OF WARRANTY

The Customer is entitled to make copies for a

required number for the application with FOX515
for purposes such as test, training, installation,
commissioning, maintenance, off-line
configuration under the condition of the payment
of one license fee per FOX515 - or of an other
written agreement.
OWNERSHIP
The Software is protected under the applicable
copyright laws.
The Customer has no title of ownership of the
Software, other than ownership of the physical
media. Any right to access the Software source
code is explicitly excluded.

ABB Switzerland Ltd. makes no other express

warranty, whether written or oral, with respect to
this product.
LEGAL LIABILITIES
In no event shall ABB Switzerland Ltd. be liable
for any direct, indirect, special, incidental or
consequential damages (including lost profit).
APPLICABLE LAW
This Agreement shall be governed by and
interpreted in accordance to Swiss law.
