MEMORANDUM OF AGREEMENT

KNOWN ALL MEN BY THESE PRESENTS:


This Memorandum of Agreement is made and entered into by and between:
NXP Semiconductors Cabuyao Inc., a domestic corporation duly organized and
existing under the Philippine Laws with office/business address at Philips Ave., Light
Industry Science Park I, Diezmo, Cabuyao, Laguna, represented herein by Monina
S. Lasala, HR Director, hereinafter referred to as the COMPANY.
and
The Saint Vincent College located in Cabuyao, Laguna represented herein
by Dr. Emanuel C. De Guzman in his capacity as the President who is duly
authorized to represent in this transaction, herein referred to as Saint Vincent
College of Cabuyao.
WITNESSETH: That
WHEREAS: Saint Vincent College of Cabuyao is offering courses wherein
the students are required to undergo on-the-job training, in order to be adequately
exposed to actual industrial situation, thereby, augmenting formal schooling.
WHEREAS:

The COMPANY undertakes to carry out training for the SVCC


student-trainee of BS Information Technology at its various office
facilities in order to cultivate a pool from which it might recruit
prospective workers, as well as, to give assistance to the school.
Likewise, the COMPANY agreed to accept students of SVCC as
trainees in support of its On-the-Job Training Program which aims to
forge strong academe-industry linkage and complement existing
course curricula to match industry demand.

NOW:

Therefore: The COMPANY and Saint Vincent College of


Cabuyao mutually agree to the following scheme: a student of BS
Information Technology will undergo a five (5) days per week, eight (8)
hours per day (Monday to Friday) or a total of 600 hours Training
program at the COMPANY.

A. The SVCC shall:

Recommend qualified students who will undergo the training program.

2.

Conduct briefing on student-trainees who intend to conduct practicum


exposure in the company as part of the Universitys curriculum, taking into
consideration the requirements of the company in terms of qualification and
number of students.

3.

Provide specific, general, and occupation-related theoretical instruction;

4.

Appoint Industrial Coordinator to supervise the in-plant training.

5.

Submit to the COMPANY the necessary documents like the Training


Agreement & Liability Waiver Form, Information Sheet, Performance Rating
Sheet and Insurance Certificate as required under this program.

6.

Within the context of the plan, a detailed in-plant training plan shall be setup by the SVCC, which includes the different kind of activities within the
training duration and the distribution of the student-trainee in the different
areas where training is necessary.

7.

Together with the student-trainee and his/her parents concerned, renounce


and waive any claim against the COMPANY for any injury that the student
may sustain or suffer personal or pecuniary, in the .performance of their
duties and functions while under training. The waiver of the student-trainee
attested by their parents shall be submitted to the COMPANY, prior to the
commencement of the training.

8.

Perform such other task and activities as may be necessary and in the
furtherance of the objectives of the training.

9.

Hold the COMPANY free and harmless from any suit whatsoever, in
connection with this training agreement.

10.

Assure the COMPANY that the graduates can eventually be their


prospective employees in case of job opening, and the graduates qualify for
the position based on prescribed job description.

B. The COMPANY shall:

May not guarantee any form of employment upon completion of the


training as such was not the reason for which this agreement was entered
into
Ensure a safe working environment for students undergoing the training

Inform the Saint Vincent collge of cabuyao for their on-the-job studenttrainee request in accordance with their specifications and needs;

4.

Provide an OJT allowance in the amount of Php. 220.00 per day,


payable in cash every 15th and 30th day of the month.

5.

Provide suitable training to enable the student to gain experience, relate


and apply the theories learned in school to real industrial situations and
problems.

6.

Inform the Industrial Coordinator about the training activities, the


Industrial Coordinators in turn, shall submit regular information to the
COMPANY on the performance of the student-trainee in school.

7.

Issue certificate of completion to the on-the-job student-trainee upon


fulfillment of all the training requirements.

8.

The duration of the program shall be equivalent to 600 man-hours,


unless extended upon agreement by the COMPANY and SVCC.

9.

Enforce rules that will govern the conduct of the program in the company
premise. Said rules shall be made known to PUP and student-trainee
before the start of the training.

C. Under this Memorandum of Training Agreement, the following terms and


conditions are likewise included:
1.

It is expressly understood that there will be no employer-employee


relationship between the COMPANY and the student-trainee of SVCC.

2.

The student-trainee and the Industrial Coordinator shall abide by the


COMPANY rules and regulations and comply with those imposed in the
program, otherwise, they shall be excluded from participating.

3.

The COMPANY reserves the right to discontinue the on-the-job training of


any student-trainee on reasonable grounds upon written notice to the
Coordinator concerned. The discontinuation takes effect immediately upon
the receipt of said notice.

4.

The SVCC may pull out any student from the on-the-job Training Program
on reasonable grounds such as absenteeism, tardiness, dishonesty and
violation of company rules and regulation after a written notice about such pull
out. The written notice shall take effect immediately after the receipt of said
notice by the COMPANY.

5.

The COMPANY and SVCC shall accomplish an evaluation form to assess


the proficiency of the PUP student-trainee.

D. DURATION
This agreement shall be valid for one (1) year from January, 2014 to December,
2014 unless renewed for the same period by mutual agreement of the partial. That
any provision of this agreement may be amended by written consent of both parties
herein, and provided further that the NXP or the SVCC reserves the right to withdraw
its participation in the agreement upon written notice to either party, on grounds other
than mentioned above. The withdrawal shall take effect from 30 days receipt of such
notice by either party.
Now, therefore, in case the student-trainee completes the Training Program, the
COMPANY is not obliged to hire, and does not guarantee employment to studenttrainee upon training completion, however, the COMPANY has the option to hire if it
is so desired, based on the companys job specification and qualification.
