Newspaper Publishing Agreement

This agreement is entered into on the 30th day of December, 2014, between Shri. M.P. MATHI
MAHARAJAA, S/o., Shri. M. Palaniraja, residing at No. 1, Ponniamman Koil Theru, Rodiar
Pettai, Puducherry 1, hereinafter known as the First Party, and,
Shri. A. BAKRUDEEN, S/o., Shri. Abdul Hameed, having his office at No. 31/41A, Kaashini
Complex, Kumbakonam Road, Panruti 607106, hereinafter known as the Second Party.
This agreement shall be binding upon both the parties and their successors and assigns. This
Agreement is considered legal and binding in all States of India. If there should be any legal
dispute, the courts of Cuddalore or Pondicherry shall have Jurisdiction.

1. The First Party hereby represents and warrants to the


Second Party that:
1.1. He is the Legal and rightful owner of a Daily Newspaper by the name PORVAAL hereinafter
referred to as Newspaper. He warrants that all legal compliances have been made in the matter
of ownership and publication of his newspaper and that any damage arising due to noncompliance is his liability.
1.2. He has properly entered into a rental arrangement with the owner of the premises where he
has installed his printing press, and that the printing press is in proper working condition.
1.3. He has agreed to lend his newspaper and rent his printing press to the Second Party on the
terms and conditions that are incorporated in this agreement.

2. The Second Party hereby represents and warrants to the


First Party that:
2.1. He is a Journalist engaged in publication of newspapers.
2.2. He has agreed to engage in the publication of PORVAAL upon the terms and conditions that
are incorporated in this agreement.

3. The First Party and Second Party Mutually agree that:


3.1. The First Party conveys all the rights of publishing his newspaper to the Second Party.
3.2. The Term of this agreement shall be 5 years, renewable on mutual consent.
3.3. The Copyright and all legal rights of all matters published in the newspaper remain with the
Second Party.
3.4. The decision about the look and contents of the newspaper shall be made by the Second
Party. The First Party shall not interfere in these matters.
3.5. The Editorial Board shall be decided and constituted by the Second Party.
3.6. Reporters, Photographers, Marketing Agents, Marketing arrangements, Advertisements etc.,
shall be decided by the Second Party in places other than Puducherry. The First Party agrees
that he shall not in any way interfere in these matters.
3.7. The First Party shall not use the Printing Press for his own business. In the event of any
work to be done in the Printing press, the First party shall pay the Second party for the job
work done. Or, he may maintain a running account with the Second party and adjust the
payments from the amounts due to him by way of rent or any other dues.
3.8. Government Advertisements in Puducherry shall be published by the Second Party free of
Cost and there is no revenue sharing.
3.9. Revenue from Private Advertisements both in Puducherry and Tamilnadu and Government
Advertisements in Tamilnadu shall belong to the Second Party. There is no revenue sharing.
3.10.The Printing Press shall be maintained by the Party of the First part and the maintenance
costs such as Rent, Electricity, Salary to workers shall be paid by the Second Party.
3.11.Dues pending to the Government for any taxes on properties etc., shall not be borne by the
Second Party.
3.12.Minor Maintenance shall be made looked after by the Second Party. Minor Maintenance
means any expenses, the total cost of which shall not exceed Rs. 500/- per month.

3.13.The Second Party shall keep the Printing Press along with its Machineries in working
condition during the tenure of this Agreement.
3.14.The Second Party shall obtain clearances for quotes from third parties, copyright owners
etc., Any damage caused by the operation of the Second Party shall not bind the First Party.
3.15.Consumables such as Paper, Ink Etc., shall be borne by the Second Party.
3.16.The second party reserves the right to publish the newspaper in any form using the
technology currently available and might be available by future inventions and
developments.
3.17.The agreement may be terminated by the Second party only by one month notice.
3.18.The agreement stands cancelled if the Second Party does not publish the newspaper for a
continuous period of 30 days.
3.19.The any dues payable by the Second Party to the first party shall subsist the agreement even
after its lapse due to cancellation or any other reason.

4. Entire Agreement
4.1 This Agreement hereby constitutes the entire agreement between the First Party and the
Second Party and supersedes all previous agreements if any. Modification of this agreement may
only occur in writing, signed by both parties.
