DEED OF INDEMINITY-CUM-UNDERTAKING

THIS DEED OF INDEMINITY-CUM-UNDERTAKING given on the day of 10 th Nov.

2014 by RAVINDER SINGH S/o Sh. JAGDISH KUMAR inhabitant residing at
Chaudhary Street, W. No. 18, House No. 428, MALOUT, TEHSIL MALOUT, DISTT.
SRI MUKTSAR SAHIB, PUNJAB and being SOLE PROP. / PARTNER OF RETAIL
OUTLET DEALERSHIP M/S. JAGDISH KUMAR & SONS, MALOUT of Hindustan
Petroleum Corporation Limited hereinafter called The Dealer (which expression shall
include his heirs, executors, administrators and legal; representatives) in favour of
Hindustan Petroleum Corporation Limited having its Registered Office at 17, Jamshedji
Tata Road, Mumbai 400020 hereinafter called The Corporation (which expression shall
include its successors and assigns).

And whereas the Corporation has required the Prop/Partners to execute and the
Prop/Partners has agreed to execute this Deed of Indemnity-cum-Undertaking in favour
of the Corporation covenanting and undertaking to comply with his obligations to protect
the interest of the Corporation.
The Prop./Partner undertakes faithfully and promptly to carry out, observe and perform
all directions or rules given or made from time to time by the Corporation for the proper
carrying on the dealership of the Corporation. The Prop/Partners shall scrupulously
observe and comply with all laws rules regulations and requisitions of the central/sate
Govt. and of all authorities appointed by them or rather of them including in particular
the Chief Controller of explosives, Govt. of India/or Municipal and/or any other local
authority with regard to the storage and sales such petroleum products.
The Prop/Partners shall indemnify and save harmless the Corporation from all losses,
damages, claims, suits or actions which may arise out of or result from any injury to any

person or property or from violation of any statutory enactment, rules or regulations or

other written orders or other laws or caused by or resulting from non-observance by the
Prop/Partners of the provision of Dealership Agreement.
Now this Deed witnesseth and the Prop/Partners hereby agreed declares, covenants and
undertakes that he shall indemnify and keep indemnified the Corporation any losses,
damages, claims or adverse effects arising out of the Dealership.
And this Deed further witnesseth that the Prop/Partners hereby agrees, declares,
covenants and undertakes to inform the Corporation of any such events mentioned
hereinabove.
The Prop/Partner declares that this Deed of Indemnity-cum-Undertaking has been given
by him of his own free will and the same shall be irrevocable and at all times be binding
upon the Prop/Partners and all his executors, administrators, family members, dependants
and legal representatives.
IN THE WITNESS WHEREOF the Prop/Partners has executed this undertaking on Nov.
10, 2014 herein above written.

I, Mr. Jagdish Kumar S/o Sh. Surja Ram R/o Chaudhary Street, W. No. 18, House No.
428, MALOUT, TEHSIL MALOUT, DISTT. SRI MUKTSAR SAHIB, PUNJAB, Age 82
years, Hindu by Religion do hereby state as follows :1.

That I am the Partner of 51% Share and my son Mr. Ravinder Singh is the
Partner of 49% share in the Firm M/s. Jagdish Kumar & Sons, Malout which
is operating the Petroleum outlet and dealership under the name & style of
M/s. Jagdish Kumar & Sons, Near Adarsh Theatre, G.T. Road, Malout.
That the Petroleum Outlet has been granted to us vide agreement dated 15th
July 2013 between Jagdish Kumar 51% & Ravinder Singh 49% and
HINDUSTAN PETROLEUM CORPORATION LIMITED Company.
That I am desirous of transferring my Share of 51%, RIGHTS AND
INTEREST of the Firm M/s. Jagdish Kumar & Sons, Malout which had been
granted the petroleum outlet / dealership from HINDUSTAN PETROLEUM
CORPORATION LIMITED company vide agreement dated 15 th July 2013
now to my son Mr. Ravinder Singh, age 47 years. So by this way my son Mr.
Ravinder Singh will become the SOLE PROPERIETOR OF 100% in the Firm
M/s. Jagdish Kumar & Sons, Malout.

That I have No Objection to the transfer of my share of 51%, rights and

interest in the Firm M/s. Jagdish Kumar & Sons, Malout in favour of my son
Mr. Ravinder Singh.
That the said transfer of my Share 51% with rights and interst in the Firm M/s.
Jagdish Kumar & Sons, Malout to my Son Mr. Ravinder Singh is now and
forever and with effect from the date, month and year i.e. today 10th Nov.
2014. I have no further claims or interest with respet to the said Firm in future.
That I have No Objection to the reconstitution of the dealership/Outlet in
favour of my Son Mr. Ravinder Singh as Sole Proprietor in accordance with
the Rules and Regulations of HINDUSTAN PETROLEUM CORPORATION
LIMITED Company.
That I have no concern or association or claim now or in the future to the said
dealership, share or right in the Firm M/s. Jagdish Kumar & Sons, Malout
after execution of this Affidavit.
