parent holding company. Member of the executive team reporting to the CEO with legal and compliance budget
management responsibilities. Manage, enforce, defend and license the global IP portfolio.
Manage the legal, compliance and administrative teams.
Lead legal counsel to Sodexo S.A. executives on mobile, digital, branding and new product launches: negotiate
JVs, partnerships, promotional, advertising, talent, content, clearances, sweepstakes, and sponsorships.
Serves as the co-leader of the PMG with the SVP of Sales that comprises the largest clients: pro-actively manage
issues, interact daily, and cultivate powerful relationships.
Advise executives on entire advertising ecosystem: RTBs, SSPs, DSPs, DMPs, Networks and Ad Exchanges.
Manages all facets of litigation: select outside counsel, respond to subpoenas and discovery requests, handle
depositions, formulate strategies, attend mediations/arbitrations, and negotiate settlements.
Favorably settled multiple multimillion dollar employment lawsuits: class actions in PA, NJ, FL and CA.
Manage multimillion dollar offerings of debt and equity securities, parent guarantees, and inter-company loans.
Manage and lead the global privacy and data security working group of Sodexo S.A.
Completed 5 multimillion dollar acquisitions from inception to post-integration activities.
Current project manager and legal lead for a global $575MM USD acquisition.

patents and 150 trademarks. The only Arbitron legal team member retained from the 2012 acquisition.
Managed the global branding and launch of more than 15 new products, software and services.
Responsible for co-branding, licensing (content and music), talent and production agreements, music clearances,
and M&A relating to cross-platform media, mobile, tablets, smartphones and digital products and services.
Negotiated highly-complex license agreements: Clear Channel-$520MM+, Cumulus-$370MM+, Disney-$50MM+,
and international multimedia projects with MSOs, NBCUniversal, BMI, Pandora, Sirius/XM, Shazam, CBS, ESPN,
Viacom, Omnicom, Facebook, Google, Microsoft, ABC and others.
Favorably settled a bet-the-company patent litigation brought by a NPE asserting over $1B in damages for seven
figures, while also receiving a perpetual royalty-free license to the asserted patents.
Managed and initiated numerous anti-piracy lawsuits generating more than $87MM in new business.
Managed all legal issues relating to the manufacture, distribution and use of encoders, portable meter devices
and related software, including forming wholly-owned foreign entities in China, India and elsewhere.
Handled all product liability and litigation claims associated with encoders and portable meter devices.
Supported Arbitrons Chief Legal Officer on corporate governance, securities, debt and equity offerings, and
Sarbanes-Oxley matters, including editing and reviewing all SEC reports, registration statements, and filings.
Negotiated a 46 multi-country revenue share agreement with a Fortune 50 company in under 45 days.
Member of Nielsens privacy committee with particular expertise relating to children issues, cross-border
transfers of data, and U.S. state data breach laws, including COPPA compliance, working with CARU, FTC, HIPAA,
HITECH, FCRA, GLBA, and negotiating with banks, Nickelodeon, Disney, Carters, Toys R US, and others.
