INTRODUCTION
The rules and procedures embodied in this document are being implemented to
regulate sales and marketing operations as well as prevent improper, illegal or abusive acts
withinthecompany.ThesepoliciesshallgoverntherelationshipbetweentheDistributorand
ALLIANCEINMOTIONGLOBAL,INC.andsuchothermattersrelatedtothesepolicies.
EveryDistributorisexpectedtobeknowledgeableofthefollowingrulesandabideby
thesametoensurehisorhersuccessaswellasthatofthecompany.

DEFINITIONOFTERMS

In all contractual agreements you sign with ALLIANCE IN MOTION GLOBAL, INC. and
ALLIANCEINMOTIONGLOBAL,INC.publishedliterature,unlessthecontextotherwiserequires,
thefollowingwordsandphrasesshallhavethefollowingmeanings:

ApplicantApersonwhoisinterestedtobecomeanALLIANCEINMOTIONGLOBAL,
INC.Distributor.

Alliance Success Achievement Program (ASAP) This is an advance training on the


importanceofMultiLevelMarketing(MLM)inrelationtothebusinessofALLIANCEIN
MOTIONGLOBAL,INC.andbasicskillsindoingthebusiness.

Business Center The venue where the Business Center Owner conducts seminars,
trainingsanddirectsellingofproductsinaspecificarea.

BusinessCenterOwner(BCO)TheonlyofficialandauthorizedDistributorwhocan
operateaBusinessCenteroutsideoftheHeadOfficeofALLIANCEINMOTIONGLOBAL,
INC.NotwoBCOsareallowedtooperateinthesamearea.

CommercialWebsitewww.allianceinmotion.comistheofficialwebsiteofALLIANCE
INMOTIONGLOBAL,INC.

CommissionPointsPointsusedincomputingUnilevelandStairStepcommission.

Crosslining This is the Distributors act of transferring from one Distributors


organizationtoanother.Thisisstrictlyprohibited.

DownlineHe/Sheisthesponsoreddistributorwhoeventuallyformedpartofthe
networkofthesponsororupline,eitherdirectlysponsoredbythelatterornot.

Direct Down line He/She is the one directly invited by a sponsor to avail of the
GlobalPackageandbecomeanindependentdistributor.

DistributorshipTheauthorizationbyALLIANCEINMOTIONGLOBAL,INC.tobecome
adistributor.

DistributorApplicationForm(DAF)Whenapersondesirestobecomeadistributor
of ALLIANCE IN MOTION GLOBAL, INC. he/she must sign the Distributor Application
Form,whichcontainsthetermsandconditionsofthecompany.Ifapersonregistersas
adistributoronlineorviathecompanywebsite,anapplicantisconsideredtohaveread,
understoodandagreedtothepoliciesofthecompany.

Distributors Price (DP) The price of products set for registered distributors of
AllianceinMotionInc.

Distributors Tracking Center (DTC) This is commonly known as the Distributors


Website.Thisiswhereadistributorcanviewandmanagehis/heraccountreflecting
thepersonalinformation,genealogy,incomeandencashment.TheDTCisaccessedby
clicking on the Members Login link in the commercial website of ALLIANCE IN
MOTIONGLOBAL,INC.

Executive Distributor Any distributor who has qualified as such according to the
marketingplanofALLIANCEINMOTIONGLOBAL,INC.ItincludesSilverExecutive(SE),
GoldExecutive(GE)andGlobalAmbassador(GA).

Flush Out The safety measure in the Matched Sales/Binary System, wherein a
distributor/sponsorwillonlybepaidforamaximumofsixteen(16)pairs/matchedsales
perdayoreight(8)pairspercycle.Thismechanismisfollowedtobalancethemethods
of earning through recruiting new distributors and direct sales of products. See
MarketingPlanformoredetails.

Global Package (GP)" Commonly known also as the BUSINESS KIT or the start up
saleskitforaNewDistributor,containing5BlisterPacks(BP)C24/7,folderpresentation
kit, scholarship discount certificate, insurance certificate, distributor application form
(DAF),ATMandI.D.applicationforms,productbrochuresandaDVDoftheproductand
marketing plan presentation. Products included in the package may vary quarterly or
semiannuallyaspartofpromotionalactivities.

GroupADistributormayhavetwo(2)groupswhenhestartshisnetworkunderone
account;theLeftGroupandtheRightGroup.Foreachgroup,theDistributormayhave
asmanydownlinesasheorshecanmanage.

Live streaming The Opportunity Plan Presentation (OPP) may be viewed via live
streamingonthiswebsite:www.justin.tv/allianceinmotionglobal.Permissionforaccess
mustbeobtainedfrommanagement.

Network This consists of the Distributors organization/s or groups, which include


theentiretyoftheDistributorsdownlines.

New Distributor Orientation (NDO) This is a seminar on how and why to do the
business.

Opportunity Plan Presentation (OPP) This is the marketing plan presentation


discussingtheGlobalPackage,benefits,productsandcompensationplan.

Position Points Points used in computing current position as Silver Executive (SE),
GoldExecutive(GE)orGlobalAmbassador(GA).

Sponsor A distributor who introduces and registers a person to ALLIANCE IN


MOTION GLOBAL, INC., who eventually becomes a distributor by virtue of the
companysacceptanceoftheDistributorApplication.Sponsorsarecommonlyknownas
DirectUplines.Asponsorisresponsiblefortrainingandsupportinghisdownlinesin
theconductofbusiness.

SuggestedRetailPrice(SRP)Thesellingpricesetforconsumers.

TechnicalTrainingTrainingon theterms&conditions andcodeofconductofthe


company, how to manage the distributors tracking center (DTC), how to encode
recruitsinformationandhowtomanageflushout.

TransferableScholarshipCertificateCertificateofDiscountontuitionfeesforeach
schoolaffiliatedtoALLIANCEINMOTIONGLOBAL,INC.(seewebsiteforlistofaffiliated
schools). The discount may vary depending on each Memorandum of Agreement
(MOA). School discount certificates must have the dry seal of ALLIANCE IN MOTION
GLOBAL, INC. duly signed by an authorized officer and in good condition to be
consideredvalid.Thisistransferableandmaythusbegiventoanyoneyouknow.

AUTHORIZATIONASADISTRIBUTOR

1.1.

WHOMAYBEANALLIANCEINMOTIONGLOBAL,INC.DISTRIBUTOR?

Anypersonofatleasteighteen(18)yearsold,acorporation,partnershiporlegalentity
may apply and become an ALLIANCE IN MOTION GLOBAL, INC. Distributor. An applicant who
wishestobecomeaDistributormustbecapableofenteringintoacontractinaccordancewith
thelawsofthePhilippinesandmustcomplywithalllegalrequirementsforconductingbusiness
inthePhilippines.

1.2. HOWTOBECOMEANALLIANCEINMOTIONGLOBAL,INC.DISTRIBUTOR?

1.2.1. TobecomeanALLIANCEINMOTIONGLOBAL,INC.Distributor,anapplicantmust
purchaseoftheGlobalPackageamountingtoPhp7,980orPhp1,980forQuickStart.

1.2.2. The applicant must then sign the Distributor Application Form found in the
GlobalPackageorregisterontheDistributorswebsite.

1.2.3. An applicant shall read the Terms and Conditions of the company, indicated in
the ALLIANCE IN MOTION GLOBAL, INC. Distributor Application form (DAF) and
Distributorwebsiteandagreetoabidebyalltheirprovisions.

1.2.4. TheaccomplishedDAFandonlineregistrationformshallsignifytheDistributors
acceptance of the terms and conditions of the company, which shall serve as the
contractbetweentheDistributorandALLIANCEINMOTIONGLOBAL,INC.

1.2.5. TheALLIANCEINMOTIONGLOBAL,INC.DistributorApplicationForm(DAF)must
be submitted immediately upon completion to any of ALLIANCE IN MOTION GLOBAL,
INC. Business Centers. The authorization is effective upon submission of the DAF or
uponregistrationontotheDistributorwebsite.

1.2.6. The placingof order for products with ALLIANCE IN MOTION GLOBAL, INC. is a
reaffirmationofsuchcommitmenttoabidebythecompanypolicies.

1.3. ENTITLEMENTSOFADISTRIBUTOR

1.3.1. AsanALLIANCEINMOTIONGLOBAL,INC.Distributor,he/she/itcannowengage
in the direct selling of all ALLIANCE IN MOTION GLOBAL, INC. products and shall be
entitled to corresponding commissions, rebates, discounts and privileges given by the
company.

1.3.2. ResignedorterminatedDistributors,however,arenolongerentitledtoavailof
theaforementionedcommissionsandbenefits.

1.3.3. The rights and privileges that come with the Identification Card issued by the
companycannotbetransferredtoanotherperson.

1.4. LOYALTY

Distributors shall remain loyal to the company and its policies and are not allowed to
join any other MultiLevel Marketing (MLM) companies directly competing with ALLIANCE IN
MOTIONGLOBAL,INC.whiletheyareanactivememberinthelatter.

SECTION2
THEDISTRIBUTOR

2.1. ONEINDIVIDUALDISTRIBUTORSHIP

OnlyoneindividualmayapplyforaDistributorshipandsigntheDistributorApplication
Form.

2.2. HUSBANDANDWIFEDISTRIBUTORSHIP

2.2.1. Ahusbandandwifemaybecomeindividualdistributorsfollowingtheprocedure
above, PROVIDED, they register under THE SAME GROUP. This means that either the
husbandorwifebecomestheuplineordownlineoftheotherspouse.

2.2.2. In the event that the spouses previously registered under different
networks/groups,eitherspousemustchooseinwhichgrouphe/shewishestobelong,
PROVIDED, the transferring spouse does not have any down lines. The transferring
spousewillbegivenaperiodofthirty(30)daysfromnoticetochoosehis/hergroupof
preference,afterwhichperiodmanagementshallexerciseitsdiscretiononthetransfer.
Thespouserequiredtotransfershallnotbepermittedtohaveanydownlinespending
suchtransfer.

2.2.3. The transfer contemplated in the previous section shall be accomplished by


purchasinganotherGlobalPackagefromasponsorinthegrouptowhichtheconcerned
spouseshalltransfer.Thetransferringspousemaysellhis/heraccount/sacquiredunder
thepreviousgroupwiththeapprovalofmanagement.

2.2.4. From the effectivity of this policy, spouses shall not be permitted to register
undersponsorsfromdifferentgroups.Spousesfoundguiltyofcircumventingthispolicy
shall not be allowed to have any down lines and any credited down lines shall be
ALLIANCEINMOTIONGLOBAL,INC.COMPANYPOLICY

forfeitedandcreditedtothenearestuplineoftheguiltyspouse.Managementmayalso
impose appropriate sanctions for violation of this provision, which may include
suspensionorterminationofaccounts.

2.3.

PARTNERSHIPS,CORPORATIONSANDOTHERLEGALENTITIES

A duly registered Partnership, Corporation or other legal entity may become an


authorized Distributor. Such Distributorship may be approved by ALLIANCE IN MOTION
GLOBAL, INC. on a casetocase basis. The legal entity must submit a certification of
authorizationofitsdulyauthorizedrepresentativetoALLIANCEINMOTIONGLOBAL,INC.and
suchotherdocumentsasthemanagementmayrequire.

2.4. RELATIONSHIPANDREPRESENTATION

ALLIANCE IN MOTION GLOBAL, INC. members are considered Independent


Distributors and as such, there shall be no employeremployee relationship between them
and ALLIANCE IN MOTION GLOBAL, INC. shall not be responsible for any misrepresentation
madebyitsDistributors.

No Distributor possesses the authority to bind ALLIANCE IN MOTION GLOBAL, INC. to


anyobligation.

2.5. ONPROXYDISTRIBUTORSHIP

A Distributorship, and any resulting group, created or operated by proxy, whether


intentionally or inadvertently, is not allowed and shall be adjusted for compliance with
companypolicies.

2.6. MULTIPLEHEADS/SLOTS

ALLIANCEINMOTIONGLOBAL,INC.Distributorsshallbeallowedtopurchaseonlyupto
amaximumofseven(7)heads/slotsregisteredunderhis/hername.

2.7. ONRESELLINGOFACCOUNTS/HEADS/SLOTS

With the exception of Section 2.2.3 on Husband and Wife Transfers, reselling of
accounts/heads/slotsofaDistributortoanyindividualisstrictlyNOTALLOWEDwhetherheor
shebelongstothesamegroup,crossline,upline,downline,relativeorotherwise.

2.8.

PROHIBITIONONBONUSBUYING
Thefollowingactsconstitutebonusbuyingandarestrictlyprohibited:

a. Registration of individuals without the knowledge of and/or execution of an


IndependentDistributorApplicationFormbysuchindividual;
b. ThefraudulentregistrationofanindividualasaDistributor(i.e.withoutpurchasing
theGlobalPackage);
c. TheregistrationorattemptedregistrationofnonexistentindividualsasDistributors
toqualifyforbonusorcommissions;
d. Anyotherwaysormechanismsbywhichstrategicpurchasesaremadetomaximize
commissionsorbonuseswhenaDistributordoesnothaveabonafideuseforthe
productspurchased.

PROHIBITIONONBUYINS

BuyInisthepurchaseofproductsinexcessofimmediatesalesneeds.Suchactisnot
permittedandwillleadtotheterminationoftheDistributorsaccount.

TodiscourageanyDistributorfrombonusbuyingandbuyins,thecompanyreservesthe
right to pay or not to pay any bonus or commission to the Distributor and uplines who
benefitedfromsuchtransactions.Distributorswhotookpartinthebonusbuyingand/orbuyin
willbedealtwithseverely,whichmayincludeterminationand/orlegalactionfordamages.

2.10. MANAGINGTHEDISTRIBUTORSHIPACCOUNTS

The Distributor is responsible for keeping the information in his accounts accurate.
ALLIANCE IN MOTION GLOBAL, INC. reserves the right to take disciplinary action, which may
includetheterminationoftheaccount,intheeventthatthecompanydeterminesthatfalseor
inaccurateinformationwasgiven.

2.10.1.INACTIVEACCOUNT

An account is considered inactive when there has been no personal product


purchase, personal sponsoring nor income encashment for a period of six (6) months.
InactiveaccountswillautomaticallybedeactivatedintheDTC.

2.10.2.ONTRANSFERRINGOFACCOUNT/SUCCESSION

UponthedeathoftheDistributor,his/heraccount/saretransferableonlytothe
lattersimmediatefamily(father,mother,brothers,sistersandchildren).

Upon written request and approval by ALLIANCE IN MOTION GLOBAL, INC., a


Distributor may voluntarily pass on to his/her successor all rights including rights to
ALLIANCEINMOTIONGLOBAL,INC.COMPANYPOLICY

income and marketing position, together with Distributorship responsibilities and


obligations.

TheCompanyreservestherighttoapprovesuchvoluntarytransfersonlyonthe
basisofhighlymeritoriousreasons.

2.11. CHANGEOFSPONSORSHIP/TRANSFERRINGTOANOTHERGROUP

2.11.1. Except for authorized change of sponsorship, it is against company policy for
any distributor to change sponsors. Unauthorized transfers are considered as acts of
crosslining and are strictly prohibited. ALLIANCE IN MOTION GLOBAL, INC. will only
considerthefirstvalidregistrationandanysubsequentapplicationsorregistrationswill
notbeallowed.

2.11.2. It is strictly prohibited to engage inany activity that involves the soliciting of
anyDistributortotransfer/movetoadifferentgroupbymakingofferssuchas,butnot
limitedto,freeslots,marketingsupport,financialsupport,etc.

2.11.3. Should a Distributor wish to transfer from or change his or her sponsor, the
followingconditionsmustbestrictlymet:

a. He/Shemustbeinactiveforatleastsix(6)months;
b. He/ShemustsubmitaresignationlettertoALLIANCEINMOTIONGLOBAL,
INC. with intent to transfer sponsorship. Any existing down line of the
transferringDistributorwillautomaticallyrolluptotheformersponsorand
cannotbetransferredtothenextsponsor.
c. TheresignationletterwithintenttotransfermustbeapprovedbyALLIANCE
INMOTIONGLOBAL,INC.within60days.

2.11.4.Onlycomplaintsfromactivedistributorsaffectedbythetransfersstatedabove
shallbeentertainedbymanagement.

2.12. INDEMNITYAGREEMENT

All Distributors agree to assure ALLIANCE IN MOTION GLOBAL, INC.s officers, agents
anddirectorsthatthelatterbeheldharmlessagainstanyclaim,demand,liability,loss,costor
expense,includingbutnotlimitedtolegalfees,thatmayariseconcerningtheDistributororthe
Distributorsbusiness.

2.13. CONFIDENTIALITYAGREEMENT

2.13.1.AuthorizationtoUsePersonalinformationoftheDistributor

TheDistributorauthorizesALLIANCEINMOTIONGLOBAL,INC.to:

a) Transferanddisclosepersonaland/orconfidentialinformation,which:
i. Was provided to the Company in connection with the
distributorshipandtheresultinggroup,or
ii. HasbeendevelopedasaresultoftheDistributorsactivitiesassuch

To:
i. Itsparentandaffiliatedcompanieswhereverlocated;
ii. Applicable government agencies or regulatory bodies if required by
law.
iii. ThedistributorsuplineorsponsorwhentheCompanydeterminesit
isappropriate.However,theDistributorwillhavetheoptiontoblock
thetransferofcertaininformationthatmaybeprovidedtotheupline
Distributors.

b) UsepersonalinformationforDistributorrecognitionandtheCompanys
literature(suchastestimonials,etc.)unlesstheDistributorrequestsin
writingthattheCompanynotdoso;

c) Anyotherdisclosure,apartfromtheabovewillnotbepermitted.

2.13.2. NondisclosureofConfidentialInformationfromtheCompany

ALLIANCE IN MOTION GLOBAL, INC. provides its Distributors the necessary


informationforthesolepurposeoffurtheringthecompanysbusinesssuchas,butnot
limitedtothesaleofcompanyproducts,andthesponsoringandtrainingofapplicants
and down lines in the conduct of business. However, access to said information is
conditionedupontheDistributorscommitmentofnondisclosureandconfidentiality.

During any term of the Distributor, and for a period of four (4) years after
termination of the Distributorship, you will not, for any reason, disclose the following
informationonyourbehalf,oronbehalfofanother:

a) Any confidential information obtained during your Distributorship was in


effect, related to or contained in the network to any third party directly or
indirectly;
b) Anypasswordoraccesscodesofthecompanytoanythirdpartydirectlyor
indirectly.

Theobligationsofthissectionshallsurvivetheterminationofyouraccount.

2.14. TERMINATIONOFDISTRIBUTORSHIP

ADistributorsauthorizationisforlife,unlessterminatedvoluntarilyorinvoluntarily.

2.14.1.VoluntaryTermination

A Distributor is considered to have voluntarily terminated his distributorship


uponreceiptbytheALLIANCEINMOTIONGLOBAL,INC.HeadOfficeofhis/herwritten
noticeofresignation.He/Sheisthereafterdisallowedtoregisterunderanothernetwork
foraperiodofsix(6)months.

2.14.2.InvoluntaryTermination

ALLIANCEINMOTIONGLOBAL,INC.reservestherighttoterminatetheaccount
ofanyDistributorwhoviolatesthetermsandconditionsintheDistributorApplication
Form, ALLIANCE IN MOTION GLOBAL, INC. policies and procedures, or for other just
cause.InvoluntaryterminationiseffectivewhentheDistributorreceivesactualnoticeof
thetermination.

2.15. DUEOBSERVANCEOFCOMPANYPOLICIES

To preserve the integrity of the companys business, Distributors must observe the
companys rules, regulations and Code of Conduct and Ethical Standards. Violation of these
rules will mean automatic deactivation, suspension or termination of account, depending on
theoffense.Afterthedeactivationofanaccount,theDistributorwillbegiventwo(2)months
toclarifytheissuespertainingtothedeactivationbyreportingtothemanagementinperson.
Noncompliancewillleadtothepermanentdeactivationoftheaccount.

THESPONSOR

3.1. RESPONSIBILITYOFTHESPONSOR

The Distributor may extend his or her sponsoring activities to any country where
ALLIANCEINMOTIONGLOBAL,INC.existsandtootherterritoriesasmaybeapprovedbythe
management.

SECTION4
CODEOFCONDUCTANDETHICALSTANDARDS

CODENO.1:LOYALTYTOTHECOMPANY

Allmembersshallatalltimes,remainloyaltothecompanyanditspoliciesbeingissued
fromtimetotime.Theymustnotcommitacts,whichincludebutarenotlimitedto:

a) Joining, representing, associating, sponsoring, recruiting, conspiring in any mode or


form for the benefit or advantage of companies, business groups, partnership or individual,
directlycompetingwithALLIANCEINMOTIONGLOBAL,INC.eitherlocallyorabroad;
b)Introducing,presenting,selling,promoting,norofferinginanymannertheirproducts,
services,businesses,marketingprogramsandplansoracombinationthereof,whethertangible
orintangible.
Note: If the Distributor/s was confirmed to have joined another MLM company, 2nd offense
penaltywillautomaticallyapply.
CODENO.2:PROTECTIONOFCOMPANYREPUTATION

InconsiderationofthebenefitsandprivilegesgivenbytheCompany,allmembersmust
not make nor encourage written or oral remarks or statements, which tend to discredit and
disrepute the company, its centers or any of its service branches and its officers, agents or
representatives.
CODENO.3:HONESTYINALLDEALINGS

Allmembersarestrictlyenjoinedtobeprofessionalsinallactsandbearings,dealingsor
transactions. They must not make any false statements, such as, but not limited to
misrepresentation, exaggeration, disinformation, vain promises, introducing fake or spurious
productsorservices,orcircumventingthemarketingplansorprogramsofthecompany.

b) Causing it to appear that a member has participated in any act or activity when
he/shedidnotinfactsoparticipate;
c) Alluding or pointing to members who have participated in any act, activity or
statementsotherthanthosemadebythem;
d) Insertingfalsestatementsinanarrationoffactssuchasthoseintheaffidavit,deed
andotherdocumentssimilarthereto;
e) Changingtruedates;
f) Modifyingagenuinedocument,whichaltersorchangesitsmeaning;
g) Issuinginanauthenticatedformadocumentpurportingtobeacopyofanoriginal
documentwhennosuchoriginalactuallyexists;

CODENO.5:HUMILITYANDRESPECTTOWARDSMEMBERSOFTHECOMPANY
All members are strictly enjoined to observe humility and respect towards fellow
members,officersandemployeesofthecompany,bynotcommittingdirectlyorindirectlyany
acts,whicharebutnotlimitedtorudeness,disrespectanddiscourtesy.
*FirstOffenseOne(1)monthdeactivationofalltheaccountswiththeforfeitureinfavorof
thecompanyofallbenefits,privileges,commissionsandotherremunerationseithermonetary
oranykind,whichaccruedatthetimeofthecommissionoftheviolation.
*2ndOffenseSix(6)monthsdeactivationofalltheaccountswiththeforfeitureinfavorofthe
companyofallbenefits,privileges,commissionsandotherremunerationseithermonetaryor
anykind,whichaccruedatthetimeofthecommissionoftheviolation.
*3rdOffensePerpetualdeactivationofalltheaccounts,whichcarrieswithittheforfeitureof
all benefits, privileges, commissions and other remunerations either monetary or any kind in
favorofthecompany,whichaccruedatthetimeofthecommissionoftheviolation.
CODENO.6:FAIRNESSTOWARDSFELLOWMEMBERS

Allmembersarestrictlyenjoinedtohaveasenseofequalityandsinceritytowardfellow
members by not interfering with the sponsoring activities of their fellow members to the
latters prejudice. While it is generally the discretion of the recruit under whose sponsorship
he/shewillregister,membersarestrictlyprohibitedfrominfluencingothermembersrecruits
toregisterundersponsorsapartfromtheoneswhoinvitedthem.

However, after six (6) months from the time a recruit is introduced to ALLIANCE IN
MOTION GLOBAL, INC. and no registration has been accomplished by the original sponsor,
anotherDistributormaysponsorhimorher.

All members are strictly enjoined to observe decency and good behavior by not
committing any immoral act or conduct, which tends to debase company policies and good

Membersarestrictlyprohibitedfrominfluencing,obstructingorinducingthespouses
choice to transfer from one group to another or to circumvent the policy regarding such
transfer.(SeeSection2.2onHusbandandWifeDistributorship)

all benefits, privileges, commissions and other remunerations either monetary or any kind in
favorofthecompany,whichaccruedatthetimeofthecommissionoftheviolation.
CODENO.8:NONTOLERANCEOFFRAUDULENTACTIVITIES

All members are strictly enjoined not to commit any fraudulent act or false pretenses
directly or indirectly, to the prejudice of the company or fellow member by not committing
acts,whicharebutnotlimitedto:
a. Forinternalcontrolofthecompany:
i.

Using fictitious name, or dummy, or by other deceitful means purportedly to


obtainpersonalgainandinterest;
ii. Issuing a check to a fellow member or to the company when he/she/it has no
fundsorareinsufficienttocovertheamountofthecheck;
iii. Incurring obligation to a fellow member or to the company and evading the
performancethereof;
iv. Nonissuance of the COMPLETE SET OF REGISTRATION PACKAGE and/or NOT
ENCODINGtheNewDistributor;
v. Solicitinglargesumsofmoneyfrompersonswhopurporttobeinvestors;
vi. CrossLiningorTransferring/Sponsoringfromothergroups,exceptasauthorized
bytheCompany;
vii. Openlyordiscreetlygivinggiftstomanagementandstafftogainpersonalfavors.

b. ForSellingofProducts:

i. By altering the quality, fineness or weight of any product pertaining to the


businessofthecompany;
ii. ONE PRICE POLICY: Selling of Global Package, C24/7, COMPLETEPE, ALIVE and
other ALLIANCE IN MOTION GLOBAL, INC. products below the standard retail
pricesetbythecompany.

forfeiture of all benefits, privileges, commissions and other remunerations either

4.1. PENALTY FOR VIOLATION OF SECTION 4: CODE OF CONDUCT AND ETHICAL
STANDARDS

The Company imposes the following penalties for violation of Section 4, unless
otherwiseindicatedinthepriorprovisions:
*1stOffenseSix(6)monthsdeactivationofalltheaccountswiththeforfeitureinfavorofthe
companyofallbenefits,privileges,commissionsandotherremunerationseithermonetaryor
anykind,whichaccruedatthetimeofthecommissionoftheviolation.
*2ndOffensePerpetualdeactivationofalltheaccounts,whichcarrieswithittheforfeitureof
all benefits, privileges, commissions and other remunerations either monetary or in kind in
favorofthecompany,whichaccruedatthetimeofthecommissionoftheviolation.

MARKETINGPLAN

5.1.

THEBUSINESSOFALLIANCEINMOTIONGLOBAL,INC.

The hybrid Marketing Plan of ALLIANCE IN MOTION GLOBAL, INC. is a combination of


Binary,UnilevelandStairStepplan.Thebusinessconsistsofdirectsellingofproductsandthe
sharingofthebusinessplantoprospectiveclients.Apersondesiringtoenterintothebusiness
ofALLIANCEINMOTIONGLOBAL,INC.hastopurchaseaGlobalPackageforP7,980orP1,980
fortheQuickStartPackage.

5.2. WAYSTOEARNINALLIANCEINMOTIONGLOBAL,INC.

ALLIANCE IN MOTION GLOBAL, INC. gives its Distributors six (6) simultaneous ways to
earnasfollows:

5.2.1. Retailing

DistributorscanearnbysimpleretailsalesofALLIANCEINMOTIONGLOBAL,INC.
Products.Distributorshavealifetimetwentyfivepercent25%discountonallproducts.
This is called the Distributor Price (DP). They may then sell the products at a higher
price,whichshouldnotbebelowtheSuggestedRetailPrice(SRP),pursuanttotheOne
PricePolicy.

5.2.3. MatchedSalesBonus

ThisisalsoknownastheBinarySystem.UponbecomingaDistributor,thelatter
can form two (2) groups under his account, the Left Group and the Right Group. For
eachgroup,therecanbeseverallevels.Toearnfromthissystem,eachlevelfromthe
LeftGroupandeachlevelfromtheRightGroupmusthaveatotalof1,200points,which
thenreflects2,400pointswhencombined.ADistributorimmediatelyearnsaMatched
SalesBonusofP1,500forevery2,400combinedgrouppoints.

Every 5th Matched Sale (pair) entitles the Distributor to a Gift Cheque (GC) for
productsinsteadofcashtomaintainproductsales.

For this system, it is important for the company to maintain a balance in both
recruiting new Distributors and selling its products. A Distributor is not allowed to
simply pull numerous recruits into the business and earn solely on the basis of the
numberofpeopleheorshesponsors.ThisiswhyALLIANCEINMOTIONGLOBAL,INC.
utilizes the Flushout system. The flushout system works by allowing only sixteen
(16)matchedsalesperday,dividedeight(8)matchedsalesfortwo(2)timeintervalsor

Underthissystem,aDistributorcanhaveseverallevelsordownlines.Fromthe
product sales of each of his or her down lines, he or she earns five percent (5%) of
productpoints.However,aDistributorcanonlyearnuptohistenth(10th)level.

ThespecialfeatureofthisschemeistheDynamicCompression.Thismechanism
ensuresthatqualifiedDistributorswillearnbonusesonall10levelswithoutbreakageto
the inactive or nonperforming Distributors within the earning levels. If among the 10

2. Weekly payout by Check cutoff every Friday; release on Wednesday of the

5.4. PROMOS

Allpromosarenonconvertibletocashandarenontransferable.

5.5. TAXATION

Distributors shall not be treated as employees, franchisees, joint ventures or partners


with regard to taxation laws, rules, ordinances or regulations. They shall observe natural
provincial and local status and regulations relating to business operation. They shall be
responsiblefortheirownmanagerialdecisionsandexpenditures,includingestimatedincome
tax and selfemployment taxes. All Distributors are responsible for paying income taxes due
fromdiscountsearnedasanALLIANCEINMOTIONGLOBAL,INC.Distributor.

AllincomepresentedintheMarketingPlanconstitutesgrossincomeandisexclusiveof
tax.Tenpercent(10%)ofthegrosscommissionofeachDistributorisdeductedbyALLIANCEIN
MOTION GLOBAL, INC. as withholding tax by the end of each tax year. The Distributor may
request for a copy of the 2307 form from the finance department. The total deduction per
encashmentconsistsofthe10%withholdingtaxplusP50processingfee.

5.6. ONREINVENTINGTHEMARKETINGSCHEME

The business of ALLIANCE IN MOTION GLOBAL, INC. is NOT an INVESTMENT SCHEME


wherein, it will be presented to people who will be called as INVESTORS and in return get a
huge percentage as interest while doing nothing upon placing a huge sum of money as their
INVESTMENT.

Any individual or group who will present, join, promote or has a connection with said
scheme in any way, directly or indirectly, will be dealt with severely, which may include
termination and/or legal action for damages. The company will NOT be held liable if a
distributor/sjoinsthesaidunauthorizedinvestmentevenifhe/shedoesnotknowthepolicy.
Eachdistributor/individualisexpectedtotakeordinarycautionifhe/sheisbeingaskedtopay
morethantheapprovedP7,980GlobalPackage.

SECTION6
PRODUCTSALES

6.1. PRODUCTMAINTENANCE

Itisaproductpurchaseofanycombinationorproductgiftcertificate(GC)thatwillhave
an equivalent point value of .3334 in order to obtain the UNILEVEL income of 5% on
commissionpointsuptothe10thlevel.Maintenanceofanycurrentmonthshouldbedoneone
(1)monthpriorandtheincomewillbereleasedevery15thofthefollowingmonth.

6.2.

NEWPRODUCTPOLICY

ForALLIANCEINMOTIONGLOBAL,INC.Distributorstoearnrebatesonanewproduct,
they must buy the new product on the month of its release. This is on top of their personal
monthlymaintenance.Butonthefollowingmonth,theDistributorswillreturntotheiroriginal
personalmonthlymaintenance.Thisistoensurethatallactivedistributorsarethefirsttotry
theproductbeforesellingtotheirretailcustomers.

6.3. DIRECTSALESONLY

All ALLIANCE IN MOTION GLOBAL, INC. products shall NOT be sold in any retail stores
suchasPharmacies,DrugStores,PXShops,GroceryStores,Supermarketsandthelikeasthese
willdirectlycompetewiththeBusinessCenterOffice(BCO)andsatelliteofficesnationwide.

Since the company is practicing a daily, weekly and monthly payout structure, the
companyonlyallotsten(10)daysforproductreturnsandbuybacks.

SECTION7
PRODUCTREFUNDANDBUYBACKPOLICY

7.1. The Buy Back Rule is designed to protect the interest of all ALLIANCE IN MOTION
GLOBAL,INC.stakeholders(customers,distributors,businesscenterowners&company)witha
balancedapproachandawinwinrefund&buybackpolicy.Thefollowingconditionsmustbe
compliedwithbeforeanyrefundorbuybackisdone:

1. Theproductsarestillingoodconditionandstillsaleable;

2. Theproductcodesarenotyetencoded;

3. Productsarestilleight(8)monthsbeforetheexpirydate;

4. Productsarewithouttracesofleak,pinholes,discolorationorfadingofthe
packagingmaterials;

5. Supportedbyproofofpurchasefromdistributororcompany;

6. Thedistributorshipisbeingterminatedduetocompanypolicyviolationorvoluntary
termination;

7. Productsbeingreturnedwillbecheckedtoseeiftheproductwassubjectedtoheat
orifitcontainssignsofdiscoloration;

8. Thereshouldbenosignorpatternofrepetitiveproductrefundandbuybackforthe
samedistributororsponsor;

9. Buybackandrefundwillbesubjecttocomputationtodeterminethelossincostof

10. Requestforbuybackandrefundshouldbeinwritingten(10)daysbeforethe
actualbuybackandrefundtransactionistobemade.

SECTION8
PRODUCTEXCHANGE

8.1. ALLIANCEINMOTIONGLOBAL,INC.willexchangeproductsonlyifthereturnedproducts
aredefectiveorofsubstandardqualityandarenotyetencoded.Thefollowingprocedureshall
beappliedtoeffectaproductexchange:

1. TheConsumermustrequestanexchangeinwritingwithinten(10)daysimmediately
followingtheproductpurchasetogetherwiththeoriginalreceipt;

2. Uponinspection,thereturnedproductswillbereplacedwithundamagedproducts
orafullrefundfromthedistributorwhosoldtheproductstotheconsumer;

3. The Distributor shall be solely responsible for this process of product return and
exchange;

4. The Distributor must request an exchange in writing within ten (10 days)
immediatelyfollowingthereceiptofthereturnedproductfromtheConsumer.

5. TheCompanywillprovideanewandsimilarproducttotheDistributor.

SECTION9
BUYBACKPROCEDURE

9.1. ALLIANCEINMOTIONGLOBAL,INC.shallbuybackfromtheDistributoranyunsoldand
saleableproducts,whicharestilleight(8)monthsfromexpiryandarenotyetencoded,except:
1) products that have been opened and consumed, 2) products that ALLIANCE IN MOTION
GLOBAL,INC.nolongercarriesor3)productsthathaveadifferentpackagingthoughstilleight
(8)monthsfromexpirydateandnotyetencoded.Theprocedurebelowshouldbefollowed:

1. TheDistributormustrequestinwritingareturnofproductswithattachedproofof
purchasesuchastheoriginalreceiptfromALLIANCEINMOTIONGLOBAL,INC.;

2. The Company will inspect the products if it is still saleable and in good condition
andwillchecktheaccuracyofthesubmittedoriginalreceipt;

3. TheCompanyshallgivearefundlessthecostofmoneyandtaxes.

SECTION10
ADVERTISINGANDUSEOFTRADEMARKSANDCOPYRIGHTEDMATERIALS

10.1. ONPROMOTIONALMATERIALS

The ALLIANCE IN MOTION GLOBAL, INC. name, logos, trademarks and copyrights are
exclusivelyownedbyALLIANCEINMOTIONGLOBAL,INC.Assuch,distributorsagreenottouse
anywritten,printed,recordedoranyothermaterialinadvertising,promotingordescribingthe
products or MarketingPlan of thecompany in any manner, which has not been approved by
managementbeforebeingdisseminated,publishedordisplayed.Theuseorproductionofany
promotional materials created by a Distributor, which has no prior written approval from
ALLIANCEINMOTIONGLOBAL,INC.managementisstrictlyprohibited.

NoDistributorshallmakeclaimsastotheproductstherapeuticorcurativeproperties,
exceptasprovidedintheofficialALLIANCEINMOTIONGLOBAL,INC.literature.

No Distributor shall use print, radio or television advertising, except with the written
approvalofALLIANCEINMOTIONGLOBAL,INC.

In cases where the media may contact an ALLIANCE IN MOTION GLOBAL, INC.
DistributorregardingALLIANCEINMOTIONGLOBAL,INC.sofficers,productsorprocedures,the
Distributor shall refer them to the ALLIANCE IN MOTION GLOBAL, INC. Customer Service
Department.

10.2. WEBSITES

ThecreationofwebsitesforthepromotionofaDistributorsbusinessisnotprohibited.
However, the company strictly prohibits the creation of websites, which purport to be the
official website of ALLIANCE IN MOTION GLOBAL, INC. Any other website apart from the
commercial website of ALLIANCE IN MOTION GLOBAL, INC., created for the promotion of
ALLIANCEINMOTIONGLOBAL,INC.sproductsorbusinessmustalwayscontainadisclaimerat
the bottom of every web page that it is not the official website of ALLIANCE IN MOTION
GLOBAL,INC.

SECTION11
BUSINESSCENTERPROGRAMQUALIFICATIONS

11.1. BUSINESSCENTERPROGRAM

ALLIANCE IN MOTION GLOBAL, INC. gives its Distributors the opportunity to own a
BusinessCenter(BC),whichwillsupplyproductsandconducttrainingsandseminarsinthearea
oftheirchoice.

11.1. BUSINESSCENTEROPERATOR(BCO)

The BCO maintains the status of an independent affiliate of ALLIANCE IN MOTION


GLOBAL,INC.Theyaregivenextraprivileges,commensuratefortheextraresponsibilitiesthat
areplaceduponthem.

Asanindependentaffiliate,aBCOcannotrepresentALLIANCEINMOTIONGLOBAL,INC.
onalegalcapacity.Instead,theyrepresentthemselvesandthecompanythattheymaysetup
forthepurposeofservingasBusinessCenterOperatorforALLIANCEINMOTIONGLOBAL,INC.

TheBCOhandlesdelicateandconfidentialinformation,transactsfinances,reportsand
inventory.TheBusinessCenterOperatormustsupportthetotallivelihoodprogramenvisioned
byALLIANCEINMOTIONGLOBAL,INC.aswellaseveryotherobjectiveofthecompany.

11.3. DURATIONOFRIGHTTOOPERATEASBCO

A Business Center Operator is given the BCO rights for a period of one (1) year. The
management shall review the BCOs performance based on sales, customer service, and
compliance with the terms and conditions of the BCO Memorandum of Agreement.
Performance evaluation is conducted on an annual basis. The BCO agreement is renewed
annuallyforthefirstfive(5)yearsfromcommencement.Managementwillthereafterconsider
renewing the BCO agreement for a period of more than one (1) year depending on the
performanceoftheBCO.

11.4. QUALIFICATIONSFORABCO

Any Distributor of ALLIANCE IN MOTION GLOBAL, INC. who possesses the following
requisitesmaybeaBusinessCenterOperator:
1. Fornaturalpersons:
a. Unquestionableintegrity;
b. Musthavepriororcurrentexperienceasabusinessman;
c. MustnotbecurrentlyinvolvedwithanynetworkorDirectSellingbusinessother
thanALLIANCEINMOTIONGLOBAL,INC.;
d. Atleastthree(3)monthsofdistributorshipwithatleastforty(40)downlines;
e. Silver Executive distributor with seven (7) ALLIANCE IN MOTION GLOBAL, INC.
accountsandmonthlyearningsofatleastP30,000.00;
f. Atleast20to55yearsold.

2. Forlegalentity:
a. Alltherequisitesfornaturalpersons,except1.band1.f;
b. Submission of Articles of Incorporation or Articles of Partnership, bylaws and
boardresolutionappointinganofficialrepresentativetotransactwithALLIANCE
INMOTIONGLOBAL,INC.

11.5. BUSINESSCENTERPROGRAMREQUIREMENTS

11.5.1.BCOProfile
FortheBCOprofile,aBCOapplicantisrequiredtosubmitthefollowing:
1. Completelyfilledupapplicationform;
2. Two(2)pieces2x2IDpicture;
3. XeroxofALLIANCEINMOTIONGLOBAL,INC.ID;
4. Registrationformwithcompleteinformation;
5. Letterofintent;
6. Recommendationletterfromthedirectuplineanduplineleader;
7. SketchofBusinessCenterlocation;
8. Photosofproposedcenter;
9. StructureofALLIANCEINMOTIONGLOBAL,INC.account(printgenealogy);
10. Layoutofproposedcenter.

NOTE: Applicants must submit the abovementioned requirements to the


ALLIANCE IN MOTION GLOBAL, INC. Head Office for evaluation in person or by mail,
addressed to Ms. Lizeth Bagtas. Qualified applicants will be scheduled for interview.
Please compile all documents and neatly fasten them in a short brown folder.
Incompletedataandrequirementswillnotbeprocessed.
UponapprovaloftheBCOrightsapplication,youwillbenotifiedtodepositthe
initialcapitalofP500,000inanyofthecompanysbankaccounts.
11.5.2.Accessibility

The Business Center Office must be located within the business or commercial
district of the city or municipality. It cannot be located in a home garage or similar
facilitiesthatmaydegradetheentrepreneurialnatureofthebusiness.
11.5.3. OfficeSpace

1. Signage A standard signage of ALLIANCE IN MOTION GLOBAL, INC. shall be


installedinthebusinesscenter;

2. FloorspaceMustbeatleast50squaremeters;

3. CleanlinessMustbewelllighted,wellventilated(orairconditioned)andfreefrom
rodentsorotherpestsandpets;

4. PartitionsMusthaveatrainingarea,astockroomandasellingarea.Allofthese
maybelocatedwithinone(1)roomforaslongastherearepartitionstosegregate
thethree(3)mainareas:

a. TrainingAreaseatingcapacityofatleast50persons.Musthaveawhiteboard
(atleast3x6),chairs,tables,LCDprojectorisideal,microphoneandspeaker;
b. Selling Area a product display cabinet must be installed properly and there
mustbeasecuredcashcabinet;
c. Stockroom room temperature must not exceed 30Celcius to avoid product
spoilage.
11.5.4.Communication

1. TelephonelineorCellularphone(necessary)
2. Faxmachine(recommended)
3. Computerwithinternetconnection(required)
4. Scanner(required)

Note: To ensure compliance with the above requirements, photographs of the


newlyestablishedcentermustbesubmittedwithinthefirstthree(3)monthsoftheBCO
operation.
11.5.5.Manpower
Abusinesscenterrequiresatleasttwo(2)facilitators:
1. Officerincharge (OIC) to function also as local marketing officer, cashier, and
trainer.
2. Stockmantofunctionalsoasmaintenancepersonandmessenger.

11.5.6.Capitalization

P500,000.00 is the minimum capital investment required to start a business


center.
11.6. BUSINESSCENTERPROGRAMBENEFITS
11.6.1.ImmediateFinancialBenefit

1. OutrightincomeABusinessCenterhasanoutrightincomeforeveryproductsold
todistributorsandconsumers.PleaserefertoAPPENDIX9forillustration.

2. Rebates The company expresses its gratitude by giving the BCO a permanent
incentivecalledPurchaseRebates.ABCOwithP350,000.00monthlygrosssalesand
withatleast30%productreorderfromthetotalgrosssaleswillqualifytoclaimthe
purchase rebates, which can either be converted into reorder products with
equivalentcodesorcollectedthroughcheckpayment.

3. SatelliteoverridingcommissionABCOwillearncommissionfromtheregistered
satelliteinitsarea,whichbuysdirectlyfromtheBCOHeadOffice.

11.6.2.ImmediateProductInventory

Please refer to APPENDIX 10 for the product breakdown of BCO initial


inventory.
11.6.3.LongTermFinancialBenefit

Normally, the success of a Business Center rests on having a strong network


developmentwithinthearea.ThisgivestheBCOlongtermfinancialbenefits.

11.6.4.NetworkLeadershipandLivelihoodDevelopment

AgoodBusinessCenterOperatordevelopsstrongnetworkleadership.Astrong
leadershipcreatesmanybuildersandretailerswithinhisjurisdiction.Acontinuousflow
oflivelihoodisthengeneratedwithinthelocality.ThisdoesnotonlyhelptheBusiness
CenterOperatorbuthisKababayanaswell.

SECTION12
GENERALPROVISIONS

12.1. CONTRACTCHANGES

ThecompanyreservestherighttomakeanymodificationstotheContractupon30days
notice by publication and normal channels of communication. You agree that after 30 days,
such changes shall be deemed effective and incorporated in the Contract between you and
ALLIANCEINMOTIONGLOBAL,INC.ContinuingtoactasaDistributorandacceptinganybonus
orbenefitafterthemodificationsshallhavebecomeeffectiveareexpressactsofacceptanceof
thenewContractterms.

12.2. WAIVERSANDEXCEPTIONS

The Company reservesthe right tomake waivers and exceptions to the application of
thesePolicies,provideditisexpresslystatedinwriting.

Anypriorwaiverorexceptionmadeassuchshallnotoperateasawaiverofsubsequent
oradditionalbreachnorasanexceptionforanyotherperson.

AnydelayofthecompanytoimposethesanctionssetforthinthesePoliciesshallnot
constitute a waiver of the companys right to demand exact compliance with its rules and
regulations,norshallanycustomorpracticeatvariancewiththeserulesobstructthisright.

12.3. GOVERNINGLAWANDJURISDICTION

ThelawsofthePhilippinesshallgoverntheresolutionofanydisputearisingfromthe
enforcement of these provisions. The Court having jurisdiction over ALLIANCE IN MOTION
GLOBAL, INC.s Head Office shall be the exclusive venue for all legal actions concerning
ALLIANCEINMOTIONGLOBAL,INC.

12.4. SEVERABILITY

Any provision of the agreement between ALLIANCE IN MOTION GLOBAL, INC. and its
Distributors,embodiedinthisdocumentorotherwise,whichhasbeenjudiciallyinvalidatedor
otherwise rendered unenforceable shall not invalidate nor render unenforceable any other
provisionintheagreement.
