Merchant Terms of Use Agreement

This is an agreement between Party A, hereinafter called SocioScout and Party B,

hereinafter called ______________________.

1. DESCRIPTION OF SERVICESSocioScout will provide to __________________, the following services (collectively,

the "Services")

Venue listing (listing of venue details with pictures and links to other social media
platforms of the said venue on our website, www.socioscout.com).
Event listing (space for online promotion of events on our website with event details and
links to other event pages with the option for press releases and artist interviews as and
when requested or provided).
Social Media Promotions (SocioScout, Facebook, Twitter, Instagram, Pinterest, Youtube,
Soundcloud, Whatsapp and BBM, etc.).
Photography and Videography (according to the agreed terms between SocioScout
and _______________). We provide photographers and videographers for events on a
contractual basis which is an add-on to the Event Listing Service and is not exclusive. We
provide final end products of both photographs and videos.
Other services (photo and video hosting of events on our website, www.socioscout.com,
promotion for offers on our website and space for advertisements on request).

2. PAYMENT- The payments would be decided upon the agreement of the services between
both parties.
3. TERM- This Contract may be terminated by either party upon 30 days prior written
notice to the other party. An email notice by one party will suffice.
4. CONFIDENTIALITY-SocioScout, and its employees, agents, or representatives will not
at any time or in any manner, either directly or indirectly, use for the personal benefit of
SocioScout, or divulge, disclose, or communicate in any manner, any information that is
proprietary to _________________. SocioScout and its employees, agents, and
representatives will protect such information and treat it as strictly confidential. This
provision will continue to be effective after the termination of this Contract. Any oral or
written waiver by _________________ of these confidentiality obligations which allows
SocioScout to disclose _________________'s confidential information to a third party
will be limited to a single occurrence tied to the specific information disclosed to the
specific third party, and the confidentiality clause will continue to be in effect for all other
occurrences.

5. WARRANTY - SocioScout shall provide its services and meet its obligations under this
Contract in a timely and workmanlike manner, using knowledge and recommendations
for performing the services which meet generally acceptable standards in SocioScout's
community and region, and will provide a standard of care equal to, or superior to, care
used by service providers similar to SocioScout on similar projects.
6. SocioScout Merchant Terms of Use Agreement

All related icons and logos are registered trademarks or trademarks or service marks of
SocioScout in various jurisdictions and are protected under applicable copyright,
trademark and other proprietary rights laws. The unauthorized copying, modification, use
or publication of these marks is strictly prohibited.

Consent to the Merchant Terms of Use Agreement

By accessing or using SocioScouts Services, you (_________________) signify that you
have read, understood, and agree to be bound by this:
(i) Merchant Terms of Use Agreement (ii) any other exhibits, addenda or attachments to
the Merchant Terms of Use Agreement including any links contained in the Merchant
Terms of Use Agreement which are incorporated by reference herein, whether or not you
are a registered user of our Service.

The members or any of the guests of SocioScout shall be entitled to consume Food and
Beverage up to INR________/- for any event promoted by SocioScout.

Free Entry shall be allowed to maximum three members of SocioScout for any event
promoted by SocioScout.
