MEMORANDUM OF AGREEMENT

This Agreement is made and entered into in this 24th day of July 2015 at ______,
Philippines by and between:
RENE ANJELO GALLIGUEZ SALITA with residence address at
No. 74, Regal Corner Tercel Streets, Village East, Cainta City, Rizal,
Philippines, (hereinafter referred to as the FIRST PARTY).

- and HEIRS OF X VARGAS and DANIELA VARGAS, lot owner and duly
named in the title respectively which lot is particularly described below.
They are represented by ______(caps, not bold)____________ through a
Special Power of Attorney (hereinafter referred to as the SECOND
PARTY).
WITHNESSETH: That
WHEREAS, the FIRST PARTY bought a lot from the SECOND PARTY with TCT
No T-31736 and technical description:
A parcel of land ( Lot G. of the subdivision plan, Psd-04151150, being a portion of Lot Psu-44662, LRC Record No.),
Situated in Barangay Binulasan, Municipality of Infanta,
Province of Quezon, Island of Luzon, Bounded on the SW.,
along line 1-2 by Lot M. of the subdivision plan; on the NW.,
along line 2-3 by Lot E, along line 6-7 by salvage Zone (30
m. wide); on the SE., along line 7-8 by lot H, along line 8-9-1
by lot L, both of the subdivision plan. Beginning at a point
marked 1 on plan beingS. 49 deg. 17E., 2103.28 m. from
BLBM No.2, Bo. Binulasan Infanta, Quezon
WHEREAS, the FIRST PARTY as the new and duly owner of the aforementioned
lot wants to effect the transfer of title with TCT No T-31736 which is currently under
DANIELA VARGAS name to his name;
WHEREAS, the FIRST PARTY, shall require the full cooperation of the SECOND
PARTY during, after or as such as necessity requires to be able to completely transfer
the title with TCT No T-31736 to the FIRST PARTY;
I. TERMS AND CONDITIONS
1. The SECOND PARTY agrees to perform the following terms:

Receive from, provide and collect any and all the documents necessary and as
requested for the said transfer of title to the FIRST PARTY.

Voluntarily sign all the documents which may be requested from time to time and
perform any and all actions in connection and incidental to the foregoing.

Give their full cooperation whenever required and even after for the fulfillment of
the transaction.

2. The FIRST PARTY agrees to perform the following terms:

Confirm the accuracy of the documents submitted by the SECOND PARTY.

Inform the SECOND PARTY in advance whenever their cooperation is required

in order to give the SECOND PARTY time to prepare.

Accept the documents given by the SECOND PARTY after verification that the
same are authentic and correct.

II. MANNER OF PAYMENT

NOW, THEREFORE, for and in consideration of the foregoing terms, the
FIRST PARTY hereby agrees to pay the SECOND PARTY the Amount of Seventy
Thousand Pesos (PhP 70,000.00) in the following manner:
1. The FIRST PARTY shall give the SECOND PARTY the initial payment of Ten
Thousand Pesos (PhP 10,000) only upon the signing of this agreement (or
indicate the date or condition);
2. The second payment shall be after the release of the Certificate Authorizing
Registration (CAR) from the Bureau of Internal Revenue amounting to Thirty
Thousand Pesos (PhP 30,000) only; and

3. The remaining balance in the amount of Thirty Thousand Pesos (Php 30,000)
shall be given after the release of the new Title under the name of RENE
ANJELO GALLIGUEZ SALITA.

III. LIABILITIES
1. In case of failure of the SECOND PARTY to perform the obligations as set forth
in this agreement, the FIRST PARTY shall have the right to take all the
necessary legal actions and exhaust all the possible remedies plus claim for
damages if any.
2. In case of failure of the FIRST PARTY to pay the SECOND PARTY upon the
latters fulfillment of its obligations, the SECOND PARTY shall have the right to
take all the necessary legal actions to which they are entitled to.
IV. MISCELLANEOUS PROVISIONS
1. This Agreement shall take effect upon the signing hereof.
2. The effectivity of this Agreement shall continue indefinitely until the subject title
with TCT No T-31736 has been effectively and completely transferred to the
FIRST PARTY.

3. Any and all additions, deletions, modifications and amendments to this

Agreement shall be implemented only after the parties shall have mutually
signified their conformity in writing.
4. BOTH PARTIES agree that they read and understood and voluntarily sign this
agreement.
5. Failure of any party to demand strict compliance with any of the terms and
conditions herein stipulated shall not be construed as a waiver thereof. Any
waiver shall be in writing and signed by both parties.

IN WITNESS WHEREOF, the parties have hereunder set their sand on the date and
place first above mentioned.
