Partnership Agreement between

ADAPT 2015 Committee and Name of Sponsor


This Agreement is made and entered into by and between the ADAPT 2015
Committee and the [name of sponsor] herein referred to as Organization
partner. In consideration of the premises and mutual promises set forth herein,
the parties, intending to be legally bound, hereby agree as follow:
1. Event. The ADAPT 2015 Committee agrees to conduct the ADAPT 2015
Freshmen Orientation Seminar which will be held on August 1, 2015.
2. Responsibilities of the Organization. The ADAPT 2015 Committee will:
a. Provide a Memorandum of Agreement (MOA)
b. Abide by the sponsorship package the commercial partner has agreed to
enter into, to wit:

(AVP) and tarpaulins/poster
2. Social Media Promotion (i.e. Facebook, Official Event Page and Third
Party Websites)
3. On-Stage Acknowledgment
4. Display 1 organization streamer

6. Distribute merchandise and memorabilia
7. Top billing inclusion of organization logo in event proper AVP,
tarpaulins/poster, flyers, primer, email blasts, organizers ID cards,
video documentation, project write-ups, newsletter
8. Distribute flyers and brochures
9. Program segment
10.Airtime (3 min. looped AVP/Promo Ad)
11.Full-spread advertisement space in the ADAPT 2015 Primer
12.Inner/Outer Back Cover*
13.Hyperlink to the sponsors webpage
14.Receive official event documentations

15.Possible future tie-ups

7. Airtime (1 min. 30 sec. looped AVP/Promo Ad)
8. Whole page advertisement space in the ADAPT 2015 Primer
9. Receive official event documentations
10.Possible future tie-ups
c. Assist the Organization partner in the set-up and dismantling of promotional
materials.
1. Recruit at least one member to assist the Organization partner.
2. Orient the selected members about their tasks.
d. Have to first consult, collaborate or take into consideration any change(s) to
ADAPT 2015 Freshmen Orientation Seminar intended to be made by the
ADAPT 2015 Committee and act on any of [name of sponsor] concerns and
suggestions (if deemed legal, effective and achievable by the ADAPT 2015
Committee).
3. Commercial Partners Responsibilities. In exchange for promotional tie-ins
with the event, the Organization Partner will:
a. Sign this Memorandum of Agreement (MOA)
b. Terms of Payment: Give the organization, [total amount] pesos through
[cash/check/x-deal] by July 18 2015 in exchange for the promotional
benefits specified in the sponsorship package.

2. The Organization partner recognizes that the ADAPT 2015 Committee
is a non-profit, non-stock organization, and thus has no tax
identification number and shall not issue official receipts for any
amount received under this agreement.
c. Provide the organization with the needed information about the organization
on or before July 20 2015.
d. Provide the organization with the promotional materials, i.e. streamers, flyers,
etc.
1. Streamer shall not exceed size of 2 x 5 ft. Tarpaulin stand therefor, if
necessary, shall be provided by Organization partner.
e. Consult with and channel their concerns or requests through a member of the
ADAPT 2015 Committee.
f.

Abide by all rules and regulations provided by the University of the


Philippines College of Law.

g. Receive the benefits brought about by the option of being a sponsor.


4. Promotional Limitation
a. Except as expressly provided herein, neither the Organization Partner nor the
ADAPT 2015 Committee shall have the right to use in any way the corporate
or trade name, trademark(s), service mark(s), logo(s), or other identification
of the other party after ADAPT 2015 Freshmen Orientation Seminar
without their written consent.
b. Commercial Partner hereby grants the ADAPT 2015 Committee a royaltyfree, non-exclusive license to use and display the trademarks associated with
products. Such use shall be limited solely to the duration of the partnership
of the event and any advertising or promotional activities relating thereto.

The ADAPT 2015 Committee shall not use any of the Commercial Partners
trademarks in a way affiliated with or otherwise acting on behalf of the
ADAPT 2015 Committee. The Commercial Partner and the ADAPT 2015
Committee acknowledge that the provisions of this paragraph do not convey
any right, title or ownership interest in the trademark.
5. Term and Termination. This Agreement shall be effective from the date of the
signing of this Partnership Agreement through the end of the aforementioned
event. If when cases a breach of contract happens, the UP Law Student
Government shall intervene in behalf of the ADAPT 2015 Committee in
seeking legal actions.
6. Rejection/Restriction of Product/Service. The ADAPT 2015 Committee
reserves the right to reject or restrict any of Organization partners product or
services which appears inappropriate; cancel the contract of any
commercial/organization partner in the event of a violation of university
regulations; and assign, or reassign, the booth spaces. The ADAPT 2015
Committee shall not be liable for any loss or damage resulting from any such
rejection or disapproval.
7. Termination for Default. The ADAPT 2015 Committee by written notice,
may terminate this Agreement in whole or in part for failure of the Organization
partner to perform any of the provisions herein. In such event, the Organization
partner shall be liable for damages, including the excess cost of procuring similar
supplies or services.

materials/equipment/services

to
be
provided,
if
the
materials/equipment/services are not in good condition or adequate quality.
b. The UP LSG has the right to remove promotional materials and/or
merchandise in cases where Organization partner does not perform their
responsibilities.
8. Force Majeure. Neither party shall be responsible for events beyond its
reasonable control, such as acts of God, weather delays, or other fortuitous
events. If the event is postponed due to inclement weather or other conditions
beyond the ADAPT 2015 Committees control, it may be rescheduled for

another time. The Organization partner shall then be entitled to the advertising
and sponsorship package originally agreed upon at no additional charge to

9. Entire Agreement. This Agreement contains the entire understanding between
the parties relating to the subject matter contained herein and supersedes any
all prior agreements, arrangement, communication, or representations, whether
oral or written. This Agreement may not be amended, altered, modified or
changed except through a written document signed by both parties.

executed.
