Dear Ms Ivy,

I have not answered your email because in my humble opinion there is no misunderstanding
here,
It is not possible that Mr. Steven could have thoughts like this. At the end of our meeting Mr.
Steven has agreed from 1/1/2016 until 31/12/2016 that $1,100,000, after 7 witnesses including the
translator, and I have also contacted him, he was surprised and saided that why Mr. Steven not
gentlemanly enough to keep his promise ? And I have also thought about the following matters:
When Mr.Steven has agreed to sell to Hoa Hng for 6 months then he would give c Lan

sole distributorship, but he changed his decision on the basis that duclan was slow to
order new shipments, however it was not Duclan's fault as the error lay within the
hitch within CET's production line, as well as due to the shipment arriving late.
Finally, c Lan has to agree for CET to sell to Hoa Hng 3 shipments ($86,824.84 +
$ 94,875.2 + $ 68,830= $ 250,530) after that c Lan was able to sign a sole
distributorship agreement with CET.
c Lan has been in business selling toner, photocopier, printer and share
parts for more than 24 years and has signed sole distributorship with CET shows that
Mrs Hung has given her utmost effort, and has worked for long hours and late nights
in order to lead 150 people in focusing all the company's time, effort and resources in
making CET products become number one in Vietnam. Mrs Hung did not buy Drum
photocopy from Mitsu and she did not buy drum photocopy from MegalaserSingapore, in order to focus on maximizing sales revenue for CET , as well as
always finding new products to send to CET in order to distribute and diversify CET
products In addition, c Lan was able to implement one of the most sophisticated
websites in the industry by implementing a variety of electronic formats for the
product list on the company's website (especially our website was been very well
regarded by all of our customer and competitors in the industry) and it is even
more explicit and detailed than CET, moreover we have concise sales targets for each
sales employee in the case they do not meet these targets they would not receive a
salary, that doesn't account for the fact that even if c Lan makes a loss we would
still be willing sell CET products to further promote the CET brand and make CET
products become popular in the entire Vietnamese market.
Thanh Nam's warehouse has stock in trade (stuck inventories) from along time
in parallel to c Lan sole distributorship but in order to accurately detect how
Thanh Nam conduct business, c Lan has spent a lot of time and resources
investigating as well as forming a new company in order to buy back a lot of Thanh
Nam products (in this matter c Lan has spent a lot of capital and has incurred a lot
of other expenses), Mr.Steven has directly seen and witnessed c Lan 's new
company's employees come in and buy a large order of products from Thanh Nam
and chuck those boxes into the van carrying Mr. Steven, practically proving to
Mr.Steven about the price of Thanh Nam's CET products selling in the Vietnamese
market.

Currently, c Lan still has stock in trade ( stuck inventories) $700,000 as our
import price is higher than Thanh Nam. Mr Steven and Ms.Ivy has directly listened to
the feedback of our distributors ( in which our selling price is also higher than Thanh
Nam) and our distributor has given the precise products and product list when Duc
Lan and Thanh Nam visited c Lan's distributor.
Because of this fact Mr.Steven has agreed to lower the prices of 54 types of
products, this fact he has admitted that c Lan was indeed selling higher Thanh
Nam in which c Lan has to bear the $700,000 in stuck inventories (no profit) and
some products has break even.
c Lan is a very reputable company when signing the sole distributorship
agreement with CET and c Lan has fully supported the CET brand in the
Vietnamese market. In addition, the company has devoted and focused all its efforts
in promoting CET and that we have never used any 1 product of another
company/competitor aside from CET products. CET Guangzhou has conducted
business with Thanh Nam, therefore Thanh Nam has taken advantage of the CET
brand in order to further sell and product some other products imported from Sinotron
Singapore ( for example drum 1015 (O) ), Mr Steven has seen that type of product.
Currently in c Lan 's warehouse has stuck inventories of 1300 with a import price
of $15 *12%= $ 16.8 whlist Thanh Nam sells at $14.5.
CET is a respected and reputable brand in the world, when CET's first meeting
with each distributor, the distributors has warned CET about the reality of the
Vietnamese market in which our country borders China to the North and has
requested Mr.Steven to not allow CET branch in Guangzhou to sell products to
companies in Vietnam, this matter Mr.Steven has promised in front of all the
distributors that he would solve the problem but was unable to do so.
In the contract that was signed between c Lan and CET in the last 2 years,
CET has seriously violated this agreement and therefore on this matter c Lan
request CET's full support is totally valid, and resonable. Therefore, Mr Steven
should be genltemently when he has spoken in front c Lan's board of management
that he must uphold his promise and not withhold his words like what the translator
said
