SECOND: That the PURPOSES for which such Corporation is incorporated are:
1.
PRINCIPALLY, to provide quality and affordable education and holistic
student development in the City of Malaybalay, particularly in the Sumpong area and
its environs, especially to the poor and indigent children of primary schooling age;
2.
SUBSIDIARILY, to engage in allied activities, such as but not limited to:
outreach, seminars, exposure, and fund-raising activities, for the principal benefit of its
students;
THIRD: That the principal office of the Corporation is located in the City of
Malaybalay, Province of Bukidnon, Philippines;
FOURTH: That the term for which said Corporation is to exist is Fifty (50) years
from and after the date of issuance of the Certificate of Incorporation;
FIFTH: That the names, nationalities and residences of the Incorporators of the

EIGHTH: That no part of the income which the Corporation may obtain as an incident
to its operation shall be distributed as dividends to its Trustees, Officers, or Members,
subject to the provisions of Batas Pambansa Blg. 68 (the Corporation Code of the

Philippines) on dissolution. Any and all profit obtained by the Corporation as a result
of its operation, whenever necessary or proper shall be used in the furtherance of the
Purposes stated in the Second Article hereof, subject to the provision of Title XI of the
Corporation Code of the Philippines;
qualified in accordance with the By-laws, and that as such Treasurer, she has been
authorized to receive for and in the name and for the benefit of the Corporation, all
fees, contributions, funds or donations paid or given by the Members and other persons;
TENTH: That the Incorporators undertake to change the name of the Corporation
immediately upon receipt of notice or directive from the Securities and Exchange
Commission (SEC) that another corporation, partnership, or person has acquired a
prior right to the use of that name or that the name has been declared as misleading,
deceptive, or confusingly similar to a registered name, or contrary to public morals,
good customs, or public policy; and
ELEVENTH: That the Corporation shall comply with the requirements of a non-stock
corporation in the course of its operations.
