CONSTITUTION
ArticleINAMEOFTHEASSOCIATION
Section1ThenameofAssociationwillbeKUFOSTeachersAssociation(KTA)with
HeadquartersatPanangad.
Section2Definitions:ItthisConstitution,unlessotherwiseprovidedfororunlessthereis
somethingrepugnanttothesubjectorthecontext,thefollowingshallhold:
UniversitymeanstheKeralaUniversityofFisheriesandOceanStudies(KUFOS),Panangad.
AssociationmeanstheKUFOSTeachersAssociation(KTA).
UniversityAuthoritiesshallhavethesamemeaningasdefinedintheKUFOSAct,2010in
forcefromtimetotime.
TeachermeansapersonsodeclaredbytheStatuesofKUFOS.
Membermeansateacherwhohaspaidtheprescribedmembershipfeeforthecurrentand/or
thepreviousyear.
Section3AimsandObjects:TheaimsandobjectsoftheAssociationshallbe:
Topromoteculturalandacademicatmosphereandpursuits;
Tosafeguardandfurthertheinterestsofitsmembers;
TosuggesttotheUniversityauthoritiesandstriveforvariousmeasuresfortheimprovement
ofworkingconditionsandatmosphereandprofessionalaswellaseconomicstatusof
teachers;

Todoallsuchthingsandacts,whetherincidentaltotheaforesaidobjectiveornot,asmaybe
conductivetothefurtheranceoftheobjectivesoftheUniversityand/oroftheteachersand
studentsoftheUniversity.
ArticleIIMEMBERSHIP
Section1Entitlement:MembershipoftheAssociationwillbeopentoalltheteachersofthe
Universityonpaymentoftheprescribedannualmembershipfee.Ateachershallbeentitledto
becomealifememberoftheAssociationbypayingasumequivalenttotenyearsofannual
membershipfee,andenjoyfullmembershiprightsaslongasheisintheserviceofKUFOS.
Section2MembershipRights:Everymembershallhavetherighttoattend,participateand
voteinallmeetingsofthegeneralbodyoftheAssociation.
ArticleIIIADMINSTRATIVEORGANIZATION

Section1

ExecutiveCommittee:TheExecutiveCommitteeshallconsistof:

OfficeBearers:ThefollowingshallbetheofficebearersoftheAssociation:
President
VicePresident
Secretary
JointSecretary
Elevenmembers
Exofficiomembers:TheoutgoingPresidentandSecretaryoftheAssociationwillbeEx
officiomembersoftheexecutivecommitteewiththevotingrights.
Cooptedmembers:NotmorethanthreemembersshallbecooptedbythePresidentin
consultationwiththeelectedmembersoftheexecutive,preferablyfromcategoriesof
teachers/collegenotalreadyrepresented.However,suchmembershallnothaverighttovote
inanExecutiveCommitteemeet.

ArticleIVELECTIONSOFTHEEXECUTIVECOMMITTEE

Section1

Electionscheduleandprocedure

ElectiontotheExecutiveCommitteeoftheAssociationshallbeheldinthemonthof
Decembereveryyearorassoonaspossiblethereafter.Theelectionschedulewillbefinalized
bytheannualGeneralBodyMeeting.
Thereshallbeagapofatleast15daysbetweenthedateofelectionnotificationandthe
pollingdatefortheKUFOSCampus.
Nominationformembership/officeoftheExecutiveCommitteemustbefilledonthe
prescribedform(Appendix..).
AmembercancastonlyonevoteformembershipoftheExecutiveCommitteebesidesone
voteeachforthevariousoffices.
Theelectionshallbebysecretballotonthebasisofthesimplemajorityvote.
VotingbymembersstationedoutsidePanangadshallbearrangedbytheReturningOfficerat
theirrespectivestationsorbypost.
Section2ReturningOfficer:ElectionwillbeconductedbyaReturningOfficer/Alternate
ReturningOfficer,whowillbenominatedbytheAnnualGeneralBodyMeetingasperthe
scheduleandproceduredecidedbyit.HewillbeassistedbytheoutgoingSecretary/Joint
Secretaryiftheydonotcontestelection.
Section3

Eligibilityforvotingandcontesting:

Onlythosememberswhoarenotinarrearsofmembershipfeebytheprescribeddategivenin
theelectionscheduleshallhavetherighttopropose/second/contest/voteduringtheannual
election.
Amembershallnotpropose/secondmorethanonecandidateforthesameoffice.Similarly,a
membercannotcontestofanofficeforwhichhehad

proposed/seconded

someotherpersonsname.Thisappliestothe

membershipoftheExecutivealso.
Amemberwhoexpectstobeabsentfromhisheadquarteronthepollingdateonofficial
business/leavemaybeallowedtoexercisehisvotewiththeReturningOfficerbefore
proceedingonsuchofficialbusiness/leave.
Section4

Electionresults:

TheelectionresultsshallbedeclaredbytheRetuningOfficeronthedateofpollingatthe
PanangadCampus.
Incase,foranyofficeormembershipoftheElectiveCommittee,thecontestantssecureequal
numberofvalidvotes,thewinnerwillbedecidedbydrawoflots.
AlltheusedballotpaperswillbeputinasealedcoverbytheRetuningOfficerimmediately
afterthedeclarationofelectionresults.Acandidatemayputhissignaturesofthesealedcover
ifhelikestodoso.
Section5

ElectionPetition:

Anunsuccessfulcandidatemaychallengetheelectionofasuccessfulcandidatethroughan
electionpetitiontobefiledbyhimwiththeReturningOfficerwithinthreedaysofthe
electionresults.ThepetitionerwilldepositanonrefundablefeeofRs.100/onlywithhis
petition.
TheReturningOfficer,afterhearingthepetitioneraswellasthedefendant,willgivehis
verdictwithinsevendaysofthesubmissionofthepetitioner.ThedecisionoftheReturning
Officerwillbefinalandbindingonalltheparties.
Thepetitioner/defendant,duringthepresentationofhiscasebeforetheReturningOfficer,
shallnotbeallowedassistancebyanybodyotherthanonememberofhischoice.

Afterthelapseofthreeworkingdaysfromthedateofdecisionoftheelectionpetition(last
petition,ifmorethanonepetitionarefiled)theReturningOfficer,shalldestroyalltheused
ballotpapersataplaceandtimetobeannouncedbyhimatthetimeolddeliveringhisverdict
ontheelectionpetition.Incasenoelectionpetitionisfiled,theusedballotpaperswillbe
destroyedafterthelapseofthreeworkingdaysfromthelastdateforthefilingofelection
petition.
Theactoffilinganelectionpetitionwillnot,inanymanner,debartheelected
members/officerbearersfromdischargingoftheirnormalfunctioning,duringthependencyof
thepetition.

MEETINGOFTHEASSOCIATION:

MeetingsoftheAssociationwillnormallybecalledbytheSecretaryinconsultationwiththe
President.ThePresidentcanalsocallmeetingsindependently.Thetime,dateandplaceofthe
meetingsoftheAssociationandplaceofthemeetingsoftheAssociationshallbedecidedby
theExectiveCommittee.

MeetingsoftheGeneralBody

AnnualGeneralBodyMeeting
TheAnnualGeneralBodymeetingshall:
BeheldnormallyinthemonthofDecembereachyear.
Anoticeofatleast15dayswillbegiventothemembersforthemeeting.
ConsiderandadoptthereportoftheactivitiesoftheAssociationfortheyear;
Considerandapprovethefinancialstatementsfortheyear;

Finalizetheschedulefortheelectionofofficerbearers/membersofthe
ExecutiveCommitteeforthenextyearandnominatetheReturningOfficerfor
conductingtheelections.
OrdinaryGeneralBodyMeetings
AnordinaryGeneralBodymeetingwillbeheldatleastthreetimesinayear.A
minimumnoticeofsevendayswillbegiventothemembersforanordinary
GeneralBodyMeeting.
AnordinaryGeneralBodymeetingwilldiscussanddecidetheagendaitems
previouslyapprovedbytheExecutiveCommittee.Anagendaitemcanalsobe
introducedduringthemeetingitselfbyamemberwiththepermissionofthe
Chair.
ExtraordinaryGeneralBodyMeetings
AnextraordinarymeetingoftheGeneralBodyshallbecalledifarequisition
inwritingisreceivedfromatleastonesixthofthemembers.
Therequisitionrequestwillbeaccompaniedbytheagendaitemsproposedto
bediscussedinsuchameeting.
Suchmeetingshallbeconvenedwithintendaysofthereceiptofthe
requisition.
EmergencyGeneralBodyMeeting
Inasituationwhere,intheopinionoftheExecutiveCommittee,thereisan
urgentneedfortheGeneralBodytoguide/directtheExecutiveCommitteeor
specificissue(s)suchanemergencyGeneralBodymeetingmaybeconvened
atanoticeoftwodays.Suchameetingwillnotdecideanyissueotherthanthe
specificissue(s)forwhichitisconvened.

Quorumforthemeetings
Thequorumrequiredforameetingisatleastonesixthofthetotalmembership.
Ifthequorumisnotcomplete,themeetingcanbereconvenedafteradjourningatleastforthe
dayandbusinesscanbetransactedirrespectiveofthequorum,butwithoutanychangeinthe
agenda.
Chairman:
ThePresidentoftheAssociation,orinhisabsence,theVicePresidentwillpresideoverthe
meetingsoftheGeneralBodyoftheAssociation.Intheabsenceofbothofthem,oneofthe
memberspresentwillbevotedtotheChairfortheparticularmeetingonly.
Section2

MeetingsoftheExecutiveCommittee

TheExecutiveCommitteeshallmeetatleastonceineverymonth.Suchmeetingswillbe
calledasordinarymeetingsoftheExecutiveCommittee.
AnemergencymeetingshallbecalledbytheSecretaryinconsultationwiththePresidentor
onawrittenrequisitionsignedbyanysixvotingmembersoftheExecutiveCommittee.Itwill
discussthoseitemsforwhichthemeetingwasspecificallycalled/requisitioned.
OrdinarymeetingoftheExecutiveCommitteeshallconsidertheagendawhichisplaced
beforeitorsuchotheritemsasmaybeallowedbytheChairman.
ThequorumforameetingoftheExecutiveCommitteeshallbesixvotingmembers.Incasethe
quorumisnotcomplete,theprovisionofthesectionI(v,b)ofthisarticlewillapplytothe
meetingsofExecutiveCommitteealso.

ThePresident,orinhisabsence,theVicePresidentoftheAssociationwillpresideoverthe
meetingsoftheExecutiveCommittee.Intheabsenceofboth,oneofthemembersofthe
ExecutiveCommitteepresentatthemeetingwillbevotedtotheChair.
Section3VotingandDecisions:AllthedecisionstakenattheGeneralBodymeetingsofthe
Association(exceptincaseofameetingcalledexclusivelyforthepurposeofamendmentto
theConstitution)andoftheExecutiveCommittee,shallbebysimplemajorityvoteofthe
votingmemberspresent.Incaseofequaldivisionofvotes,theChairman/Presentwill
exerciseacastingvote.
ArticleVI

AMENDMENTOFTHECONSTITUTION

TheConstitutionmaybeamendedonlyinameetingoftheGeneralBodyspecificallyand
exclusivelyconvenedforthepurpose.Theproposalforeffectinganamendmenttothe
Constitution,supportedbyatleast20%ofthetotalmembership,shallbesubmittedtothe
ExecutiveCommittee,whichwillplaceitbeforetheGeneralBody.Suchproposalsshallbe
circulatedtothemembersatleast10daysbeforesuchameeting.Theamendmentshallbe

deemedtohavebeenacceptedifitisvotedforbyatleast2/3 majorityofmemberspresent

inthemeetingwhichshouldnotbelessthan1/3 oftotalmembershippostedatthePanangad
Campusonthedayofmeeting.
ArticleVII

VOTEOFNOCONFIDENCE

Aresolutionregardingvoteofnoconfidence,canbemovedagainstanyofficebearerofthe
Association.
TheresolutionshouldbesubmittedtotheExecutiveCommittee.
SucharesolutionmustbesignedandsubmittedtotheExecutiveCommitteebynotlessthan
1/10ofthemembershipoftheGeneralBodyandshouldenlistsubstantivepointsofissuefor
properdiscussionattheGeneralbody.

TheExecutiveCommitteewillconsidersucharesolutionandwillforwardittotheGeneral
Bodyifitsupportedby2/3membersoftheExecutive.
Sucharesolutionwillbeconsideredtohavebeencarriedbyasimplemajorityofthe
memberspresentandvoting.Iftheresolutioniscarriedout,thepostoftheofficerbearer
wouldbedeemedtohavefallenvacant.
ArticleVIIIAUDITOFACCOUNTS
TheaccountsoftheAssociationforaparticularyearshallbeauditedbyauditorsappointedat
theAnnualGeneralBodyMeetingoftheyear.Theauditedrepotinrespectofall
income/expenditureshallbesubmittedtotheExecutiveCommitteewhichshallthenplaceit
beforethesubsequentGeneralBodymeetingoftheAssociationforitsacceptance.
ArticleIX

RESIGNATION/VACATIONOFOFFICE

Anymember/officebeareroftheExecutiveCommitteecanvacatehisoffice/membershipby
submittinghisresignationinwritingtothePresident/Secretary.Theofficewillbedeemedto
havebeenvacatedwitheffectfromtheseventhdayoftheresignationunlessdecided
otherwisebytheExecutiveCommittee.
Anyvacancyofanofficerbearerarisingasaresultofdeathortheresignationor/foranyother
reasonshallbefilledbycooptionbytheExecutiveCommitteefortheremainingperiodof
thetermfromamongstthemembersoftheExecutiveCommittee.

INTERPRETATIONOFCONSTITUTION

Ifthereisanydoubtregardingtheinterpretationofthearticle,section,clauseor
subclauseofthisConstitutionorofitsBylaws,theinterpretationofthe
Presidentshallbefinalandbinding.
Section

BylawsshallbeframedonlyinaccordancewiththeConstitution.
Article
XI
POWERSANDDUTIEDOFTHEEXECUTIVECOMMITTEE
TheExecutiveCommitteeshall
serveasthegoverningbodyoftheAssociationandshallberesponsibletotheGeneralBody;
regulatethefundsandallexpenditure;
appointsuchsubcommitteeasitmaydeemfitandnecessaryforachievingtheaimsand
objectoftheAssociation;
assigningsuchotherdutiestoitsmembersortothemembersoftheGeneralBodyasitmay
deemfirfromtimetotime;
doallsuchactsandthingsasmaybenecessarytogetthedecisionoftheGeneralBody
implementedinletterandspirit;
keepawatchfuleyeonthedecisions/policiesoftheUniversityauthoritiesandtrytointervene
wheresuchdecisions/policiesareagainsttheaimsandobjectsoftheUniversity/Association;
takealldecisionsandactwithintheframeworkofthedecisions/policiesdecidedbythe
GeneralBody.

willbeopentoperusalbymembersoftheExecutiveCommittee.

Article XIIPOWERSANDDUTIESOFOFFICEBEARERS

Section 1

President

ThePresidentshall:
presideoveralltheGeneralBodyandExecutiveCommitteemeetingsoftheAssociation;
haveacastingvoteincaseofequaldivisionofthevalidvotes;
betheprincipalexecutiveandadministrativeheadoftheAssociationandshallhaveallthe
necessarypowersforthedischargeofhisduties;
keepanactiveliaisonwiththeUniversityauthoritiesinordertoachievetheaimsandobjects
oftheAssociation.
Section 2

VicePresident

TheVicePresidentshallassistthePresidentinthedischargeofhisduties.Intheabsenceof
Presidentinthedischargeofhisduties.IntheabsenceofPresident,theVicePresidentshall
performthefunctionsofthePresident.
Section 3

Secretary

TheSecretaryshall:
bethecustodianoftheproperty,officeandrecordsoftheAssociation;
callmeetingsinconsultationwiththePresidentandmakenecessaryarrangementforall
meetingsandfunctionsoftheAssociation;
recordtheminuteofthemeetingsandissueproceedingsofthemeetingsfortheinformation
oftheGeneralBodyandcarryoncorrespondenceonbehalfoftheAssociation.
SubmittheAnnualReportofactivitiesoftheAssociation.

JointSecretary

ThefunctionoftheJointSecretaryshallbetoassisttheSecretaryandcarryoutthefunctions

ReceivepaymentsandgiftsonbehalfoftheAssociation.
MakeauthorizedpaymentonbehalfoftheAssociation.

AmendmentofByeLaws

Amendmenttothebyelawsproposedbytheexecutivecommitteeshouldbecirculatedtothe
membersatleasttendaysbeforetheGeneralBodymeetingthemeetingshouldbeattendedat
leastbyonethirdofmemberspostedatPanangadCampus.
Theamendmentwillbeapprovedbyasimplemajorityofthememberspresentinthe
meeting.
ArticleIV

ElectionSecurityAndNominationFormFee

EachnominationformwillbeaccompaniedbyanonrefundablefeeofRs.10/

SecurityofRs.100/willbechargedfromeachcandidateforelectiontothemembershipof
ExecutiveCommittee.thesecurityamountwillbeRs200/forelectionbeaersofthe
ExecutiveCommitteeexceptforofficeofpresidentsforwhichitwouldbeRs500/
Theaforementionedsecurityofacandidateshallstandforfeitedtotheassociationifhepolls
lessthan1/5ofthehighestnumberofthevalidvotespolledbyacandidateforthatparticular
office/membershipasthecasemaybe.
