considerationtobeincludedinafilmwhichwillbecreatedfromsubmittedvideos,currentlyentitled"INDIAINADAY"(the

Film
)tocaptureIndiaandhowitisevolvingonSaturday10thOctober2015.Oneofthefilmmakerssubmittingfootagefor
theFilm(namedbelow)hasrecordedYOUand/oryourvoiceand/orothersoundscreatedbyyouoncamera,orintendstodo
so,forthispurpose.

Ifyou(the
Contributor
)agreethatthisrecording(oranypart)oftheContribution(asdefinedbelow)maybeincludedin
theFilm,pleasereadthefollowingwhichsetsoutyouragreementwithus(
Release
)andsignattheendofthisReleaseto
acknowledgeyouragreement.
WeshallbeundernoobligationtousetheContributionoranypartoftheContributionandshallnotbeliabletothe
ContributorintheeventthatnopartoftheContributionisusedintheFilm,orotherwiseinaccordancewithclause2below,in
whichcasethetermssetoutintheReleasebelow(otherthanclause9belowwhichshallapplyinanyevent)shallnotapply
andneitherpartyshallhaveanyobligationtotheother.
If(inourdiscretion)theContributionoranypartoftheContributionisincludedintheFilm,and/orotherwiseinaccordance
withclause2below,inconsiderationofthesameandforothergoodandvaluableconsideration(together,the
"Consideration"
),thereceiptandsufficiencyofwhichtheContributoracknowledges,weandtheContributoragreeas
follows:
1.TheContributorconfirmsthattheyhaveirrevocablyconsentedtoparticipateinanyandallvideorecordingssubmitted
bytheFilmmakertous(the
"Videos"
).
2.TheContributorirrevocablygrantsus:
(i)anonexclusiveroyaltyfreelicence(whereapplicable,bywayofpresentandfuturecopyright)and
(ii)allconsentswhichareormayberequiredundertheCopyright,DesignsandPatentsAct1988(UK)(asamendedor
reenactedfromtimetotime),
forustomakethefullestuseoftheContributorsappearance,performance,image,voiceandothersoundsinthe
Videos(together,the
"Contribution"
)andoftheVideosandtheFilm,throughouttheworldinperpetuity,inanyandall
medianowknownordevisedinfuture,withoutliabilityoracknowledgementtotheContributor.
3.TheContributorirrevocablygrantstous,theunlimitedrighttodownload,reproduce,dub,subtitleandotherwiseeditin
anywaywhatsoeveryourContribution.Totheextentpermittedbylaw,theContributorirrevocablywaivesthebenefitsof
andagreesnottoassertandwaivesandreleasesusfromanyandallclaimsthattheContributormaynoworhereafter
haveinanyjurisdictionbasedonanyprovisionoflawknownasmoralrightsordroitmoraloranysimilarrightsor
unfaircompetitionwithrespecttotheexploitationbyusoftheVideoswithoutfurthernotificationorcompensationtothe
Contributorofanykind,andtheContributoragreesnottoinstigate,support,maintain,orauthoriseanyaction,claim,or
lawsuitagainstusoranyotherpersoninconnectionwiththeVideosortheFilm,onthegroundsthatanyuseofany
Videosoranyderivativeworksthereof,infringesorviolatesanyrightsoftheContributor.
4.TheContributoragreesthattheConsiderationincludesequitableremunerationinrespectofanyandallrightsof
whatsoeverkindornature(includingrentalandlendingrights)towhichtheContributormaynowbeorshall
subsequentlybecomeentitledunderthelawsofanycountryinconnectionwiththeexploitationoftheVideos,theFilm
andtheContributioninanyandallmedia.
5.TheContributorwarrantsandconfirmstousthat(i)theyareatleast18yearsofage,(ii)theyhavetherighttoenterinto
thisReleaseandgranttherightsreferredtoinitfreefromanyencumbrancesandthirdpartyrights,(iii)theContribution
isoriginaltotheContributorand(iv)nothingintheContributioninfringesorwillinfringethecopyrightoranyotherrights
(includinganyrightsofconfidentiality)ofanypersonorisorwillbedefamatoryorderogatoryofanyperson.The
Contributoragreestoindemnifyandtokeepusfullyindemnifiedagainstallclaims,costs,proceedings,actions,
demands,damagesand/orliabilitieswhatsoeverincurredbyand/orawardedagainstand/orcompensationagreedbyus
inconsequenceofanybreachornonperformancebytheContributorofthewarrantiesspecifiedinsubclauses(ii)(iv)
(inclusive).
6.WeshallhavetherighttousetheContributorsname,photograph,nonphotographiclikenessandvoicethroughoutthe
worldforallpurposesofadvertising,promotion,publicity,broadcast,exhibition,distribution,exploitationand
communicationtothepublicoftheVideosandtheFilm,inanyandallmedianowknownordevisedinfuturein
perpetuity.
7.TheContributorirrevocablyreleasesusfromanyandallclaimsforinvasionofprivacy,defamation(includinglibelor
slander),breachofmoralrightsorsimilarrightsandinrespectofanyotherpersonalorpropertyrightsinconnectionwith
theuseoftheContributionandundertakesthattheContributorwillnotnoworinthefutureassertormaintainanysuch
claimagainstus.
8.TheContributoracknowledgesthattheContributorshallnotinanycircumstancesbeentitledtoinjunctiveorother
equitablereliefortoenjoinorrestraintheproductionorexploitationoftheVideosortheFilm.

9.
TheContributoracknowledgesthattheContributorissolelyresponsibleforanyclaims,losses,damages,
expensesandotherliabilitiesofanykindwhatsoeverarisingfromorasaresultoforconnectedwithany
activitiesinvolvedinparticipatingintheVideos(together,"Liabilities"),includingwithoutlimitationanydamage
orlosstoanyproperty(includingtheContributorsproperty)andanyinjurytoordeathofanyperson(including
theContributor)andtheContributorirrevocablyreleasesusandanythirdpartiesfromanyandallLiabilities.
10.WeshallbeentitledtoassignorlicencethewholeoranypartofthisReleasetoanythirdparty.
11.ForthepurposesoftheDataProtectionAct1998(asamendedorreenactedfromtimetotime,the"
DPA
")andany
relatedlegislation,andanyanalogouslegislationapplicableinanyotherjurisdiction,theContributoragreesandgives
consenttotheholdingandprocessingofpersonaldata,includingsensitivepersonaldataassuchtermsaredefinedin
theDPA,relatingtotheContributor(includingwithoutlimitationdataincludedinthisRelease)byusandanycompanies
inthesamegroupaseitherofusorundercommoncontrolorownershipwithusand,whererelevant,theiremployees,
agentsandadvisers,solelyforpurposesconnectedwiththisRelease,theVideos,theFilm,andtoensurecompliance
withourlegalandregulatoryobligations.TheContributoracknowledgesthattheprocessingofpersonaldatapursuantto
theforegoingmayinvolvethedisclosureofsuchpersonaldatatothirdparties,includingwithoutlimitationlegaland
regulatorybodies,licenseesanddistributorsoftheFilm,suppliersandotherpersonsconnectedwiththeFilmunderthis
Release.TheContributorhastherighttorequirepersonaldataheldbyusrelatingtotheContributortoberemovedfrom
allrecordsheldbyusbysendinganemailtothefollowingemailaddress:

providedthatifthe
ContributorsendssuchnoticeafterwehaveincludedtheContribution(oranypartofit)intheFilm,weshallbeentitled
toretaincopiesofthisReleaseandotherpersonaldatarelatingtotheContributorforthepurposesofverifyingthe
Contributor'sconsenttotheinclusionoftheContributionintheFilm,atourdiscretion,weshallhavetherighttocontinue
tousetheContributioninaccordancewiththetermsoftheRelease.IntheeventthattheContributorsendssuchnotice
priortoinclusionoftheContributionintheFilm,theContributionwillnotbeeligibleforinclusionintheFilm.
12.IfanyprovisionofthisReleaseisinvalid,voidorunenforceableforanyreason,suchprovisionshallinnowayaffectany
otherprovisionofthisReleasewhichremaininfullforceandeffect.
13.Inthisreleasetheexpression
Film
includesanypartthereof,andalsoincludesanytrailers,teasers,advertisingor
promotionalmaterial,DVD"extras",bonusmaterials,electronicpresskit,makingoffilm,soundtrackalbum,
documentaryorotherproductionbasedonorrelatingtosuchfilm,oranyothermaterialconnectedwithadvertising,
promotingorexploitingsuchfilm.
14.ThisReleaseconstitutestheentireagreementbetweenthepartiesandshallbegovernedbyEnglishlawandtheparties
irrevocablysubmittotheexclusivejurisdictionoftheEnglishCourts.
15.ThisReleasemaybeexecutedinanynumberofcounterparts,originalorsentbyfacsimileortransmittedinany
electronicformat,eachofwhichwhensoexecutedshallbedeemedanoriginalandallofwhichshalltogetherconstitute
oneandthesameagreement.
