PROPOSED AMENDMENTS TO THE CONSTITUTION


Following on considerations the past two years by the
General Council it was decided that it is appropriate
to supplement Agri SAs Vision and Mission with a
value system that can be included in the organisations
constitution.

regards to profitability is already mentioned in the mission


statement and is therefore repetitive. Different references
to the RSAs Constitution were also rationalised with the
reformulation. This includes the replacement of article 1.2
with article 4.2.2 as explained in this memorandum. The
following alternative to the above is recommended for
consideration.

In addition, Agri SA last year obtained further clarification


from SARS on its tax status as Public Benefit Organisation
which requires compliance with section 30B of the Income
Tax Act. According to this Agri SAs constitution should be
amended to explicitly comply with the mentioned criteria.
Because of disruptions with postal services, Agri SA has
to rely on electronic communication with regards to
notices relating to congress arrangements as an acceptable
alternative. This arrangement should be confirmed in the
Constitution.
To give effect to the above, the following amendments to
Agri SAs constitution are proposed. Additions are indicated
in italic and deleted text are strikethrough.

Values
The General Council at its meeting held on 21 and 22 July
2015 approved the following value system for submission
to Congress.
We will execute our functions in accordance with the
letter and spirit of the Constitution of the Republic of
South Africa.
To commit to a South Africa that is food and fibre
secure.

1.

NAME AND STATUS

1.1

The name of the organisation is AGRI SOUTH


AFRICA (hereafter called Agri SA) that:

1.1.1

is a federation of South African agricultural


organisations with common aims and, therefore,
committed to joint actions;

1.1.2

is a legal entity functioning as a non-profit


association;

1.1.3

performs its operations in Afrikaans and/or English;

1.1.4

maintains democratic principles in decision


making; (change to 2.3.1.6)

1.1.5

always focuses on the agricultural merit of its


points of view; and (change to 2.3.1.3)

1.1.6

does not subject its mandates to those of any


other organisation or movement in the publicor private sector or the civil society. (change to
2.3.1.5)

1.2

the funds that Agri SA have at its disposal will be


appropriated only for promoting its objectives and
will not be shared amongst affiliated or associated
members or other persons. (change to 4.2.2)

We regard integrity, transparency and inclusivity as core


to the execution of our mandate. We subscribe to the
principles of sound corporate governance that leads to
apolitical and ethical practices in all respects.

2.3 VALUES

Pursuing an open market based economic approach at


all times in order to prevent market distortions due to
external inconsistencies.

2.3.1.1 respect and comply with the Constitution of the


Republic South Africa in the formulation of its
positions and related actions;

Striving to improve the profitability of all agricultural


enterprises in South Africa at all times with a view to
keeping farmers on the land and to ensure that quality
food at affordable prices is produced and is accessible to
all citizens of South Africa.

approach as points of departure for wealth

Agri SA and its members:

and other resources and giving due care to the
environment.

2.3.1.6 maintain democratic principles in decision making;

Interacting with government and all other relevant


bodies at all levels with a view to improving the lives of
all rural dwellers in South Africa.

2.3.1.7 apply generally accepted practices of corporate


governance.

representative organization that will ensure that to ensure
Agri SA can execute its mandate on a continuous basis.
Article 4.1.12
Accept and receive gifts and/or contributions of any kind,
provided that the organisation will not accept or receive
any donation which is recoverable at the instance of the
donor for reasons other than a material failure to conform
to the designated purposes and conditions of such a
donation, including any misrepresentation with regard to
the tax deductibility thereof in terms of section 18(A) of
the Income Tax Act 58 of 1962;

5.3

CORPORATE MEMBERS

5.3.1

Corporate members are persons/organisations


other than affiliated or associated members
which financially contribute to the funding of
Agri SA. The General Council has the power to
determine rules regarding corporate membership
of Agri SA, as well as the obligations, rights and
privileges of such members, and also of altering,
replacing and/or the repeal of such rules from
time to time, but with the understanding that
such members will not have voting rights in the
organisation and will not be able to serve as
office bearers. With regards to the termination
of membership of any corporate member, the
General Council will be guided by the provisions
of sub-section 5.1.4 of this Constitution.

Article 4.2
Income and Property
Article 4.2.1
Members and office bearers have no rights in the property
or other assets of the organisation solely by virtue of their
being members or office bearers.
Article 4.2.2
The income and property of the organisation shall be
used solely for the promotion of the objectives in terms
of clause 3, and shall not be paid or distributed directly
or indirectly to any person, or to any member of the
organisation or office-bearers, except as reasonable
compensation for services rendered to the organisation
or reimbursement of actual costs or expenses reasonably
incurred on behalf of the organisation.
Article 4.2.3
The organisation will not use its resources directly or
indirectly to support, advance or oppose a political party.
Article 4.3
Taxation of organisation
Article 4.3.1
The organisation will endeavor at all times to comply fully
with the provisions of section 30 (b) of the Income Tax
Act 58 of 1962, and more specifically will not knowingly
become a party to or allow itself to be used as part of an
impermissible tax avoidance arrangement as contemplated
in section 103(5) of the said Act.

Membership
Agri SAs constitution currently makes provision for
affiliated members (one general affairs organisation per
province and one organisation per commodity branch)
and for associated members. The latter can make provision
for organisations such as the Pro Agri Forum. In terms
of tax legislation, the contributions made by business
partners and sponsors are classified as other income,
which could affect Agri SAs tax status. This will not be the

AMENDEMENT OF CONSTITUTION

Article 7.1.1.4
Any amendments effected to the Constitution will be
submitted in writing to the South African Revenue
Service within 30 days of such amendments having been
approved in the manner contemplated in this section.
Executive and authority: congress rules
At present the constitution contains a stipulation (sub
clause 6.1.5.5) that, in the event of a Special Congress,
the relevant documentation must be sent out by mail.
There is also a provision (subclause 6.1.5.6.1) which
states that, in the case of an ordinary congress, written
notice must be given of the congress particulars.
During the past year, the post office strike showed that
these provisions are inappropriate and that electronic
communication should also be recognised as an
acceptable method of distribution. Approval is required
for such amendments:

Agriculture is the pivot of which South Africas food security and
subsequently economic and social stability, therefore, it must be taken in the
context of ensuring that all South Africans will have access to affordable,

Statistics South Africa
Statistics South Africa (Stats SA) is proud to work in collaboration with Agri SA
over the years. The partnership has strengthened and resulted into good support,
in particular through participation by Agri SA affiliates in Stats SA surveys. 2015
is one of those years where the surveys will be running throughout the year. The
difference will be the preparation for the big project, Community Survey, which
is the biggest survey after the Population Survey. It will be the first time that it will be conducted through digital data
collection system, Computer Assisted Personal Interview (CAPI), using electronic devices.
We would like to wish Agri SA all its best in its deliberations during the congress.
We would like to wish Mr Hans van der Merwe all the best with his retirement as we have worked very closer with him over
the years as the CEO of Agri SA. At the same time, we would like to welcome on board the new Agri SA management and

AGRI SAS BUSINESS PARTNERS WITH WHOM THERE IS A


SPECIFIC AGREEMENT
Agri SA acknowledges its business partners, contributing at various
levels of the organisation namely: CrisisOnCall, Nissan SA, Sanlam,
T&E FinOps and Vodacom.
CrisisOnCall
CrisisOnCall is proud to have been a business partner of Agri SA since June 2005 through
its association with Agri Securitas Trust Fund.
This past year, CrisisOnCall was privileged by being able to assist several farmers who are
members of CrisisOnCall. Some of the incidents include a farmer and his wife who were
evacuated by air ambulance after they were seriously injured in a farm attack near Vrede.
There were also cases of children being bitten by snakes. Others include the provision
of telephonic medical advice to farmers who live far away from hospitals and doctors
and trip monitoring when farmers and their families are travelling or on the way to their
farms. CrisisOnCall even helped with the search for a farmers father who disappeared
from his farm and who was found two hours later via the CrisisOnCall system! CrisisOnCall is able to provide help countrywide through the infrastructure of its network of service providers.
Farmers are vitally important to us as they provide a phenomenal contribution the provision of food security and that is why
we view each farmer and his family who are members of CrisisOnCall, with fondness.

Nissan SA
Nissan SA would like to make use of this opportunity to reaffirm their commitment to
promote rural security by means of a contribution to the Agri Securitas Trust Fund.
This commitment of Nissan SA to the support of the Trust Fund has been ongoing for a period of fifteen years whereby
Nissan SA makes a contribution of R1500 to the Trust Fund for every Nissan vehicle purchased by a member of the farming
or agricultural community. The usual method of using a Fleet Code, F14911 to qualify for a discount when a vehicle is
purchased from a dealer is still in operation.
Contributions to the Trust Fund is applied, as an example, to provide a counselling service to the farming community, the operation
of an information service in the Free State which has led to great success in prevention of farm attacks, providing communication
systems to the farming community for crisis communication in the implementation of security strategies and so on.
This confirms Nissan SA commitment and it comes as no surprise that Nissan SA has such a strong affiliation with the
farming sector. This motor manufacturer has a history of more than 70 years in this market with the most comprehensive
range of commercial vehicles currently on the market. The range comprises from the NP 200 with a load capacity of
800 kg, the reliable range of one tonner NP300 Hardbody to the Navara double cab and Kingcab models and the ultimate
work horse vehicle, the Patrol pickup.

Dear Agri SA
Our collaboration agreement with Agri SA already started in the previous century. This made
us Agri SA first partner. This agreement was done because of an identified need under the
Agri community and a solution to the need.
The Family Protector Plan was launched in February 1999 and has paid out claims in excess of
R7 000 000.00 (seven million rand) to date. The Family Protector Plan has been in the market for
17 years and is still going strong and financially stable.
T&E FinOps strives to, irrespective of lifes challenges, good or bad, illness or health, create
prosperity for all.
T&E FinOps has a great appreciation towards the long standing partnership with Agri SA and undertake to always give
