TransSoft(TM) Transmission Diagnostic Software License Agreement

This Software License Agreement constitutes a legally binding agreement between

ZF Meritor LLC, a Delaware limited liability company, and the user of the TransS
oft(TM) software ("you").
ZF MERITOR LLC IS WILLING TO GRANT YOU ACCESS TO, AND THE RIGHT TO USE, THE TRAN
SSOFT(TM) DIAGNOSTIC SOFTWARE ONLY UPON YOUR AGREEMENT THAT SUCH ACCESS AND USE
WILL BE SUBJECT TO THESE TERMS AND CONDITIONS.
PLEASE READ THESE TERMS CAREFULLY BEFORE CLICKING ON THE "I ACCEPT" BUTTON BELOW

The ZF Meritor LLC TransSoft(TM) Transmission Diagnostic Software ("program") an
d its related documentation ("documentation") are copyrighted. All the rights,
title, and interests in and to the program and documentation, or other proprieta
ry rights, whether in the nature of patent, copyright, trade secret, trade dress
, trademark or other legally recognized rights, are and shall remain the sole an
d exclusive property of ZF Meritor LLC and you shall not have or acquire any rig
hts, title, or interests in or to the program and documentation, except as expre
ssly granted herein. You may not use, copy, modify, assign, or transfer the pro
gram or documentation, or any copies thereof except as expressly provided in thi
s agreement.
You have the non-exclusive right to use the program only on a single computer an
d only in conjunction with products manufactured by ZF Meritor LLC. You may phy
sically transfer the program from one computer to another provided that the prog
ram is used on only one computer at a time. You may not electronically transfer
the program from one computer to another over a network. You may not distribut
e copies of the program or accompanying documentation to others. You may not mo
dify, translate, reverse engineer, decompile, disassemble, upload or post the pr
ogram or documentation on a web site, or create derivative works based on the pr
ogram or documentation.
You may only make one (1) copy of the program, for the sole purpose of backup.
You must reproduce and include the copyright notice on the backup copy.
The license is effective until terminated. You may terminate it by destroying a
ll copies of the program from any storage media, the documentation, and all copi
es thereof. This license will also terminate if you fail to comply with any ter
ms or conditions of this agreement. You agree, upon such termination, to destro
y all copies of the program and documentation.
EXCEPT AS PROVIDED HEREIN WITH RESPECT TO THE MEDIA, THE PROGRAM IS PROVIDED "AS
-IS" WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESSED OR IMPLIED, INCLUDING, BUT N
OT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTIC
ULAR PURPOSE, TITLE, AND NON-INFRINGEMENT, AND ALL OTHERS INVOLVED IN THE CREATI
ON, PRODUCTION, OR DELIVERY OF THIS PROGRAM AND RELATED DOCUMENTATION. YOU ASSU
ME THE ENTIRE RISK AS TO THE RESULT AND PERFORMANCE OF THE PROGRAM, SHOULD THE P
ROGRAM PROVE DEFECTIVE, YOU (AND NOT ZF MERITOR LLC OR ITS DEALERS) ASSUME THE E
NTIRE COST OF ALL NECESSARY SERVICING, REPAIR, OR CORRECTION. FURTHER, ZF MERIT
OR LLC DOES NOT WARRANT, GUARANTEE, OR MAKE ANY REPRESENTATIONS REGARDING THE US
E OF, OR THE RESULTS OF, THE USE OF THE PROGRAM AND DOCUMENTATION IN TERMS OF CO
RRECTNESS, ACCURACY, RELIABILITY, CURRENTNESS OR OTHERWISE, AND YOUR USE OF THE
PROGRAM AND RELATED DOCUMENTATION IS SOLEY AT YOUR OWN RISK.

ZF MERITOR LLC WARRANTS TO THE ORIGINAL LICENSEE THAT THE MEDIA ON WHICH THE PRO
GRAM IS RECORDED SHALL BE FREE FROM DEFECTS IN MATERIAL AND WORKMANSHIP ONLY FOR
A PERIOD OF THIRTY (30) DAYS FROM THE DATE OF ORIGINAL PURCHASE. IF A DEFECT C
OVERED BY THIS MEDIA WARRANTY OCCURS DURING THIS 30 DAY WARRANTY PERIOD, AND IT
IS RETURNED TO ZF MERITOR LLC NOT LATER THAN FIVE (5) DAYS AFTER THE END OF SUCH
30 DAY PERIOD, ZF MERITOR LLC SHALL, AT ITS OPTION, REPAIR OR REPLACE THE DEFEC
TIVE MEDIA.
ZF MERITOR LLC'S ENTIRE LIABILITY AND YOUR EXCLUSIVE REMEDY SHALL BE, AT ZF MERI
TOR LLC'S SOLE DISCRETION, EITHER THE REPAIR OR REPLACEMENT OF THE DEFECTIVE MED
IA, AND SHALL NOT IN ANY EVENT INCLUDE ANY INDIRECT, SPECIAL, CONSEQUENTIAL, INC
IDENTAL OR PUNITIVE DAMAGES AND INCLUDING, BUT NOT LIMITED TO, DAMAGES FOR LOSS
OF USE, LOSS OF ANTICIPATED COSTS, EXPENSES, LOSS OF DATA OR INFORMATION, OR INA
CCURATE DATA OR INFORMATION, HOWEVER CAUSED, AND ON ANY THEORY OF LIABILITY, WHE
THER IN CONTRACT, STRICT LIABILITY OR TORT (INCLUDING NEGLIGENCE OR OTHERWISE) A
RISING IN ANY WAY OUT OF THE USE OF THE PROGRAM AND RELATED DOCUMENTATION, EVEN
IF ZF MERITOR LLC HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
You agree to indemnify, defend and hold harmless ZF Meritor LLC, its affiliates,
officers, directors, members, employees, consultants and agents from any and al
l claims, liability, damages and/or costs (including, but not limited to, attorn
eys' fees) arising from your use of the program and related documentation, your
violation of this agreement, or your infringement of any intellectual property o
r other right of any person or entity.
The program and documentation delivered under this agreement is subject to U.S.
export control laws and regulations and may be subject to the export or import r
egulations in other countries. You agree to comply fully with all applicable la
ws and regulations before exporting the program and documentation. You recogniz
e that any reexport of the program and related documentation may be subject to U
.S. export control laws and regulations and you agree to comply with such laws a
nd regulations prior to undertaking any such reexports to the extent, of course,
such actions are expressly authorized under the terms of this agreement. You r
ecognize that your obligations to comply with U.S. export control laws and regul
ations survive the termination or expiration of this agreement.
This agreement is the complete and exclusive statement of agreement between the
parties and supercedes all proposals or prior agreements, verbal or written and
any other communications between the parties relating the subject matter to this
agreement.
