THIS AGREEMENT, effective as of _________, ____, is made by and between
________________[nameofproducer](Producer)whoseaddressis[PHYSICALADDRESS] and________________[nameofowner](Owner)whoseaddressis[PHYSICALADDRESS] concerningtheOwnerslifestory.Thefollowingtermsandconditionsshallapply: 1.DEFINITIONOFLIFESTORY:ForpurposesofthisAgreement,LifeStoryshallmean the irrevocable, exclusive, perpetual and universal rights to use Owners name, likeness, sobriquet,voice,andbiography;depict,portray,impersonateorsimulateOwnerinanyway whatsoever,andmakeuseofalltheincidentsofOwnerslifepreceding,surrounding,following andotherwiseinanywayrelatingtoincidentsabouttheOwnerslifethattheProducerdeemsin itssolediscretionnecessaryorappropriatetoproduceoneormoremotionpictures,whether whollyorpartiallyfactualorfictional;anduseanyandallinformationandmaterialsinOwners possessionorunderOwnerscontrol,whichOwnershall,atProducersrequest,discloseand providetoProducerfreely,completelyandcandidly,insuchformsas,withoutlimitation,copies ofanynewspapersormagazineclippings,photographs,transcripts,journals,notes,recordings, home movies, videotapes or other physical materials relating to Owners life story and all Ownersthoughts,observations,recollections,reactionsandexperiencessurrounding,arisingout of,orconcerningallthoseevents,circumstancesandactivitiesrelatingtoOwnerslifestory(all theaforementionedrightshereinaftercollectivelyreferredtoasLifeStory). 2.GRANTOFOPTION: Inconsiderationofthemutualpromisescontainedherein,andthe payment to Owner of ____________ ($___), receipt and sufficiency of which is hereby acknowledged,Ownerherebygrants toProducerfortwelve(12)monthsfromandafterthe effectivedateofthisAgreement(theOptionPeriod)theexclusive,irrevocablerightandoption (theOption)toacquiretheexclusiverightsassetforthinparagraph5inandtotheLifeStory, asdefinedabove. 3.EXTENSION/EXERCISEOFOPTION:ProducershallhavetherighttoextendtheOption Period for one (1) period of twelve (12) months by sending notice to Owner prior to the expirationofthepreviousperiod,alongwithanadditionalpaymentof_____________($____). ProducermayexercisethisOptionatanytimeduringtheOptionPeriod,asitmaybeextended, bygivingwrittennoticeofsuchexercisetoOwner.ThesumspaidunderthisAgreement,with respecttotheinitialandextendedOptionPeriod,shallbecreditedagainstthefirstsumspayable ascompensationunderthetermsoftheCompensationclausebelow.IfProducerfailstoexercise thisOption,thenthesumspaidtoOwnerhereundershallbeandremainthesolepropertyof Owner. 4.PENDINGEXERCISEOFOPTION:Producershallhavetherighttopreparescreenplays, budgets,teleplays,treatmentsorothermaterial,andengageinothercustomarydevelopmentand preproductionactivities.ItisunderstoodthatiftheOptionisnotexercised,Producershallhave nofurtherrightinandtotheLifeStory,butProducershallownallrightsofeverykindinandto materialProducerprepared.
5.RIGHTSGRANTED: (a)
UponexerciseoftheOptionbyProducer,ProducershallacquireandOwnershall be deemed to have assigned, conveyed, sold and transferred to Producer all motionpicture,television,homevideo,allied,subsidiaryandancillaryrightsin andtotheLifeStoryforusebyProducer,andProducerssuccessorsandassigns, throughout the world and in perpetuity, including, without limitation, the followingrights: 1)
therighttomakeoneormoremotionpicturesbasedontheLifeStory,any part thereof or any sequences or characters therein (including, without limitation, theatrical productions, television series, and madefor televisionmoviesandmadeforhomevideoproductions);

the right to distribute, exhibit and otherwise exploit any such motion picturesinanyandallmediaandbyanymeansnowknownorhereafter devised, including, without limitation, all forms of theatrical and non theatricaldistributionandexhibition(including,withoutlimitation,free broadcast,paytelevision,cable,subscriptionandpayperview);

the right to manufacture, distribute and otherwise exploit all forms of
videocassettes,videodiscsandsimilardevicesofanysuchmotionpictures and to combine such motion pictures with other programs on such videocassettes,videodiscsandsimilardevices;
therighttocopyrightanysuchmotionpictures,soundrecordings,musical compositionsandallothercopyrightableworksbasedonorderivedfrom the Life Storyand to secure copyright and trademark protection to all worksbasedonorderivedfromtheLifeStory;and
Notwithstandinganythingcontainedinthisclausetothecontrary,itisProducers intentiontoportrayOwnersandOwnersLifeStoryasfactuallyaspossiblewith theunderstandingthatProducerhastherighttodeviatefromthefactsoftheLife Storyinordertoenhancethedramaticvalue.Ownershallbeentitledtoreview andbeconsultedonthefinalshootingscriptsofthemotionpicturesproduced hereunder,itbeingunderstoodthatfurtherchangestosuchfinalshootingscripts may be made by Producer. No approval rights are granted whatsoever in connectionwithanyscriptscreatedormotionpicturesproducedhereunder,which rightsshallbeheldsolelyandexclusivelybyProducerandshallinclude,without limitation,controloveralldramaticelementsofsaidscriptsandmotionpictures.
6.RESERVEDRIGHTS:TheOwnerspecificallyreservesliterarypublishingrightstotheLife Story (other than literary publishing rights of up to 10,000 words for use by Producer in advertisinganymotionpicturebasedontheLifeStory).However,ifProducerproducesamovie hereunderandifOwnerwritesabook,Producerownsallmotionpicturerightsinthebook withoutfurtherpayments. 7.WAIVER:Ownerherebywaivesandrelinquishesanyrightsorremediesatlaw,inequityor otherwise,andfurtherreleasesProducerandProducersemployees,agents,successors,licensees andassignsfrom,andcovenantsnottosueProducer,oranyofthem,withrespecttoanyclaim, causeofaction,liabilityordamagesofanynaturewhatsoeverarisingoutoforinconnection withtheexerciseofanyoftherightshereingrantedtoProducer.Suchliabilitiesinclude,without limitation, defamation, libel, slander, false light, false advertising, intentional or negligent inflictionofmentaldistressorinvasionorappropriationofanyrightofprivacyorpublicityin anyjurisdiction.ThesewaiversareherebymadebyOwner,bothonOwnersbehalfandon behalfofOwnersnextofkin. 8. CONSULTING SERVICES: Owner shall be available to Producer as consultant in connectionwiththefirstmotionpictureproducedhereunderatmutuallyconvenientplaces,dates andtimes,toprovideProducerwithinformationandmaterialsregardingtheLifeStoryandto assistProducerinobtainingreleasesfromanypersonsdesignatedbyProducer.Suchconsultation will involve, among other things, cooperation with Producer and any writers employed by ProducerorProducersassignsinconnectionwiththewritingoftheteleplayorotherformsof adaptationoftheLifeStory.Ownershallbeentitledtocompensationfortheaboveemployment in the amount of ten thousand dollars ($10,000), payable upon commencement of principal photographyofsaidmotionpicture.
9.COMPENSATION:Asfullconsideration forallrights,licenses, privileges,waivers and
GuaranteedCompensation:Anamountequalto[1%2%]ofthefinallocked budget of the picture (excluding interest, book completion, bond, and contingency)withaflooroffiftythousanddollars($50,000)andacapofone hundred and fifty thousand dollars ($150,000), payable upon the earlier of exerciseoftheOptionorcommencementofprincipalphotographyofthefirst motionpictureproducedhereunder.
10.CREDITS:TheOwnershallbeentitledtoreceivethefollowingscreencreditinthemain titles of any and all motion pictures produced hereunder: Based on the life of ________________.Ownershallbeentitledtoanendrollscreencreditinconnectionwith consultingservicesperformedhereunder,theformandplacementofwhichshallbeatProducers discretion.InadvertentfailurebyProducertocomplywiththesecreditprovisionsshallnotbe deemedabreachofthisAgreement.Withinareasonabletimeafterreceiptofwrittennoticefrom OwnerspecifyingafailuretoaccordpropercreditinaccordancewiththisParagraph,Producer shallusegoodfaitheffortstocureprospectivelyanysuchfailurewithregardtopositiveprints and/oradvertisingmaterialscreatedafterthedateofProducersreceiptofsuchnotice.Producer willcontractuallyobligatethirdpartylicenseesandsubdistributorswithwhomProducerisin privity of contract to comply with the credit obligations set forth herein, but shall not be responsibleorliabletoOwnerforthefailureofanysuchthirdpartytocomplywiththesame. 11.REPRESENTATIONANDWARRANTIES (a)
Arbitration.DisputesunderthisAgreementshallbesettledpursuanttobinding arbitration under the rules of the Independent Film and Television Alliance (IFTA)in[STATE].Theprevailingpartywillbeentitledtoreasonableattorney feesandcosts.
(b)
Indemnification.OwnershallindemnifyanddefendProducerfromandagainst anyandallclaimsanddamagesarisingfromthebreachofanyrepresentationor warrantyofOwnerhereundertotheextentsuchclaimordamagedoesnotarise out of a breach by Producer hereunder. Producer shall indemnify and defend Owner from and against any and all claims and damages arising from the production,distribution,exhibitionorexploitationofthePicture,oranyelement thereof,totheextentsuchclaimordamagedoesnotariseoutofabreachby Ownerhereunder.
Choice of Law. This Agreement shall be governed by and construed in
accordancewiththelawsoftheStateof[STATE].

Notices.AllnoticesunderthisAgreementshallbeinwritingaddressedtothe addresses first set forth above, or at such other address as either party may designatefromtimetotimebywrittennoticetotheother.Allnoticesshallbe served byfacsimile andUS mail, electronic mail, recognized courier services such as Federal Express or DHL or personal delivery addressed as specified above.Thedateofreceiptbyfacsimile,electronicmailorcourier,asthecasemay be,shallbethedateofserviceofnotice.
Further Documents. Owner agrees to execute, acknowledge, and deliver to
Producerandtoprocuretheexecution,acknowledgment,anddeliverytoProducer ofanyadditionaldocumentsorinstrumentsthatProducermayreasonablyrequire toeffectuatefullyandcarryouttheintentandpurposesofthisAgreement.If Ownershallfailtoexecuteanddeliveranysuchdocumentsorotherinstruments, within ten (10) calendar days after such documents are delivered to Owner,
ThisAgreementconstitutestheentireagreementbetweenthepartiesheretowith respecttoallofthemattershereinanditsexecutionhasnotbeeninducedby,nor doanyofthepartiesheretorelyuponorregardasmaterial,anyrepresentationsor writing whatsoever not incorporated herein and made a part hereof. No amendmentormodificationheretoshall bevalid unless setforthin awriting signedbybothparties.
