Potential investors are being presented with an opportunity to acquire a majority

stake in Turopolis d.o.o. (the Company), a company involved in management of
Hotel Aristos (the Hotel), a four star hotel with 150 residential units, located in
the business centre Buzin in the southern part of Zagreb, close to the Zagreb
International Airport.

KPMG Croatia has been engaged as the sole financial advisor to the Company and
its owners in managing the sale process of the Company.

The unique opportunity to invest in the only hotel in the vicinity of the Zagreb
International Airport and the US Embassy, in the middle of Buzin, one of the most
prominent business suburbs in Zagreb. The Hotel has recently undertaken a
major increase in its capacity and services as a result of significant increase in
demand. The new hotel wing became fully operational in April 2009.

Due to its excellent location between the Zagreb International Airport and the
Zagreb International Trade Fair and good transportation connections with the
Zagreb city centre, the Hotel is positioned as a high quality hotel specialised for
business guests and organisation of seminars and meetings.

With the construction of a new hotel wing, the Hotel is able to respond to the
expected increase in demand and provide a total of 150 rooms together with new
conference rooms, meeting halls, a wellness centre and a restaurant.

Excellent location and high quality service represent the Hotels main competitive
advantages.

Planned infrastructural projects such as: construction of a new Zagreb Sisak

highway, construction of a new terminal at the Zagreb International Airport
building of five skyscrapers with business premises and shopping centres in
Buzin, will increase the attractiveness of the Hotels location and facilities.

The planned construction of the congress centre in Zagreb is also expected to

result in increased demand for hotel accommodation and further enhance the
position of Zagreb as a trade and industry centre.

Zagreb has recorded very impressive growth statistics in arrivals and overnight
stays, from 340,250 arrivals in 1999 to 633,517 arrivals in 2009. The continuous
boom of Zagreb as a hot spot on the world destination map, combined with the
increased demand for luxury hotels, provide a strong growth potential.

The expected Croatian entry into the EU will also have a positive effect on the
development of the hotel market in Zagreb.

Hotel Aristos started its operations on 1 September 2003.

THE HOTEL AND ITS FACILITIES

The Hotel is located in the business zone Buzin in the southern part of Zagreb.
The area is characterised by good road connections with other parts of town and
the rest of the country via major highways.

In the last 10 years Buzin has developed as a new business zone with a large
number of major Croatian and international companies relocating their business
premises, some of which are: Optima Telecom, Croatian Telecom, Croatia
Airlines, Merck Sharp & Dohme, Johnson & Johnson, Grunfoss, Tvin, Tetrapack,
Peugeot, Avon, Lidl, Xerox, Peugeot, Procter & Gamble, Toyota and many others.

The attractiveness of the area has been enhanced by construction of the new
American Embassy building.

The Hotel has 150 rooms and offers three types of rooms (comfort room, superior
room and deluxe room) and three business suites and one deluxe suite.

All rooms are furnished with real wood details and are equipped with satellite TV,
air-conditioning, phone, mini bar, safety deposit boxes and high speed Internet
connections. All rooms are decorated with paintings by Croatian artists.

The Hotel also offers facilities such as: a foreign exchange office, a gift shop, the
hotel Lobby bar, the Momento Lobby bar, a summer terrace, the Tiara restaurant,
a congress centre with seven multifunctional congress halls, a fully equipped ebusiness centre, a Wellness & Spa centre, a fitness studio, laundry services, and a
hairdressing salon for women and men.

The Hotel also provides outdoor parking places and an indoor garage on two
levels.

COMFORT ROOMS

The size of the comfort room is 23 - 26 square meters. They are air conditioned
and sound insulated.

The rooms are furnished with king size, queen size or twin beds with antiallergenic bed linen. They have a mini bar, sat TV, LCD TV and a desk with the
internet port.

The bathrooms are equipped with shower/bath tubs.

SUPERIOR ROOMS

The superior rooms are 35 square meters in size and are also air conditioned and
sound insulated.

The superior rooms have a separate bedroom and a lounge, a mini bar, sat TV,
LCD TV and a desk with the internet port.

Bathrooms are equipped with a shower/bath tubs.

DELUXE ROOMS

The size of the deluxe room is 27-40 square meters.

The deluxe rooms are part of the new hotel wing.

The rooms are newly furnished and have air conditioning, sound insulation, mini
bar, sat TV, LCD TV, desks with internet ports.

Bathrooms are equipped with a shower/bath tubs.

BUSINESS SUITE

Business suites are 55 square meters in size and comprise two separate rooms (a
bedroom and a living room).

The living room consists of a sofa, armchairs and a desk with a dining table for four
persons.

The business suites are also air conditioned, sound insulated, and feature mini bar,
sat TV, LCD TV, and desks with internet port.

Bathrooms are equipped with a shower/bath tubs.

DELUXE SUITE

The size of the deluxe suite is 80 square meters. It consists of a lounge with a
guest bathroom, a dining room with a dining table for six persons, a working space,
a large bedroom and a separate bathroom.

The bathroom is equipped with a shower and jacuzzi bath.

The deluxe suite is air conditioned, sound insulated, and features a mini bar, sat TV,
LCD TV, desks with internet port and a fax/scan/copy/print device.

WELLNESS AND SPA

The newly opened Wellness and Spa centre is located on the top floor and is
spread over an area of 450 square meters.

The Wellness and Spa centre offers various body and facial care treatments,
massages and SPA treatments.

The guests can use a fitness studio, a vitality bar with fresh and natural drinks,
external terrace, whirlpool, relax zone with chromotherapy and different saunas.

CONGRESS CENTRE

As parts of its facilities the Hotel has seven multi-functional congress halls, spread
over the total area of 908 square meters, which can be used for workshops,
presentations, meetings, press conferences and similar events.

There is s separate entrance to the congress centre and congress reception with a
cloak room, an info desk and a registration desk.

Congress halls are equipped with sophisticated audio and video equipment,
including LCD projectors, integrated projection walls, specially designed
ergonomic chairs, air conditioning, etc. and have a total capacity of some 575
seats.
