COMPLIANCE EXHIBIT 1

ON-PREMISE SITE SECURITY AND ENVIRONMENTAL, HEALTH, AND


SAFETY ADDENDUM

Compliance Requirements:
Strict compliance with the requirements stated within this Addendum is required. Staff Management
reserves the right to terminate any agreement with Staffing Vendor based on any non-compliance. In
addition, Staffing Vendor agrees to comply and to require Staffing Vendors personnel, agents, and
subcontractors (if any) to comply with Clients site specific Contractor EH&S Operating Rules and
Requirements which are incorporated by reference herein. Staffing Vendors contract representative
may contact Staff Management for further information on site specific EH&S requirements. If in Staff
Managements (or, as appropriate, Clients) opinion, Staffing Vendor or any persons working for Staffing
Vendor on Clients premises or assigned site is not acting in a professional manner, is violating any of the
requirements stated in this Addendum, or is failing in his or her performance of the Services, Staffing
Vendor shall immediately replace that individual after notice is given to Staffing Vendor by Staff
Management. Staffing Vendor must provide each of its Assigned Workers who provide Services in a
Client facility or an assigned site with a copy of this Addendum, ensure that all personnel, agents, and
subcontractors carefully read this Addendum and agree to comply with the terms and conditions of this
Addendum prior to commencing work, and obtain a certification (in the form set forth in Exhibit A to
this Addendum) from all such persons indicating each of their understanding and agreement to comply
with this Addendum. The signed Certifications must be retained by Staffing Vendor for at least two years
past the termination of the Agreement and will be made available to Staff Management for review and
copying upon reasonable notice and request.
Site Requirements:
While on Clients premises or an assigned site, Staffing Vendor represents and warrants that Staffing
Vendor and all persons working for Staffing Vendor on Clients premises or assigned site will abide by all
rules and regulations that Client applies to its personnel, invitees, or subcontractors. Staffing Vendor
also represents that each of the persons working for Staffing Vendor on Clients premises or assigned
site will:

Be drug-free while working on Clients property or an assigned

site;
Have completed the necessary requirements to be legally employed
in India;
Comply with Clients Security Badge requirements;

Adhere to Clients waste removal, recycling and environmental
policies;

Comply with Clients password and software requirements, and
Adhere to Clients policies regarding access to specified data and

internal systems.

Security Requirements:
Staffing Vendor and all persons working for Staffing Vendor on Clients premises or assigned site must
follow Client Security Policy.
a)All personnel reporting to Staffing Vendor must sign a Confidentiality
Agreement before work commences and before a badge is issued (picture or nonpicture)
b)
Each of Staffing Vendors personnel, agents, and subcontractors who
are not issued a Client picture badge must sign in and out daily with Client
Security (or applicable security desk) at the building where the person is working.
A valid picture ID must be presented at time of sign in. If personnel must enter
other buildings, they will need to sign in/out at each building no exceptions .
c) Badges must be worn at all times above the waist in plain view.
d)
Picture badges do not have to be returned at end of work shift.
Immediately report lost or stolen badges to the Security Officer at the building
entrance or to the Client Representative for this Agreement.
e)Client property may not be removed from any facility without a Property Pass,
approved by a Client manager listed in the Security Signature List kept by Client
Security.
f)
Consumption of alcohol or non-prescription drugs is strictly prohibited
while on Client property or any assigned site
g) Weapons of any type are NOT allowed on Client property or any assigned site.

h)
Staffing Vendors personnel, agents, and subcontractor must exit and
clear metal detectors in buildings equipped with such devices.
i)
Loitering in the parking lots, break rooms, or any other part of the
Clients facility is strictly prohibited.
Thefts and other violations of law may result in investigation and criminal prosecution by the concerned
authorities.
General EH&S Requirements:
Staffing Vendor and all persons working for Staffing Vendor on Clients premises or assigned site must
conduct work in a manner that minimizes the risk of injury to themselves, Client employees or other
employees at the assigned site, and damage to property. Work must be conducted in accordance with
Environmental, Health & Safety policies and procedures, and all Client site-specific requirements (as
applicable). The framework for the baseline requirements is outlined below. Adherence to these
requirements is a condition of the Agreement between the Parties.
Staffing Vendor will maintain a clean and safe work site at all times. Removal of trash, debris, scrap, and
waste materials from the work area will occur daily. All waste materials must be removed from Clients
site by the Staffing Vendor in accordance with applicable regulations.
Staffing Vendor will certify in writing to Staff Management that their employees receive all required
training in support of their work.
Staffing Vendor will submit a copy of their environment, health, and safety plan (Staffing Vendors EHS
Plan) with training documentation, programs, records and policies related to such program to Staff
Management (or, as Staff Management may direct, to Client) upon request and must keep such
documents on the Client premises and readily available at all times. At Staff Managements option,
Staffing Vendor may be required to submit such documentation to a third party.

The Staffing Vendors EHS Plan will detail the Staffing Vendors process to reduce the risk of accidents
and injuries, as well as how it will meet the requirements for environmental, health, and safety
regulations and Client-specific requirements. Program elements of the Staffing Vendors environmental,
health, and safety plan should include but not be limited to:

i. All applicable programs described herein.


ii. Client site-specific requirements for hazardous materials storage and

approval, materials safety data sheets, spill reporting and clean-up,


recycling, waste management and pollution prevention

iii. Other procedures as Client EHS and/or Staffing Vendors risk analysis

determines necessary

The Staffing Vendors EHS Plan must contain training information and requirements for all
subcontractors, if such subcontractors are ever approved for use hereunder.
Staffing Vendor shall assign a Safety Representative to monitor and assure compliance with all
applicable environmental, health, and safety requirements.
Staffing Vendor shall enforce all environmental, health, and safety rules and requirements for their
employees and all sub-Contractors.
Staffing Vendor shall maintain records of all injuries and incidents in accordance with any applicable
occupational, health and safety law and regulations. Staffing Vendor will submit incident information to
Staff Management (or, as Staff Management may direct, to Client) upon request.
Staff Management reserves the right to review Staffing Vendors EHS Plan and site activities upon
request. Deficiencies in Staffing Vendors EHS Plan and/or activities on site as identified by Client (or its
agents) shall be corrected to Staff Management (or, as Staff Management may direct, to Clients)
satisfaction within an agreed upon timeframe.
Unless otherwise provided in the Agreement, Staffing Vendor (and/or its subcontractors, if permitted)
agrees that each shall not use Client provided equipment to perform Services and that the Staffing
Vendor and/or its subcontractors are solely responsible for the maintenance and repair of their own
equipment used to perform such Services.
Confidentiality Requirements:
Notwithstanding anything contrary in the terms of any applicable Non-disclosure Agreement, any trade
secrets or other proprietary information of Staff Management or Client, whether oral, visual or written,
shall constitute confidential information of Staff Management or Client even if not marked as such.
Further, Staffing Vendors obligation to preserve the confidentiality of such trade secrets or proprietary
information shall continue in perpetuity. The terms and conditions of this Addendum may not be
disclosed by Staffing Vendor without prior written approval of the authorized Staff Management (or, as
Staff Management may direct, Client) representative.
Strict compliance with the above requirements in this Addendum is a material term of the Agreement.
Staff Management reserves the right to terminate the Agreement based on any non-compliance.

Exhibit A to Addendum
Certification of Staffing Vendors Personnel (Assigned Worker)

Signed Certifications must be kept on record with Staffing Vendors Human Resources Department for a
period of two years after the termination of the Agreement.
My signature below confirms my acknowledgement that I have read the On-Premise Site Security and
Environmental, Health, and Safety Addendum; that I fully understand the requirements stated therein;
and that I agree to comply with the requirements stated therein while working at Client or any assigned
site.
