Varcos Integrated Control and Information System,


V-ICIS, is the premier supervisory control and information solution for drilling operations. By design,
V-ICIS is a high-availability system that centralizes the
monitoring, command, and management of automated
drilling equipment provided by Varco, partner companies, and third parties into an efficient drilling operation
environment. Operators manage the rigs drilling processes from ergonomically designed Driller/ Assistant
Driller workstation consoles equipped with a combination of touchscreen terminals, console based control
switches, and joysticks.
V-ICISs measure of high-availability is supported
through redundancy and the use of fault tolerant components. Supporting this strategy is a robust and fault
tolerant V-ICIS Network Switch that interconnects
industrial grade computers (running the V-ICIS Application Software), and a redundant/hot fail-over PLC system (the Varco Signal Router - VSR) that integrates the
V-ICIS Operator Workstation consoles with the rigs
drilling control systems. The redundant architecture
and use of fault tolerant components ensure that the
V-ICIS system is available and ready to work when you
are.

The ability to quickly integrate a multitude of drilling
systems, and the ergonomic designs of the V-ICIS
platform, stems from Varcos V-ICIS development
team. Personnel and design expertise from all Varco
disciplines, including rig floor handling equipment,
hoisting and rotating equipment, pressure control,
drilling fluid control, and data acquisition/control, are
combined and dedicated to ensure a solution that
meets and often exceeds industry requirements.

teams of engineers and designers work to stringent
drilling console and drillers house design standards to
create efficient, effective solutions to size and space
constraints. During the design process, we pay particular attention to the human engineering factor to
create workstations that enable operators to direct
their full attention to the task of drilling.

Drillers houses and labs have all systems connections


(electrical, hydraulic, pneumatic, etc.) located in one
service panel to facilitate and simplify rig-up after
arrival at the yard or drilling location.

Our commitment to the planning and design of your


custom console or drillers house simplifies the integration of M/D Totco products with specialized equipment from third-party vendors. Instrumentation, SCR
panels, pipe handling, and top drive controls are positioned logically, providing intuitive information and
control systems that reduce distractions, stress and

Data Acquisition Gas Monitoring
Hydrocarbon gases absorb certain wavelengths of
infrared light. By comparing the levels of absorbed
and non-absorbed infrared beams reflected through
the sample, the microprocessor computes hydrocarbon concentrations within the sample and outputs a 420 mA signal, corresponding to display values of 05,000 units of total gas. There are no chemical reactions involved no possibility of sensor poisoning as
with other measurement techniques.

A dependable and proven total gas sensing system,
Gas Watch exploits the latest infrared technology to
provide drillers with reliable combustible gas measurement information. Functioning as a primary sensor,
Gas Watch is easily added to all existing M/D Totco
data acquisition systems.
Fast, accurate entrained gas information is essential to
well control and proper identification of production
zones. A sample rate of approximately 15 SCFH provides drillers with rapid identification of gas shows in
the return mud flow. A warning light at the sensor plus
an indication on the NT TracerTM alert personnel if the
sample flow is interrupted.
Unlike conventional catalytic gas detectors, Gas Watch
requires no calibration and is not susceptible to poisoning by contaminants. Source and detector aging is
automatically compensated along with compensation
for the accumulation of dirt in the optical path.
The Gas Watch system continually extracts gaseous
samples from the drilling mud via a Gas Trap a cylindrical agitation chamber mounted at the mud tank.
One end of the trap is immersed in the mud to an optimum level, and the swirling motion of the internal
mechanism draws mud through the chamber where a
slight vacuum provided by the control unit and
mechanical agitation releases entrained gases. Sample gas is drawn from the trap through a glycol pot to
remove moisture. Within the Control Unit, it passes
through an activated carbon purifier to absorb vapors,
aerosols, trace moisture, and particles larger than 0.5
micron before going into the infrared sensing module.

control of ROP and hole direction. The hydraulic deadline anchor type weight indicator is a standard of the

Motor-Driven Rotary Tables
The M/D Totco solution to measuring rotary torque on
electric rigs is accurate, simple, and reliable, proving
itself over the years in hundreds of installations worldwide. The M/D Totco system displays torque on a rugged panel or box-mounted meter calibrated in either
foot pounds or metric equivalents.

Installation is simple. The split core transducer is


clamped around the power cable that leads to your
rigs electric motor. This will enable the transducer to
sense the current the motor draws, which is proportionate to that required by the rotary table, and transmit the signal to the dual output signal conditioner. The
conditioner will then convert this signal to an accurate
reading on the electric meter. This dual output signal
conditioner will also drive a M/D Totco drilling recorder
or data acquisition system.

indication, the Hydro-Mech assembly is suitable for all
mechanical rigs utilizing a chain driven rotary table.
The idler assembly is installed under the rotary drive
chain, typically within the oil bath environment of the
chain guard, where it senses changes in the tightness
of the chain that indicate changes in torque.

The Hydro-Mech is easily connected to any

The M/D Totco RATEMASTER represents a significant


advancement over traditional methods of measuring
rotary table RPM and pump SPM. Since there are no
generators required to create a signal, there are no
moving parts. All SPM sensing is done by permanently
mounted oil-tight proximity switches. The RPM sensor
is a magnetically activated probe mounted next to the
rotary table or adjacent to an object that rotates in
proportion to the table. The microprocessor control
box outputs both pulse and analog signals that can be

detect downhole problems such as tight hole or caveins as they occur.
Penetration - This parameter is indicated on the
English chart by a short mark for each foot drilled and
a longer mark for each five feet. On metric charts, indications are at 1/4 and full meters.
Rotary RPM - Indicates the revolutions per minute of
the rotary table, an important function for optimum
penetration.

RF8 Rig Floor Recorder


The RF8 recorder from M/D Totco is designed specifically to avoid the usual wireline problems with its
unique ROP sensor, and does away with the traditional
wireline retriever. Wireline problems like broken and
snagged wire, along with their associated high maintenance costs, are completely eliminated.
The M/D Totco Rig Floor Recorder can make drilling
safer, more efficient, and more cost effective. It provides up to 12-hour viewing of a 24-hour tractor-feed
chart, and has both hydraulic and pneumatic logic systems. Measurement inputs can be a combination of
electric, pneumatic, or hydraulic for all your rig recording needs.
The Rig Floor Recorder records up to eight functions:

Controlled Vertical Drift Indicators (CVD)


Setting the Standard
Commonly known as a TOTCO, the double-recording drift indicator is the most dependable and practical method
of mechanically determining the deviation from vertical in a wellbore.
Non-vertical wellbores take a toll on the drill string in
terms of greatly increased stress and friction. Bits do
not cut as efficiently. More power is needed to rotate
and pull out of a crooked hole. Fishing jobs become
more frequent. Redrilling and mechanical holestraightening devices become necessary.
M/D Totcos Drift Indicators can help you drill a vertical hole. They provide the driller with extremely
accurate information at frequent intervals, so he can
maintain a controlled, vertical course.
So simple to operate, virtually any member of the
crew can operate the instrument, and he can read
the charts with ease. Everything is mechanical so no
liquid or electrical equipment is required.
The heart of the Drift Indicator System is the Double
Recorder, which consists of two main parts: an angle
indicator and a timing device. Both are sealed in a
stainless steel case.
The recorder produces a permanent record of hole
inclination by perforating a small circular chart close
to the center of the chart if youre drilling true vertical; or off-center in a concentric circle to show you the degree of deviation. Then it repeats this process a few seconds later. Two perforations with the same deviation indicate an accurate record.
Instruments and charts are available in 0-7, 8, 14, 16, 21, 24, and 90 values.
Very little equipment is needed to accomplish the
recording procedure: A Double Recorder; the Go-Devil
assembly that protects it against shock, pressure, and
fluid; and a selection of various centralizing equipment.

Single Line Weight Indicator

Installation:
The load sensor is provided with two connections; one
at the top to attach to the floor block, and the other at
the bottom to attach to the christmas tree or derrick
floor, forming a pull at 90. The system is calibrated to
this right angle pull. Accuracy will be slightly affected if
this angle is not true, but the sensitivity of the system
is always maintained.
The gauge reads directly from the load on the line. The
dial can be rotated for tare adjustments by moving the
knurled knob provided at the upper right hand side of
the gauge.

The Single Line Weight Indicator is used primarily on
wireline service trucks for measuring the amount of
tension on wireline when logging tools, perforating

lowered or pulled out of the hole. The intricate operations of wireline service trucks require sensitive instrumentation of this caliber. In this application, the
indicating gauge is normally installed in the truck,
either panel mounted or mounted separately. This system is also rugged enough for other standard oilfield
service applications.

The dial indicator reads either in pounds, kilos, or


decanewtons on a single wireline, usually 3/8 cable.
Normally used on wireline service trucks on land, this
system is also used on skid mounted wireline units offshore.

M/D Totcos compact, reliable Dyna-Line Tensiometer
provides a continuous, accurate readout of line tension on both moving and static wirelines.
Available in models for both general use and marine
applications, the unit consists of a deflection-type
force frame combined with a reliable hydraulic load
cell. As the line passes through the Dyna-Line, it is
deflected by three sheaves against the load cell which
transmits hydraulic pressure to a local or remote fluidfilled indicator calibrated in tons or kilograms. Because
the system is hydraulically actuated, no outside power
source is required.

Ideal for monitoring tension in mooring and positioning applications

The general service model Dyna-Line is received from


the factory with either ball bearings or sleeve bearings
in the sheaves. Although it is suitable for either permanent or semi-permanent installation, the scope of its

Load Watch
The Load Watch is an intelligent, modular crane monitoring system featuring technologically advanced
microprocessor electronics in a simple, easy-to-use
system. For example, the systems Auto Fall Scanning
feature follows the operator through fall selections
automatically. The system locks into the fall with
weight applied. The operators hands never leave the
controls to manually change a fall selector switch. This
keeps his eye on the lift and his hands on the controls.
The display will automatically show the maximum
allowable load for fall in use. Your operator stays on
top of the situation at all times. Result: Day in, day out,
youre assured of safety and continuity in operations
with fewer interruptions and delays.
The no-nonsense Load Watch assures the accurate
and continuous monitoring of a wide range of vital
crane functions and loads in a variety of applications.
Safe and efficient operations are assured, especially in
extreme offshore operations. The Load Watch System
can be custom-configured to meet almost any user
need: the systems Limited Access feature includes a
key-operated selector switch in the data display for
customer programming of specific crane configuration
(boom length, parts line). Load Watch keeps a close

eye on all lifts, monitoring all critical crane functions to


keep load factors within preselected tolerances. Even
in offshore operations in rolling seas, the system constantly monitors conditions and warns through intermittent audible and visual alarms when the applied
load reaches a predetermined set point of between
80% and 95% of rated capacity. A continuous alarm
sounds when 100% to 110% capacity is reached.
The Load Watch System can easily fit into your current
operations. Its modular, lighter-weight electronics
makes Load Watch easy to install or retrofit regardless
of the application. And simple retrofit can give your lifting equipment and operators new capabilities plus better overall control of lifts. The Load Watch System is
designed for lifting at dockside, in salvage operations,
on cranes on offshore drilling platforms, rigs and construction barges, as well as most land-based crane
requirements. Monitoring is factory preprogrammed to
given crane make and model and the varying combinations of boom length and load block reeving. With all
monitoring functions programmed, the operator simply selects his fall with the push of a button or allows
the Automatic Fall Scanning feature to select fall
changes automatically.

A. ACCEPTANCE
An order placed by Buyer shall become a binding contract upon Seller's written
acceptance. Seller's quotation is not an offer and is valid for 30 days, unless
otherwise stated. These terms and conditions are incorporated into the contract
between Seller and Buyer to the exclusion of any others submitted by Buyer, or
any other standards or specifications of Buyer, unless expressly accepted in writing by Seller as part of the contract. Proposals, representations or agreements
made prior to this sales contract, whether verbal or written, are excluded.
B. PRICES
All price quotations are Ex-works Seller's factory or distribution point and are
subject to change without notice. All sales, use, import, excise and like taxes,
whether foreign or domestic, shall be charged to and borne by Buyer. Seller
bears no responsibility for any consular fees for legalizing invoices, certificates of
origin, stamping bills of lading, or other charges required by the laws of any
country of destination, or any fines imposed due to incorrect declarations.
Charges will be added for factory preparation and packaging for shipment.
Minimum freight and invoice charges apply, as in effect at the time of order. If
by reason of any act of government, the cost to Seller of performing its obligations hereunder is increased, such increase shall be added to the quoted price.
C. PAYMENT TERMS
Terms of payment are subject to approval by Seller's credit department, and shall
be (i) letter of credit, (ii) progress payments, or (iii) Net 30 days. Seller reserves
the right to modify or withdraw credit terms at any time without notice. Invoices
shall be issued at the time of shipment, unless otherwise specified, and all payments are due in the currency specified in Seller's quote and/or invoice. Interest
shall be due from Buyer to Seller on over due accounts at the maximum rate
allowed by law. When partial shipments are made, the goods will be invoiced as
shipped and each month's invoices will be treated as a separate account and be
payable accordingly. Payment for goods is due whether or not technical documentation and/or any third party certifications are complete at the time of shipment. Seller shall be entitled to recover all reasonable attorney's fees and other
costs incurred in the collection of overdue accounts. Seller reserves the right
where genuine doubts arise as to Buyer's financial position, or in the case of failure to pay for any goods or services, to suspend delivery or performance of any
order or any part thereof without liability until payment or satisfactory security
for payment has been provided.
D. DELIVERY
Where goods are to be supplied from stock, such supply is subject to availability
of stocks at the date of delivery. Partial shipments may be made at the option of
Seller. Stated delivery dates are approximate only and cannot be guaranteed.
Seller shall have no liability for damages arising out of the failure to keep a projected delivery date, irrespective of the length of the delay. In the event that
Seller's performance is delayed by force majeure, defined as causes beyond the
reasonable control of Seller, the date for Seller's performance shall be extended
by the length of the delay, and Buyer shall not be entitled to cancel any order on
the basis of such delay. In the event Buyer is unable to accept delivery of goods
when tendered, Seller may, at its option, arrange storage of the goods and Buyer
shall be liable to Seller for the reasonable cost of such storage. This provision is
without prejudice to any other rights which Seller may have with respect to
Buyer's failure to take delivery of goods which includes the right to invoice Buyer
for the goods. Buyer agrees that title to the goods will transfer to Buyer upon
invoicing notwithstanding Buyer's inability to accept delivery and that Buyer
assumes all risk of loss or damage to the goods from the date title passes to
Buyer.
E. CANCELLATION
Orders placed by Buyer and accepted by Seller may be canceled only with the
consent of Seller and will subject Buyer to cancellation charges. All of Seller's
documents, drawings and like information shall be returned to Seller upon
Buyer's request for cancellation. No orders may be canceled subsequent to shipment. As estimated actual damages, Buyer agrees to pay Seller the greater of
Seller's actual costs incurred prior to cancellation plus a reasonable profit, or the

following minimum cancellation charges:a) 20% of order value if canceled 30 or


more days prior to the original shipment date; b) 50% of the order value if canceled thereafter; or c) 100% of the value of any non-standard items, which are
items not built for stock or built to customer specifications. Buyer shall verify the
amount of the cancellation charges prior to canceling an order.
F. TITLE AND RISK OF LOSS
Ownership and risk of loss pass to Buyer upon the earlier of (i) Seller's delivery
of the goods to the carrier, or (ii) invoicing by Seller for the goods where Buyer
is unable to accept delivery on the scheduled date. Seller retains a security interest in the goods until the purchase price has been paid, and Buyer agrees to perform upon request all acts required to perfect Seller's interest. Seller accepts no
responsibility for any damage, shortage or loss in transit. Seller will attempt to
pack or prepare all shipments so that they will not break, rust or deteriorate in
shipment, but does not guarantee against such damage. Claims for any damage,
shortage or loss in transit must be made by Buyer on the carrier.
G. LIMITED WARRANTY
Seller warrants, for a period of 15 months from shipment or 12 months from
installation, whichever is earlier, that goods of its own manufacture shall be free
of defects in materials and workmanship under normal use and service, provided
they are maintained in accordance with Seller's instructions. At its option, Seller
will either repair or replace goods which are found to be defective within the warranty period. Replacement parts will be delivered ex-works shipping point, and
Seller may require the return of allegedly defective parts, freight pre-paid, to
establish the warranty claim. This warranty is applicable only if: a) the defect
occurred under normal use and service; b) the defect arose from faulty workmanship or materials; c) Buyer notified Seller in writing of the defect within 10
days of its discovery by Buyer; and d) the goods are properly employed in the
use for which they are intended and maintained in accordance with any applicable Seller operation and service manuals. The warranty provided will be void if
the goods were either: a) repaired or serviced by a service facility which was not
authorized by Seller; b) replacement parts not manufactured by Seller were utilized; or c) modifications were made to the goods which were not approved by
Seller. Any warranties provided on goods not manufactured by Seller are
assigned to Buyer, without recourse, at the time of delivery. Any descriptions,
drawings, samples or similar materials used in connection with this sale are for
the sole purpose of identifying the goods and are not to be construed as a warranty that that the goods will conform to such description.
BUYER, IN ACCEPTING THE DELIVERY OF THE GOODS, ACKNOWLEDGES THAT
SELLER MAKES NO OTHER WARRANTIES OR REPRESENTATIONS WITH
RESPECT TO THE GOODS, EXPRESS OR IMPLIED, AND SELLER DISCLAIMS
THE IMPLIED WARRANTIES OF MERCHANTIBILITY AND FITNESS FOR A PARTICULAR PURPOSE. IN NO EVENT SHALL SELLER BE LIABLE FOR ANYINDIRECT, INCIDENTAL, OR CONSEQUENTIAL DAMAGES, INCLUDING BUT NOT
LIMITED TO LOSS OF USE OR DOWNTIME, WHICH ARISE FROM DEFECTS IN
THE GOODS. SELLER'S TOTAL LIABILITY HEREUNDER SHALL BE LIMITED TO
THE VALUE OF THE GOODS OR SERVICES PURCHASED
H. CHANGES
Seller reserves the right to change, discontinue or modify the design and manufacture of its products without obligation to retrofit goods previously sold. In the
event Buyer makes changes to the scope of this contract which impact the: (i)
designs, drawings or specifications of the goods, (ii) method of shipment or
packing, (iii) place of delivery or (iv) delivery schedules, and such change
impacts the cost of, or time required for, Seller's performance, an equitable
adjustment shall be made in the price or delivery schedule. No change shall be
effective except upon written agreement of both parties.
I. RETURN OF GOODS
Upon Seller's written approval, unused goods, in new condition and of current
manufacture and catalog specifications may be returned by Buyer for credit, provided written request is received within one year after the purchase date. Nonstandard goods are not returnable for credit. Requests for return of goods must
show original purchase order number, invoice number, description of material,

and date of purchase. Return of goods does not relieve Buyer of the obligation
to make payment against Seller's invoice, and any credit or refund allowed will
be issued following Seller's receipt of the goods. The credit allowed on returned
goods, if any, is a merchandise credit and is applicable only against future purchases of Seller goods. The credit given will be solely in Seller's discretion and
may be based on the original or a subsequently adjusted price; a charge will be
made to clean-up, refinish and restock. No rubber products may be returned for
credit after six months from date of shipment.
J. TECHNICAL ASSISTANCE
UPON REQUEST, SELLER WILL PROVIDE ENGINEERING OR TECHNICAL INFORMATION REGARDING ITS GOODS AND, IF FEASIBLE, WILL PROVIDE PERSONNEL TO ASSIST BUYER IN AFFECTING FIELD INSTALLATION OR FIELD SERVICE. ANY SUCH INFORMATION, SERVICE, ADVICE OR ASSISTANCE SO PROVIDED, WHETHER WITH OR WITHOUT CHARGE, SHALL BE ADVISORY ONLY.
IT IS EXPRESSLY AGREED THAT SELLER SHALL HAVE NO LIABILITY FOR ANY
DAMAGE OR LOSS ARISING OUT OF, RESULTING FROM, OR CAUSED IN
WHOLE OR IN PART BY SUCH INFORMATION, SERVICE, ADVICE OR ASSISTANCE PROVIDED.
K. DISPUTES
In the event that a dispute arises between the parties in relation to this agreement, the parties agree to seek resolution through non-binding arbitration. The
parties agree that any suit brought pursuant hereto shall be filed in the jurisdiction wherein the Seller's headquarters is located, and this agreement shall be
governed by and construed in accordance with the laws of such jurisdiction. The
prevailing party in any litigation shall be entitled to recover its reasonable attorney's fees and other costs incurred in such litigation. No action for breach of
this agreement shall be brought more than two years after the cause of action
has arisen.
L. PATENT INDEMNITY.
IN THE EVENT ANY PRODUCT MANUFACTURED BY SELLER AND FURNISHED
HEREUNDER IS TO BE MADE IN ACCORDANCE WITH DRAWINGS, SAMPLES
OR MANUFACTURING SPECIFICATIONS DESIGNATED BY BUYER, BUYER
AGREES TO HOLD SELLER HARMLESS FROM ANY AND ALL DAMAGES, COSTS
AND EXPENSES RELATING TO ANY CLAIM ARISING FROM THE DESIGN, MANUFACTURE OR USE OF THE PRODUCT OR ARISING FROM A CLAIM THAT SUCH
PRODUCT FURNISHED TO BUYER BY SELLER OR USE THEREOF, INFRINGES
ANY PATENT, FOREIGN OR DOMESTIC, AND BUYER AGRESS AT ITS OWN
EXPENSE TO UNDERTAKE THE DEFENSE OF ANY SUIT AGAINST SELLER
BROUGHT UPON SUCH CLAIM. IN THE EVENT ANY PRODUCT FURNISHED
HEREUNDER IS THE DESIGN OF SELLER, SELLER AGREES TO HOLD HARMLESS BUYER AND ITS CUSTOMERS AGAINST ANY DAMAGES AWARDED BY A
COURT OF FINAL JURISDICTION IN ANY SUIT OR SUITS FOR THE INFRINGEMENT OF ANY UNITED STATES PATENT BY REASON OF THE SALE OF USE OF
SUCH PRODUCT FURNISHED BY SELLER. THE FOREGOING UNDERTAKING BY
SELLER SHALL NOT APPLY UNLESS SELLER SHALL HAVE BEEN INFORMED AS
SOON AS PRACTICABLE BY BUYER OF THE CHARGES OR SUIT ALLEGING

SUCH INFRINGEMENT AND SHALL HAVE BEEN GIVEN THE OPPORTUNITY TO


TAKE OVER THE DEFENSE THEREOF, AND FURTHER, SUCH UNDERTAKING
SHALL NOT APPLY IF (i) THE CLAIMED INFRINGEMENT IS SETTLED WITHOUT
THE CONSENT OF SELLER, (ii) THE INFRINGEMENT RESULTS FROM THE USE
OF A PRODUCT DELIVERED HEREUNDER IN COMBINATION WITH A PRODUCT
NOT DELIVERED HEREUNDER WHERE SUCH INFRINGEMENT WOULD NOT
HAVE OCCURRED BUT FOR SUCH COMBINATION. SELLER'S TOTAL LIABILITY
UNDER THIS PROVISION SHALL BE LIMITED TO THE VALUE OF THE GOODS
OR SERVICES PURCHASED HEREUNDER.
M. REGULATORY COMPLIANCE
By acceptance of delivery of this order, Buyer warrants it has complied with all
applicable governmental, statutory and regulatory requirements and will furnish
Seller with such documents as may be required. Seller warrants and certifies
that in the performance of this contract, it will comply with all applicable statutes,
rules, regulations and orders of the United States and of any state or political
subdivision thereof, including laws and regulations pertaining to labor, wages,
hours and other conditions of employment, applicable price ceilings if any, and
that the articles delivered hereunder shall be produced in compliance with the
Fair Labor Standards Act and the Equal Employment Opportunity provisions of
pertinent Executive Orders and the regulations adopted thereunder.
N. SAFETY SCREENING
In the event Seller is required by Buyer as a condition to entering into contract,
to have in effect a drug or alcohol policy, and any provision of said policy implemented in compliance with the Buyer's requirements is held to have violated any
employee's rights or any law, then Buyer shall indemnify Seller and hold it harmless from all resulting loss, including all defense costs and attorneys' fees.
Buyer shall also defend and indemnify Seller with respect to any claim or loss
which arises as a result of sampling, testing or analytical procedures administered by that Buyer or its agents in applying its drug/alcohol policies to Seller's
employees assigned to work at the Buyer's facility.
O. CONFIDENTIAL INFORMATION
Each party recognizes and acknowledges that all disclosures, documents, drawings, specifications, patterns and technical information (collectively, "Confidential
Information") furnished to one party by the other shall remain the sole property
of the owner and is submitted in confidence upon the understanding and agreement that (a) all Confidential Information (including all copies) shall promptly be
returned to the owner upon request, (b) recipient shall not use the Confidential
Information, in whole or in part, for any purpose other than the performance of
this Agreement, and (c) recipient shall not disclose or furnish the Confidential
Information, in whole or in part, to any third party, unless it (i) enters the public
domain without breach hereof by the recipient, (ii) is used or disclosed with the
prior written approval of the owner, or (iii) is obligated to be produced under
order of a court of competent jurisdiction.
