BACKGROUND:
A TheEmployerisoftheopinionthattheEmployeehasthenecessaryqualifications,
experienceandabilitiestoassistandbenefittheEmployerinitsbusiness.
A TheEmployerdesirestoemploytheEmployeeandtheEmployeehasagreedtoaccept
andentersuchemploymentuponthetermsandconditionssetoutinthisAgreement.
INCONSIDERATIONOFthemattersdescribedaboveandofthemutualbenefitsand
obligationssetforthinthisAgreement,thereceiptandsufficiencyofwhichconsiderationis
herebyacknowledged,thepartiestothisAgreementagreeasfollows:
CommencementDateandTerm

TheEmployeewillcommencepermanentfulltimeemploymentwiththeEmployeron
the26thdayofOctober,2015(the"CommencementDate").

TheEmployeemustsuccessfullycompleteaprobationaryperiodofthree(3)months
(the'ProbationaryPeriod')beginningontheCommencementDate.Atanytimeduring
theProbationaryPeriod,asandwherepermittedbylaw,theEmployerwillhavethe

righttoterminateemploymentwithoutanynoticeorcompensationtotheEmployee
otherthanwagesowedforhoursofworkalreadycompleted.
JobTitleandDescription

TheEmployeragreestoemploytheEmployeeasaFreelancerContentWriter.The
Employeewillbeexpectedtoperformthefollowingjobduties:
Helpdevelop,rewrite,rewordandeditallcategorycontentswiththehelpofaresearch
teamthisneedtobedoneinatimelymanner.CommunicatewithfullteaminUSAand
inIndiaifneedbeinregardstowork.AndprovideTechnicalsupport.

TheEmployeeagreestobeemployedonthetermsandconditionssetoutinthis
Agreement.TheEmployeeagreestobesubjecttothegeneralsupervisionofandact
pursuanttotheorders,adviceanddirectionoftheEmployer.

TheEmployeewillperformanyandalldutiesthatarereasonableandthatare
customarilyperformedbyapersonholdingasimilarpositionintheindustryorbusiness
oftheEmployer.

TheEmployercannotunilaterallyandsignificantlychangetheEmployee'sjobtitleor
duties.TheEmployermaymakechangestothejobtitleordutiesoftheEmployeewhere
thechangeswouldbeconsideredreasonableforasimilarpositionintheindustryor
businessoftheEmployer.TheEmployee'sjobtitleordutiesmaybechangedby
agreementandwiththeapprovalofboththeEmployeeandtheEmployer.

TheEmployeeagreestoabidebytheEmployer'srules,regulations,andpractices,
includingthoseconcerningworkschedules,vacationandsickleave,astheymayfrom
timetotimebeadoptedormodified.
EmployeeCompensation

CompensationpaidtotheEmployeefortheservicesrenderedbytheEmployeeas
requiredbythisAgreement(the"Compensation")WepayINR17/100wordsDuring
theTrialperiodof3months.Itwillincreasedtoagoodvaluedependinguponthe
performanceduringthistime.AndwedoPaymentstwiceamonthlikeon15thand30th
Date.PaymentmethodwillbeNEFT.Wecantakeasmanyasyoucando.butwe

expectingaminimumof5000wordsaday.YoucanalsoworkonSundays.Theywillbe
appreciatedifso.

TheEmployerwillinformtheEmployeeinadvanceoftheEmployeebeingrequiredto
workatotherlocations.
Vacation

TheEmployeewillbeentitledtotwoweeksofpaidvacationeachyearduringtheterm
ofthisAgreement,orasentitledbylaw,whicheverisgreater.

Thetimesanddatesforanyvacationwillbedeterminedbymutualagreementbetween
theEmployerandtheEmployee.
DutytoDevoteFullTime

TheEmployeeagreestodevotefulltimeefforts,asanemployeeoftheEmployer,tothe
employmentdutiesandobligationsasdescribedinthisAgreement.

ContractBindingAuthority

NotwithstandinganyothertermorconditionexpressedorimpliedinthisAgreementto
thecontrary,theEmployeewillnothavetheauthoritytoenterintoanycontractsor
commitmentsfororonthebehalfoftheEmployerwithoutfirstobtainingtheexpress
writtenconsentoftheEmployer.
TerminationDuetoDiscontinuanceofBusiness

NotwithstandinganyothertermorconditionexpressedorimpliedinthisAgreement,in
theeventthattheEmployerwilldiscontinueoperatingitsbusinessatthelocationwhere
theEmployeeisemployed,then,attheEmployer'ssoleoption,andaspermittedbylaw,
thisAgreementwillterminateasofthelastdayofthemonthinwhichtheEmployer
ceasesoperationsatsuchlocationwiththesameforceandeffectasifsuchlastdayof
themonthwereoriginallysetastheTerminationDateofthisAgreement.
TerminationofEmployment

WheretheEmployeehasbreachedanyreasonabletermofthisAgreementorwhere
thereisjustcausefortermination,theEmployermayterminatetheEmployee's
employmentwithoutnotice,aspermittedbylaw.
9 TheEmployeeandtheEmployeragreethatreasonableandsufficientnoticeof
terminationofemploymentbytheEmployeristhegreaterofone(1)weekorany
minimumnoticerequiredbylaw.
10 IftheEmployeewishestoterminatethisemploymentwiththeEmployer,theEmployee
willprovidetheEmployerwithnoticeoftwo(2)weeks.Asanalternative,ifthe
Employeecooperateswiththetraininganddevelopmentofareplacement,then
sufficientnoticeisgivenifitissufficientnoticetoallowtheEmployertofindandtrain
thereplacement.
11 TheTerminationDatespecifiedbyeithertheEmployeeortheEmployermayexpireon
anydayofthemonthandupontheTerminationDatetheEmployerwillforthwithpayto
theEmployeeanyoutstandingportionofthewage,accruedvacationandbankedtime,if
any,calculatedtotheTerminationDate.
12 Oncenoticehasbeengivenbyeitherpartyforanyreason,theEmployeeandthe
EmployeragreetoexecutetheirdutiesandobligationsunderthisAgreementdiligently
andingoodfaiththroughtotheendofthenoticeperiod.TheEmployermaynotmake
anychangestowages,wagerate,oranyothertermorconditionofthisAgreement
betweenthetimeterminationnoticeisgiventhroughtotheendofthenoticeperiod.
Remedies
13 IntheeventofabreachorthreatenedbreachbytheEmployeeofanyoftheprovisions
ofthisAgreement,theEmployeeagreesthattheEmployerisentitledtoapermanent
injunction,inadditiontoandnotinlimitationofanyotherrightsandremediesavailable
totheEmployeratlaworinequity,inordertopreventorrestrainanysuchbreachby

theEmployeeorbytheEmployee'spartners,agents,representatives,servants,
employees,and/oranyandallpersonsdirectlyorindirectlyactingfororwiththe
Employee.
Severability
14 TheEmployerandtheEmployeeacknowledgethatthisAgreementisreasonable,valid
andenforceable.However,ifanyterm,covenant,conditionorprovisionofthis
Agreementisheldbyacourtofcompetentjurisdictiontobeinvalid,voidor
unenforceable,itistheparties'intentthatsuchprovisionbechangedinscopebythe
courtonlytotheextentdeemednecessarybythatcourttorendertheprovision
reasonableandenforceableandtheremainderoftheprovisionsofthisAgreementwill
innowaybeaffected,impairedorinvalidatedasaresult.
Notices
15 Anynotices,deliveries,requests,demandsorothercommunicationsrequiredherewill
bedeemedtobecompletedwhenhanddelivered,deliveredbyagent,orseven(7)days
afterbeingplacedinthepost,postageprepaid,tothepartiesatthefollowingaddresses
orasthepartiesmaylaterdesignateinwriting:

ModificationofAgreement
16 AnyamendmentormodificationofthisAgreementoradditionalobligationassumedby
eitherpartyinconnectionwiththisAgreementwillonlybebindingifevidencedin
writingsignedbyeachpartyoranauthorizedrepresentativeofeachparty.
GoverningLaw
17 ThisAgreementwillbeconstruedinaccordancewithandgovernedbythelawsofthe
stateofNewYork.
GeneralProvisions
18 TimeisoftheessenceinthisAgreement.
19 Headingsareinsertedfortheconvenienceofthepartiesonlyandarenottobe
consideredwheninterpretingthisAgreement.Wordsinthesingularmeanandinclude
thepluralandviceversa.Wordsinthemasculinemeanandincludethefeminineand
viceversa.
20 NofailureordelaybyeitherpartytothisAgreementinexercisinganypower,rightor
privilegeprovidedinthisAgreementwilloperateasawaiver,norwillanysingleor

partialexerciseofsuchrights,powersorprivilegesprecludeanyfurtherexerciseof
themortheexerciseofanyotherright,powerorprivilegeprovidedinthisAgreement.
21 ThisAgreementwillinuretothebenefitofandbebindingupontherespectiveheirs,
executors,administrators,successorsandassigns,asthecasemaybe,oftheEmployer
andtheEmployee.
22 ThisAgreementmaybeexecutedincounterparts.Facsimilesignaturesarebindingand
areconsideredtobeoriginalsignatures.
23 ThisAgreementconstitutestheentireagreementbetweenthepartiesandthereareno
furtheritemsorprovisions,eitheroralorwritten.ThepartiestothisAgreementstipulate
thatneitherofthemhasmadeanyrepresentationswithrespecttothesubjectmatterof
thisAgreementexceptsuchrepresentationsasarespecificallysetforthinthis
Agreement.
INWITNESSWHEREOF,thepartieshavedulyaffixedtheirsignaturesunderhandandsealon
this26thdayofOctober,2015.
