CASH OFFER TO BUYBACK NOT EXCEEDING 6,96,000 (SIX LAKHS AND NINETY SIX THOUSAND)
FULLY PAID-UP EQUITY SHARES OF FACE VALUE ` 10 EACH, REPRESENTING 23.15% OF
THE TOTAL NUMBER OF EQUITY SHARES IN THE PRESENT PAID UP EQUITY SHARE CAPITAL OF
THE COMPANY, FROM ALL THE EXISTING SHAREHOLDERS/BENEFICIAL OWNERS OF EQUITY
SHARES OF THE COMPANY AS ON THE RECORD DATE I.E. NOVEMBER 27, 2015, ON A PROPORTIONATE
BASIS, THROUGH THE TENDER OFFER ROUTE AT A PRICE OF ` 2,500 (RUPEES TWO THOUSAND
FIVE HUNDRED ONLY) PER EQUITY SHARE FOR AN AGGREGATE MAXIMUM AMOUNT OF
` 174,00,00,000 (RUPEES ONE HUNDRED AND SEVENTY FOUR CRORE ONLY)

This is with reference to the Letter of Offer dated January 6, 2016 (Letter of Offer)
sent to all Eligible Person(s) of the Company and filed with Securities and Exchange Board
of India and BSE Limited in relation to the Buyback Offer. The Eligible Person(s) may note
the following development subsequent to the dispatch of the Letter of Offer:
As intimated to BSE Limited, the Company has, in accordance with approval obtained at
a meeting of its Board of Directors on January 14, 2016, entered into a share purchase
agreement with existing shareholders of Hopewell Tableware Private Limited (Hopewell)
as well as Hopewell for acquiring 100% of equity shares of Hopewell for a consideration
of ` 2,703.75 Lacs, payable in cash. As a part of the transaction, the Company will further
infuse ` 1,089.00 Lacs in the said company. Hopewell had revenue of ` 7,036.00 Lacs for
year ended March 31, 2015 and ` 1,588.03 Lacs for the year ended March 31, 2014.
Upon completion of the transaction, Hopewell will become a wholly owned subsidiary of
the Company (alongwith all its assets & liabilities). This is not a related party transaction.
Subject to completion of certain closing formalities, the closing is expected to be completed
by January 31, 2016 unless extended by mutual consent.
Hopewell was incorporated on November 25, 2010 and its registered office is in Jaipur.
It is engaged in manufacturing and marketing of opal tableware items. With this acquisition
the Company will enter into the opal dinnerware segment, which offers potential synergies
with its existing Consumer Products division.

The above information should be read in conjunction with the Public Announcement dated
November 9, 2015 and the Letter of Offer dated January 6, 2016 sent to Eligible Person(s)
of the Company in connection with the Buyback. Unless otherwise specified, all capitalised
terms used and not defined herein shall have the same meaning as ascribed to them in the
Letter of Offer.
There are no changes to the terms of the Buyback Offer.
This transaction does not adversely impact the Companys ability to conclude the Buyback Offer.
